So long...

Available for Sale, eine Kategorie nach IFRS, siehe Kategorie (IFRS) #Available for Sale (AfS)

Here is some pertinent information on MF :
steinhoffinternational.com/...
See the MF Balance sheet on page 5. Note the USD3.271bn debt as the single most prominent number in the financial statements. See page 3, the debt is owed to Steinhoff via its SPV's, SFHG, SMHAG & SEAG.
Read also this notice from Steinhoff.

Particularly this part:
In connection with the Exit Financing, the Group has agreed certain other arrangements in
relation to the equity and debt structure of the Mattress Firm sub-group:
? Exit Lender equity ? On emergence from Chapter 11, the Exit Term Loan lenders (the
?ETL Lenders?) will receive 49.9% of the equity in Stripes US Holding, Inc. (?SUSHI?) or
Mattress Firm Holdco, Inc. (the ?Issuing MF Company?) at no cost (with the Group
retaining a 50.1% equity interest (held by the ?Group Shareholder?), together with
related shareholder rights including governance rights (see below) and, subject to
customary terms and conditions, sale rights with the ability to bring-along a pro rata
portion of the Group?s retained equity interest.
? Exit Lender PIK debt ? There will be a $150 million payment in kind loan which will
become repayable by SUSHI upon a five-year maturity.
? Management Incentive Plan - Subject to determination of the number of participants
and appropriate time, performance and hurdle rate vesting conditions, a
management incentive plan (?MIP?) will be put in place. Awards under the plan can
be made in respect of 10% of the common equity in the Issuing MF Company (which
would be dilutive of the interests of both the Group Shareholder and the ETL Lenders)
and 10% of the Exit Lenders? PIK debt.
? Governance - The Issuing MF Company?s board will comprise five members, including
three members proposed by the ETL Lenders (with the Group Shareholder having
certain limited rights to reject any nominee of the ETL Lenders).
You are asking very important questions. I'll try to explain in simplified terms.
All indications are that MF will no longer be a subsidiary after the Management Incentive Plan, which indicates equity accounting is an objective. Note also that the ETL Lenders will get 3 out of 5 directors which will mean that Steinhoff will not control the board, again indicating an equity accounting objective.
Simplified, upon consolidation the USD3.271bn intercompany debt falls away (an asset and a liability of equal size). The net effect is that Steinhoff gets the capital value of MF upon consolidation and holds no other corresponding asset against the debt incurred when it financed the purchase of MF with debt. The capital value of MF is around USD1bn negative (see the page 5 balance sheet).
The picture changes dramatically when equity accounting is applied. The USD3.271bn MF debt to Steinhoff will now be placed as an asset on the Balance sheet of Steinhoff (it may be impaired to some extent but if MF is trading profitably as expected, then the impairment may be minimal), the MF investment will be shown as an investment at cost but probably impaired to a very low or even zero value, and the profit or loss at MF will be proportionally equity accounted into the Steinhoff Income statement.
The result should be a huge improvement in the AFS of Steinhoff. It will also then hold an asset of USD3.271 against the debt incurred to buy MF.
