      Increases Stake in Yanfolila Ahead of Production

      Increases Stake in Yanfolila Gold Project to 80% Ahead of Production by Year-End

      Hummingbird Resources (AIM: HUM) is pleased to announce it has acquired an additional 5% interest and a 1% royalty in the Yanfolila Gold Project in Mali ("Yanfolila" or "the Project") for US$2 million, increasing its stake to 80% ahead of its first gold pour from Yanfolila targeted by the end of 2017.

      Highlights:

      · Hummingbird has agreed to take up its option with La Petite Mine d'Or ("LPMDO") to acquire its 5% interest in the Project for the US$1 million
      · In addition the Company negotiated the acquisition of the 1% royalty LPMDO had over the Project for a further US$1 million

      · The Company now has an 80% interest in the Project (previously 75%)

      · 3% royalty to the Government of Mali ("GoM") over the Project remains

      · US$2 million to be paid in shares on 31 March 2018

      Dan Betts, CEO of Hummingbird, commented:

      "Finalising a previously agreed acquisition of the LPMDO minority interest is another exciting step forward as we close in on our first gold pour from Yanfolila. Additionally, by reducing the royalties over the Project we have further increased the benefit to Hummingbird as we firmly believe the mine life will increase significantly as we convert further Resources into Reserves once we are in production.



      "We continue to make excellent progress on site and as a result we continue to advance Yanfolila to production both on time and on budget."



      Further information:

      When the Company acquired the Project the GoM had a 10% free carried interest and LPMDO had a 5% interest in the Project. The GoM also had the right to acquire an additional 10% interest in the Project that it exercised in February 2017 for US$11 million taking its stake to 20%. As a result of this acquisition the total royalty over the Project has been reduced to the 3% due to the GoM.



      The consideration of US$2m due to LPMDO will be satisfied though the issue of 6,197,353 ordinary 1p shares in Hummingbird which are expected to be issued on 31 March 2018.

      Super besser als vorher mit Taurus (Kein 0.75% Gross Revenue Royalty capped at 2 million ounces ("Moz") of gold).
      Die arbeiten sehr zielstrebig und gut, aktuell läuft hier alles super. Bin gespannt, was bis zur Produktion noch so passiert.

      Hummingbird Resources (AIM: HUM), is pleased to announce that it has materially improved the terms of its senior secured term debt facility, (the “Senior Secured Term Facility”), following an agreement with Coris Bank International Group (“Coris Bank International”) one of the largest and fastest growing banks in West Africa. The new facility will be used to fund the ongoing construction of the Yanfolila Gold Mine in Mali ("Yanfolila") that is on budget and scheduled for first gold pour by the end of 2017.

      Highlights:

      Up to US$60 million Senior Secured Term Facility to be drawn in instalments as required

      Four-year term, 9% interest rate, 12-month capital repayment deferral

      No royalty or hedging required

      Initial US$25 million being drawn immediately

      Reduces cost of debt and maintains flexibility for growth and development

      US$25 million Bridge loan facility with Taurus Mining Finance Fund (“Taurus”) has been repaid and the mandate for further finance has been terminated

      Gold mine developer Hummingbird Resources Ltd (LON:HUM) has appointed a general manager at its Yanfolila gold project in Mali.

      He is Kevin Moxham, a professional engineer with more than 30 years of experience in the management and commissioning of mining projects in jurisdictions including Ghana, Eritrea, Tanzania and South Africa.


      Most recently Moxham was general manager (GM) and head of operations at Newmont Golden Ridge Ltd, where he oversaw commissioning and production of the 9mln tonnes per annum Akyem Gold Mine in Ghana.

      Moxham has also held several senior roles at the Barrick Gold Corporation, Gold Fields Ltd, Lonmin Platinum Mines and Anglo American.

      "The appointment of a GM to join the team is a crucial appointment for Hummingbird,” declared Dan Betts, chief executive officer of Hummingbird.

      “It is no exaggeration to say that we have searched extensively for the candidate who we believe demonstrates the right blend of skills, commitment and chemistry to join our team,” Betts said, adding that the appointment looks beyond the immediate focus of constructing and commissioning of Yanfolila towards the company’s further ambitions of operating of a world class project, and building a world class gold mining company.

      “As a board, we believe that to have attracted somebody of Kevin's experience speaks volumes about the quality of the Yanfolila Gold Project and the character of the existing Hummingbird team," Betts added.

      Shareholder Agreement with the Government of Mali RNS.

      Hummingbird Resources (AIM: HUM), is pleased to announce it has signed a shareholder agreement (“the Shareholder Agreement”) with the Government of Mali (“the Government”) in respect of Société des Mines de Komana SA (“SMK”), the mining company incorporated in Mali to hold the Komana Mining Permit, which contains the Yanfolila Gold Project (“Yanfolila”, “the Project” or “the Permit”), which is 95% owned by Hummingbird.

      Highlights:

      · Government to pay Hummingbird approximately US$11 million for an additional 10% stake in the Project

      · Agreement concluded on Government’s 10% free carried interest in Yanfolila

      · Government to take, as anticipated, an overall 20% interest in Yanfolila showing commitment and support

      Dan Betts, CEO of Hummingbird Resources, said: “The Government of Mali continues to be a committed and willing partner of Hummingbird as we work together to unlock the significant value of Yanfolila. I am delighted to see that the Government has exercised its option to increase its interest in the Project through the acquisition of an additional 10% of Société Des Mines De Komana for a consideration of US$11 million.
