"Oh crap,” Kevin Costa thought. A biomechanical engineer, he had labored for months to create miniature hearts, starting with a slurry of stem cells from rats and then coaxing them with chemicals in comfy little lab dishes not only to turn into specialized cardiac cells but also to gallivant around until they formed a three-dimensional, mini-me organ.

As he peered into a jury-rigged beaker held together with binder clips, however, Costa didn’t need a microscope — heck, he didn’t even need reading glasses — to see that something had gone crushingly wrong. The little heart had a hole at one end. ..."

Professor Ronald Li, von Novohearts, im Videointerview

      http://www.bbc.com/news/av/business-43158921/miniature-heart…

"Miniature heart inventor: Breakthroughs take time to sell

Professor Ronald Li is the inventor of tiny human hearts. Grown from stem cells, they beat exactly like hearts and they are designed to test the safety of new medicines.

Prof Li formed a company called Novoheart to market them to the world's pharmaceutical firms.

Having taken 20 years to develop the miniature heart, he says he may have to wait years longer before the world wakes up to this new technology.

Novoheart Becomes Member of International Consortium Advancing Cardiac Safety in Drug Development

Participation positions the Company to help define future industry and regulatory standards for effective cardiotoxicity screening of all newly developed drugs

VANCOUVER, BC – May 31, 2018 – Novoheart (“Novoheart” or the “Company”) (TSXV: NVH; FWB: 3NH), a global stem cell biotechnology company, announced today that it has become a member of the Cardiac Safety Technical Committee of the Health and Environmental Sciences Institute (HESI), an industry-led, international consortium including major pharmaceutical and biotechnology companies that aims to advance innovative approaches for early detection, prediction, and elimination of cardiac risk in drug development.

HESI engages stakeholders from industry, academia, government and NGOs to advance the understanding of scientific issues related to human health, toxicology, and risk assessment. Recognizing the limitations of traditional cardiac safety assays in animal or simple cellular models, a major factor contributing to the high failure rates in drug development, HESI has partnered with the US Food and Drug Administration (FDA) and global regulatory bodies on the Comprehensive In Vitro Proarrhythmia Assay (CiPA) initiative, focusing on developing new and superior preclinical cardiac safety predictive paradigms.

Leveraging its established expertise in cardiac toxicity testing with its unique MyHeartTM Platform of bioengineered human heart tissues (including the world’s first “human heart-in-a-jar”), Novoheart’s membership on the Cardiac Safety Committee and active participation in related Working Groups positions the Company to help define future industry and regulatory standards for effective cardiotoxicity screening of all newly developed drugs.

“HESI’s mission aligns well with Novoheart’s core strengths and expertise.” said Ronald Li, Novoheart CEO. “We are delighted to serve on the Cardiac Safety Committee and contribute to this industry-wide, global initiative of delivering safer drugs to the market.”

For more information on HESI, visit www.hesiglobal.org. For more information on the CiPA initiative, visit cipaproject.org.

Novoheart to Generate USD $1.7m From Strategic Partnership to Build Good Manufacturing Practice Facility to Create Clinical-Grade Human Stem Cell Libraries

Phase 1 (6 to 9 months) of potential multi-year effort
Service agreement to generate US$1.7M of revenue
Novoheart will have exclusive rights to the iPSC cell lines for cardiac applications
Partnership is another step towards clinical translation of Novoheart’s technologies
VANCOUVER, BC – October 31, 2018 – Novoheart (“Novoheart” or the “Company”) (TSXV: NVH; FWB: 3NH), a global stem cell biotechnology company, is pleased to announce that it has entered into a service agreement with Xellera Therapeutics Limited, representing Phase 1 of an intended long-term strategic partnership between the companies. The vision of the long-term partnership is to build clinical-grade human stem cell libraries for the development of cell-based therapies. Phase 1 will focus on the first steps towards Xellera Therapeutics building a Good Manufacturing Practice (GMP) facility for generating clinical-grade human stem cell lines, initially within the Southern Chinese population.

Xellera Therapeutics is a precision medicine company founded by prominent stem cell experts from the U.K., U.S. and Hong Kong with the mission of building haplotype-matched human stem cell libraries for commercializing cell-based therapies for various degenerative conditions affecting organ systems such as the heart, the eye and the central nervous system. These clinical-grade stem cell libraries will allow quicker identification of suitable donor material for cell-based therapies, minimizing the wait and avoiding complications commonly associated with transplantation, such as immune rejection or side effects caused by immunosuppression.

Under the service agreement, Novoheart has agreed to assist in the development of the haplobank of clinical-grade stem cells. Phase 1 will generate US$1.7M of revenue for Novoheart, with the services anticipated to be provided over the next 6 to 9 months. As part of the agreement, Novoheart will have exclusive rights to the human stem cell lines for producing clinical-grade human heart cells and cardiac derivatives, which it can commercialize at its discretion for research and therapeutic use. This arrangement will allow Novoheart to build a valuable new bank of clinical-grade, haplotype-matched human heart cells to develop cell-based heart therapies, and will further expand its offering into clinical applications, in addition to preclinical drug screening with the MyHeartTM Platform.

“This is an exciting partnership that represents our commitment to regenerative medicine,” said Novoheart CSO Kevin Costa. “The work we’re carrying out in this service agreement provides an exceptional opportunity to translate our pioneering technologies and experiences in heart engineering into developments of clinical therapies that will have direct benefits to patients. This ultimately creates significant value for both our clients and investors."

      About Novoheart:

Novoheart is a global stem cell biotechnology company pioneering an array of next-generation human heart tissue prototypes. It is the first company in the world to have engineered miniature living human heart pumps that can revolutionize drug discovery, helping to save time and money for developing new therapeutics. Also known as 'human heart-in-a-jar', Novoheart’s bio-artificial human heart constructs are created using state-of-the-art and proprietary stem cell and bioengineering approaches and are utilized by drug developers for accurate preclinical testing as to the effectiveness and safety of new drugs, maximizing the successes in drug discovery whilst minimizing costs and harm caused to patients.

      About Xellera Therapeutics Limited:

Xellera Therapeutics Limited (XT) is dedicated to developing cell- and gene-based therapies. XT’s mission is to bring advanced therapeutic options to patients in an era of precision medicine.

      Related Party Disclosure

As one of the scientists involved in establishing Xellera Therapeutics, Dr. Ronald Li, Novoheart’s Chief Executive Officer, received an indirect minority interest in Xellera Therapeutics. Dr. Li is therefore considered a “control person” of Xellera Therapeutics, and as Dr. Li is a “control person” of Novoheart by virtue of his ownership of Novoheart shares, Xellera Therapeutics is considered a “related party” of Novoheart and the service agreement entered into by Novoheart with Xellera Therapeutics is considered a “related party transaction” within the meaning of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions (“MI 61-101”). It is also contemplated that Dr. Li will be appointed as a director of Xellera Therapeutics, but that his personal time commitment to Xellera Therapeutics will not be material to fulfilment of his duties as a director and CEO of Novoheart.

Prior to entering into the service agreement with Xellera Therapeutics, a special committee of independent directors of Novoheart was formed with a mandate to: review and make a recommendation with respect to Dr. Li’s involvement in Xellera Therapeutics; review the proposed service agreement with Xellera Therapeutics; and, if thought fit, make a recommendation to Novoheart’s board of directors. Novoheart has approved Dr. Li’s participation in Xellera Therapeutics and entered into the service agreement with Xellera Therapeutics on the basis of its assessment of the potential benefits to Novoheart and the desire of the parties to commence phase 1 relating to the GMP stem cell facility on an expeditious basis. The decrease in the net loss was due primarily to the completion of the reverse takeover transaction that occurred in the first quarter of 2018, for which the Company incurred a non-cash loss on completion of reverse takeover of $5,213,597, offset by the Company’s increases in operating expenses compared to the three months ended September 30, 2017.

The increase in operating expenses is primarily due to the increase in marketing expenses and shared-based compensation expenses for the three months ended September 30, 2018. The increase in marketing expenses is primarily due to the focus of the Company to expand the commercialization of its MyHeartTM platform, along with the hiring of the Senior Vice President Commercial Development in August 2018 to lead the effort. For share-based compensation expenses, there was minimal share-based compensation for the three months ended September 30, 2017 as the stock options were only granted upon the Company being listed on September 27, 2017.

For share-based compensation expenses, such expenses were only incurred upon the Company being listed on September 27, 2017. The increase in research and development expenses is primarily due to the expansion of Novoheart’s scientific team resulting in an increase in personnel costs, the completion of the ITF project and the commencement of a sponsored research agreement signed with the Regents of the University of California, Irvine Campus.

      2019-05-28 10:55 ET - News Release

      Mr. Ronald Li reports

      NOVOHEART TO ACQUIRE XELLERA THERAPEUTICS

Novoheart Holdings Inc., effective May 27, 2019, has entered into a definitive non-arm's-length agreement to acquire all of the shares of Xellera Therapeutics Ltd. for $33,805,000, to be satisfied through the issuance of 93 million common shares of the company. As stated in the vision statement, Novoheart aspires 1) to revolutionize human heart tissue engineering for disease modeling and pre-clinical drug discovery, and 2) to develop novel therapeutics for clinical cardiac therapies and precision medicine. Since its public listing in 2017, the Company has been focusing on launching its pre-clinical programs. The Acquisition will accelerate progression of the Company's current business scope to include the development of clinical assets with the availability of unique expertise and professional networks in clinical trials and related regulatory requirements in the US, EU and HK/China, and a state-of-the-art GMP facility currently being established, with a target completion date in the first half of 2020, to be compliant with international standards for manufacturing clinical-grade advanced therapeutic products (ATP) for clinical trials and other applications, thereby leading to new revenue streams. Furthermore, Novoheart's liquidity will be expected to become significantly enhanced through an access to approximately C$22,500,0001 cash on XT's balance sheet.

"We are very excited by this merger with Xellera Therapeutics," said Allen Ma, Chairman of the Board. "Access to the impressive resources and facilities at XT rapidly move us closer to our long-term mission of developing clinical grade cell and tissue based therapies for cardiac repair, and the specialized expertise of Xellera's internationally recognized scientific team will help us successfully navigate complex regulatory processes and gain access to an expanding global market for next-generation cardiac therapeutics."

      Acquisition Terms

Under the terms of the Acquisition, Novoheart has agreed to acquire 100% of XT for a total purchase price of C$33,805,000. Upon closing of the Acquisition, the shareholders of XT will receive 93,000,000 Common Shares at a deemed price of approximately C$0.3635 per share.

In connection with the Acquisition, XT's shareholders have agreed to enter into lock-up agreements pursuant to which the Common Shares received as the consideration for the Acquisition will be subject to restrictions on sale for a period of up to three years, with semi-annual vesting at 15%, 15%, 15%, 15%, 20% and 20%, respectively.

In connection with the Acquisition, it is expected that Dr. Katherine Ngan and Mr. Roger Ngan, two of the founders of XT, will join Novoheart's board on closing. With an Honorary Doctorate of Business Administration, Dr. Ngan is the President of the May Cheong Group, which owns the premium brands Bburago, Maisto, Polistil, and others. As the Honorary President of The Chinese Manufacturers' Association of Hong Kong and the holder of numerous industrial honours such as the Hong Kong Young Industrialist Award and the Enterprise Trophy of the Hong Kong Business Awards, Dr. Ngan will bring to the Board significant entrepreneurial and manufacturing expertise. Mr. Roger Ngan, Chief Executive Officer of May Cheong Group, specialises in sales, marketing as well as mergers & acquisitions. Collectively, Dr. Ngan and Mr. Ngan are expected to contribute to the critical expansion of business in China and Asia.

The Special Committee and Board Recommendation

Novoheart appointed a special committee of independent directors (the "Special Committee") to supervise, oversee and review the negotiation of the acquisition of XT given the related party nature of the Acquisition. Dr. Ronald Li, the CEO, a director and a control person of the Company is also a director and an indirect approximate 39% shareholder of XT.

The Special Committee engaged Evans and Evans, Inc. (the "Valuator") to provide an independent valuation of XT and a fairness opinion on a "fixed fee" basis. The Valuator has provided an opinion to the Special Committee that, subject to the assumptions, limitations and qualifications set out in such opinion, the consideration to be paid for the purchase of XT is fair, from a financial point of view, to Novoheart.

Following an extensive review and negotiation process, the Special Committee unanimously determined that the Acquisition is in the best interest of the Company and recommended to the Board of Directors of the Company that the final terms of the acquisition be accepted. In making its recommendation, the Special Committee considered, among other things, the Valuator's fairness opinion.

The Board of Directors of the Company unanimously (other than Dr. Li and Camie Chan who declared an interest and abstained from voting on the Acquisition) approved the proposed Acquisition following its acceptance of the unanimous recommendation of the Special Committee and has recommended that shareholders of Novoheart vote in favour of the Acquisition.

      Approval Process

The Acquisition will be subject to approval by Novoheart's shareholders at a special meeting of shareholders expected to occur in late June 2019. In accordance with the policies of the TSX Venture Exchange (the "TSX-V"), the votes of Non-Arm's Length Parties (as defined in the TSX-V's policies) and, in accordance with Multilateral Instrument 61-101 {A –} Protection of Minority Security Holders in Special Transactions ("MI 61-101"), the votes of any "interest party" and its affiliates must be excluded for purposes of shareholder approval. Accordingly, shares held or controlled by Dr. Li, Katherine Ngan and Roger Ngan and their respective affiliates and joint actors will be excluded from the vote. The Acquisition is also subject to the approval by the TSX-V. Subject to receipt of all necessary approvals, the Acquisition is expected to close in or about late June 2019.

The Company will be relying on the exemption in section 5.5(b) of MI 61-101 with respect to the formal valuation requirement of MI 61-101, on the basis that the Common Shares are only listed on the TSX-V.

      Quelle: Novoheart Holdings Inc.

Novoheart To Co-develop Human Heart-in-a-Jar Model Of Heart Failure With AZN

LONDON (dpa-AFX) - Novoheart said that it has collaborated with AstraZeneca to develop the world's first human-specific in vitro, functional model of heart failure with preserved ejection fraction (HFpEF), a common condition especially among the elderly and in women, with the reported prevalence approaching 10% in women over the age of 80 years.

Heart failure (HF) is a global pandemic with an estimated 64.3 million cases worldwide in 2017, with an increasing trend in prevalence. The annual global economic burden of HF is estimated at over US$100 billion.

In collaboration with the Cardiovascular, Renal and Metabolism therapy area of AstraZeneca, the initial phase of the project aims to establish a new in vitro model, leveraging Novoheart's proprietary 3-D human ventricular cardiac organoid chamber (hvCOC) technology, that reproduces key phenotypic characteristics of HFpEF.

Novoheart will exclusively own the intellectual property rights to the newly developed HFpEF hvCOC model.

      https://www.longevity.technology/novoheart-and-astra-zeneca-…

US-Dollar wachen. Also + 1000 % bzw. knapp 40 % pro Jahr.

      https://www.globenewswire.com/fr/news-release/2019/12/16/196…

      https://www.bio-itworld.com/2020/01/06/heart-in-a-jar-platfo…

      https://www.globenewswire.com/news-release/2020/02/20/198796…

      Weiter heißt es:
During the past four months, Novoheart has announced an exclusive licensing agreement with Harvard University to co-develop a next-generation ‘Human Heart-in-a-jar’, the awarding of the latest in a series of research and development grants from the Innovation and Technology Fund, a contract to codevelop a first of its kind Human Heart-in-a-Jar model of heart failure with AstraZeneca, and a long term revenue-generating contract with another global pharma to develop a novel microplate for high-throughput drug screening using engineered human heart tissue strips.

In the past year, the Company has also been under contract and/or in partnership with several other global pharmas and notable clients. These results will be separately announced in due course.

      https://bioprocessintl.com/manufacturing/emerging-therapeuti…

      https://www.spglobal.com/marketintelligence/en/news-insights…

      https://www.globenewswire.com/news-release/2020/05/19/203547…
