      Eine Falschaussage war doch das angeblich die eine Firma ihre Schulden bei SE nicht bezahlt hatte und deswegen der Prüfer oder so nicht bezahlt werden konnten. Die Firma hatte aber wohl 1-4 Wochen später bezahlt die waren deswegen wohl auch sehr erbost ect. Dann gabs ja angeblich noch die 117 Mio Euro Wert von den CBD Dosen. Wenn es klappt Versuch ich diese Woche mich nochmal durch das Forum und die Aussagen zu machen.

Dieser käme entweder von der D&O Versicherung oder MG bzw. der Familie. Der Anwalt vermutet letztere hat ihr Geld in einem Family Trust angelegt. In der PR vom März 2020 schreibt SE, dass das Grundstück auf 22,5 Mio. C$ eingewertet wurde.

      Der Anwalt braucht zunächst eine öffentlich gemachte Misrepresentation, wo man SE der Falschangabe überführen kann. Das wäre für eine Klage auf Erfolgsbasis Vorraussetzung, weil der Anwalt davon ausgeht, dass dies vor Gericht Bestand haben würde.

      Wir haben gestern damit angefangen PRs zu sichten https://thecse.com/listings/speakeasy-cannabis-club-ltd/news… und uns zunächst auf die Kredite, die SE aufgenommen hat, konzentriert. Wir können nur alle einladen und bitten, die PRs mitzusichten. Evtl. fällt jemandem Angaben auf, die SE falsch angegeben hat, also womit Anleger in die Irre geführt wurden.

      Es gab hier einige Anleger, die damals sehr genau zu Erntemengen informiert waren. Evtl. kann hier jemand Angaben zu machen?

      Alle Emails, die MG privat verschickt hatte, so hören wir vom Anwalt heraus, würden keinen Bestand vor Gericht haben. MG kann alles tatsächlich so empfunden haben und wäre daher unter kanadischem Recht nicht mehr als "poor management".

      Wir kären mit dem Anwalt, ob wir den Namen der Kanzlei und eine Email-Adresse hier posten dürfen. Dann können sich alle direkt mit ihm austauschen bzw. Material einsenden.

      Update SE Sammelklage
      Liebe AktionärInnen,

      wir haben heute mit dem Anwalt ein längeres Telefongespräch geführt. Er ist vermutlich einer der erfahrensten Anwälte für Klagen gegen Cannabis-Firmen und führt auch aktuell Klage gegen den einstigen Marktführer.

      Er hat noch einmal genau dargelegt, was er unter einer Misrepresentation versteht. Er benötigt einen schriftlichen Nachweis in den Veröffentlichungen, an dem SpeakEasy der Falschangabe überführt werden kann. Es braucht nur eine Misreprsentation. Damit könnte er Klage einreichen, da die Erfolgsaussichten größtmöglich sein würden. Er liest sich nun weiter ein und meldet sich in der kommenden Woche.

      Hier noch mal ein Beispiel nun auf Deutsch: Am [Datum] berichtete EASY in [Dokument], dass es den Verkauf von 100.000 Einheiten im Laufe des Quartals prognostiziert. Als dies bekannt gegeben wurde, war das Quartal bereits zu 50 % abgeschlossen. Am [Datum] berichtete EASY, dass im Vorquartal nur 20.000 Einheiten verkauft wurden. Basierend auf anderen in dieser MD&A veröffentlichten Informationen wusste EASY, oder hätte wissen müssen, dass das Unternehmen nicht 100.000 Einheiten verkaufen würde.

      Eine Misrepresentation muss nicht an Verkaufszahlen geknüpft sein. Es können auch andere Informationen sein, die das Unternehmen an den Markt - wohlwissend falsch - weitergegeben hat.

      Es würde sehr helfen, wenn wir von euch Stellen genannt bekämen, wo SE damals laut euren Recherchen falsche Angaben gemacht hatte. Die haben so viele Falschangaben gemacht, es würde uns überraschen, wenn da nicht etwas dabei ist. Es gab doch damals einige hier, die sehr detailliert im Thema waren und sich evtl. noch an Stellen erinnern können?

      Introduction

      We would like to take this opportunity to provide an update and communicate to our Shareholders the Company’s path forward. Over the last couple of weeks, we have received emails, phone calls and messages raising concerns over the general health and direction of the Company.

      We understand your frustration, this time has been extremely challenging for everyone, but we are working tirelessly through this phase to find solutions.

      Your concerns have not gone unheard. We have categorized the most frequently asked questions into 4 segments: Current Operations, Cash Flow Constraints, Why Was SpeakEasy Been Halted, and Corporate Restructure.

      Each segment will answer any questions to our best abilities, without releasing material, undisclosed information.

      Current Operations

      With the issuance of the press releases issued in February, 2022, these do not impede the Company’s ability to perform its daily operations. It is business as usual at the Cannabis Complex facility at Rock Creek.

      The SpeakEasy team has been and will continue to work on, processing purchase orders to meet monthly demands and shipping deadlines. We’re excited to have started 2022 with a milestone achievement of increasing our sales by 100% from the previous month (see Press Release, February 11, 2022). Based on our sales projections, with no additional vendors, SpeakEasy anticipates to continue with a healthy revenue stream and strong profit margins through to the summer of 2022.

      As we navigate through this difficult time, our team has taken a more aggressive approach to product innovation, accepting new vendors and opening doors to international sales.

      It is unfortunate that this halt came at a time where our monthly sales are increasing month over month. We hope that news of uninterrupted sales is a silver lining that brings a small comfort to our investors during this time.

      We have started operations in our new 13,300 sq ft growing facility. Previously, our craft cannabis sales were capped due to capacity limitations, however, the additional facility will allow for the production of up to 350 KG of output per month.

      Our craft cannabis sales were consistently sold out through 2021 based on capacity, and our current purchase orders have spoken for 100 KG of craft flower for the foreseeable future.

      Our team has initiated the processing of the 2021 harvest into concentrates and production will continue to run at capacity.

      Lastly, the Company is not now, nor does it have any plans in the near future, to file for bankruptcy.

      Cash Flow Constraints

      Although our industry is growing, we see many companies struggling with sales and cutting operating costs to free up their capital. The lack of traditional financing opportunities poses great challenges, especially when it comes to a business like ours.

      The lack of traditional financing options means that we’re strictly reliant on sales to our vendors. Payment terms in our industry can mean that two slow months of sales turns into half a year without cash coming in. As our outdoor facility has only been licenced since April of 2020, and our extracts sales licence was granted in September of 2021, you can see how these delays would impact our business.

      Cash flow constraints come with tough decisions. Our collective decision was to keep our production and output consistent and remain focused on B to B sales for the time being.

      As many companies are experiencing similar pain points, new businesses are emerging to address these challenges in our sector such as invoice factoring and cannabis industry specific lenders.

      Business development’s key focus has been proactively building relationships with these emerging companies. We understand the cash-flow constraints of today but also recognize them for future phases of business growth.

      The Company is committed to exploring new financial tools while building strong relationships with other service providers to ensure we can scale our business into the next phase when the time is right.

      As our purchase orders are being processed and new relationships are being secured, we anticipate our cash constraints being eased over the next few quarters.

      Why The company Was Halted

      On February 28th, SpeakEasy confirmed that it would not be in a position to file its audited financial statements and accompanying management discussion and analysis for the fiscal year ended July 31, 2022 and that the British Columbia Securities Commission confirmed it was not in a position to grant a further extension to the previously issued Management Cease Trade Order. The result was that SpeakEasy was issued a Cease Trade Order on March 2, 2022.

      The delay of financials was first announced on November 25th, 2021 and up until February 22nd, the management team was under the impression that SpeakEasy would be in a position to file its required filings.

      Key factors that contributed to this result were:

      The lack of financing tools available.
      Industry payment terms.
      Third party scheduling.
      The complexity of our financials.
      Audit companies industry wide are experiencing staffing issues and Covid related challenges.
      Corporate Restructuring

      SpeakEasy has been a public company for nearly 4 years. These 4 years have been filled with many delays, hurdles, but most importantly growth. As our sales continue to increase and the potential for high-growth becomes a reality, we look to attract new executives that can assist on the corporate side of the business while leveraging their public market knowledge.

      We are currently working closely with the auditors to finalize an audit completion process. Our top priority is to file the audited financial statements and accompanying management discussion and analysis for the fiscal year-ended July 31, 2021 and for the interim period ended October 31, 2021 and get SpeakEasy trading again. At this time, we do not have a clear timeline, as we are reliant on both the auditors and the other regulatory bodies.

      Once the 2021 Year End financials are released, Q1, 2022 and Q2 2022 financials will be filed, and an announcement on the 2021 harvest output will follow shortly thereafter.

      As we evolved throughout the years our founding principles and core values have been fortified. We have made SpeakEasy vertically integrated from a production standpoint. With sales continuing to increase, SpeakEasy is positioned with a competitive advantage due to its low cost of cultivation, and an on site extraction facility that allows the company to significantly reduce its logistics costs.

      Many team members of SpeakEasy are also shareholders. Like you, their family members and friends are also invested in SpeakEasy. We started as a family owned business, and we are committed to pushing SpeakEasy into this next phase for the shareholders, individuals and families that have supported us from the start.

(CSE: EASY) (Frankfurt: 39H) (the “Company” or “SpeakEasy”), a holder of a federal licence to cultivate, process and sell cannabis under the Cannabis Act is pleased to provide an update on the increase in infused pre-roll sales over the last 30 days. The Company has proudly achieved a record increase of over 100% from the previous month.



      Product Sales

      SpeakEasy has delivered over 420,000 infused pre-rolled joints, along with products in all of its five categories, delivering over 316,000 grams from its January purchase orders representing a 100% increase over the previous month. Orders for February are strong, as the Company looks to increase substantially by introducing 8 new SKU’s with projected deliveries to commence this month. We have also signed a supply agreement with a leading Canadian LP to provide craft flower for a period of 12 months beginning at 50,000g per month and increasing to a potential maximum of 150,000g per month.



      Infused Pre-Rolls

      A new and innovative product that has been recently added to SpeakEasy’s catalogue, infused pre-rolls have allowed the Company to provide a product that is high-quality with a very high THC percentage while still being competitively priced.

      Since the launch of our successful line of diamond-infused pre-rolls, SpeakEasy has developed two new lines of infused pre-rolls that we expect to begin manufacturing and delivering later this month.

      Founder Marc Geen further states, “After years of significant challenges we’re excited to see our hard work paying off. Our sales are speaking for the quality of our finished products. We’re working on processing the 2021 harvest, and our goal is to continue these sales trends into the 2023 fiscal year. As we optimize our outdoor field operations, the next steps are to scale the indoor craft production.”



      Licensing

      SpeakEasy received notice from Health Canada that our application for our new facility is in the final approval stage and we expect to have approval for use very shortly. This new facility will allow us to increase our craft flower production to over 350kg per month from our current production of 100kg per month.

      Over the last 4 years, SpeakEasy has been focusing on building an infrastructure that would allow the Company to utilize its outdoor facility to its full potential and process the entirety of the outdoor and indoor facility input materials into finished products. The combination of the Company’s capacity, quality, and cost advantage will allow SpeakEasy to continue to innovate and create new products and position itself as a potential leader in its respective space. The Company was recently able to create an infused pre-roll which has been a massive success with our vendors.

      Financials

      We are eagerly anticipating the return of our audited financial statements and accompanying management discussion and analysis for the fiscal year ended July 31, 2021 (the “Required Filings”) from the auditors and will be immediately releasing them once available. Additionally, we will release our Q1 financials and include a sales update and an investors call to address shareholders questions. With a seemingly near end in sight to the pandemic, we are all excited to get back to business as normal and have consistent on time financial releases.

      The Company continues to adhere to the Management Cease Trade Order ("MCTO") previously announced on December 3, 2021.

      The Company confirms that since the date of the Original Announcement on November 25, 2021: (i) there has been no material change to the information set out in the Original Announcement that has not been generally disclosed; (ii) there has been no failure by the Company in fulfilling its stated intentions with respect to satisfying the provisions of the alternative information guidelines set out in National Policy 12-203 – Management Cease Trade Orders (“NP 12-203”); (iii) other than the Company’s inability to file its financial statements and accompanying management discussion and analysis for the interim period ended October 31, 2021 until the required filings are made, there has not been any other specified default by the Company under NP 12-203; and (iv) there is no other material information concerning the affairs of the Company that has not been generally disclosed. The Company confirms it will continue to satisfy the provisions of the alternative information guidelines set out in NP 12-203 so long as it remains in default of the requirement to file the Required Filings.

      Liebe AktionärInnen,

      vielen Dank für eure Hilfe. Angaben dürfen nicht "schwammig" sein. Wir brauchen präzise Angaben mit Quellenangabe. Es reicht eine einzige präzise Misrepresentation.

      Wer kann sich noch erinnern an den Februar 2022. Am 1.2.22 sagte SE in seiner PR, sie würden bis Ende Monat die Zahlen vorlegen. Am 15.2.22 kamen dann die Notverkäufe und am 28.2.22 bestätigte SE, dass sie die Zahlen nicht vorlegen können. Warum kam es am 15.2.22 zu den Notverkäufen? Gab es eine Meldung, die wir gerade übersehen? Bitte schaut einmal und gebt uns eine Rückmeldung. Gerne öffentlich.
