Ich bin selbst mit einem größeren Aktienpaket bei Petropavlovsk investiert. Ich sehe aber momentan keine Möglichkeit a) da auszusteigen und b) investiert zu bleiben. Was meinst Du, was man als Aktionär noch richten kann? Solch ein gutes und zukunftsträchtiges Unternehmen wird billigst an einen Investor (UMMC) verkauft. Das kommt mir wie ein gigantischer Diebstahl vor oder sehe ich das falsch?

Am 27. Juli 2022 beantragten die Administratoren von Petropavlovsk PLC (das "Unternehmen") beim Obersten Gerichtshof um Anweisungen, einschließlich einer Anweisung, dass es den Administratoren freistehen sollte, einen Entwurf eines Aktienverkaufs- und Kaufvertrags mit UMMC-Invest ("UMMC") für den Verkauf und Kauf des Hauptvermögens der Gesellschaft ("SPA") abzuschließen, auszuführen und zu beschaffen.
Der Antrag wurde am 29. Juli 2022 verhandelt, bevor Herr Jonathan Hilliard QC als stellvertretender Richter des High Court (der "Richter") tagte. Am 1. August 2022 erließ der Richter einen Befehl, der den Administratoren die Freiheit gab, ein SPA mit UMMC einzutreten und durchzuführen und das Unternehmen dazu zu bringen, das SPA zu betreten und durchzuführen. In einem kurzen ersten Urteil, das dem Beschluss beiliegt, wies der Richter darauf hin, dass er noch in dieser Woche ein detaillierteres schriftliches Urteil erlassen würde, in dem alle Folgefragen, die sich im Zusammenhang mit dem Beschluss ergeben, berücksichtigt werden könnten. Am 18. Juli berichtete Petropavlovsk, dass externe Manager in das Unternehmen ernannt worden seien, was den Beginn des Insolvenzverfahrens bedeutet. Danach beantragte das Unternehmen am selben Tag die Annullierung der Notierung von Aktien und Wandelanleihen an der LSE und die Beendigung des Aktienhandels an der Moskauer Börse.

denke aber doch das die aktionäre nach einiger zeit eine abfindung bekommen zumal grossaktionäre clevere leute sind die viel investiert haben
kann mir nicht vorstellen das die alles in den sand gesetzt haben sollen..
auf der anderen seite auch verheerendes signal für den kapitalmarkt wenn die aktionäre hier ganz leer ausgehen
ich denke niemand wird in der zukunft auch nur einen cent mehr in russische aktien investieren, wenn die ganze sache vorüber ist
und eines tages wird die sache vorbei sein
auch für andere unternhehmen wie norislk nickel,gazprom usw wirft das ein sehr schlechtes licht

The company’s board of directors will seek a hearing of the administration application at the High Court in London in the coming days, it said in a filing Tuesday. The application will include the appointment of Allister Manson, Trevor Binyon and Jo Rolls of Opus Business Advisory Group as administrators of the company.
London-listed Petropavlovsk’s stock has plunged more than 90% since Russia invaded Ukraine in February. The company -- which has its main operating mines in the Amur region, in Russia’s Far East -- was unable to sell gold following UK sanctions on Gazprombank, which acted as off-taker of all the company’s gold production under the conditions of two loans.
Once one of London’s biggest gold miners, Petropavlovsk stood on the cusp of joining the UK’s benchmark FTSE 100 Index a little more than a decade ago.
Yet the company, founded by banking scion Peter Hambro, was forced into a debt-for-equity swap to save the company, leading to years of boardroom turmoil after a series of Russia-focused businessmen took a large stake and pushed for changes.
Now, the war and the sanctions that followed have compounded the company’s woes. The company has been in default since April after it was unable to meet a request to repay Gazprombank a term loan and a revolving credit facility for a total of $288.1 million. The miner has a $304 million note due in November, and a $33 million convertible bond due in 2024.
Share Suspension
According to Tuesday’s filing, the company requested that trading of its shares on the London Stock Exchange be suspended and it plans to request the suspension of its shares on the Moscow Exchange “in due course.”
The company is in talks with two parties interested in buying its operating subsidiaries, according to the filing. Discussions with both are ongoing, but may not result in a sale, the company said.
Even if the sale takes place, it’s “highly unlikely that there will be any return to shareholders given the level of the group’s indebtedness,” the company said in the filing. Petropavlovsk had assets at book value amounting to about $1.6 billion, while its liabilities came to about $1.7 billion as of June 30, it said.

issued waivers by Russia's Gazprombank, allowing it to sell gold to third
parties.
As part of its financial agreements with the Russian bank, Petropavlovsk was
required to sell all of its gold production to Gazprombank. However, the
London-listed mining company is no longer able to do so because Gazprombank has
been included on the U.K. sanctions list.
Petropavlovsk said it has now identified new buyers and applied for a gold
export license. Shares at 0758 GMT were up 11% at 1.70 pence.
However, Gazprombank has told Petropavlovsk that it may revoke the waivers of
its offtaker rights and that it reserves the right to start judicial
proceedings against the company's subsidiaries in Russia for the repayment of
the $87.1 million due under its revolving credit facilities.
"If GPB were to take the action it refers to in its notice... it would cause
a material adverse effect on the group's cash flow position and limit the
Russian subsidiaries' ability to meet obligations to employees and suppliers,"
Petropavlovsk warned.
As a result, Petropavlovsk said its four main operating companies in Russia
have applied to the Russian government for a waiver of the country's current
moratorium on bankruptcy filings to give it additional legal options.

29 April 2022Update on Guaranteed Notes and Convertible Bonds
Petropavlovsk PLC ("Petropavlovsk" or the "Company" and, together with its subsidiaries, the "Group") wishes to provide an update in relation to the US$500 million 8.125% Guaranteed Notes due 2022 and issued by Petropavlovsk 2016 Limited (the "Guaranteed Notes", US$304m outstanding) and the US$125 million 8.25% Guaranteed Convertible Bonds due 2024 and issued by Petropavlovsk 2010 Limited (the "Convertible Bonds", US$33m outstanding).
The Company announced on 20 April that it had received notices from Gazprombank ("GPB") purporting to require:
· immediate repayment of approximately US$201.0m (including accrued interest) due under the Company's Committed Term Facility Agreement (the "Term Loan") with GPB (such notice accompanied by notification from GPB of the assignment of the Term Loan to JSC UMMC-Invest); and
· repayment by 26 April 2022 of, in aggregate, approximately US$87.1m (including accrued interest) due under the Group's Russian subsidiaries' revolving credit facilities.
As a result of the acceleration of the Term Loan and/or the revolving credit facilities referred to above, one or more Events of Default under the Conditions (as defined in each of the trust deeds which constitute the Guaranteed Notes and the Convertible Bonds) have occurred. Consequently, the Group has sent Notices of Events of Default to the relevant trustees pursuant to the provisions of the respective trust deeds.
At this time, no acceleration of the Guaranteed Notes or Convertible Bonds has occurred.
