GENEVA (MAR. 27, 2024) – RELIEF THERAPEUTICS Holding SA (SIX: RLF, OTCQB: RLFTF, RLFTY) (Relief Therapeutics, or the Company), a biopharmaceutical company committed to delivering innovative treatment options for select specialty, unmet and rare diseases, today announced it has called an extraordinary general meeting (the EGM) of shareholders to be held at 03:00 p.m. CEST on April 26, 2024.

The purpose of the meeting is to vote on several specific items: the election of three nominees to the Board of Directors (the Board); adjustments to the Company’s share capital; matters related to the Board and Executive Committee compensation and discharge; and textual amendments to conform the Articles of Association to the new corporate law. We believe such measures enjoy support of the Company’s largest shareholder and will enhance the Company's flexibility for future financial operations and business opportunities.

AGENDA

Election of new members of the Board of Directors

Shareholders will vote on the election of Mr. Peter de Svastich, Mr. Gregory Van Beek, and Mr. Thomas Elzinga as new members of the Board, for a term of office extending until completion of the next Annual General Meeting expected in June 2024. The three nominees are being proposed by Global Emerging Markets (GEM), the Company's largest shareholder with approximately 23% of the Company's outstanding share capital. Ms. Patrice Jean and Mr. Thomas Plitz, current Board members, announced their intent to conclude their service upon the election of the Board nominees. Mr. Selvaraju, Chairman of the Board, and Ms. Lock, member of the Board and interim CEO of the Company, will continue their service.

Capital Reduction by Reduction of Nominal Value

The Board proposes to reduce the nominal value of the Company's share capital from CHF 56'163'348.00 to CHF 1'404'083.70 by reducing the nominal value of each share from CHF 4.00 to CHF 0.10. This technical adjustment comes as the share currently quotes at a price below its par value. This situation presents practical implications, including limiting the Company's ability to raise capital. The number of outstanding shares, as well as shareholders' financial and patrimonial rights, will not be affected by the reduction in par value. The modification of the share capital shall render the capital band provisions under the Articles of Association void.

Reinstatement and Extension of the Capital Band

Subject to and contingent upon the approval of the reduction of nominal value (second agenda item above), the Board proposes to reinstate and increase the Company's capital band to 7'000'000 shares and extend its duration until April 25, 2029, maintaining a capital band authorizing capital increases of not more than 50% of the ordinary share capital. The proposed capital band will allow the Board to maintain full flexibility in connection with possible future financing and business opportunities.

Increase of the Conditional Share Capital

Subject to and contingent upon the approval of the reduction of nominal value (second agenda item above), the Board proposes to increase the existing conditional share capital to 7'000'000 shares, maintaining a total conditional share capital of around but not more than 50% of the ordinary share capital. The allocation of the conditional capital is proposed as follows: 1'000'000 shares are designated for the potential granting of stock options to attract and retain key personnel, aligning their interests with those of the shareholders, and 6'000'000 shares are reserved for issuing of financial instruments convertible into shares in support of future financing and business opportunities.

Votes on the compensation of the members of the Board of Directors and of the Executive Committee

The Board proposes that the General Meeting approves a maximum amount of CHF 500'000 for compensation of the members of the Board for the period from the Annual General Meeting 2023 until the Annual General Meeting 2024, and a maximum amount of CHF 4'000'000 for the members of the Executive Committee for the financial year 2024. These compensation envelopes are inclusive of fixed and variable compensation, stock options, and other benefits.

Discharge of the Board of Directors and the Executive Committee

The Board proposes that the General Meeting grants discharge to each and all members of the Board and of the Executive Committee, including former members, for the financial years 2022 and 2023. Pursuant to Swiss corporate law, discharge for the financial year 2023 will be limited to facts disclosed by the Company or known by the Company’s shareholders as of the time of the meeting.

Amendments to the Articles of Association related to the New Corporate Law

The Board proposes textual amendments to article 23 para. 1 and article 25 para. 3 of the Articles of Association for alignment with the new corporate law.

(Nasdaq: ETON) (Eton) for the commercialization of GOLIKE® family of products in the United States. “This transition is fully aligned with Relief’s strategy of moving the GOLIKE products into partnership models in the U.S. and Europe. We are very pleased to be establishing this partnership with Eton for GOLIKE patients in the U.S. given their valuable experience in the metabolic area,” said Michelle Lock, interim CEO of Relief. “We are excited to be partnering with Relief on PKU GOLIKE in the United States. After extensive discussions with metabolic geneticists, dieticians, and PKU patients, we believe PKU GOLIKE is the best product in the estimated $100 million U.S. PKU medical formula market. With our sales force and existing relationships in the metabolic community, we believe we can significantly increase the awareness, education, and adoption of this important product,” said Sean Brynjelsen, CEO of Eton Pharmaceuticals. Under the terms of the agreement, Relief will receive an upfront payment of $2.2 million and is eligible to receive an additional $2.0 million in sales milestones payments as well as mid-teens royalties on net sales. In the fourth quarter of 2023, PKU GOLIKE's annualized net sales exceeded $1 million in the U.S., continuing its growth trajectory since its launch in late 2022. As part of the agreement, Eton also received U.S. rights to Relief’s GOLIKE Medical Food line extensions under development for the management of other inherited rare metabolic diseases such as tyrosinemia and homocystinuria, which are both expected to launch in 2025 and 2026 under the same trademark. Relief is also in discussions with Eton related to additional development assets, including RLF-OD032. RLF-OD032 is an innovative drug product candidate under development for the treatment of PKU expected to be filed for approval before the FDA in H2/2025 as 505(b)(2) application. Erleichterung schreitet strategische Transformation voran

GENF (FEB. 28, 2024) – RELIEF THERAPEUTICS Holding SA (SIX: RLF, OTCQB: RLFTF, RLFTY) (Relief oder das Unternehmen), ein biopharmazeutisches Unternehmen, das sich verpflichtet hat, innovative Behandlungsoptionen für ausgewählte Spezialität, unerfüllte und seltene Krankheiten zu liefern, gab heute die Verlängerung seiner CHF 50 Millionen Aktien-Abonnement-Fazilität (S) bekannt. Diese Transaktion unterstreicht das anhaltende Engagement von GEM, dem größten Anteilseigner des Unternehmens seit 2016, die strategischen und Entwicklungsinitiativen von Relief mit größerer finanzieller Flexibilität weiter zu fördern.

Relief und GEM haben vereinbart, die SSF-Vereinbarung um weitere drei Jahre zu verlängern. Gemäß den Bedingungen der Vereinbarung hat Relief das Recht, regelmäßig Aktien an GEM für einen kumulierten Betrag von bis zu CHF 50 Millionen auszugeben und zu verkaufen. GEM verpflichtet sich, die Stammaktien von Relief zu zeichnen, nachdem eine Drawdown-Bescheide von Relief ausgegeben wurde. Die Erleichterung wird den Zeitpunkt und den maximalen Betrag eines jeden Drawdowns kontrollieren und behält sich das Recht vor, den vollen Verpflichtungsbetrag zu erhöhen, vorbehaltlich der üblichen Bedingungen des SSF-Abkommens. Zukünftige Bezugspreise im Rahmen des SSF entsprechen 90% des Durchschnitts der Schlusskurse an der SIX Swiss Exchange während des Referenzzeitraums, was 15 Handelstagen nach der Ablosankündigung von Relief entspricht.

GEM stimmte auch zu, eine ausstehende Haftung von CHF 1,37 Millionen zu vergeben, die zuvor von Relief an GEM zu zahlen war. Die Erleichterung hat sich verpflichtet, GEM-Warrants zum Kauf von bis zu 3,35 Millionen Stammaktien zu einem Kaufpreis von CHF 1,70 pro Aktie, die ab dem Ausgabedatum ausgeübt werden können, und am 20. Januar 2027 auslaufen zu lassen. Die Ausgabe dieser Warrants sowie die Möglichkeit des Unternehmens, sich auf den SSF zu verlassen, ist von der Zustimmung der Aktionäre für eine Senkung des Nominalwerts der Stammaktien des Unternehmens auf der nächsten Hauptversammlung abhängig.

Wir sind alle frustriert, aber Jammern hilft jetzt auch nicht weiter.
Ich kann mir auch nicht vorstellen, daß ein Pusher hier noch irgendwas bewegen kann. Das Pferd ist momentan tot. Eine Auferstehung wäre schön aber unwahrscheinlich. Ineos verlinkt ja immer die Quellen. Ob alles mit rechten Dingen zugeht, bzw zuging bleibt ein Geheimnis, aber es sieht schon sehr nach Betrug aus. Vin Mondo gab es ja auch Gerüchte in diese Richtung.

Die höchste Prävalenz wurde in der Türkei mit 0,0167% gemeldet, während die niedrigste Prävalenz in den Vereinigten Arabischen Emiraten gemeldet wurde, 0,005 %.
