Hi disciple,
Also nichts für ungut!

HOUSTON -- August 8, 2000 -- Waste Management, Inc. (NYSE: WMI) today announced financial results for its second quarter ended June 30, 2000. Revenues for the quarter were $3.27 billion as compared to $3.32 billion in the year ago period. The Company reported net income of $0.3 million for the period or $0.00 per diluted share, compared with $318.3 million, or $0.50 per diluted share, for the second quarter 1999. On a pro forma basis, after adjusting for unusual costs and certain other items discussed below, second quarter 2000 net income was $200.4 million, or $0.32 per diluted share.
The unusual costs and other items adjusted for in the pro forma analysis include: $125.1 million in losses, net of gains, on sales of assets and $77.6 million in impairments on assets held-for-sale, primarily related to international operations, $13.8 million for the planned termination of the former Waste Management pension plan, and $54.2 million of SG&A costs primarily related to business consulting, accounting and stabilization efforts. Additionally, for the pro forma analysis an effective tax rate of 41.7% is utilized, and $32.1 million of suspended depreciation related to the assets-held-for-sale is charged to expense.
For the six months ended June 30, 2000 Waste Management reported operating revenues of $6.48 billion as compared to $6.40 billion for the comparable period last year. Net income was $55.3 million and diluted earnings per share was $0.09 for the six months ended June 30, 2000 compared to $665.0 million and $1.05, respectively, for the same period in 1999.
"During the second quarter the Company made significant progress on a number of important projects. And, I am pleased with the consistency of operations that is beginning to be evidenced in our quarterly results." said A. Maurice Myers, Chairman, President, and Chief Executive Officer of Waste Management. "The divestiture program announced last year advanced substantially in the past few months. To date we have announced sales of assets totaling about $2 billion and have collected $1.1 billion of those proceeds. The approximately $1 billion of proceeds received during the second quarter combined with free cash flow from operations resulted in a total debt reduction of $1.2 billion in the quarter.
"On another important front, the Company`s information systems department continues to execute its implementation plan for a new enterprise software system. The pilot phase will begin in the fourth quarter as planned. Then, in the first quarter of next year, we can begin rolling-out the new software to the districts," continued Myers.
The Company further noted that important highlights of the quarter`s results include:
North American solid waste revenues increased 8.4% to $2.91 billion from $2.69 billion in the second quarter 1999,
Internal growth of 5.7% in the North American solid waste business, with 4.0%, or $107.6 million, in volume growth,
The pricing improvement in the quarter of 1.7%, or $45.6 million, resulted from fuel surcharges of $12.2 million and improved commodity prices of $58.4 million, net of a negative base price change of 0.7%,
Operating cash flow of $427.2 million, and
Pro forma EBITDA of $925.9 million.
Myers added, "On the top line we continue to see good volume increases, and the fuel surcharge program has worked well. However, this quarter`s price comparison was somewhat difficult due to the large price increases that were implemented in March and April of 1999 but which, in many cases, were rolled back in the second half of the year. I expect that the base-price comparison, excluding the fuel surcharge and commodity prices, will improve over the next couple of quarters. On the expense side, after adjusting for the unusual items in the quarter, the cost structure of the core North America solid waste business is fairly consistent with our internal projections from three months ago. The management team is now beginning to focus on specific ways to improve the cost structure and improve the level of profitability."
Waste Management, Inc. is its industry`s leading provider of comprehensive waste management services. Based in Houston, the Company serves municipal, commercial, industrial, and residential customers throughout the United States, and in Canada, Puerto Rico and Mexico.

the Company`s ability to successfully integrate the operations of acquired companies with its existing operations, including risks and uncertainties relating to its ability to achieve projected earnings estimates, achieve administrative and operating cost savings and anticipated synergies, rationalize collection routes, and generally capitalize on its asset base and strategic position through its strategy of decentralized decision making; and the risks and uncertainties regarding government-forced divestitures.

the effect of competition on the Company`s ability to maintain margins on existing or acquired operations, including uncertainties relating to competition with government owned and operated landfills which enjoy certain competitive advantages from tax-exempt financing and tax revenue subsidies.
the potential impact of environmental and other regulation on the Company`s business, including risks and uncertainties concerning the ultimate cost to the Company of complying with final closure requirements and post-closure liabilities associated with its landfills and other environmental liabilities associated with disposal at third party landfills and the ability to obtain and maintain permits necessary to operate its facilities, which may impact the life, operating capacity and profitability of its landfills and other facilities.
the Company`s ability to generate sufficient cash flows from operations to cover its cash needs, the company`s ability to obtain additional capital if needed and the possible default under credit facilities if cash flows are lower than expected or capital expenditures are greater than expected.
the potential changes in estimates from ongoing analysis of site remediation requirements, final closure and post-closure issues, compliance and other audits and regulatory developments.
the effectiveness of changes in management and the ability of the Company to retain qualified individuals to serve in senior management positions.
the effect of price fluctuations of recyclable materials processed by the Company.
certain risks that are inherent in operating in foreign countries that are beyond the control of the Company, including but not limited to political, social, and economic instability and government regulations.
the potential impairment charges against earnings related to long-lived assets which may result from possible future business events.
the effect that recent trends regarding mandating recycling, waste reduction at the source and prohibiting the disposal of certain types of wastes could have on volumes of waste going to landfills and waste-to-energy facilities.
the potential impact of government regulation on the Company`s ability to obtain and maintain necessary permits and approvals required for operations.

Hallo Amateur,

Da ist der Tempelton Growth, der Waste als eine der Top Positionen hält;

SEC fines Arthur Andersen $7 million
Tuesday, June 19, 2001 03:41:10 PM - UPI
WASHINGTON, Jun 19, 2001 (United Press International via COMTEX) -- The
Securities and Exchange Commission fined Arthur Andersen LLP $7 million on
Tuesday for overstating Waste Management Inc.`s pre-tax income by more than $1
billion.
The fine is the largest civil penalty in SEC enforcement history. Andersen
admitted no wrongdoing.
Andersen was accused of issuing "clean" audits for WMI for the years 1992
through 1996, despite disparities in the company`s accounting procedures. The
SEC accused Andersen of "knowingly or recklessly" issuing "materially false and
misleading audit reports."
The SEC brought fraud charges against Anderson. Tuesday`s agreement settles both
the civil injunctive action and related administrative proceedings that found
the firm engaged in improper professional conduct.
Four Andersen partners also settled antifraud charges and administrative
violations, without admitting wrongdoing, agreeing to civil fines and not to
practice as accountants before the SEC for periods varying from one year to five
years.
"Arthur Andersen and its partners failed to stand up to company management and
thereby betrayed their ultimate allegiance to Waste Management`s shareholders
and the investing public," SEC Director of Enforcement Richard H. Walker said.
"Given the positions held by these partners and the duration and gravity of the
misconduct, the firm itself must be held responsible for the false and
misleading audit reports issued in its name."
Andersen accountants allegedly identified a variety of improper accounting
practices that resulted in Waste Managements operating and income tax expenses
to be understated and its net income, overstated.
"While Andersen quantified some of these misstatements, other known and likely
misstatements were not quantified and estimated," the SEC said.
The SEC added: "Anderson also allowed Waste Management to, in Anderson`s own
words, `bury` certain charges by improperly netting them against unrelated,
one-time gains." Ultimately, when the misstatements were revealed, Waste
Management announced the largest restatement in American corporate history.
In issuing an unqualified audit report on the restated financial statements,
Andersen acknowledged that the financial statements it had originally audited
were materially misstated."

Einige Anleger denken wohl so:
