APA Optics Raises $37 Million to Date Under April 2000 Shelf Registration; Is Redeeming 2% Series a Convertible Preferred


Capital Raised Through Sales of Common Stock Will Be Used to Expand Manufacturing Capabilities and to Fund Product Development and Marketing Activities
MINNEAPOLIS, July 12 /PRNewswire/ --

APA Optics, Inc. (Nasdaq: APAT - news) today reported that to date under a shelf registration filed in April 2000 it has raised a total of $37,450,940 in gross proceeds through registered institutional placements of a total of 2,628,180 shares of its common stock, including $14,450,941 of gross proceeds disclosed earlier. Net aggregate proceeds to the Company totaled $35,970,599, including $13,983,935 in net proceeds announced earlier.

The shares of common stock were issued under the $100 million S-3 shelf registration statement filed with the SEC in April 2000. Shares have been sold to institutional investors at market-related prices from time to time through the Company`s placement agent, Ladenburg Thalmann & Co., Inc.

To take advantage of the Company`s strong cash position, the Company is redeeming $5 million of convertible preferred stock, which was issued in March 2000. The Company said it is redeeming the preferred stock to simplify its capital structure. The Company notified holders on June 30, 2000 that it had elected to redeem all shares of its 2% Series A Convertible Preferred Stock, subject to the right to convert prior to redemption at a price of approximately $32 per share. The $5 million gross proceeds from the sale of the convertible preferred stock is in addition to proceeds from the sales of common stock.

The Company said the funds raised would be used primarily to expand its manufacturing capabilities, mainly at its Aberdeen, S.D. facility, and for product development and marketing activities.

Hier wird nicht gepusht. Beobachte die Aktie seit Dezember 99. Habe auch schon einen kleinen Gewinn damit gemacht. Aber was sich seit ein paar Tagen abspielt ist sagenhaft. Jeder Kurssprung der letzten Tage war gewaltig. Ich denke, das vom Taipan ausgesprochene KZ (100 EUR) hat doch einen fundamentalen Hintergrund. Ich freue mich schon auf die nächsten Tage und Wochen. Nochmals: zum pushen sind andere Aktien besser geeignet.

Ich habe im April für 20€ gekauft. Kurz darauf ging sie schon einmal ab auf 25€ um dann die unheimliche Talfahrt anzutreten. Allerdings bin ich der Meinung das wir im April nicht diese hohen Umsätze hatten, wie sie z. Zt. in USA sind. Die Technologie die APAT hat, hat Zukunft. Außerdem ist es meines Wissens ein Kerngesundes Unternehmen. Der TAIPAN Börsenbrief setzt das Kursziel mit 100 US$ an. Leider ist die Aktie hier in Deutschland wohl sehr unbekannt. Der Umsatz hier ist sehr gering. Obwohl er in den letzten Tagen auch bei uns relativ hoch war. Man setzt hier auf deutsche Unternehmen mit vergleichbarer Technologie. Wegen des geringen Umsatzes ist sie natürlich auch sehr volatil. Deshalb werde ich nicht gleich wieder verkaufen, wenn der Kurs fällt. Den Kurs bekommt man schon nach unten wenn eine geringe Menge verkauft wird. Verkaufen werde ich ab Kursen von 60€, wobei ich Gewinne natürlich laufen lasse und dann auch mit einem Stopp Loss absichere. Also wie Ihr seht, ich werde der Aktie die Zeit geben sich zu entwickeln. Schaun wir mal wann es so weit ist.

MINNEAPOLIS, Aug. 9 /PRNewswire/ -- APA Optics, Inc. (Nasdaq: APAT - news) today announced that it has demonstrated and shipped the initial units of its new 56-channel dense wavelength division multiplexing (DWDM) product, believed to be the only commercially available unit with both such a high channel count and low insertion loss. This component is based on the same patented bulk diffraction grating technology used for producing lower channel count single-mode and multi-mode Mux/Demux components.

The alpha unit provides the ability to multiplex and demultiplex 56 wavelengths with a single component, without utilizing interleavers or couplers. ``This component shows insertion loss of less than 5 decibels (dB) and polarization dependent loss (PDL) of less than 0.4 dB,`` said Anil K. Jain, president and chief executive officer. ``As far as we know, this is the only commercially available mux/demux component with the ability to combine or separate 56 wavelengths with such low insertion loss.``

Low insertion loss in a single component provides the designers of optical network systems with greater flexibility. ``This is of particular importance as they seek to meet demands for higher bandwidth,`` said Jain, ``and gives APA Optics a technological edge in the growing high-channel market.``

The Company also reported that it has completed its current round of financing activity under a shelf registration filed in April 2000 after raising a total of $41,450,940 in gross proceeds. The capital was raised through registered institutional placements of a total of 2,845,868 shares of its common stock, with net aggregate proceeds to the Company totaling $39,664,321. The shares of common stock have been sold to institutional investors at market-related prices.

The Company said the funds raised would be used primarily to expand its manufacturing capabilities, mainly at its Aberdeen, S.D. facility, and for product development and marketing activities. The registered institutional placements were made through the Company`s placement agent, Ladenburg Thalmann & Co., Inc.

``I am pleased with the Company`s success in raising the capital required to move APA forward in manufacturing and marketing its advanced products, primarily dense wavelength division multiplexing (DWDM) fiber optics components,`` said Jain. ``We anticipate that we will have sufficient cash to conduct our business activities, perhaps including acquisitions, and are now well positioned to press our marketing efforts on behalf of the Company`s single-mode and multi-mode DWDM products. APA Optics reported on its financing activities in advance of the Company`s annual meeting in mid-August, when shareholders will receive a full review of APA`s product development and marketing activities and vote on an increase in its authorized shares. The Company`s Board of Directors has proposed an amendment to APA`s Restated Articles of Incorporation increasing the number of authorized shares of common stock, $.01 par value, from 15,000,000 to 50,000,000.

Management has indicated that the increase in authorized shares of common stock will provide the Company with greater flexibility in financing activities and be of value in potential equity investments or acquisitions. The additional shares would also be available for stock splits and stock option programs, potentially with employees among those participating.

The Company earlier indicated that it would redeem its $5 million of convertible preferred stock, which had been issued in March 2000, and the redemption has been accomplished.

Es war nur eine Frage der Zeit. Ich hatte die Empfehlung des Taipan seit Monaten im Kopf.
Und gerade gestern habe ich bei Apa nochmals nachgelegt. Aber glaubt mir, das ist erst der Anfang.
Die vom Taipan beschrieben Übernahme kommt auch noch, da Apa ein einzigartiges Produkt besitzt, um das sie von vielen großen Unternehmen der IT- Branche beneidet werden.
Und dann geht die Post erst richtig ab.

Eine 3 vor dem Komma, wäre schön, aber vielleicht doch zu viel des Guten (innerhalb der kurzen Zeit)
Aber noch eines am Rande: habe mich vor kurzem mit einem promov. Physiker unterhalten, der sich mit Glasfaser- Netzwerken gut auskennt.
Der war fest davon überzeugt, daß die DWDM-Technik von Apa ihren Weg innerhalb der Glasfasertechnologie machen wird.
Ich bin deshalb davon überzeugt, daß viele große Firmen (Lucent, Cisco, Nortel, JDS) Apa genau ins Visier genommen haben.

Die Genehmigung ist gültig ab morgen, Mittwoch d. 16. August. Das fällt ja zusammen mit der Aktionärsversammlung. Das wird den Kurs richtig bewegen. In den USA hat er bereits um 10% angezogen.
