@Analyst,

Hallo, liebes Board,
hie ist die Quelle für folgenden Text:
http://biz.yahoo.com/rf/000826/l2635728.html
Unter anderem steht da drin:
"The cable operators lag behind their satellite rival BSkyB on the UK digital field by about a year and industry speculation is ripe that it`s time for Telewest to pair with either NTL or Europe`s biggest cable operator UPC(NasdaqNM:UPCOY - news)."
Meinungen ??

Microsoft Software Delay May Slow AT&T`s TV Plans, WSJ Says
Redmond, Washington, Aug. 27 (Bloomberg) -- Microsoft Corp.`s delays in providing interactive-television software to AT&T Corp. could further slow the telephone and cable-television company`s planned introduction of interactive services, the Wall Street Journal reported, citing people familiar with the matter.
The delays may persuade AT&T to consider other vendors, such as Liberate Technologies Inc. and OpenTV Corp., for part of its project of deploying 10 million television set-top boxes.
Microsoft`s TV project has run into technical snags, many of which were disclosed in a recent meeting between Microsoft and AT&T executives. The technical issues also have hampered Microsoft`s deployment of advanced TV software for United Pan- Europe Communications NV, a European cable company.
The first technical trials for the interactive TV software are expected at the beginning of next year, the Journal said. AT&T and Microsoft had said previously they expected to unveil some of the software this summer.

Hier etwas genauer :
Microsoft-Probleme behindert interaktive Fernsehenpläne bei AT&T
AT&T werde sich weiter hinter Microsoft stellen.

@Nasdaqdancer,

Mountain View, California, Aug. 29 (Bloomberg) -- OpenTV Corp. shares rose 24 percent on speculation that the software company may benefit from Microsoft Corp.`s reported delays in providing interactive-TV software to AT&T Corp.
The stock rose 9.44 to 48.31 in trading of 2.32 million shares, more than six times the three-month daily average. Earlier, they rose as high as 48.69. Mountain View, California- based OpenTV is the largest U.S. maker of software for interactive TV.
Microsoft`s delay may cause AT&T, the largest U.S. cable-TV provider, to turn to other companies, such as OpenTV, the Wall Street Journal and Reuters reported yesterday. OpenTV has been in talks with AT&T and other big cable companies about possible alliances in which OpenTV`s software would be used in the cable providers` set-top boxes, OpenTV spokesman Mark Meagher said, adding that talks were ``complicated`` and nothing is imminent.
AT&T declined to comment directly on any talks with OpenTV.
``It`s fair to say we`re talking to a lot of people a lot of the time,`` said Tracy Hollingsworth, spokeswoman for AT&T Broadband, the company`s cable unit.
Microsoft spokeswoman Caroline Boren declined to comment.

Und nochwas:
AT&T wird m.E. wohl eher OPTV nehmen, denn AT&T entwickelt hauptsächlich auf Basis der Motorola DCT2000 box und die ist ausschließlich mit OPTV-Software ausgestattet (http://industry.java.sun.com/javanews/stories/story2/0,1072,…
@Nasdaqdancer.

The rumors emerged in the wake of Microsoft software delays that have scaled back AT&T Broadband`s initial plan to aggressively roll out Motorola Broadband Communications Sector-built "DCT-5000" advanced digital set-tops that run high-octane interactive-television applications.***

Microsoft confirms to wrap digital TV into Windows
LONDON, Sept 6 (Reuters) - The world`s largest software company, Microsoft Corp (NasdaqNM:MSFT - news), confirmed on Wednesday that it was weaving digital television software into the next version of the group`s flagship Windows operating system for PCs.
But Microsoft denied such a move would spell the end of the set-top box and said there would be room for both the personal computer and set-top box to deliver digital television for the foreseeable future.
``We are taking software components from the Microsoft TV platform and integrating them into the next version of Windows,`` Ed Graczyk, Microsoft TV`s marketing director, told Reuters.
``But this is not at all about giving up on set-top boxes as a delivery vehicle and they will remain the mainstream device controlling television for a long time to come.``
Microsoft launched Microsoft TV last year to develop interactive television software for set-top-boxes for digital television operators, after struggling to break into the digital entertainment market with its Windows CE operating system.
The software group, which celebrated its 25th birthday this week, plans to release ``Whistler``, the next version of its Windows personal-computer operating system, in the second half of next year.
``We`ve been working with the hardware industry on this for a long time and plan to demonstrate it for the first time at the International Broadcasting Convention (in Amsterdam) on Friday,`` Graczyk said.
While accessing television on the PC has been possible for some time, Graczyk said integration has been a problem.
``All we`ve done is take the integration software and built it in as a base functionality of Windows so that the hardware manufacturers don`t have to worry about that level of integration,`` he said.
Microsoft TV is developing software for a handful of customers in Europe and North America. But it warned last month it would not be ready for the initial roll-out of one of its key clients, Europe`s largest cable operator UPC (NasdaqNM:UPCOY - news).
Graczyk reiterated that Microsoft TV was confident it could meet the deadline for the second phase of UPC`s roll-out in the first quarter next year.
But in the meantime, UPC has said it will test software from Microsoft`s competitors Open TV , Liberate (NasdaqNM:LBRT - news) and proprietary software developed by AtHome Corporation (NasdaqNM:ATHM - news).

LBRT MSFT OPTV

The reason I think Liberate is a strong candidate for AT+T is as follows. Firstly due to FCC regulations all the cable companies must deploy digital solutions by 2007. This leaves only 7 years to visit every home under your care the scale of this problem is huge. If you had 1000 vans and they each did 4 houses a day and worked 250 days a year that is still only 7 million homes past. Also production rates from MOT / GI are a factor. Why this is important is that AT+T thought that this year they would have a DCT 5000 solution ready to go but since it will be delayed and they have to keep deploying on schedual they will end up with a lot more DCT 2000 boxes. The MSFT operating system does not have a hope of running on these 12 mz, 8 meg ram machines. But now a significant number of AT+T homes passed will have DCT 2000 boxes for the next 7 years. Thus a middleware must be selected. OPTV and LBRT both have solutions but since LBRT is an HTML based solution and MSFT will be an HTML solution it seems to me that LBRT is the stronger candidate. I will say that the OPTV solution is technicaly far superior.

Confusion Over Microsoft TV
By Betsy Schiffman
There`s no fire, but there`s a whole lot of smoke around Microsoft TV. Or is it just hot air?
Yesterday, reports that Redmond, Wash.-based Microsoft (Nasdaq: MSFT - news) would be embedding Microsoft TV in the next version of its Windows operating system, dubbed Whistler, created quite a stir--a stir of confusion.
Microsoft will be demonstrating the feature during the International Broadcasting Convention, beginning in Amsterdam on Friday. Most industry experts agreed that the news was insignificant apart from the fact that it was one of Microsoft`s more embarrassing attempts to divert attention from a delayed Microsoft TV rollout.
``The idea that you can use your personal computer to watch television is totally irrelevant,`` says Boston-based Forrester Research analyst Josh Bernoff. ``This is a troubling and desperate diversion.``
Microsoft TV is the software platform used to deliver Weblike content and interactive services through satellite or cable television. It competes with offerings from players such as Mountain View, Calif.-based Open TV (Nasdaq: OPTV - news) and San Carlos, Calif.-based Liberate Technologies (Nasdaq: LBRT - news). Microsoft TV differs from Web TV (also owned by Microsoft) in that Web TV is an Internet service provider. Working in the same space, Liberate has been a market darling, in part because of its relationship with America Online (NYSE: AOL - news).
Among other things, the inclusion of Microsoft TV on the PC operating system would allow consumers to use their PCs to access Microsoft TV content.
Microsoft TV Director of Marketing Ed Graczyk denies there is any truth to accusations that the news was timed to distract investors from more damaging issues.
``This is not a non-event, although it`s not for mainstream audiences; it`s a special feature for a unique audience that wants networked devices in their homes,`` Graczyk says. ``And as for the timing of the news, we`ve been putting this show together for months. The fact that this news is out now has nothing to do with rumblings about a delay in the Microsoft TV rollout. It`s purely driven by the fact that the show is taking place this week.``
But that doesn`t satisfy industry analysts. Amsterdam-based cable operator UPC (Nasdaq: UPCOY - news) is said to be one of Microsoft`s most important and least satisfied customers. The company is planning to roll out its interactive television set-top boxes at the end of September, but Microsoft TV won`t be loaded on the boxes.
Delays in Microsoft TV delivery will force the company to roll the set-top boxes out with an interim software solution until it finds an agreeable (and timely) partner, says UPC spokesman Bert Holtkamp. But some experts say it would be a major political move if UPC dropped Microsoft, considering Microsoft owns an 8% stake in UPC.
``You can`t underestimate the value of time to market,`` says Boston-based Yankee Group analyst Jim Penhune. ``If your competition is rolling out its services now, you can ill afford to wait around for your provider to catch up.``
Holtkamp says UPC`s interim solution includes staid features such as program guides and basic cable, but the company expects to offer enhanced interactive services by the end of the first quarter 2001.
``We will need to offer more interactivity by the end of the first quarter next year, and right now it looks like Liberate`s the one who will help us do that. Microsoft can still join the team, but they need to deliver,`` Holtkamp says.
Jupiter Communications predicts the interactive television market will generate $9.9 billion (=Milliarden) in new revenue by 2004. That`s not a market Microsoft will want to be excluded.

Company Q & A Page 3
OpenTV says that its technology is “open” and “flexible.” What does that mean for
network operators?
Actually, the beauty of OpenTV as the enabling software is that the programs in the U.S. will be
created and developed for U.S. audiences. OpenTV does not utilize cookie-cutter programs. In fact,
each cable or satellite dish operator will be able to tailor the look and feel of their enhanced
programming to suit their audience and revenue needs.
TV operators want to be first-in-market with revenue-generating services in order to be competitive
and profitable. The OpenTV software solution is licensed to more than 20 digital receiver
manufacturers and more than 100 independent developers and content and service providers, five
conditional access systems and seven different chip-set manufacturers worldwide. Digital TV
operators using OpenTV’ s software have more freedom when choosing which vendors to use for the
deployment of digital broadcast technology for their television network. The openness, platform-independence
and flexibility of OpenTV software also allow TV operators to easily customize and
differentiate their interactive TV systems from their competitors.
What will be the key to a successful, widespread introduction of interactive television in
the United States?
First, compelling content will attract viewers and generate revenue for operators. Second, better
picture quality and high-fidelity audio. Third, the digital platform’ s broadband capability enables
service providers to offer new, lucrative services that will provide convenience and control for
consumers. In the United States, standards bodies are working to adopt mandated guidelines that will
spur the development of new consumer electronic devices for digital television.
OpenTV and WebTV have both announced deals with EchoStar. What is the situation?
In early 2000, EchoStar will be the first satellite company to provide interactive television services in
the United States using OpenTV software. OpenTV’ s operating system will be in the vast majority of
new digital receivers being deployed. WebTV (DISH Player) is offered as a supplemental technology
for an additional cost. OpenTV’ s platform will be used for all interactive services and electronic
commerce, including, but not limited to, the electronic program guide, weather reporting services, and
billing and pay-per-view transactions. The OpenTV software is also scalable and can provide
additional services, such as home banking, gaming and e-mail when EchoStar is ready to launch
those applications. A new digital receiver will not be necessary to add services; EchoStar can deploy
new OpenTV services instantly with a flash download to all customers. Consumers who wish to surf
the Internet, using a keyboard, can purchase an additional WebTV box. An ISP fee, in addition to the
monthly programming fee, will be necessary to operate WebTV.
Why would a network operator choose OpenTV over any other competitor?
OpenTV is the enabling technology behind digital enhanced television.
Only OpenTV offers:
· Scalability to take advantage of the network infrastructure already in place;
¨ OpenTV’ s Runtime Set-top Box Software and HPK products provide operators with the option
to choose from over 20 set-top box vendors and allow manufacturers choice across the
spectrum of hardware suppliers;
· Flexibility of technology, integration services and content;
Company Q & A Page 4
¨ Because of OpenTV’ s openness and flexibility, its customers are not forced to rely on one
vendor for a complete, vertically integrated solution;
· Cost-effectiveness in designing the perfect end-to-end solution;
¨ Interoperability with existing equipment;
¨ Options in selecting new infrastructure;
¨ Scalability as user bases grow;
· Unbundled applications allowing the network operator complete control of its interactive offerings;
· Network launch experience, resulting in quicker-to-market response
· Easy upgrades;
· Run-time designed with the smallest overhead in mind to effectively run on the smallest hardware
architecture possible;
· An open platform with freely licensed technology;
· Content expressly made for television;
· The remote control as the control device for the pop-up choices on the TV screen;
· Enhanced content to keep viewers at the television; and
· The enabling technology that is setting the benchmark for today’ s applications and leading the
industry to the next level;
¨ OpenTV’ s APIs have been published and supported for years and is active in development of
the current standards in the interactive broadcast industry.
Is this the next step toward the Internet and the TV converging?
OpenTV believes that there are certain types of content and data on the Internet that can enhance
the viewing experience. However, the television medium does not readily lend itself to navigating the
Internet as it is designed today, nor does it fulfill the need articulated by consumers for a readable,
intuitive presentation that relates directly and effortlessly to the viewing experience. Lastly, this
business model does not motivate the creative community to invest in an interactive television system
because the opportunities for advertising and commerce are not clear.
The system that OpenTV proposes is an enhanced viewing experience that provides Internet and e-mail
access that is designed for television. The navigation is simpler; it is executed through a familiar
remote control and does not require a keyboard. OpenTV’ s approach to electronic commerce also
provides dramatically improved advertising opportunities that make purchasing easier and faster for
the consumer, using only a personal identification code. We believe that this requires a focus on
standard data types which can then be presented in various media interfaces – TV, Web, PC, ATM,
cell phones, etc.
How do you make broadcast television interactive and create demand for it?
OpenTV identifies television as the “killer application.” The interactive dimension is about creating
entertaining, new elements for live television programs or inspiring new television services that quickly
become indispensable. These new interactive applications allow viewers to shop or order information
using the touch buttons on their TV remote controls.
OpenTV’ s interactive platform enables viewers to interact through a digital receiver. The interactive
application can be broadcast to all TV viewers through a particular channel. OpenTV’ s platform
provides broadcast-quality interactive television that improves the way people use television. ByCompany Q & A Page 5
offering a range of interactive services, OpenTV invites people to interact with their television in a
manner that is both entertaining and that adds value to their daily lives.
How strong is OpenTV’ s commitment to DVB solutions? Is OpenTV ready to make public all
necessary information to allow third parties to define their own OpenTV solutions?
OpenTV believes that an open platform will be the foundation for the success of the interactive
television industry. OpenTV has demonstrated its strong expertise in the field of interactive TV and a
willingness to share its knowledge within the DVB process. By endorsing the Java solution and
offering to disclose its own proprietary information, indeed by traditionally publishing its APIs, OpenTV
has shown its commitment to open platforms and standards.
Why has OpenTV been successful and other interactive television ventures been limited to
experiments?
In the past, attempts at interactive television were hampered by expensive hardware and software
coupled with small test pools that couldn’ t provide a return on the investment. OpenTV’ s software is
stable and available now. Its open architecture is an economical and flexible solution for television
operators. OpenTV believes the interactive television industry’ s success hinges upon a single,
universal standard, which is why OpenTV uses the worldwide standards of Digital Video Broadcast
(DVB). DVB also parallels OpenTV’ s belief that interactive television applications should co-exist
with movies, sports and music at a level of quality that consumers have come to expect when
watching television. Additionally, OpenTV believes that no one knows users better than the network
serving them. Previous interactive solutions have not provided the combination of cost-effectiveness
and flexibility to allow networks to tailor their efforts to the customers over time as their needs and
desires have changed.

Sky Heralds Revolutionary Integrated Digibox and Personal Television Recorder; New Product to Launch in Q1 2001
--------------------------------------------------------------------------------
Story Filed: Thursday, September 07, 2000 4:50 AM EST
LONDON, Sep 7, 2000 (BUSINESS WIRE) -- British Sky Broadcasting (NYSE: BSY) today announced that Europe`s first integrated Personal Television Recorder - which will combine an enhanced digital satellite set-top decoder with a 40 gigabyte advanced hard-disk recording facility - would go on sale to the general public in the UK in Q1 2001.
The announcement of the new product and its specifications were made to coincide with the start of the annual International Broadcasting Convention being held in Amsterdam.
Sky`s integrated Personal Television Recorder will allow for the recording of up to 40 hours of programming - in the original digital quality - and will enable viewers to:
- Pause live digital satellite television broadcasts - viewers will
no longer miss crucial moments when they are interrupted in the
middle of a programme
- Record current and future programmes for later viewing at the
touch of a button - no need to set the clock or search for a
spare videotape
- Automatically record every episode of a series - viewers will
never miss their favourite programmes again
- Control all recorded programmes just like a VCR (pause, rewind,
fast-forward)
In another first, Sky`s integrated Personal Television Recorder will include two digital satellite tuners, meaning that digital satellite television viewers in the UK will be able to watch one live digital programme (or a previously recorded digital programme) while simultaneously recording another for viewing at a convenient time.
The recorder will utilise an extended version of SkyGuide, the electronic programme guide currently in use in 3.8 million Sky digital homes, allowing viewers to record programmes across the next seven days at the touch of a single button. In addition, the fully integrated system means that the all the functionality is incorporated in one single set-top box, using a single remote control.
Unlike other recording devices, Sky has chosen a technology that will record the original encrypted digital signal, ensuring both the quality of the digital recording and the security of the system.
"The first truly 21st century home entertainment product"
Sky`s Chief Executive Tony Ball said:
"Sky`s integrated Personal Television Recorder is the first truly 21st century home entertainment product. It gives viewers greater power to choose what they want to watch when they want to watch it.
"Sky was the first to launch digital television in the UK; the first to introduce interactive services; the first to let viewers shape how they watch programmes with enhanced channels such as Sky Sports Extra and services such as Sky News Active. Yet again we`re leading the way and clearly positioning Sky digital as the leading multichannel platform in the UK."
Technology partners
Sky`s integrated Personal Television Recorder is the culmination of two years` development work by Sky and its technology partners NDS, NEC, Open TV and Pace Micro Technology.
The unit incorporates NDS`s XTV(TM) technology, which enables personalised TV services as well as encrypted recording of all content to be stored on the hard disk, ensuring that decryption of that content remains under the control of the NDS conditional access system.
OpenTV has developed a new multi-pipeline operating system for the device that includes extensions for the hard disk functionality and control of twin digital satellite tuners.
The recording functionality has been integrated into a Sky digibox using hard disk interface and indexing hardware developed by NEC, and the NEC `EMMA` single chip set-top box solution.
The hard disk drive and dual tuner integration has been completed by Pace, which will also manufacture the integrated Personal Television Recorder.
Dr Abe Peled, President and CEO of NDS Group plc, said: "The new XTV(TM) enabled device provides Sky digital viewers with the world`s most advanced Personal TV experience. Once again NDS and Sky are at the forefront of providing UK television viewers with powerful yet easy to use cutting edge technology. I look forward to working with Sky digital to ensure that consumers obtain a more fulfilling experience through combining a hard drive with the digital set-top box."
Jan Steenkamp, CEO, OpenTV, said: "Enabling personalised television and providing viewers with choice remains a core focus for OpenTV. OpenTV`s new advanced middleware solution establishes the engine and foundation of this exciting new capability. The UK represents the world`s most advanced digital TV market (source: Strategy Analytics) and we will continue to drive this market and others forward, further establishing Sky and OpenTV as market leaders for advanced digital TV deployments."
According to Malcolm Miller, Pace`s Chief Executive Officer: "Sky digital is continuing to drive the revolution of digital TV in the UK, by launching new interactive services and features. With its new integrated Personal Television Recorder, Sky digital will create the concept of personalised television in the UK, providing viewers with new, easy-to-use features which they have never had before. We are delighted that Sky digital will be the world`s first broadcaster to launch Pace`s hard disk range of digital set-top boxes."
NEC Managing Director Tetsuya Hikino commented: "We are delighted to have been working with Sky on this innovative product. Sky has demonstrated once again, its pioneering approach by being first to market with an enhanced digital service. Research shows that Personal Television Recorders will greatly enhance the consumer viewing experience, and Sky has the capability to maximise the potential of such a service. This development program has been extremely exciting and challenging for all involved, and NEC is pleased to be playing a key role in the project`s success by bringing its systems and silicon expertise to the party."
Three hardware choices
Mr Ball said that the introduction of the integrated Personal Television Recorder would complement Sky`s existing offer of a free digibox and the forthcoming launch in the UK of TiVo`s standalone Personal Television Recorder.
"By extending the range of hardware we offer to UK consumers, Sky is broadening customer choice. Through the introduction of the standalone TiVo Personal Television Recorder, and soon afterwards, the Sky integrated Personal Television Recorder, all UK TV homes can choose to access these great new features. The TiVo Recorder will work whether the viewer receives their television through terrestrial, cable, or digital satellite, while Sky`s integrated Personal Television Recorder will offer additional enhanced functionality specifically for digital satellite homes."
The branding and price to consumers of Sky`s integrated Personal Television Recorder, an unsubsidised premium product, will be announced in the lead up to the consumer launch.

Liberate and OpenTV may fence in Microsoft
By Lisa Meyer
Redherring.com, September 07, 2000
Using its brand name and checkbook to squeeze into the interactive TV market, Microsoft (Nasdaq: MSFT) is quickly discovering an old business adage: if you don`t show up at the right time to deliver, you don`t have any rights anymore.
Microsoft has invested billions of dollars in cable companies in an effort to buy market share for its software to power set-top boxes, which will enable interactive services such as electronic program guides, email, e-commerce, and video-on-demand. But the software giant has yet to produce the product. As a result, Microsoft is late in fulfilling pacts with such high-profile companies as AT & T (NYSE: T) and United Pan-Europe Communications (Nasdaq: UPCOY), Europe`s largest cable operator.
AT & T agreed to let Microsoft supply the software for 7.5 million of its 10 million planned interactive TV set-top boxes last year. But Microsoft, which invested $5 million in AT & T and has an 8 percent ownership stake in UPC, is rapidly losing its leverage. Both AT & T and UPC -- which intends to install 30,000 digital TV set-top boxes by the end of the year -- have recently said they will consider other software makers.
In the wake of Microsoft`s deadline defaults, two of its competitors, OpenTV (Nasdaq: OPTV) and Liberate Technologies (Nasdaq: LBRT), have seen their stocks spike recently. Since UPC said last month that it would consider other interactive TV software, OpenTV has gained 13 percent and Liberate has skyrocketed nearly 90 percent. The stocks are still well below their 52-week highs but have been benefiting from Microsoft`s delays.
"There is increasing competition and pressure on cable companies to enter the interactive TV market," says David Lee Smith, analyst at Dain Rauscher Wessels. "These companies can`t just go with people who wrote them a check and are behind the curve in product development."
Tracy Hollingsworth, director of external communications for AT & T, says that Microsoft`s delay in delivering a product did not force the company to search for replacements. "We will always have an open platform to spur innovation," Ms. Hollingsworth says. "Talking to other vendors is something that we`ve always intended to do and have been doing."
BEYOND THE IDEA STAGE
Interactive TV software stocks fell during April`s tech sell-off. But tech distaste wasn`t the only culprit. Skepticism over whether interactive TV would be delivered in a reasonable period of time also contributed to the sector`s valuation correction. However, many analysts agree that the time for deployment has come. Jupiter Communications forecasts that 15.3 million homes in the United States will have broadband access by 2003.
And in a sense, companies like Liberate and OpenTV can thank Microsoft for this. The pseudo-presence of a big gun in the market has validated the market, while at the same time leaving it open for Microsoft`s competitors to gobble up the deals.
"By not having deployable technology, Microsoft is giving Liberate Technologies and OpenTV chances to win business," says Eugene Munster, analyst at U.S. Bancorp Piper Jaffray.
Indeed, Liberate Technologies inked two deals in the past week. Cablevision (NYSE: CVC) will use Liberate`s software in approximately 200,000 Boston-area homes, and Bellsouth (NYSE: BLS) has selected the software company`s platform to deliver interactive TV to its satellite customers in the southeastern United States.
And the recent deals don`t stop there. Liberate`s agreement with Adforce, a company majority-owned by CMGI and an online provider of ad management and delivery services, allows the software company`s clients to deliver advertising. In a program called Pop TV, several broadcast, Internet, and content-related technology companies such as Fox, The Weather Channel, and PBS will channel content through Liberate`s software. Liberate has even expanded into the wireless sector with its investment of $3 million in Everypath, an application service provider (ASP) that enables delivery of Web offerings to non-PC devices, such as phones and personal digital assistants.
But according to First Call/Thomson Financial, Liberate is not expected to continue losing money for the next two years, while competitor OpenTV is estimated to earn its first profit in the fourth quarter of 2001. OpenTV has deployed its software in 9.3 million homes, many of which are abroad, and has inked deals with major cable television networks and satellite TV broadcasters in Israel, Turkey, Australia, and Scandinavia. To provide its customers with content, OpenTV has made alliances with Lagardere, the international media giant and parent company of consumer magazine publisher Hachette Filipacchi Medias, and Visiware, an interactive TV game company.
BIG GUN STILL LOADED
Despite its tardiness, Microsoft is still in the game. The computer heavyweight is expected to announce later this week that it will include digital TV technology in its new operating system, due for release in the second half of next year.
Some analysts regard such an announcement as a way to stall, keeping prospective partners from looking elsewhere for interactive TV software. "Microsoft is using its brand name to try to slow up deployment with other players," says Mr. Munster. "The company can say that it is redefining its operating system, and it will have the technology ready soon. By promising the technology, some of the big players might wait to deploy and see what Microsoft has."
Indeed, a large company with an established brand name and generous checkbook does carry weight. Both give the company more opportunities to forge relationships, and that is one of the most important tools in any market, pointed out Catharine Skelly, analyst at Gruntal & Company. "Relationship power and investment capability brings a lot to the table," she says.
Tardiness may be less detrimental to a company like Microsoft than it is for a smaller player. But Microsoft`s delay in delivering interactive TV software has given Liberate Technologies and OpenTV an advantage in an increasingly competitive market that will boast only a few winners.

Kritische Sicht zu Interactive TV:
Investing in Interactive TV: Be Careful
Where You Click
You`ll find plenty of plays -- if you`re willing to hang on for a wild ride while
winners and losers get sorted out
Many investors got their first clue that interactive
television could be a big opportunity in late August,
when a crop of stocks in that sector started to surge
on positive news. Probably the biggest catalyst was
Microsoft`s problems shipping its own software for
interactive set-top boxes. That was good news for
competitors such as OpenTV (OPTV), which rose
40% the last week in August before slipping back a
bit. Another rival, Liberate Technologies (LBRT) has
continued to surge, doubling since mid-August to
around $31. It has also benefited from announcing
contract wins with BellSouth and Cablevision.
Other interactive-TV plays also jumped after
announcing their own deals. Wink Communications
(WINK), which provides technology that allows
viewers to respond to programming and ads, rose
30% in late August, partly on excitement about its
plans to provide real-time scores from the U.S.
Open tennis tournament. ACTV (IATV), which has
technology that allows broadcasters to synchronize
their Web sites with TV programs, is up 40% since
late August. And WorldGate Communications
(WGAT), which enables cable companies to offer
Internet access over the TV, jumped 16% on an
analyst upgrade on Sept 1.
But before you jump, keep this in mind: These are all
money-losing companies with tiny revenues, and
they`re still struggling to implement their fledgling technologies. For all the
market`s recent euphoria, many are still trading at fractions of the prices they
reached earlier this year, before they were caught in the tech downdraft.
GUESSWORK. Oh, you can find plays here, all right. Interactive TV will
undoubtedly enrich a great many investors as these technologies reach into the
900 million homes worldwide with TV sets, generating an estimated $20 billion
in revenues by 2004. "But that doesn`t mean that every interactive-television
company is going to be successful," warns John Corcoran, digital new media
analyst at CIBC Oppenheimer.
Not only might it take years for the ITV rollout to generate real profits for the
companies involved but to invest in one of these stocks now is to make a bet
on which technology or business model will win out. Investors need look no
further than the current Internet stock shakeout to see the risk. Momentum
players may have plenty of trading opportunities, but most analysts see picking
a winner in interactive-TV software and services as guesswork at this point.
"We`re headed for three years of deals before this gets sorted out," says
Sanford Bernstein media analyst Tom Wolzien at an ITV conference hosted by
research firm Myers Reports last July. "I do think it is too early," agrees Pat
O`Neil, manager of the Loring Hedge Fund. Even if you pick right, it may take
years before large institutions buy in. "You could get a pop on the emotions of
the moment," he says. "But then it might not do anything for two years because
the serious money doesn`t go in until the real opportunity is nearby" -- and
revenues and earnings start to ramp up.
"CONTENT AND CREATIVITY." If you`re ready to take on the risks, one of Wall
Street`s favorite ITV pure plays now is arguably Gemstar-TV Guide
International (GMST). It has a patent on technology for an electronic program
guide that now has limited interactivity but will eventually allow users to
"channel-surf on steroids," says Corcoran, who sees it becoming users` "portal
of choice" for TV viewing, shopping, and Web surfing. Gemstar stands to profit
by advertising on the guide, taking a cut of e-commerce (or t-commerce as it`s
often called), and licensing fees. The volatile stock fell from over $100 to the
$30s in March, but it has climbed steadily back to reach the high $80s.
That stock has plenty of risk if ITV fails to take off, or another technology
supplants it. Less risky, but still likely to benefit from the trend, are media
companies that are taking steps to prepare for an interactive future. Wolzien
advises: "Invest in content and creativity," citing stocks such as Disney (parent
of ABC, which is a pioneer in providing interactivity between Web sites and
TV shows); Viacom (VIA), which is experimenting with interactivity through its
CBS, MTV, and Blockbuster units; and America Online (AOL), which is
acquiring Time Warner (TWX).
Of those, AOL stands to gain the most from growth in ITV. It`s rolling out
AOLTV, which is now a limited product but has potential once the offering is
improved to appeal to its massive customer base. AOL is also buying Time
Warner`s cable assets, which reach a potential 20% of U.S. homes.
PORTAL PLAYS. Gordon Hodge of Thomas Weisel likes USA Networks
(USAI), owner of Home Shopping Network, which he sees as a precursor to
ITV since it requires users to interact with the program via the telephone. USA
also has large stakes in Ticketmaster and Hotel Reservation Network, which
can benefit from t-commerce. Liberty Digital (LDIG), which has an assortment
of infrastructure and content companies, is another company Hodge thinks is
well positioned for ITV.
Greg Kyle, president of Pegasus Research, takes a different tack. He looks at
Internet companies that are preparing for a broadband environment as the ones
that will be best positioned when the Web and the tube converge. Yahoo!`s
(YHOO) new broadband channel "Finance Vision" is showing how video and
Web content can be integrated. "It puts Yahoo at the leading edge of the new
convergence in media technology," he says.
Likewise, he thinks Lycos (LCOS), which is merging with Spanish Internet
company Terra Networks, has a strong global ITV opportunity. Excite@home
(ATHM), which is regaining some investors confidence and has signed a deal
with Cox to provide the portal content for its interactive-TV services, is a
second Kyle favorite.
BIRDS ABOVE. Another way to invest in a sector that stands to get a slice of
ITV revenues, without betting on one technology, is to go with a satellite
company. They`ve been much swifter in rolling out interactive services than
cable companies have been, in part because they don`t need to upgrade to
digital infrastructure to implement the new services. William Kidd, an analyst
with C.E. Unterberg Towbin, recommends Hughes Electronics (GMH), which
offers DirectTV, and EchoStar Communications (DISH). Of the two, he thinks
GMH has an edge because of its cheaper valuation.
Expectations for interactive TV are just starting to fuel a new rally in the volatile
crop of stocks that are direct plays on the trend. But if you look around, you`ll
find plenty of less speculative ways to invest in TV`s future.

Microsoft lags interactive TV rivals

SAN FRANCISCO (CBS.MW) -- Although Microsoft is making hay
through its high-profile interactive TV deal with CBS, announced
Thursday, several software competitors may be quietly stealing
Microsoft`s thunder in the fledgling TV software market.
As announced, Viacom`s (VIA: news, msgs) CBS
and Microsoft`s (MSFT: news, msgs) WebTV are
teaming to offer Internet-enhanced shows over the
CBS network for the upcoming fall television
season. Microsoft is said to be paying about $20
million so it can offer its WebTV Plus and
eventually subscribers to its upcoming UltimateTV
service extra show details during broadcasts. The
interactive programming is expected to come in the
form of chat rooms and factoids during sports
broadcasts and shows, including "Survivor."
The CBS deal is the latest in a string of distribution
deals made by interactive TV companies in recent
months. Microsoft is in a race with several
companies, including OpenTV (OPTV: news,
msgs) and Liberate Technologies (LBRT: news,
msgs), to quickly build subscriber bases for their
respective technologies that hope to more closely
marry TV and Internet media.
Microsoft playing catch-up
Overall, it`s a race Microsoft seems to be losing.
Despite recent WebTV announcements, including the one with CBS,
WebTV`s growth rate has stalled. Meanwhile, the company`s upcoming
interactive TV technology for some television-set-top boxes, based on
Windows CE, has been delayed. And at least part of a blockbuster deal
the company has with AT&T (T: news, msgs) to boost its interactive TV
presence could be on the rocks as a result.
"Microsoft is adding doodads, trying to inject some more life into
WebTV," said John Corcoran, analyst with CIBC World Markets in
New York. "But if Windows CE is delayed by six months ... it leaves an
opportunity for OpenTV or Liberate to start delivering middleware
(software) for digital set-top boxes today."
Microsoft has struggled to increase subscribers to its WebTV service,
which offers Internet access via television and enhanced television
programming. The company hasn`t been able to climb much above 1
million subscribers, analysts say.
Meanwhile, technologies from OpenTV and Liberate are rapidly adding
subscribers through third parties that use the software as the brains behind
set-top boxes. OpenTV`s software is at the heart of about 9.3 million set
tops, while Liberate, a company that went public just over a year ago, has
software that controls several hundred thousand set tops.
Microsoft is late to the set-top-box game. But the company hopes to
make a comeback later this year with UltimateTV, a satellite TV service
via DirecTV. Subscribers to DirecTV can access UltimateTV via set tops
made by Sony (SNE: news, msgs), RCA and Thomson S.A (TMS: news,
msgs).
"It will be the only interactive TV service that has digital video recording
capability, so you can record interactive programming, then watch and
interact with it at any time," said Susan Watson, a spokeswoman for
Microsoft`s WebTV.
Analysts point out that while UltimateTV is a start, satellite is just one part
of the market. Microsoft is late in offering software that works with not
only satellite TV but also cable television. For that, Microsoft customers
will have to wait until sometime next year, the company says.
Wins for OpenTV and Liberate
Meanwhile, OpenTV and Liberate are chalking
up design wins in both the cable and satellite
market. Volume leader OpenTV had its software
installed on 1.5 million set-top boxes in the
second quarter. And the company is the
far-and-away leader in overseas markets. The
company inked a deal last month to provide
boxes to as many as 460,000 set tops in Israel.
In the United States, Liberate is coming on strong. It had a distribution
deal with Cablevision Systems (CVC: news, msgs) to offer services to as
many as 200,000 customers in Boston. Also, BellSouth (BLS: news,
msgs) plans to use Liberate`s software to serve as many as 14 million of
its satellite TV subscribers.
"BellSouth is a big deal; traditionally, Liberate has been dominant in the
cable marketplace," said Mitchell Kertzman, Liberate`s chief executive, in
a CBS.MarketWatch.com interview. "It indicates that we`re being
successful in crossing all network platforms." Watch the interview.
While the interactive TV market is still very young, grabbing distribution
deals early could be important, said Michael Graham, an analyst with
Robertson Stephens in San Francisco. Watch the interview.
"We`re looking for design wins now as an indicator of future market
share," Graham said. "If you get design wins now, you get service revenue
as you go and install the platforms. ... Later on you get licensing revenue."
Design wins have helped Liberate`s stock double
to $30 since mid-August, though it remains distant
from its 52-week high (see chart at right). In the
same timeframe, OpenTV`s shares have gained
more than 20 percent to $48.
Microsoft`s shares, in comparison, have remained
flat, as it`s announced relatively few distribution deals. For the most part,
it`s collecting far less interactive TV revenue than analysts initially hoped,
while customers wait for products.
The full package of interactive software, which Microsoft calls its TV
platform, will be used to fulfill contracts the company has with a number of
cable companies. That includes AT&T -- perhaps the biggest prize for the
interactive TV competitors. Microsoft has a deal in place to supply from
7.5 million to 10 million set-top boxes to AT&T.
But Microsoft`s delays have held back AT&T`s plans, analysts say.
AT&T has had to put the offering on hold till next year. It initially were
planned to offer the service this summer.
AT&T deal at risk
An additional dose of bad news for Microsoft: It doesn`t have an
exclusive deal with AT&T. That`s despite Microsoft $5 billion investment
in the phone and cable giant.
As part of its deal, Microsoft is locked in to equip 7.5 million of AT&T`s
set tops with software. The rest of AT&T`s business could be up for
grabs.
"We`re targeting mostly the big ones," said Liberate`s Kertzman.
"Companies that don`t currently have agreements with Liberate include
AT&T."

SAN FRANCISCO (CBS.MW) -- Although Microsoft is making hay
through its high-profile interactive TV deal with CBS, announced
Thursday, several software competitors may be quietly stealing
Microsoft`s thunder in the fledgling TV software market.
As announced, Viacom`s (VIA: news, msgs) CBS
and Microsoft`s (MSFT: news, msgs) WebTV are
teaming to offer Internet-enhanced shows over the
CBS network for the upcoming fall television
season. Microsoft is said to be paying about $20
million so it can offer its WebTV Plus and
eventually subscribers to its upcoming UltimateTV
service extra show details during broadcasts. The
interactive programming is expected to come in the
form of chat rooms and factoids during sports
broadcasts and shows, including "Survivor."
The CBS deal is the latest in a string of distribution
deals made by interactive TV companies in recent
months. Microsoft is in a race with several
companies, including OpenTV (OPTV: news,
msgs) and Liberate Technologies (LBRT: news,
msgs), to quickly build subscriber bases for their
respective technologies that hope to more closely
marry TV and Internet media.
Microsoft playing catch-up
Overall, it`s a race Microsoft seems to be losing.
Despite recent WebTV announcements, including the one with CBS,
WebTV`s growth rate has stalled. Meanwhile, the company`s upcoming
interactive TV technology for some television-set-top boxes, based on
Windows CE, has been delayed. And at least part of a blockbuster deal
the company has with AT&T (T: news, msgs) to boost its interactive TV
presence could be on the rocks as a result.
"Microsoft is adding doodads, trying to inject some more life into

DJ OpenTV Focus On Mkt Needs Will Beat Microsoft - CEO
By Toby Sterling
Of DOW JONES NEWSWIRES
AMSTERDAM (Dow Jones)--The chief executive of OpenTV Corp. (OPTV), a maker of software for interactive television, reckons rival products promised by Microsoft Corp. (MSFT) don`t pose a deadly threat.
In an interview with Dow Jones Newswires, Jan Steenkamp said Microsoft`s delays in bringing a product to market and the ambitious nature of its operating system are damaging its chances to supply all but the top end of the market.
"Microsoft is not delivering on its promises," Steenkamp said. "Microsoft is great at promising you the best thing for tomorrow...(but)...we believe a company that focuses on the exact needs of the market tends to be more successful."
Microsoft last week demonstrated for the first time its soon-to-be introduced operating system for television set-top boxes. Also last week, it lost at least part of a contract with European cable company United Pan-Europe Communications NV (UPCOY) when it failed to deliver software on time for the Dutch market.
OpenTV is currently the largest maker of software for interactive television, which turn televisions into computer-like communications devices, with 7.8 million systems installed on set-top boxes for satellite and cable TV.
Steenkamp said OpenTV will extend its lead in the here and now with its system: less spectacular than what Microsoft has planned, but more functional.
"Cable operators have been fixated on the higher end of the market," Steenkamp said. "The reality of the matter is that the cable industry has made massive investments in infrastructure in the last several years, and they have to begin recouping those investments immediately."
Steenkamp said millions of set-top boxes coming to market and millions more already installed won`t be able to support some of the most eye-popping interactive services under development. And he predicts that, especially with cable companies now in a cost-conscious mode, those boxes aren`t going to be replaced anytime soon.
"You have to throw away the PC model where upgrades come every year or two," he said. "Cable companies can`t afford to continually subsidize new boxes, with new chips. And consumers are only going to replace their old boxes when they replace their televisions, every seven to ten years."
He said OpenTV`s systems, which can be downloaded remotely onto set-top boxes from more than 30 manufacturers, already contain the most valuable features of interactive television, such as e-mail and teleshopping with a remote control.
"(OpenTV`s platform) is not a compromise - it`s a rich experience," he said.
He predicted that occurrences such as UPC`s defection - UPC chose a rival to both Microsoft and OpenTV, Liberate Technologies (LBRT) for its Austrian operations - will occur more often.
"Cable companies are coming around to see things our way, because it`s the only way they can see things," Steenkamp said. "If they wait for a year for Microsoft to deliver, the Internet will have jumped a year ahead in the meantime. Wait two years to get the software into people`s homes, what`s the Internet going to look like then?"
He said that with each month, the pressure on cable companies to chose a working product increases, since Microsoft`s software - even if it has the name and resources of the largest software maker behind it - is largely untested.
"The market is schizophrenic, because it`s seen too many failures already," he said. "You have to present a product that`s watertight. We have 24 successful launches behind us. Microsoft has yet to launch their first."

affiliate of News Corporation (NYSE:NWS). Following this transaction, which is subject to certain closing conditions and regulatory approvals, Motorola will own approximately 5.4% of OpenTV`s ordinary shares on a fully diluted basis. News Corp. originally obtained the shares to be sold to Motorola during OpenTV`s October 1999 pre-IPO mezzanine financing round. As previously announced by OpenTV, News Corp., had sought to register those shares in an underwritten secondary public offering. AS a result of this transaction, OpenTV`s plans for that offering have now been withdrawn.

OpenTV Hits Major Industry Milestone, Surpassing 10 Million Interactive
Television Set-Top Boxes Deployed Worldwide
MOUNTAIN VIEW, Calif., Oct 4, 2000 (BUSINESS WIRE) --
OpenTV Celebrates Achievement of More Than 10 Million STBs, Confirming
Its Global Interactive Television Leadership Position
OpenTV (Nasdaq:OPTV) (AEX:OPTV) today announced that it has reached a major
milestone for the interactive television (ITV) industry by becoming the first
and only solutions company to deploy more than 10 million set-top boxes (STBs)
worldwide.
Deployments of OpenTV`s more than 10 million STBs span all major digital
interactive platforms, including satellite, cable and terrestrial service
providers, with the potential of expanding to other digital devices in the
future. This record global STB deployment milestone cements OpenTV`s position as
the world`s leading interactive television and media solutions company.
"OpenTV`s more than 10 million digital set-top boxes deployed worldwide far
exceeds those of all of our competitors combined," said James Ackerman,
president and COO, OpenTV. "We`re the only company that regularly highlights
actual deployments, and we believe concrete deployments -- not trials, tests or
design win announcements -- is the best metric for measuring success in our
industry."
The variance on deployments between OpenTV and its primary competitors is
significant. OpenTV currently empowers more than 10 million deployed STBs
globally, with an estimated 1 million in the United States alone by the end of
2000, due primarily to OpenTV`s ongoing relationship with satellite TV provider
EchoStar.
"Service providers worldwide value OpenTV`s innovation, performance and ability
to offer complete, immediately deployable solutions," Ackerman continued.
"OpenTV is the only company that can offer the scalability of broadcasting
interactive content combined with all the benefits of Internet-based standards,
such as XML, HTML and Java. Our ability to deploy interactive television to a
mass-market audience gives our customers a powerful advantage."
OpenTV`s vast global reach heightens the potential of interactive television,
exposing new revenues for distributors and content suppliers alike. The
company`s software platform, or middleware, powers a full range of interactive
applications that can be distributed both one-way (broadcast) and two-way
(return path). In a July 2000 report, Forrester Research predicted that by 2005,
the overall interactive television market is expected to generate revenues of
more than $48.2 billion.
Ackerman concluded: "OpenTV`s commitment to delivering ITV solutions, as
evidenced by our more than 10 million worldwide deployments, distinguishes us as
the leading digital ITV solutions provider who can and does deliver. We`re proud
of our track record, and will continue to strive to set the industry standard
for deployments."
To celebrate the 10 million-plus STB deployment milestone and thank its many
customers, partners and employees, OpenTV is hosting an Open House on Tuesday,
Oct. 17 at the company`s headquarters in Mountain View. The event will feature
multiple demonstrations of interactive television applications powered by OpenTV
from around the globe. Media interested in attending OpenTV`s Open House should
contact Erin McCormack at 323/866-6040 or emccormack@mslpr.com.

TV is Bigger Than the Web - Deutsche Banc Alex. Brown`s Peter Ausnit
Initiates Coverage of the Enhanced TV Sector
NEW YORK, Oct 4, 2000 /PRNewswire via COMTEX/ -- Deutsche Banc Alex. Brown
analyst Peter Ausnit today initiated coverage of three Enhanced TV stocks.
Shares of OpenTV Corp. (Nasdaq: OPTV) ($32.25) were started with a STRONG BUY
investment rating while shares of Liberate Technologies, Inc. (Nasdaq: LBRT)
($25.31) and Liberty Digital, Inc. (Nasdaq: LDIG) ($16.06) were started with an
investment rating of BUY.
Ausnit believes that TV ultimately will be bigger than the Web as a vehicle for
selling goods to consumers. "We believe that watching TV is the primary leisure
activity worldwide and the primary driver of consumer spending," said Ausnit.
"We believe that this will not change, despite the advent of the Internet. In
fact, we expect interactive TV to marry many of the Internet`s benefits with the
reach and impact of TV, creating an even more valuable medium."
But according to Ausnit, investors have been cautious on this sector in the past
as performance has been disappointing. Now, he believes that with the approach
of advanced digital set top boxes, the infrastructure will be in place for MSOs
to layer on interactivity as a means of increasing revenue. "In our view, demand
for greater channel choice and digital TV is certain, and TV will, in the next
10 to 15 years, convert from close to 100%-analog broadcast to almost
100%-digital broadcast worldwide," said Ausnit. "We expect the Web and TV to
converge within the next five to 10 years as digital broadcasting paves the way
for interactive TV and opens a multibillion dollar potential market."
Ausnit recommends that investors own these three winners in the interactive TV
sector ahead of the news of rollouts and deployments. His 12-month price
targets, based on a discounted cash flow analysis, are $50 for OpenTV, $35 for
Liberate and $40 for Liberty Digital.

OPENTV: OpenTV files to broaden early patent to claim `one click` shopping rights; Leading interactive TV and media solutions company files for fundamental patent rights to `one click` shopping
OCT 5, 2000, M2 Communications - London -- OpenTV (NASDAQ: OPTV and AEX:
OPTV), the world`s leading interactive television and media solutions company,
announced today that it recently filed in the U.S. Patent and Trademark Office
an application to broaden the scope of one of its patents to include single
interaction `one click` shopping and set-top box storage of personal information
to facilitate television commerce.
"We believe the U.S. patent (5,819,034) clearly describes single interaction
shopping in client/server and interactive television environments," said Craig
P. Opperman, OpenTV`s recently appointed chief intellectual property officer.
OpenTV`s U.S. patent filing predates, by more than three years, the `one click`
patent Amazon.com is asserting against Barnes & Noble.com. Because of this early
filing date and the publication of the European equivalent patent application,
"Amazon could be precluded from using its patent against anyone practising what
is taught in our patent,`` explained Opperman.
"We are encouraged by this development," stated James Ackerman, OpenTV`s
president and COO. "We believe that this patent reflects the creative thinking
and technological expertise so characteristic of OpenTV." "In our view, `one
click` shopping is very useful to interactive television.
It`s so easy to place an order by simply pressing one button on the TV remote
control," continued Ackerman. "We believe that our intellectual property and our
technology provide OpenTV with a clear leadership position in the market for
interactive television commerce."

OpenTV Confirms It has Signed an Agreement With UPC to Launch
Interactive Television for Direct-To-Home Platforms in Central Europe Using
OpenTV Software
MOUNTAIN VIEW, Calif.--(BUSINESS WIRE)--Oct. 10, 2000--
First launch planned by Wizja TV in Poland will be extended to Hungary, Slovakia and the
Czech Republic
OpenTV (Nasdaq:OPTV) (AEX:OPTV), the leading worldwide provider of software that
enables digital interactive television, today confirmed that it has signed an agreement to provide
United Pan-Europe Communications (UPC) (Nasdaq:UPCOY) (AEX:UPC), the largest
broadband network provider in Europe, with software solutions to support UPC`s
Direct-To-Home satellite television service subsidiary.
Interactive television service launches are planned by UPC throughout Central Europe, initially
launching to Wizja TV subscribers in Poland, followed by Hungary, Slovakia and the Czech
Republic during 2001.
Poland is the third largest Direct-To-Home television environment in Europe with 2.2 million

the opportunity to use interactive television services to drive the development of
Direct-To-Home broadcast services across Central Europe`s rapidly changing television
market.
Using OpenTV`s highly scalable OpenStreamer(TM) applications launcher, UPC plans to
generate and uplink multiple applications across Central Europe using its UPC Broadcast

OpenTV`s interactive television platform will enable Wizja TV to launch a suite of OpenTV

or even a complete "TVPortal" for its subscribers.
"This agreement to implement OpenTV with Wizja/UPC is a natural extension of our

"Working with a market leader like UPC has provided OpenTV with what we expect to be yet
another major deployment in Europe, as we continue to work toward our ultimate goal of
building significant value for our customers, business partners and shareholders."

OpenTV and Motorola Broaden Relationship to Accelerate
Adoption of Interactive Television Worldwide
MOUNTAIN VIEW, Calif.--(BUSINESS WIRE)--Nov. 14, 2000--OpenTV (Nasdaq:OPTV - news;
AEX:OPTV), the world`s leading interactive television and media solutions company, today announced that it has entered into a
multiple-year, strategic relationship with Motorola Inc.`s Broadband Communications Sector.
The two companies have signed a series of definitive agreements dedicated to accelerating interactive television (ITV) deployments
worldwide.
OpenTV and Motorola have agreed to several business initiatives, including the formation of a new joint venture entity to assist digital
ITV deployments. The new joint venture`s services will include cable and satellite integration, testing, and development.
In addition, Motorola has named OpenTV a preferred ITV software and development partner. As part of this relationship, OpenTV
has licensed its Device Mosaic Web browser, the most widely deployed browser in the U.S. cable TV industry, for use on Motorola
digital set-top terminals. OpenTV also will port to Motorola`s model DVi-4000, an advanced DVB-compliant interactive digital set-top
targeted for the European market. Having already successfully ported to Motorola`s mass-market DCT-2000, the two companies will
work together to port OpenTV`s software to the next-generation set-top terminal, the DCT-5000+.
Also as part of their new alliance, OpenTV and Motorola will reach out to cable and satellite operators through collaborative market
efforts and by leveraging each other`s current industry relationships and networks. Specifically, Motorola has agreed to make referrals
and recommend the services of the new joint venture, when appropriate, to Independent Software Vendors (ISVs) and broadband
network operators considering interactive software deployments.
``Motorola`s commitment to OpenTV highlights our reputation as a leader in ITV that has and will continue to deliver,`` said James
Ackerman, president and COO of OpenTV. ``These agreements combine the strengths of two ITV leaders: OpenTV ported to more
than 11 million set-top terminals -- more than all of our competitors combined -- and Motorola, the leading provider of interactive
digital cable technology. There`s no better combination to accelerate the deployment of ITV worldwide.``
``We look forward to building on our current relationship with OpenTV and establishing the new joint venture to streamline the ITV
integration process for operators worldwide,`` said Dave Robinson, Sr. Vice President and General Manager of Motorola`s Digital
Network Systems business unit. ``Motorola is committed to a strong, long-term relationship with OpenTV, one that delivers leading
interactive television solutions to broadband operators and content providers.``
OpenTV Acquires CableSoft
Under a separate agreement, OpenTV announces that it has acquired the business of CableSoft Corporation in a stock for stock
transaction in exchange for 1,556,324 shares of OpenTV`s common stock. CableSoft is a leading provider of ``on-demand
information`` software solutions for broadband network operators. Motorola was one of CableSoft`s primary shareholders.
OpenTV has future plans for its new acquisition of CableSoft, which currently provides applications for advanced analog platforms
including community yellow pages and classified advertisements. Further penetrating the U.S. market, OpenTV expects to provide
local content interactive services for cable and satellite television.
OpenTV and Motorola -- New Joint Venture
OpenTV and Motorola will join their worldwide leadership, knowledge and reputation in the ITV field by establishing a new joint
venture entity that will begin offering its services at the beginning of 2001. The new entity fulfills the market demand of providing
integration and testing services for cable and satellite operators to further the rollout of digital ITV services. The services will enable
operators to integrate, test and develop software applications to different digital platforms and set-top terminals.
With more than 30,000,000 viewers in more than 50 countries, OpenTV`s leadership in the ITV industry deepens as a result of the
joint venture with Motorola. OpenTV was the first company to develop interactive television solutions, has the most experienced
experts in the digital communications arena, and is a recognized leader in Web browsing for interactive television with its recent
acquisition of Spyglass.
Motorola to Acquire Acadia Application Integration Center from OpenTV
Under a separate agreement, Motorola has elected to purchase OpenTV`s equity interest in the Acadia Application Integration
Center, taking Motorola`s ownership up to 100%. This transaction is anticipated to close in January 2001, subject to satisfaction of
certain closing conditions. Acadia assists Motorola`s Horizon Developer Program ITV companies with technical support, training,
testing, and deployment planning on the Motorola interactive digital system.
