Spire Biomedical Inc. Formed as a Separate Corporation and Declares Stock Dividend
Spire Corporation to Focus On Solar Energy
BEDFORD, Mass.--(BUSINESS WIRE)--Oct. 25, 2000--Spire Corporation (NASDAQ:SPIR - news), which provides products and services to solar energy and biomedical device markets worldwide, announced today that it has formed a wholly-owned subsidiary, ``Spire Biomedical Inc.``, and declared a dividend in the form of one share of Spire Corporation common stock for each outstanding share for stockholders of record on November 22, 2000 to be distributed on December 22, 2000.

Steps Taken as Part of Continuing Plan

Roger G. Little, President and Chairman of Spire Corporation, said, ``The incorporation of Spire Biomedical Inc. is part of our continuing plan to focus Spire Corporation on becoming a pure play in the solar energy industry. This restructuring effort began when we sold the assets of our telecommunications business late last year. Separating Spire into two autonomous, market-driven entities to increase the value of our Corporation has long been a goal. With its own identity, Spire Biomedical Inc. can more easily pursue its own strategic relationships in the biomedical device industry and acquire its own capital.``

Spire Corporation to Focus on Solar Energy

``Spire Corporation is the world`s leading supplier of the tools to manufacture photovoltaic (PV) modules. For more than twenty years, Spire has been supplying module manufacturing equipment and related technology worldwide, establishing strong relationships with more than 100 customers. Now, the PV industry is expanding rapidly due to the demand for wireless power for telecommunications and opportunities created by electric utility deregulation.``

``Spire Corporation will further capitalize on this growing market by concentrating its energy and resources on leveraging its technology, PV business development know-how and worldwide customer relationships to provide new equipment, production lines, and solar energy businesses. Spire is investing in marketing and product development to aggressively pursue its Solar Brightfield(TM) strategy.``

``Spire is offering turnkey PV module factories to the electric power industry to address new opportunities created by the need for reliable premium power, electric utility deregulation, the demand for clean energy, and the desire to revitalize utility owned brownfields. The first of these factories, Spire Solar Chicago, will produce the world`s largest PV array to convert an environmental brownfield into a Solar Brightfield(TM) with ComEd, the local utility, and the City of Chicago as partners.`` Spire Biomedical Inc. Positioned for Independence ``For more than 15 years, Spire Biomedical has been a world leader in providing surface treatment services to the medical device industry to improve the performance of implantable devices. Spurred by the aging population, demand for Spire Biomedical IonGuard® branded orthopedic surface treatments is increasing.``

``Spire Biomedical is investing in product development targeting growth segments of the orthopedic device market by offering surface treatments for bone integration of prosthetic devices and, eventually, coatings for tissue growth. Spire Biomedical is also moving toward vertical integration into medical devices by introducing surface engineered renal care catheters. The incorporation of Spire Biomedical will permit it to more rapidly exploit the opportunities before it.`` Stock Dividend Mr. Little went on to say, ``In addition to creating Spire Biomedical Inc. as a separate corporation, Spire Corporation`s Board of Directors has declared a stock dividend for stockholders of record on November 22, 2000 to be paid on December 22, 2000. The stock dividend will consist of one share of Spire common stock for every outstanding share. Included in the stock dividend pool will be 552,160 shares of Spire Corporation treasury stock.``

``Increasing Spire`s stock float will improve its liquidity making it easier for institutions and individual investors to purchase Spire stock, broadening ownership in the Company. Creating more shares will also give Spire added flexibility in possible future business actions such as acquisitions.`` ``These restructuring steps have been taken as part of our continuing plan to increase stockholder value by giving the Corporation the opportunity and flexibility to grow by exploiting its unique solar and biomedical technologies, their market positions, capital resources, and the operations that we took years to build.``

      Spire Corporation

Spire Corporation is the world`s largest supplier of photovoltaic module manufacturing equipment, turnkey production lines, and solar energy businesses with equipment in 144 customer facilities in 39 countries worldwide. Through its subsidiary, Spire Biomedical Inc., Spire Corporation is a leader in providing surface engineering treatments to orthopedic and other implantable medical devices to improve their performance in the body.

      Hallo Solaner,

:):):):):):):):):):):):):):):):):):):):)

Mein Gott, nun mal langsam!

(`and declared a dividend in the form of one share of Spire Corporation common stock for each outstanding share for stockholders of record on November 22, 2000 to be distributed on December 22, 2000.`)

      Tschau,
      Dubaro!

      Neuigkeiten von Spire:

BEDFORD, Mass.--(BUSINESS WIRE)--Nov. 14, 2000--Spire Corporation, (NASDAQ: SPIR), which provides products and services to solar and biomedical markets worldwide, today reported revenues and results of operations for the three and nine month periods ended 30 September 2000.

      Financial Results

Spire Corporation reported revenues of $2,826,000 for the quarter compared with $2,722,000 for the quarter ended 30 September 1999. Net loss for the quarter was $127,000 or $0.04 per share compared to a net loss of $862,000 or $0.27 per share for the same quarter of 1999. Revenues for the nine month period ended 30 September 2000 were $10,517,000 compared to $9,221,000 for the nine month period ended 30 September 1999. Net loss for the nine month period was $127,000 or $0.04 per share compared to a net loss of $1,570,000 or $0.48 per share for the same nine month period of 1999.

Roger G. Little, President and CEO of Spire Corporation, said, "During this quarter, we continued to transition out of our optoelectronics research and development contract activities. We solidified both our solar and biomedical commercial businesses and are now investing in the future. While sales increased a modest 4% for the quarter and 15% year-to-date compared to last year, our sales mix has changed and our cost structure has been greatly reduced. This has resulted in a significant reduction in losses compared to a year ago."

"We have begun to ship PV products out of our Spire Solar Chicago operations, installing over $300,000 in systems this quarter. We had anticipated booking approximately $400,000 in sales of PV manufacturing equipment purchased by our partner BP Solarex for our Chicago factory. However, the Company has not yet recognized any revenue, as the criteria for revenue recognition has not yet been met."

      Recent Corporate Actions

On October 25, 2000, Spire made an important corporate change that bears on the futures of both businesses. Spire announced that it formed "Spire Biomedical Inc." as a wholly-owned subsidiary and declared a dividend of one share of Spire Corporation common stock for each outstanding share.

Roger Little said, "Separating Spire into two autonomous, market-driven entities is part of our continuing plan to focus Spire as a `pure play` in the solar energy industry to increase stockholder value. It has been difficult for the financial markets to understand our Company with totally-different businesses. This focus began with the sale of our optoelectronic assets at the end of last year. Now, with its own identity, Spire Biomedical can more easily pursue its own corporate development activities, strategic partnerships, and acquire its own capital."

The dividend will be distributed on December 22, 2000, to shareholders of record on November 22, 2000. Included in the dividend are 552,160 shares of treasury stock that the Company now holds. The stock dividend increases Spire`s float to make it easier for institutions and individual investors to purchase stock.

      Spire Solar Activities

Spire Solar uses its core PV module manufacturing technology to focus on providing equipment, turnkey factories, and solar energy businesses to customers worldwide.

Mr. Little said, "The growth of our fundamental commercial business of PV equipment is consistent with market trends. However, we are investing in new product development, marketing, and building a stronger staff to take the Company to new levels of revenue generation and profitability. Investments were particularly heavy in start-up costs for our Spire Solar Chicago operations."

Spire is also investing in its core technology of PV module manufacturing equipment to maintain its position as the world leader. Spire continues to cost share on its $3 million Department of Energy equipment development contract and has begun to market new equipment developed under that program. Among other equipment orders, Spire has recently received an order from Siemens Solar for manufacturing equipment totaling about $1 million. Spire has also added new staff in equipment engineering and manufacturing.

Mr. Little further said, "Spire Solar Chicago was established with a guaranteed $8 million market from the City of Chicago and ComEd, the local utility. This market opportunity has more than doubled by leveraging the state program for PV system purchases and the announcement by ComEd that a Solar Brightfield array will be put on a local brownfield. To prepare for this growth, Spire has invested in building up engineering, marketing, and manufacturing staff in Chicago."

"We have added key marketing staff to lead Spire`s efforts to establish other "Spire Solar Chicago`s" in other cities throughout the United States by partnering with local utilities to convert environmental brownfields into Solar Brightfields. This takes advantage of new opportunities created by electric utility deregulation and the demand for clean, reliable power."

      Spire Biomedical Activities

Spire Biomedical uses its core surface and materials technologies to provide products and services for improved implantable medical devices with a focus on orthopedics.

Mr. Little said, "Spire Biomedical has been adding to its infrastructure in the form of key staff and investing in new capital equipment to increase its production capacity for our IonGuard(TM) orthopedic surface treatments because of a growing market. Spire Biomedical received ISO-9001 certification, demonstrating the Company`s commitment to provide its customers with the highest quality processing services."

"In order to achieve the growth rate that we are targeting, Spire Biomedical is investing in developing a new generation of tissue engineering surface treatments for the orthopedic market. These treatments result in bone integration of prosthetic devices and eventually may even be able to cause new tissue to grow."

      About Spire Corporation

      1. Mail:

"About the stock dividend I would like to ask you, to
explain me the exact procedure of the expenditure.
There prevail here in Germany many rumors and speculations in the internet boards, which submit possibly a wrong image of your enterprise.
I am very convinced of your company and your strategy and
would like to defend this point of view in the german internet
      boards.

For a prompt reply I would be very grateful to you.

      Best regards"

      1. Antwort:

"The stock dividend is simple. For every share that you hold on November 22 you will be given another share on December 22. You can`t lose. Don`t believe in the internet boards. Keep the faith.

      Roger "

      2. Mail:

      "Hi Roger,

I am very astonished about your prompt answer. Thank you very much.

But I have one further question:
Is the stock dividend in form of a stock split (1:1, the value of a share will be divided by 2), or is it a pure dividend paying?"

      2. Antwort:

"It is a pure dividend but like any other share, the market will determine its value.

      Roger"

Roger Little bestätigt also, daß es sich um eine Dividendenzahlung und nicht um einen Aktiensplitt mit der Halbierung des Kurses handelt.

Spire mit Großauftrag :)Spire Corporation Announces Contract for Super-Hard Orthopedic Device Coatings
BEDFORD, Mass.--(BUSINESS WIRE)--Dec. 7, 2000--Spire Corporation (NASDAQ:SPIR - news) announced today that it has received a $750,000 contract from the U.S. Department of Energy to apply super-hard, ceramic-like coatings on metal substrates to improve the performance of orthopedic devices.

More than 500,000 total hip and knee replacements are performed annually by the $2 billion U.S. orthopedic industry. These numbers are increasing due to the general aging of the population. Reducing device wear and related joint failure is an important consideration with significant medical cost consequences. Under the contract, Spire Biomedical will develop a proprietary ceramic-like coating for the metal component to reduce wear and, thereby, increase the joint lifetime.

``We are very excited about this new technology,`` said Mark Little, General Manager of Spire Biomedical. ``We have long been the leader in providing our patented IonGuard(TM) process to improve orthopedic devices. This contract reflects our commitment to constant innovation that will maintain our position in orthopedic device surface engineering.``

``In addition, Spire received Notice of Allowance for U.S. Patent Application s/n no. 09/551,424, entitled `Arthroplasty Process for Securely Anchoring Prosthesis to Bone and Arthroplasty Products.` This is an important patent that adds to our biomaterials and device intellectual property portfolio.``

Spire Biomedical is a leader in providing surface engineering treatments to orthopedic and other implantable medical devices to improve their performance in the body.

During the interview, Mr. Little updated the directions of Spire`s two distinctly different operating businesses. Spire Biomedical uses biotechnology surface engineering to improve the performance of implantable medical devices. Spire Solar is the world`s leading supplier of photovoltaic module manufacturing equipment, turnkey production lines, and solar electric energy businesses.

Both of Spire`s businesses are experiencing growth. The Biomedical business is growing due to the general aging of the population. While the Solar business is growing because of the demand for premium energy for telecommunications and clean, renewable energy stimulated by deregulation of the electric utility industry.

Mr. Little talks about Spire`s progress toward giving clear identities to each of these businesses for better understanding of Spire by the investment community.

      Press Release
Spire Corporation Announces Completion of Its Restructuring of Spire Biomedical Inc.
BEDFORD, Mass.--(BW HealthWire)--Jan. 17, 2001--Spire Corporation (NASDAQ:SPIR - news) announced today that it has completed its restructuring by formation of its wholly-owned subsidiary, Spire Biomedical Inc. (SBI). SBI is a leader in applying biotechnology surface engineering to implantable medical devices.

As a result of this restructuring, Spire now consists of two separate companies -- SBI focused on biotechnology and Spire Corporation itself focused on solar electricity. Mr. Roger Little, President and CEO of Spire Corporation, said, ``These steps were taken to increase stockholder value by clarifying Spire`s directions for the investment community, which has had difficulty assessing Spire`s true valuation due to its diverse businesses. This structure also unlocks the value of Spire`s biomedical business. Now, SBI is positioned to attract its own capital to fund its growth opportunities.``

      SBI Management Team

Along with the corporate restructuring, SBI operations have been organized to take advantage of the strengths of its management team. Mr. Mark Little is taking over as SBI`s CEO with Roger Little as President and Chairman of SBI`s board.

Roger Little stated, ``Having Mark take over the daily operations of SBI will free me to focus on long-term strategic planning for Spire Corporation. He has been performing many tasks of a CEO without the title. It is time to recognize this fact.``

      The Future

When asked to summarize the strategy and goals of SBI, Roger Little said, ``We have increased our focus on applying our core biotechnology surface engineering to products in the orthopedics and cardiovascular markets. These are the markets we have been serving for years. They will be the foundation upon which we grow. We are investing in new products to be introduced in 2001 and 2002. Near term, we are in talks with several investment bankers to raise additional capital to speed up our growth plans.``

      http://www.nasdaq.com/asp/quotes_news.asp?symbol=SPIR`&selec…

Spire Corporation Reports Fourth Quarter and Year End Results for 2000
      BEDFORD, Mass.--(BW HealthWire)--April 2, 2001--

      Highlights
      Solar Energy Revenues Rise 53%
Spire Solar Chicago Ships First Solar Energy Systems
Spire Biomedical Formed as a Wholly-Owned Subsidiary
Spire Corporation (NASDAQ: SPIR - news), a leading supplier of solar electric energy equipment and solar electric systems, today reported financial results for the fourth quarter and for the year ended December 31, 2000.

Financial Results for the Fourth Quarter

For the fourth quarter ended December 31, 2000, total revenues were $2,368,000, a decrease of 12% from the 1999 fourth quarter. Spire`s solar energy revenues for the three months ended December 31, 2000 were $937,000, compared to $914,000 for the same 1999 period. Revenues from its subsidiary, Spire Biomedical Inc., were $895,000 compared to $781,000 for the three months ended December 31, 1999. Fourth quarter revenues from the remaining optoelectronics business, whose assets were sold on December 30, 1999, decreased to $536,000 from $984,000 for the same period ended 1999.

For the fourth quarter of 2000, net loss was $674,000 or $0.10 per share, compared with an operating loss of $1,811,000 or $0.24 per share in the same year-earlier period. Net earnings for the fourth quarter of 1999, however, were $6,936,000 or $1.07 per share, reflecting a gain of $8,848,000 or $1.19 per share, on the sale of Spire`s optoelectronics assets during the quarter.

      Financial Results for the Year

For the year ended December 31, 2000, total revenues were $12,885,000, an increase of 8% from the 1999 period. Spire`s solar energy revenues for the year 2000 were $5,906,000, an increase of 53% from $3,852,000 for the prior year. Revenues from Spire Biomedical Inc. increased 17% to $4,315,000 from $3,695,000 for 1999, while revenues from the optoelectronics business decreased 39% to $2,664,000 from $4,354,000 for the prior year.

For the year ended December 31, 2000, net loss was $800,000 or $0.12 per share, compared with an operating loss of $3,380,000 or $0.52 per share for 1999. However, a gain of $8,848,000 or $1.36 per share, was recorded on the sale of Spire`s optoelectronics assets in 1999.

Commenting on the results, Roger Little, President and CEO of Spire, said ``The year 2000 was a transition year for Spire in which we focused on becoming a pure solar energy company by restructuring our biomedical business as a separate operating entity and phasing out of our optoelectronics activities. Supported by a rapidly growing demand for solar power, our solar energy business gained momentum during the year and grew 53%. This included increased sales of module manufacturing equipment to the major producers of solar electric modules and the delivery of a complete turnkey production line to BP Malaysia.``

``Also, last year, we initiated shipments of solar energy systems from our Spire Solar Chicago operation, where they are assembled and installed on schools and public buildings under long-term contracts with the City of Chicago and ComEd. We announced that we have teamed up with ComEd, the City of Chicago, and the State of Illinois to convert an environmental brownfield on Chicago`s south side into a Solar Brightfield(TM) that will consist of a 500 kW solar electric system. Over the past year, Spire and Spire Solar Chicago have invested in new personnel for marketing and sales as well as engineering and manufacturing, and this investment is currently restraining profitability. However, we anticipate that revenues from the Chicago solar systems business will expand to rival those from the equipment that we sell from our Bedford, Massachusetts facility.``

``We are optimistic that the Spire Solar Chicago model can be replicated in a number of cities across the U.S. As a result, we are pursuing a ``utility`` business strategy, whereby we will establish small factories to provide solar electric systems to utilities and municipalities for a range of distributed power applications. Under deregulation, many utilities now have strong incentives to invest in renewable sources of energy as a means of supplementing older, fossil-fuel-based generating stations. Recent events in California make the case for greater utilization of solar and other renewable energy sources more compelling. We believe that our approach of manufacturing PV systems locally will stimulate demand for solar electric power and open up new commercial and residential markets.``

``Spire Biomedical Inc., which was formed as a wholly-owned subsidiary, is aggressively pursuing new biotechnologies aimed at expanding the range of products and services it offers to the medical device industry. As a separate business unit, we believe that Spire Biomedical is now in a better position to pursue its own growth path.``

nvestor business Daily still shows the stock under heavy
accumulation. I will continue to add this stock to my portfolio in the dips. The question is how
      many dips will
there be. Generally new highs hit new highs and I do not
think that Spire is an exception to this rule. I am
sure it will continue to be accumulated and be back in the
eight dollar range in no time. If and when it moves to the double digit range I think you will see
even more institutional interest. What I love about this stock is the fact there are so few
outstanding shares !Call me the optimist but within the year I would not rule out a split
if volume and accumulation continue ! Good Luck longs !

      i will stay long too.

Denke Energiepolitisch
      liegt da noch einiges drin.

      Wie werdet ihr euch verhalten?
