      EXPLANATORY MEMORANDUM

      1. INTRODUCTION
This Explanatory Memorandum has been prepared for the information of shareholders of Global Doctor Limited (the "Company") in connection with the business to be conducted at the General Meeting to be held at Level 38, BankWest Tower, 108 St George¡¦s Terrace, Perth, Western Australia on Tuesday 12 December 2000 at 10.00 a.m.

This Explanatory Memorandum should be read in conjunction with the accompanying Notice of Meeting.

      2. RESOLUTION 1 ¡V PLACEMENT OF OPTIONS
In June 2000, pursuant shareholder approval granted on the 19th May 2000, the Company issued 15,000,000 ordinary shares at an issue price of 12 cents per share together with 15,000,000 free attaching options exercisable at 20 cents on or before 31 December 2002 on the basis of one attaching free option for every share subscribed. The shares and options were issued to clients of European fund managers.

As part of the negotiations to place the above shares and options the Company agreed, subject to approval by shareholders, to grant two additional free attaching options for each share subscribed. These additional options are to be exercisable upon payment of 10 cents each on or before 1 July 2002 and are otherwise issued on the terms and conditions set out in Annexure ¡§A¡¨ to this Explanatory Memorandum.

The Company now seeks shareholder approval to issue 30 million options on the basis of two additional free attaching options for each of the 15 million fully paid ordinary shares issued during June 2002.

The Company intends to make application to the ASX for Official Quotation of the options once the requirements of the Listing Rules have been satisfied.

The effect of shareholder approval will be that the options issued pursuant to Resolution 1 will not be counted in calculating the number of securities which the Company can issue in the future under the 15% limit imposed by the ASX Listing Rule 7.1.
      3. RESOLUTION 2 ¡V RESOLUTION TO ADOPT NEW SCHEME RULES FOR THE GLOBAL DOCTOR LIMITED EMPLOYEE INCENTIVE SCHEME
Shareholder approval is being sought to adopt new rules governing the Global Doctor Limited Employee Incentive Scheme (the ¡§Scheme¡¨).

The Global Doctor Employee Incentive Scheme (¡§the Scheme¡¨) was adopted by shareholders on 19 May 2000 and at the date of this Explanatory Memorandum no options have been issued under the Scheme.

The purpose in adopting the proposed new Scheme Rules is to ensure compliance with guidelines set out by Australian Securities and Investment Commission for relief from Pt 7.12 of the Corporations Law. Through compliance with Australian Securities and Investment Commission guidelines the Company would be granted relief from issuing a prospectus for the granting of options to employees under the Scheme Rules.

The proposed new Scheme rules differ from the present Scheme rules in the following manner.

The definition of Eligible Person in clause 1.1 of the new Scheme rules excludes contractors to the Company or Associated Companies from receiving Options under the scheme.

Clause 4.2 of the new Scheme rules more clearly specifies that the Directors may determine the Exercise Period and Exercise Price of the Options to be issued under the Scheme and that those determinations are to be made within the Scheme Rules.

Clause 4.3(c) of the new Scheme rules is worded to more clearly set out conditions that must be included in any Offer of options made under the Scheme.

Other minor differences exist between the new Scheme rules and the existing Scheme Rules. These differences are intended to render the new Scheme Rules more precise or easier to read than the existing Scheme Rules.

The amended Rules of the Scheme are presented in Annexure ¡§B¡¨.

      4. RESOLUTION 3 ¡V PLACEMENT OF SHARES AND OPTIONS
On the 2nd November 2000 the Company issued 20,053,524 fully paid ordinary shares at an issue price of 6.5 cents per share together with 10,026,762 free attaching options exercisable at 10 cents on or before 1st July 2002 on the basis of one attaching free option for every two shares subscribed. The Company intends to issue a further 8,946,476 fully paid ordinary shares and 4,473,238 options on the same terms and conditions as the above mentioned shares and options prior to the date of the meeting.

The 20,053,524 shares and 10,026,762 options were issued to clients of the stockbroking firm DJ Carmichael Pty Limited. The further shares and options will also be issued to clients of DJ Carmichael Pty Limited. Funds raised from the issue are to be used for the development of the Company¡¦s medical communication business and working capital. Shares issued rank equally in all respects with existing ordinary shares. The options were and will be issued on the terms and conditions as set out in Appendix ¡§A¡¨ to this Explanatory Memorandum.

The Company intends to make application to the ASX for Official Quotation of the options once the requirements of the Listing Rules have been satisfied.

These securities were issued within the 15% annual limit permitted under Listing Rule 7.1 without shareholder approval. The effect of shareholders passing Resolution 3 will be to restore the Company¡¦s ability to issue securities within that limit, to the extent of the 29,000,000 shares and 14,500,000 options issued.

      ANNEXURE A

The terms and conditions of the options the subject of resolutions 1 and 3 are as follows:

      1. Each Option entitles the holder to subscribe for and be allotted one fully paid ordinary share in the capital of the Company ("Share") at an issue price of 10 cents.
      2. The Options are exercisable at any time prior to 5.00pm WST on 1 July 2002 (¡§the Expiry Date¡¨) by notice in writing to the Directors accompanied by payment of the exercise price.
      3. The Options are transferable and application will be made to ASX for Official Quotation of the Options.
      4. Shares allotted and issued pursuant to the exercise of an Option will be allotted and issued not more than ten (10) business days after receipt of a properly executed notice of exercise of the Option and payment of the requisite application moneys.
      5. Shares issued upon exercise of the Options will rank equally in all respects with the Company¡¦s then existing ordinary fully paid shares. The Company will apply for official quotation by ASX of all Shares issued upon exercise of the Options within three (3) business days after the date of issue or allotment of such Shares.
      6. There are no participating rights or entitlements inherent in the Options and holders will not be entitled to participate in new issues of capital offered or made to shareholders during the currency of the Options. However, the Company will ensure that for the purposes of determining entitlements to any such issue, the books closing date will be at least ten (10) business days after the issue is announced. This will give optionholders the opportunity to exercise their Options prior to the date for determining entitlements to participate in any such issue.
      7. In the event of any new or bonus issues, there are no rights to a change in exercise price, or a change in the number of underlying securities over which the Options can be exercised.
      8. In the event of any reorganisation of the issued capital of the Company on or prior to the Expiry Date, the rights of an option holder will be changed to the extent necessary to comply with the applicable ASX Listing Rules at the time of the reorganisation.
      9. The Company will, at least twenty (20) business days before the expiry date of the Options, send notices to the optionholders stating the name of the optionholder, the number of Options held and the number of securities to be issued on exercise of the Options, the exercise price, the due date for payment and the consequences of non-payment.

      then any unexercised Options lapse on the day the Participant ceases to be employed;
      (b) if a Holder dies, the Options form part of the estate of the Holder and may be transferred in accordance with the terms of such estate but otherwise are held on the terms and conditions of their issue;
      (c) if a Holder becomes permanently incapacitated or unfit for full time work and for that reason ceases employment the Options do not lapse on the cessation of employment but continue to be held on the terms and conditions of their issue; and
      (d) no notice of the lapse of an Option (for any reason) need be given by the Company.

9.3 If a Takeover Offer is made and either:

      (a) the offeror is at the time of making a takeover offer or takeover announcement then entitled to more than 50% of the voting shares of the Company; or
      (b) if sub-clause (a) does not apply, the offeror becomes entitled to more than 50% of the voting shares of the Company,
then the Directors must give written notice to the Holders and immediately thereafter each Holder is entitled to exercise his Options at any time within 30 days of such notice.

      10. EXERCISE OF OPTIONS

10.1 Options must be exercised by the Holder completing and lodging the Exercise Notice, together with the relevant Option certificate and payment of the Exercise Price for each Option exercised, in the form of a cheque in Australian currency drawn on an Australian trading bank in favour of the Company, at the registered office of the Company before 5.00 pm on the Expiry Date or 5.00 pm on an earlier Business Day during the Exercise Period.
10.2 Upon allotment to the Participant of the Shares specified in the relevant Exercise Notice, the Company must note on the copy of the Option certificate held by the Company, and the Register the number of Options exercised by the Participant and the number of Options, if any, outstanding. The information contained on such copy or Register is conclusive evidence of the matters recorded therein.

      11. TIME FOR ISSUE AND ALLOTMENT

11.1 The Company must allot to the Holder within 5 Business Days of the receipt of an Exercise Notice and payment of the Exercise Price for each Option exercised, the number of Shares that corresponds with the number of Options exercised, and issue a Share certificate therefor.

11.2 Any Shares allotted pursuant to an Exercise Notice rank pari passu in all respects with the Shares of the Company on issue at the date of the allotment of such Shares.
      12. ADMINISTRATION

12.1 The Option Plan is administered by the Directors who have the power to:

      (b) resolve conclusively all questions of fact or interpretation in connection with the Option Plan;
      (c) recommend for approval by the shareholders any amendments or additions to the terms and conditions of the Option Plan; and
      (d) delegate to the committee of the Board or any one or more persons for such period and on such conditions as they may determine the exercise of any of their powers or discretions arising under the Option Plan, including this Rule 12.

12.2 The costs of administration of the Option Plan must be borne by the Company.

12.3 The Directors will, at least every 3 years from date of the Option Plan, submit the Option Plan to a general meeting of shareholders of the Company to approve its continued operation.

      13. POWER TO VARY RULES

13.1 The Directors, subject to obtaining any necessary prior approval of shareholders in accordance with the Listing Rules, may at any time and from time to time by supplemental document revoke, alter, add to, or vary (in this Rule 13 called a ¡§Change¡¨), all or any of the Rules and may by the same or any other document declare any new or other Rules concerning the granting of Options to Participants.

      13.2 Any Change must:

      (a) relate to the granting of Options, or the Company¡¦s, or the Directors¡¦ powers or discretions; and
      (b) not affect a Participant¡¦s entitlement in respect of any Option or any rights or restrictions in relation to such an Option which arose before the date of Change, unless prior written consent is obtained from each affected Participant.

13.3 The Rules cannot be changed, otherwise than as provided in this Rule 13, or the Listing Rules.

13.4 Any Change requiring the sanction of shareholders must be made by resolution approved by shareholders at a general meeting where the notice convening the meeting contains or is accompanied by an adequate summary of the existing Rules and an explanation of the proposed alteration.

      14. TERMINATION OF PLAN
The Plan may at any time be terminated or suspended by the Board of Directors but such termination or suspension does not affect the rights of Holders of Options issued prior to termination or suspension.

      15. RIGHTS OF EMPLOYEES

This Plan does not form part of any contract of employment between the Company or any Associated Company and any Eligible Person and does not confer directly or indirectly on an Eligible Person any legal or equitable rights whatsoever (other than rights as a participant under the Option Plan) against the Company.

      16. GOVERNING LAW
