      Interview vom 18.08.2000/ R.Jackson

      Good morning.

The past two weeks have seen a number of rather dramatic events. Before addressing some of these individual items, though, I
would like to take a minute to climb upon a soap box. Your indulgence is, of course, appreciated. Given the decline in stock price
since late March, it is understandable that shareholders would be upset. As a shareholder myself, I am disappointed. At the same
time, our shareholders have requested, as a group, greater access to information and clarification from the company. These
sessions are a direct result of that mandate. I feel it is important for everyone to approach these sessions with the proper attitude.
If a participant expects to be disappointed, they will be disappointed; if a participant expects evasive answers, they will receive
evasive answers. This is not a matter of fact, it is a matter of one’s attitude. Let’s make an effort to make these sessions as
      productive as possible.

As you know, we announced our consolidated results for Q2 on Monday. The announcement of last Friday that Intellesale would
take one-time charges obviously impacted our consolidated numbers. We determined that we would take the one-time charges of
an adequate magnitude to minimize the likelihood of future restatements and additional charges or write downs in this issue.
Since the issues at hand are still the subjects of litigation, it is inappropriate to speak in specifics. What I will say, though is this: if
you make a bad deal, you take your lumps and move on. If, on the other hand, you are defrauded, relying upon, among other
things, a certified audit from a nationally recognized firm, and dealing with issues that are so well buried that it takes a forensic
auditor to uncover them, it is another thing altogether. Taking the one-time charges was an extremely difficult decision to come to.
However it is one which is very much in our collective best interest as shareholders of ADSX. If we receive some relief through
litigation down the road, so be it. If not, we have put the issue behind us. As Marc Sherman indicated, Prudential can now renew
efforts to identify for the possible options regarding Intellesale’s future.

The vote on the DFCO merger with Digital Angel is currently scheduled for one week from today. Our efforts to secure the vote
still appear to be battling apathy rather than opposition. Support for the merger from those who have voted remains overwhelming.
Regrettably, as indicated before, we need a majority of issued and outstanding shares to vote in favor of the merger, not just a
majority of those voting. If you have not yet voted, new materials will be reaching your house within the next few days. If you have
any specific questions regarding this merger, please feel free to contact me.

DFCO is an important merger for us, no doubt. From a technology standpoint, however, Digital Angel is already demonstrable.
DFCO provides a number of positive elements that we have discussed ad nausium, but a failed vote would not be the end of the
      Digital Angel.

Last time we spoke briefly about institutional holdings in our stock. With the majority of the reports in, and based solely upon it
SEC filings, it appears that we lost roughly 500,000 shares, some as a result of the arbitrage, some flat out selling by institutions
with high turnover rates. However, my shareholder list as of June 26 includes an institutional holder with 600,000 shares. If they
have simply filed late, it would mean that despite the poor market conditions we managed to increase the institutional holdings.
One final note, I am pleased that I was able to shed some light on the ADSX/DFCO arbitrage during our last session. The
feedback I have received since then via email and on the phone lets me know that the majority of our shareholders did not realize
the extent of what was happening. This was furthered by a conversation with a trader on the arb desk at a major house who
indicated that he was getting an unheard number of inquiries for a deal of this size. I was hoping to have updated short interest
number as of 8/15 for today’s session but the have not yet been posted.

One final note, as always, please excuse any typos that occur as I attempt to answer quickly.

I feel that everyone knows the ground rules at this point so lets get started.

      Questions for Mr. Jackson...

      1. Can the company disclose certain facts about the lawsuit such as case numbers, where and at what level the suits were filed?
A1. I will be happy to share all of the public info. Unfortunately, I will need to get that from Mr. Krawitz and I will post it later in the
      session or later today.

      2. Has ADSX hired outside lawyers for this matter or are you using Mr. Krawitz and/or Mr. Beckett in that capacity?
A2. Messrs. Krawitz and Beckett are general counsel for the company, not trail lawyers. It is my understanding that we have
retained outside counsel in this matter.

ADS has sufferred four straight quarters of gross revenues declines, this year to date revenues are at $149,000,000 despite
acquisitions. At the same time "goodwill" has significantly increased, plus stock dilution has increased by 10 million shares since the first of the year. This
      is not "growth". Comments?
      A. I would have to look at the last four 10q`s before I commented specifically on the rev declines. Assuming you are correct,
please keep in mind that going back four qtrs would have included TigerTel. Goodwill is a fact of life for acquisition minede
companies. It is for this reason that such companies report cash eps which removes the negative effect of goodwill. Dilution is
not a factor solely of shares being issued; the earnings, EBITDA, etc which an acquisition brings to the company can make it
accretive or dilutive, depending upon the situation. The fact that 10mm shares have been issued does not neccesarily maen
      dilution.

In the last chat session, you said the Thursday press release wasnt meant to announce significant business news, only to inform
us of the postponement of the chat session.
Now it seems you are changing your mind. Why did you even mention "significant business news" in the press release, if this
      wasnt your intention!
      A. As I indicated in the last session, having announced that I would be here and then simply not showing up or announcing that I
would not be here without reason, especially in light of the trading of that week would have appeared as if I was simply ducking my
responsibility to my shareholders. Thus, a reason for the postponement was required.

Has a date been set for the Digital Angel demo?
Can you list any of the invitees?
      A. No date has yet been set, although we are very close to choosing a venue. At this point I cannot list specific name. However of
particular note are the inquiries from network news, a senior analyst frequently on CNBC, and a national weekly news magazine.
These are the inquiries I have taken. The majority have been receieved by our PR firm out of NY.

      Mr. Jackson. oct event?
Do you have any info on who will be attending/invited to the private show in oct.. if not specific names, can you tell us your logic
for selecting the invitees? ie, are you looking more for news coverage, funding.. etc..
      A. see previous response

Regarding the DFCO acquisition, what is the plan if the required number of votes is not met by the August 25 shareholder
      meeting?
      A. The specific plans are still being formulated. By SEC guidelines, we would be able to extend voting by a small number of days.
If we are still unsuccessful, an entirely new filing would have to be made with new record date, etc. Priorr to undertaking that, I feel
we would have to analyze a number of features.

Earnings were a little dissapointing but really no surprise given the recent stock price action. Obviously the stock price decline
was telling us something didn`t smell right.
I hope, and it looks to me, like the DFCO merger is going to fail (thank god). Is management looking at all at an outright buy of
DFCO should they manage to secure a buyer for SALE? As a shareholder of ADSX I have always been against the DFCO
merger with stock because I felt strongly that the price was way to high (especially when there was talk of $350+M for SALE,
giving DFCO shareholders 1/3rd of that for free made no sense to me).
      A. One your first comment, the stock price could not have reflected any issues of the charges since that was NOT public
information. The stock price has been suppressed by the arb which kicked in at about the same time the rest of the market
      showed signs of improvement.
At this point, speculation of alternatives to the merger with DFCO would be just that, speculation.

Does ADS or any subsidiary pay anyone to monitor/hype/tout message boards? If so, I need a job.
      A. Vulture, I take it back...I`m NOT glad to see you made it today! In all seriousness, ADS other than my participation in in these
sessions, does not support, monitarily or in any other fashion, those with positive views on our company.
I think an equally valid question would be: "What are the motives behind those with negative views?" I have seen very negative
posts which include too much information to be anyone other than former employees. Employees who have since liquidated their
      positions, I might add.

If a reason for the postponement was necessary...how about "due to unforeseeable circumstances"....IMHO that would have been
      more appropriate.
      A. I can see the posts now "Unforseeable circimstances=stock down IMHO" all over the boards. I think enough time has been
      spent on this now.

Any timeline on when ## will be deployed commercially?
      Thank You
PS: I echo the disappointment with the hyped PR. I expressed my concern on your voice mail and via e-mail in a professional
manner. I thought a response from you was owed.
You may delete the PS on your repose if you wish.
      A. Dr. Zhou has indicated that we are "close" to production stage. The particular timeline will most likely have something to do with
the first tapped market. Obviously the agribusiness markets are foremost on our minds right now.

Bob, I think it was pretty obvious that there was something going on with SALE for many months now. There was much
anticipation of the IPO and then the ouright sale, when these things didn`t materialize investors showed ADSX shares the road.
ADSX management made the stock price decline worse by announcing a series of mergers that made no sense to investors who
were betting on SALE and a company rapidly growing revenue with its core businesses (obviously many do not consider ## a
      core business).
The fact that there was some arbitrage due to the DFCO merger is really not that imporant (1 or 2M shares is nothing compared
to the volumes ADSX has traded on a daily basis in the past). I seriously doubt it had a very large effect on the stock price.
      A. The facts surrounding the divestiture of SALE have always been in plain sight; there was diffulculty in divesting of it. Now we
      know why.
One or two million shares when placed at the offer will do significant damage to a company reagrdless of uts daily volume.
Please pull a chart from the day that the ameneded merger agreement was announced until now, overlay it with the short inteerst
report and you will see that there was a significant increase in the short at the same time that the stock dropped from five-ish to
      the threes. Not a coincidence.

      IBM DEBT COVENANTS:
Well, I`m glad I made it back!! I am not too healthy you know. Your SEC 10Q filing August 14, 2000 stated that ADS was not in
compliance with three of your four debt covenants with IBM Credit and you are negotiating for waivers. Have these waivers been
received. Also, stated simply, what are the covenants?
      A. Please refer to the email you sent me detailing the covenents for your answer; I do not have the time to cut and paste your own
answer. Please refer to my opening statement regarding the spirit of these sessions.
We are in the process of obtaining the waivers at this very moment.
I doubt it is a sign...but for the life of me I cannot think what they are feeling this might mean...

From the tone of these chat rooms sessions, although helpful, they have a `mean` tone at times. I believe a lot of that comes from
the image problem ADSX is suffering from. You being here is aimed at helping that, however, it`s not the cure. What national
`visability` is ADSX creating to polish their image?
      A. We have in the past and will do so again in the future, advertise in national publications.

REGARDING INTELLESALE,DO YOU HAVE TO WAIT FOR LAWSUIT TO BE SETTLE BEFORE ANYTHING HAPPENS
STOCK HOLDERS ARE TIRED OF THE DELAY IN INTELLESALES ACTION. AS FAR AS THE LAWSUIT, THE WORD FRAUD
WAS USED. THAT IS A STRONG STATEMENT TO MAKE. WHY CAN YOU TELL US WHAT FRAUD WAS DONE AGAINST
ADSX. AND LAST DOES ## NEED FDA APROVEL. THANK YOU.
      A. No, legal action will not delay action on SALE; that was largely the purpose in taking the one-time charges. Regarding the
alleged fraud, I acnnot sp[eak to the particulars since, as I indicated, this is the subject of current litigation. D A would require FDA
approval for internal human use. For this reason, expect to see external or non-human applications first.

      SHORT INTEREST:
July 15th short interest was about 2.3 million shares. I don`t understand about arbitraguers being responsible for most of this. Are
they able to "naked short", not having borrowed any shares like the rest of us have to do? Or were the institutional owners hedging
their positions by shorting their own shares? (No, I have never shorted ADSX).
      A. No one in their right mind goes naked on a $3 stock. They are covered (assuming the merger is completed) by the long
position they have in DFCO. This long position in DFCO is either acquired at the same time as the short sale of ADSX or is the
result of having previously held DFCO.
Again, no one in their right mind goes naked short on a $3 stock; the fact that the short interest rose as the stock price declined is
EXACTLY the opposite that occurs when "organic" shorting is in play. The closer to the 52 week high, the greater the potential to
make money from shorting. The closer to the 52 week low, the lower the chances to make money. Thus, the short position, IMO
is almost entirely due to the arb.

      Interview vom 01.09.2000/ R.Jackson

Thanks for stopping by Mr. Jackson. Any cancellation of special meetings scheduled for tomorrow. Will a press release be
      given over the long weekend?
A: Our special meeting will be tomorrow at 2:00 PM EDT. I have already drafted the release to discuss the results of that
meeting which I will put out first thing Tuesday.

Do you see the major networks attending the Oct. show. 5hdyp
A: We have already been contacted by a number of national media sources envolved in both broadcast and print
      indicating their desire to attend.

Bob, since there is no opening statement, is there anything particular that you`d like to tell us?
If not, I`m curious about how the proxies are totaling up
A: I feel that a lot of the issues surrounding our stock have been generally discussed at enough length. I would like to
discuss any specific questions that you might have.
In regard to the vote, we feel confiodent that we will have the vote. As made public last week, however, DFCO`s vote is not
as certain. In addition, there are other issues of public record via the proxy which also have the ability to effect the outcome
      of the proposed merger.

DFCO recently postponed their meeting, as they didnt have enough votes for approval. I`m a little confused, what happens
if ADSX votes yes, and DFCO votes no?
A: In DFCO shareholders do not approve the merger, it does not go through. Additionally, as just posted, there are other
issues which could effect the outcome.

What sort of agreement was signed with AXIOM NAVIGATION? Will they be supplying ADS with GPS chipsets? Are they
to be a "partner", how much is this costing ADS?
A: The as indicated in the press, this is a preliminary partnership, outlining general areas of responsibility in the ongoing
development of ##. AXIOM is generally responsible for, among other things, the hardware and software interface of ##.
There is no initial cost associated with this partnership.

Do you feel mgt is 100% prepared for the Oct. show, and confident in ##`s performance. 5hdyp
      A: Absolutely.

Two cancellations of the shareholders` meeting, from August 8th, to August 25th, to September 2nd. Is this really fair to
those that decided they preferred the merger and share increase fail? Don`t they have a say in it? Like Gore and Bush
delaying the election because one or the other doesn`t have enough votes. Do you "think" you now have a quorum, and do
you "think" you have enough votes FOR the merger and FOR the share increase?
A: Without benfit of a 425 filing with the SEC, I cannot state with absolute certainty that we do or do not have the vote. As I
indicated, though, I am confident in our votes.
In regards to postponements, unlike the presidential election where apathy is not taken into consideration, if a corporation
does not have a quorum, as we did not on Aug 8, we may not LEGALLY hold a meeting. The second postponement had
to do not with our desire to postpone, but rather a requirment of NYSE rules perytaining to proxy solicitation.

Does Mr. Sullivan still believe ADSX to be a $50-$80 stock? Hopefully, you can get Mr. Sullivan on CNBC in the morning
      after the New York demonstration.
A; Let`s put this to rest, right now. Mr. Sullivan`s comments regarding the value of ADSX were based not on a "beleif", but
on QUATITATIVE ANALYSIS of our REPORTED results versus industry standard ratios. Nothing has changed to
substanitively alter this analysis other than slightly lower industry ratios and our decison to bite the bullet on the write downs
      at Intellesale.

Bob, you stated "In addition, there are other issues of public record via the proxy which also have the ability to effect the
      outcome of the proposed merger".
      Could you refresh my memory?
A: Items still of imporatance include the "mac" clause (material adverse change)and the waiver, if required, by BOD`s to
dissenter`s rights in excess of 5%.

That makes the value of the purchase for DFCO about $78 million. Many feel this is far too high a price for a this company.
Wouldn`t a simple alliance or partnership with DFCO provide just as many benefits so as to avoid a 23 million share
      dilution of ADSX stock?
A: Your questions are too specific to be answered in writing without benefit of a 425 filing. However, in general terms, an
alliance or partnership does not provide the full benefit. Please also revisit last session to view discussions on "dilution".

Absolutely, is a very comforting word to a stockholder, do you think it will be accepted by, wallstreet, public, and media (
      pitiful group ) ? 5hdyp
A: To have recieved such a tremendous response at this early stage indicates that there is a wide interest. Cultivating
interest into acceptance will be assisted by various plans we have discussed in the past including an oversight/ethics
      committee.

Mr. Jackson, what is the number of outstanding options and have they been repriced lately? Also, have any new options
been granted with shorter vesting periods?
The number of outstanding options is a matter of public record which can be found in the 10k. In the interest of time, I will
let you do the leg work and post it later. To the best of my knowledge, no options have been repriced. Coincidently, I share
an office suite with the Director of HR; i think I would have heard about it.

As an avid follower of your company, there have been many exciting news releases over the past several weeks about
aquisitions, partnerships and VIGN as recent as today. Do you view ADSX`s current stock price as undervalued? There
are many dissapointed investors in this company. What will take us to the next level of highs?
A: Is indicated earlier, comparison of some of our key ratios indicate that we are undervalued. As we emerge from under
the thumb of the arbitrage with DFCO and I am able to get back on offense rather than the "D" I`ve been playing for the last
four months, I feel confident that our story will be met with renewed interest.

There was the subtle hint in the last 424B3 SEC filing, stating that one possible use for the extra 160 shares being voted
on, could be used to thwart a "hostile takeover attempt". Do you have any knowledge, or suspicion, that someone is
attempting such a takeover? Stock movement doesn`t seem to indicate any big interest. If so, just who is interested in
      buying ADS?
A: In our last session, one of the participants offered to buy us out. In all seriousness, even if I were aware of such interest,
which I am not, that information would not be in the public realm.

I don`t think this is an "answer"the question was, unless ADSX goes down in price do you still think DFCO is worth or
valued at 78 million dollars on its own?
if not why are we paying so much? NEw
A: You are quite correct; it was not an answer. As indicated, I cannot put into writing the specific advantages of the DFCO
merger without benefit of a 425 filing with the SEC.

Is there any information that you can share with us regarding any "Sale" deal ?
A: At this point, there are no public developments to discuss. We do feel, as previously stated, that Prudential can have
more meaningful discussions regarding the alternatives for SALE with the balance sheet/inventory issues having been, in
our opinion, fully accounted for at this point.

Mr. Jackson could be specific on who/whom interested in Digital Angel. Thank you for your effort to inform. 5hdyp
A: After our last session, I was admonished by in-house counsel for indicating one possible attendee.

Although I realize there may be security issues here, how specific can you be with regard to the capabilities/inabilities of
      D.A
A: With such a relatively short time to the unveiling, it is best to wait. I will say, however, that it has met or exceeded our
expectations in just about every area.

Bob, I would like to know if any members of ADSX management are currently shareholders in DFCO and whether any
      have played the arbitrage.
Also, are you allowing people who are no longer shareholders but were shareholders of record on the voting date to still
      vote their shares?
A: Playing the arbitrage would require memebers of management to short their own shares, a violation of securities laws. I
am also in possesion of a blackout memo regarding trading ADSX or DFCO for all persons with material non-public info.
      In short, no.
It is not for us to "allow" shareholders of record on June 26 to vote or not. It is their right (some might argue obligation) to
vote on the issues even if they no longer own the shares.

There has been some talk recently re: GPS and whether or not it could be effective indoors. Can you enlighten us?
A: Thanks to the research of some entreprising individuals here who happened to email me, I rely upon information from
Dave Smith at AXIOM NAVIGATION who indicated that it would have certain limitations depending upon the type of
      structure.

REPOST: Bob, about Princeton and NJIT, and the research program plan.
Can you outline some points about what they are beginning to work on? And how their D A work relates (or doesn`t relate)
      to Axiom and DFCO.
A: The general nature of their involvement (the only public information at this point) is detailed in the press release issued
upon their joining the team. Their specific areas of expertise are also indicated it that same release.
      http://www.digitalangel.net/pr_07_07_00.htm

Two thirds of the 3rd quarter are now gone:
After Intellesale suffered a 55.5% decline in gross revenues for the 2nd quarter, from $48.3million to $22.6 million, is there
any indication that their revenues are recovering, or is this in your "non public realm" arena?
      A:"non public realm"

If certain types of structures interfere with GPS, is it your opinion that D.A. probably would not be effective in the prevention
      of abduction of individuals?
A: The technical aspects of ## are obviosly not my area. I beleive it is safe to assume, however, that a product wose
original intention and design was to prevent abduction of children would have to address to this issue. I will forward your
question to Dr. Peter Zhou and post his response at a later time.

      Last Report:
Last short interest report for August showed 4.4 million shares short, as compared to 2.3 million for the July report. Do you
have a more current indication of short interest, and whether there has been any short covering as yet? IF DFCO merger
fails, do you expect a flurry of short covering?
A: Short interest is released one per month on or about the 15th. Thus, the 4.4 million figure, less some arbitrary (no pun
intended) devisor, is the number I am working with. To date, I am not certain that we have seen any significant
covering...ther have been days with some block activity, but nothing sustained. If the merger fails, I do expect a short
squeeze. This is only my opinion and is predicated upon incomplete/possibly outdated (although most current)
information. Hopefully, we will not have to find this out.

Mr Jackson, hope I am not beating a dead horse, but can you give me any ref. , or press release or anything of substance
that relates to how ADS came to the conclusion that they needed DFCO more than DFCO needed ADSX?
by that how did you/they come the conclusion that DFCO was basicly a better, stronger, more valuable company than
      ADS?
and what has the latest insider activity been as to buying (or selling?)
      thanks, NEw
A: Last things first...the only activity I am aware of has been buying through our employee stock purchase programs. Althou
I have not looked, I do not beleive that there have been ANY filings since March or April.
As far as DFCO...visit our website and look for the press releases. I would also suggest a visit to their site and a reveiew
      of their 1999 10K.

      Not understanding the arbitrageur:
Situation that well, are you saying if the DFCO merger goes through, then those people will just be using their newly issued
ADSX shares to cover their short positions? Does this mean we won`t have a short squeeze if the merger goes through. I
don`t understand how the arbitrageurs make any money off any "spread". Explain please.
A: Ok, here goes...I hope you all have a few minutes. With a fixed exchange ratio of 1.5:1, one would expect DFCO to
trade 1.5 times ADSX. It rarely has. To make numbers very simple, assume ADSX is at $3.00 and DFCO at $4.00. The
arb simultaneously sell short 15k shares ADSX (+$45,000) and buys 10k DFCO (-$40,000). He has effectivel locked in a
profit of $5000. He delivers his converted shares of DFCO after the merger is complete(10k DFCO=15k ADSX) and
moves on to the next deal. The only way he looses, is if the deal does not go through; he must go to the market to buy the
      stock, causing a short squeeze.

      Interview vom 15.09.2000/ R.Jackson

      Good morning.

As you all know by now, the Destron Fearing merger with Digital Angel.net has been approved and closed with an effective date of
last Friday, September 8. Having worked toward this for over three months, we are obviously pleased to have the vote behind us.
We can now proceed with the tasks at hand. As we do so, it will become abundantly clear to the street the numerous and specific
synergies that we have recognized since being introduced to Destron some eight months ago. In general terms, the street can
      expect a few us to:
      1. Bring key elements of the CTII strategy to Destron’s business model in such key areas as wireless capabilities and our ASP
model. This extends Destron’s product offerings and brings their databases in-house to act as a potential profit center.
      2. Utilize Destron’s existing client base as a point of departure for Digital Angel development/production/marketing discussions.
      3. Bring additional improvements to Destron’s existing technology through Dr. Peter Zhou’s expertise. This will serve to
strengthen Destron’s already dominant presence in their industry.
In short any who may have questioned the merger will become convinced, as we have always been, that this was a remarkable
      opportunity and rare bargain.
Dr. Zhou has actually been in the corporate offices that past couple days and has given additional insight into D_A’s direction. We
have hired a technical marketing firm to assist us in identifying additional partners within each of a few vertical markets we will be
addressing. Rather than the “if you build it they will come” model so popular with ball parks, we are taking a slightly different
approach. We will be working with the strongest partner(s) in each of our identified vertical markets to design a D_A that is very
specifically targeted to their needs. Our goal in doing so is to defray undue production/ design costs.
With the merger closed, it is also a good time to talk about dilution vs. accretion. In an email, one of the chat-session faithful
asked how Destron could be accretive given the goodwill associated with the merger. While it is true that Destron’s 1999
earnings of $3.546 million would not cover the approximate annual amortized goodwill associated with the merger, it does come
close. Moreover, this is comparing 1999 year-end results with future goodwill. This is neither a fair nor meaningful analysis. Based
upon our analysis of Destron’s revenue and earnings growth rate, we believe that this will be an accretive transactions.
From my personal standpoint, the closing of the merger removes the rather onerous technical aspect of our trading in place since
April. As I have discussed this at great length, I will not do so again, save to say that I can now get back to the proactive approach
to IR that resulted in, among other things, increased institutional support. In that spirit, I was on the road visiting with regional
B/D’s and a few institutions earlier this week and will be doing so for the next few weeks leading up to the Digital Angel showing.
With that, let’s open it up for questions.

      Good Morning Robert:
One message board post has indicated that CEO Sullivan has stated that DFCO after the merger is accretive to ADS earnings.
However, of the $85+ million acquisition cost, about $75+ million is being posted to "goodwill". How can this possibly be
"accretive" when it seems the cost of carrying this on the books is more per year than DFCO has earned in its last full year? Isn`t
this sort of statement that it is accretive quite misleading?
      A:Answered in the opening statement.

Hmmmm. Got the jump on me Robert:
Still it got posted as to just how much goodwill got posted, seems an awesome amount to me.
Next comment/question: one post has been repeated several times, which keeps saying there has been heavy insider selling of
ADSX stock. Websites I visit show no such selling, and SEC indexes show no form 144 filings for the sale of such stock since
last March. Have insiders been selling the past few months?
A: The only reliable source of information for selling would be the SEC filings. In the abscence of such filing, I would say that there
has been no activity. This is borne out by indications around the office.

Mr Jackson, would it be asking to much, torequest, your opinion on the core business? DIGITAL ANGEL has given me a financial
headache. What does growth lok like, etc. Last but not least a quick update on SALE. THANK YOU FOR YPUR REPLY. 5hdyp
      A. The core business continues to become more fully integrated. The recent acquistions giving us ASP, ISP and soft ACD
management are fully in keeping with the CTII initiative. Our website is consistently being updated to indicate these synergies.
Unfortunately, there is not much to update on SALE right at this moment. Prudential continues to explore alternatives for us. The
general feeling is that the write-downs of second quarter should assist their efforts.

Mr. Jackson: What is the cost of a Digital Angel unit if they where bought by a large shipping company to put in their packages.
$1.00, $5.00, $10.00 each? Are the units going to be so inexpensive that they will be everywhere, in your opinion?
      A. The individual components of D_A are inexpensive enough to allow largescale, perhaps even "disposable" usage. Interestingly
enough, among the attendees at October`s event is expected to be represenatives of both a shipping concern and a luggage
      tracking company.

      Good morning Mr. Jackson,
any thoughts on the "competing patent" for cellular phone technology and GPS "hook up" ? would this not put a crimp in ADS
ability to market D A as a GPS add on ?
      A. The existing patent for D_A calls for the use of GPS, Bio-sensor and wireless communication. There exists no competing
      patent for this combination.

Mr. Jackson...why has there been so much emphasis to implant D A in people or animals rather than GPS technology in cellular
phones? It seems to me that emergency location in cellular phones would be a definite, huge market!!!!
      A. The FCC mandate to locate 911 calls from cellular is largely being addressed in a variety of approaches from a number of
companies. Adding a bio-sensor to that technology, however, puts D_A into an entirely new realm.

      Re: Patent for D A
The original patent granted May 1997 made no mention of GPS at all, rather a totally different satellite tracking method. Has ADS
filed for or been granted new patents? As for usage in cell phones in regard to the FCC requiring 911 calls to be traceable, do you
see a market for the ## for this usage? You avoided the prior question.
      A. A variety of additional patents are under consideration. Regarding the use for tracing 911 calls, I beleive the ability to have
real-time biological information available to care provider would be of great interest to a number of entities.

How long do you think it will take Sullivan to use up the newly allocated shares? I have little doubt that Sullivan and his faithful will
get nice fat options deals and the shareholders currently holding ADSX will end up being cut out of any growth as the float
increases as fast or faster than the market cap. Do you see a different scenario?
      A. I see a scenario similar to that of recnet acquistions which not only bring in proprietary technology, but add to bottom line
      numbers as well.

Mr Jackson, maybe I am missing something, is the news release below a false statement? or by using a cell phone for GPS
tracking something like what the definition of "is"
is? What does broad base in this mean?
      A. I will forward this to Dr. Zhou so he can comment on the specific differences. An answer will be posted later today or Monday.

You might have answered this already,
you keep mentioning sending info via bio-sensors, that sounds great , but will ADS have to pay royalties to the holder of the patent
for using a cell phone and GPS to send these bio sensors?
again if you have addressed this question sorry for redundance
      A. As Dr. Zhou indicated in a response to an earlier question, cellular is NOT the only means by which to transmit the information.
If, howver, it turns out that a royalties would have to be paid for some specific application, that is an issue that would be factoired
into the decision to approach that market.

      IBM Credit Covenant Waivers:
You skipped my question earlier. Have waivers been received and how long do you have to come into compliance without
      jeapordizing this credit arrangement?
      A. I will check w/ my CFO for the particulars, but I beleive that they have been successfully addressed.

      Mr. Jackson:
In regards to the Digital Angel unveiling on October 26, what is being done as far as media coverage? Has ADS contacted /
invited major media to cover this event? I would expect ADS to "go all out" with this event looking to get as much exposure as
possible. What are your thoughts / plans on generating major exposure and interest?
      Thank You,
      Ray
      A. Your expectations are correct. This is being made easier by virtue of the unsolicited interest we have received.

Re the D_A patent acquired by ADSX:
      1. From whom was it acquired?
      2. In what country is the assignor located?
      3. Is it a foreign patent and registered in which countries?
      4. Where is it possible to read a copy of the patent?
      Thanx.
      A. I beleive all of your questions can be answered by visiting:
      http://www.digitalangel.net/patent.htm

      Mr Jackson:
Good morning. Your opening statement was excellent and y answered all of my questions but one. Do any DFCO products have
FDA and/or CDR certification and if yes, will D.A. technology be able to retrofit into these products without having to be
      resubmitted for certification
      A. DFCO`s products have been approved by FDA. I will have to check w/Randy Geissler regarding retrofit without new approvals
      having to be granted.

      Mr. Jackson,
switching topics, any news on sell of SALE ? or any new dev. on lawsuits, ? Is ADS going to agressivly go after the suspected
      fraud?
      A. As indicated, lawsuits of this nature can literally take years. It was for this reason that we made the determination to fully
account for the results of the alleged misrepresenations by Bostek.

Young man and a brand new Ferrari.
Mr. Sullivan is like a young man who just bought a brand new Ferrari, then places outside for everyone to see and
CAN`T AFFORD THE INSURANCE OR GASOLINE TO RUN IT.
      A. I am not certain I understand the analagy. Please clarify.

Mr Jackson - Have you seriously looked at the long term care market for a `wearable device`? I was placing armbands with alarm
devices on patients at risk ten years ago. There are several companies out there that could piggy back the Digital Angel on
existing products. This could be as an added value in being able to find patients who have eloped. What are your thoughts on
      this? Thanks
      A. Medical monitoring will be one of the first vertical markets to be addressed. Remote monitoring of viital stats of patients holds
      great promise.

      Well: It`s the 15th. Do you have any indication from your sources as to the status of "short interest", how many shares now shorted;
whether there is a significant drop? What about the DFCO recipients? Have their shares been converted and do you see any
      dumping this week.
      A. My "sources" for the short interest summary come from Nasdaq Online. While they are as of the 15th of each month, they are
generally not posted until a week or more after. I do anticipate that they will be of a similar nature to the August numbers, though,
since the conversion of the shares has not occurred.

I would think that a concerted media campaign that ties in with the horrific numbers of missing children per year would help to
`soften up` those in the media who look at this Digital Angel Technology as too invasive of privacy. I know that I would go buy one
for my children today. Is this too far thinking at this time?
      A. I think that you are right. We have become immune to the milk cartons with pictures. Soon, a product that has the ability to
prevent or greatly reduce abduction and abuse of children will be available.

You play fair, I`ll play fair:
I have heard a rumor that Sullivan is still interested in acquiring ATEC. This would give Intellesale an expanded product line which
it seems to direly need. $60 million is too much to pay for them and you`ll never get Intellesale monetized, please pass that
thought on to Mr. Sullivan. Well, is ATEC a possibility?
      A. Rusty, you know that I cannot confirm or deny any items which are based on rumor.

      Mr Jackson-
"Kye System is also considering developing wireless Internet connection devices using the ``Bluetooth`` technology, the paper
      reported".
Do you think D A can play a role in this new technology?
Is the company in talks with PALM COP
      A. I am afraid this is another questionb to be referred to Dr. Zhou. Look for the answer later today or Monday.

      Did you say:
Did you say that holders of DFCO stock have yet to receive their new ADS shares? How does that work anyway, do you notify the
various brokerages like Ameritrade or Etrade and have them delete the DFCO shares and credit their accounts with ADSX??
      A. The transaction is handled by the transfer agents working with either the registered holders or street name accounts.

      Someone who apparently attended:
The September 7th meeting, posted something to indicate that the "prototype" to be displayed October 26 in New York would
NOT be a miniaturized device, but rather something matchbox sized to show that the parts work together. Will it be a miniature?
Will that device have a GPS chipset in it, and seeing as the building has a steel roof, do you think the GPS locating part of it will
      work?
      A. The unit could be the size of a dime, the size of a matchbox, or the size of a mack truck. It doesn`t matter...the size is not the
issue for the prototype. The combination of bio-sensors, web-enable wireless and GPS is.

      Mr. Jackson

SIGNING ON FOR AN IMPROMPTU SESSION.

Based upon a number of calls that I have received this morning, the significance of today`s announcement may not be fully
understood. The order, in and of itself, is important since it signals that SGP`s inventory levels are dwindling and that re-orders
should begin to pick-up. That bodes well for the short term revenues of Digital Angel.net.
The deeper message, though, is that Randy Geissler has ALREADY successfully employed the business model that we see for
D_A. Randy and his team developed a product for a relatively unknown market and made a huge initial sale to a major industry
partner. That having been done, it was incumbent upon SGP to develop the market and use their distribution channels for the
commercialization of the product. As we continue to narrow the list of partners in each vertical market, we move closer to that
      same scenario for D_A.
I would be happy to answer any questions specific to today`s release at this point.

Mr. Jackson: How seemless will ## replace sgp`s model?
      A. A lot of that depends upon SGP. It would seem, though, that with the market already established through their efforts, it would
be extremely easy to offer D-A as an upgraded version.

Mr. Jackson, will SGP be using the D_A chip or the chips DFCO has.
      A. This re-order is for the existing chips. Please review the last Q/A, though for my thoughts on the future of the partnership.

      My Grocery Store Feller:
Down the street just called me with the news that he is reiterating his strong strategic alliance with Heinz, showing his strong faith
in their future partnership agreement.... he ordered more catsup.
      A. If your grocery store feller was producing catsup to supply to Heinz, that would be significant.

Mr. Jackson: Let me rephase the question: Will digital angel seemlessly replace sgp`s current model in terms of the client base.
What will the cost difference be between the digital angel model and the current sgp model.
      A. The basics are the same; embedded chip with vital information. The infrastructure requirements to employ all of D-A
technologies will be in place prior to its distribution. Cost differences aside ( I have no basis to speak to that, why wouldn`t SGP or
any other distributor want to offer a more advanced product?

      Mr Jackson-
"Kye System is also considering developing wireless Internet connection devices using the ``Bluetooth`` technology, the paper
      reported".
Do you think D A can play a role in this new technology?
Is the company in talks with PALM COP?
      A. According to Dr. Zhou, Bluetooth technology will be employed in the show in October. It is Dr. Zhou belief that the unified
Bluetooth "platform" 2.4 gigahertz as oppesed to 800 megahertz (cellular) will be the most probable route.
Regarding PALM, it is inappropriate to release specific company names that we are in discussions with without their approval or
at a stage too early to be meaningful.

      The DFCO CHIP
Has no internal power source. The way it works it to point a radio frequency at it so it vibrates back a signal with a very simple ID
code. Just how much does this little DFCO chip sell for?
      A. Check with your local vet to get retail pricing.

bob, in the face of this announcement, the stk price seems to ignore recent good news. can you explain why? also, can you give
us any thoughts on when the stk price might appreciate?
      A. During the past four months, the market has been lead to beleive that our announcements, regardless of content, are not a
reason to beging accumulating shares. Each time significant news was released, our market showed some small strength, over
to be beat back down by the arbitrage. In short, I think we are suffering an "arbitrage hangover".
Going forward, events of the fourth qtr. stand to bring renewed interest to our company from both the retail and institutional
      investor.

      Mr. Jackson,
Not sure if you are able to answer, but...
When can we (stockholders) expect to hear about the first sale of a ## product. What is ADSX`s timeframe for products to be "on
      the market"?
      A. Unfortuantely, the specific timing of the first sale is influenced by a number of factors and cannot be guessed at right now.

      Are the two:
Nasdaq broker/dealers on ADS`s board of directors also actively engaged as market makers with this stock? How did these two
dealers get on the board of directors?
      A. As I mentioned, I would answer questions specific to today`s release ONLY. However, since you asked, the two memebers of
the board are registered with LIMITED B/D`s, mutual funds, insurance, annuities, etc. They do NOT make markets in ADSX.
They were chosen due to their general business accumen and early support of the Company.

Will FDA approval be needed for retrofit?
      A. To the best of my knowledge, the FDA has no say in the companion animal area.

Robert Jackson, Director of Investor Relations for ADS, postete 10.04 Amizeit auf Raringbull.com folgendes:

      Good morning.

When I changed the chat session to today from Friday, I neglected to notice that I had a previously appointment outside the office,
specifically, an allergy test. As such, I will be unable to respond to questions on-line today. However, I invite you to send specific
inquiries to me at rjackson@adsx.com. Feel free to cut and past my responses for the group. Nonetheless, there are a number of
items that I would like to address.

Regarding the purchase of shares by officers and Directors last Thursday, a number of the emails I have received indicate the
rather myopic vision of a few folks. Treasury versus market purchase, option exercise or direct purchase, etc. Get out of the
weeds! The fact of the matter is that insiders stepped up to the plate, just as many had suggested. The message is clear; we
stand shoulder to shoulder with our shareholders in believing that the best opportunities for our personal assets are within ADSX. I
will not have my personal investing strategies dragged down, and this is the last I will comment on this.

Although I feel that Digital Angel has received more than its share of attention over the past weeks, I do feel that it is important to
clear up a few items on this subject. Regarding the size of the Digital Angel at the demonstration, I unfortunately made an off the
cuff comment which has since been taken entirely out of context. The individual components of Digital Angel will allow for a
dime-size unit. As previously discussed, however, this is a prototype, not a production model. We will be designing the production
models in accordance with licensee’s or joint venture partner’s requirements, requirements which will include among other things,
size. It is at this point the size of the unit becomes important. Our intention at this demonstration is to show groundbreaking
technology which can be customized for an individual licensee’s or joint venture partner’s needs.

There is another misconception that production stage must be attained prior to signing license or joint venture agreement. This is
not the case. You are hearing this first here: We are confident that we will see a Digital Angel license and/or joint
venture agreement in the fourth quarter of 2000. This is not something stated lightly, especially in light of delays experienced
elsewhere in our company. This is an aggressive timeframe that we as a company are committed to meeting. It is here that we
draw a line in the sand and regain the street’s confidence.

Over the course of the last two quarters, many have suggested a few actions that we as a company can do to send the proper
messages to the street. We are now making some of those efforts. This is an exciting time for your company.

      SIGNING ON
      Good morning.
The intent of these sessions was to establish an on-going dialogue with shareholders. This was not designed as a forum
for debate. Recent sessions have been dominated by a few outspoken individuals, some of whom have, at best and of
their own admission, a very passive interest in Applied Digital Solutions. One is forced to question their motives. Why
would one spend an inordinate amount of time worrying about a stock that they do not own?
      On to new business.
I have received numerous requests for a list of attendees to the Digital Angel showing. It is not appropriate to give the
names of specific invitees, but since this will be the last session prior to the showing, I can offer an overview. According to
the invitation list which was last updated Friday the 6th, 494 invitations have been sent. Each invitation allows a maximum
of four attendees. Again this is only an indication of invitations sent, not of those who have returned an RSVP. We have,
however, already begun receiving some RSVP’s.
Among the invitees are buy/sell-side analysts from every major Wall Street firm, fund managers, senior management from
a variety of national communications companies, senior management from all U.S. auto makers, senior management from
all major U.S. insurers, senior management from all major aerospace companies, senior management from a variety of
health care organization and bio-tech companies, members of the DOD and armed forces, representatives from a variety
of governmental agencies, and a variety of U.S. and international media.
In addition to the actual presentation, attendees will receive a report prepared by a consulting firm offering their
researched opinion on the worldwide market for Digital Angel. This firm, that Business Week once referred to as “the
most influential consulting firm in the world”, has worked on a wide variety of private and public projects. Their goal, to
identify and quantify each of the various market segments. With their added assistance, our confidence in signing our first
JV/license agreement during the fourth quarter grows daily.

bob, can you fill us in on the licensing agreement mentioned last week by mr sullivan?
      A. I have a message into Mr. Sullivan to determine how much information he would like released regarding any pending
agreements. I will revisit this when I get an answer.

      Mr. Jackson,
Thank you for taking the time.
There have been various thoughts on the "size" of the D.A working unit. Would it be fair to say that the power unit needed,
for whatever purpose, would be the main contributor to size?
The D.A. unit itself is fixed in size as to its working parts?
      Comments please, thank you.
      A. The power source, which relies on heat from either a body or its surrounding, is the largest single piece of the D_A. It is
about the size of a dime. At the request of our new consultant, we will NOT be showing the actual unassembeld
compenents since there are confidentiality/proprietary issues.

      good morning mr. jackson,
      question:
in the interview a couple weeks ago with mr. sullivan on ceocast, sullivan mentioned that ads would be speaking with a
major distributor of perishable goods in europe regarding the possible use of digital angel. did this happen? are there any
ongoing talks of licensing digital angel to any customers at this time? thanks
      A. With the assistance of our new consultant, we are more confident than ever that we will sign an agreement during the
4thq. In order to do so, the rational investor would have to assume that we are in discussions with a variety of potential
      partners.

      Question from Germany:
      First sorry for my english.
I wanted to ask the IR of ADSX if its possible to send some Informations about ADSX and ## in german to me. So I can
put these informations in our Boards. Cause there are also hot discussions in the boards of the german shareholders.
We on the german boards at the moment ask ourselfs, why there are so less informations about the core business and
so on. We always just read: ##
So if you can send us these informations we perhaps can make us a better picture of ADSX.
      Please contact me: xxxxxxxxxx@xxxxx
Thank you very much and have a nice weekend. And nice greets from germany to america.
      Brainstorm
      A. D_A has gained the spotlight due to its ability to change peoples` lives. Our core business, while making great strides
at our goal to become a single source provider of communications solutions, does not have the "gee whiz" affect
      associated with D_A.
Over the last few months, the core business has made strategic and value-enhancing acquistions, entered into long-term
JV with international implications, and identified the means by which to be the owners of infrastructure and technology, not
just the "plumbers" of the e-business world.

      mr. jackson,
will there be a list of invitees released to the public before the october show? if so, when can we expect this?
      A. The opening statement is probaly as close as we will get to an actual list prior to the demo. I would anticipate, however,
that we may speak of the attendees, if given their permission, after the fact.

Mr. Jackson RE: The power source,
which relies on heat from either a body or its surrounding, is the largest single piece of the D_A.
Regardless of the location of the D.A., geographically,
heat is the activator or power source?
      Thanks
      A. That is correct.

Mr Jackson, When will D.A. be exposed to the general public?
      A. There is some discussion at this point to have a webcast of the D_A presenation shortly after the event. A

      mr. jackson,
any idea as to how the 3rd quarter numbers are looking for ads?
      A. This falls into the area of non-public information. We have recognized, however, the need to come off arguably the worst
qtr in company history (2nd qtr, 2000) in a very strong position and have worked dilligently toward that end.

bob, can you fill us in on the licensing agreement mentioned last week by mr sullivan?
      A. I just spoke w/Richard. The agreement to which you refer, a major licensing agreement associated with the CORE
business, is still having the fine points addressed. At this point, that is all I can say.

Mr. Jackson, there has been alot of attention focused on digital angel for good reason, however, has any of the trouble in
the e-business market have any effect on our core industry and what is being done with the core business to improve the
profitablity of the company as a whole. IE the our Irish connection, etc.
      A. As mentioned earlier, we are extremely pleased with recent developments within our core business.

      Good Morning Mr. Jackson
Can there be a use for D.A. in cell/mobile phone industry? The upcoming FCC regulations will mandate that all cell phones
be equipped with some kind of device so that when theycall 911 in emergency, authorities would know where the call is
coming from, can you please throw some light. Thanks
      A. Absolutely! Wireless carriers are facing two major issues that make D-A a natural:
      1. The FCC mandate you mentioned which D-A answers with ease.
      2. The fact that there are no significant differentators among carrier`s service other than price. D_A as a value added
enhances a carrier`s ability to maintain pricing levels with loosing market share.

RECENT PURCHASE OF STOCK FROM TREASURY
Mr Jackson, recently officers & directors purschased 1.64 million shares os ADSX stock from treasury. Could you
elaborate on how they were paid and if there is any plans for additional purchases?
      A. This dead horse has been beaten and is matter of concern only to those looking to find fault.

Mr. Sullivan has stated that the commodity tracking business will be a huge potential for digital angel. Can you please
quantify the estimated revenues from this? Also, why haven`t we received more news about what destron fearing is doing
in that market domestically and internationally?
Have many countries impressed interest with digital angel to monitor their food supply chain.
      A. Our new consultant will be able to put numbers to the various market segments. Destron continues to answer the call
from their exisiting markets and clients while exploring opportunities to bring D-A to the companion animal and
agri-business markets. As these affports come to fruition, we will certainly be speaking of them.

      Mr.Jackson
Could ## be used in tacking hand guns.
      Thank you for your time.
      wcsquare
      A. This is certainly an application that will be looked at. There are any number of scenarios which could include D-A to
track, locate, identify and/or prevent accidental/unauthorized use.

      Mr. Jackson:
Of the 494 invitations you sent, how many positive RSVP`s have you received so far?
      Thank you.
      A. The invitations were sent on Friday, the 6th, hardly time to expect a large number. Through yesterday, we had upwards of
      50 verbal or mailed responses.

      Mr. Jackson,
1)So much focus is on ## right now? What about the on-going business? Can you give us some specifics on the growth
(or lack of it) from the company?
      2) Why do all of the PR releases lack specifics as they relate to either top or bottom line? Who really cares about a
reseller agreement for example, unless we know what it could potentially mean in terms of business opportunity. Anyone
can become a reseller for a large co. - it doesn`t necessarilly translate into major revenues as your press releases clearly
      try to portend.
      3) What is going on with SALE? It`s been over a year since the co. said it was to be sold.
      Thanks
      A. 1) answered earlier.
2)The specific revenues of the individual reseller agreement or contract are not included for a variety of reasons, ie
confidentiality, or if they are not important to the message. In announcing reseller agreements or specific contracts, we are
indicating to the street that we are capable of operating in an extremley competative field with very reputable partners
      and/or key customers.
      3) The SALE question has been answered in previous sessions. The writedowns of Q2 associated with the allegedly
fraudulent activity of the former owners of Bostek speak to the issues surrounding SALE`s divestiture.

Regarding ##, there has been a lot of skepticism re: the ability to track the ## device through buildings since it requires an
antenna. If it cannot do this, then what is the utility in tracking human vital signs and their location since most humans don`t
live outside. Can you clarify whether it will or won`t work when humans are within a say steel structure or in an underground
      building?
      A. True, individuals to not live outdoors. Nor do they spend the entire time inside, unless confined or otherwise
immobilized, in which case the need to track via GPS is greatly reduced. For example, ther is no need to track a prisoner
inside the prison. Once OUTSIDE, however, the need and ability coincide. So with individuals at risk for wandering.
That having been said, however, the ability to track an individual inside a building or underground is a function of the
strength of the GPS signal. When the government opened GPS to commercial usage, the strength of the signal was
increased. The ability to utilze GPS indoors has increased and will likely continue to do so.

In the CeoCast interview Mr. Sullivan said ADSX is to negotiate a D-A license in October with the "largest manager and
shipper of perishable products around the world."
Can you expand on the progress of negotiations regarding his statement about a D-A license? Is an announcement
      pending soon?
      A. I am afraid that I cannot elaborate on the progress of this negotiation at this point.

      Mr. Jackson
could you elaborate on potential uses of Digital Angel. Being a former police officer I am interested in possible uses in
      handguns.
      A. The D_A was actually conceptualized by a former police officer. The various scenarios for D-A in handguns requires
more time than we have hear, not only from a technical perspective, but also due to the hotly debated nature of gun control
      in general.

Mr. Jackson RE: 1. The FCC mandate you mentioned which D-A answers with ease.
I posted a few days ago about this mandatory situation with cell-phone manufacturers (thanks for the reminder) and now
that we know that D.A. is heat activated/powered (heat from the cell-phone should be enough, huh?) can you give a ball
park estimate what adding the D.A. to a cell-phone might be?
      Perhaps a %.
      Thanks
      A. I am afraid that I do not have hard data on that. I will say that many are expecting a sort of razor/ razorblade scenario
with D-A. In other words, "give away" the D-A in order to receive the income stream on the back side through utilization of
the service. Once upon a time, mobile phones were in the realm of 007, now you can get one, for free, from 7-11, when
you sign up for the service.

Mr. Jackson, is the company going to solicit the advise of any national public relation firms to help in the promotion of the
advances of digital angel or is that going to remain in-house with Mr. Sullivan and yourself?
      A. As I mentioned in my opening statement, we have retained a consulting firm whose marching orders are to quantify the
market and helps us reach out to potential partners. If you are refeering to the the PR issues of D-A, we had retained the
services of a firm at the time we purchaseds the ## patent.

Can you tell me what makes digital angel technology superior to current gps locators such as Lojack in the automobile
      industry tracking
      A. In the interest of time, I will refer you to www.digitalangel.net. Briefly, it is the combination of web-enabled wireless, GPS
AND bio-sensor technology that differentiates ## from anything else out there.

      Mr. Jackson
We got around ~50 RSVP responses-
Can I assume that these were 50 positive responses and that at least 50 people will be attending?
      ThanQ
      A. Wow, do you guys read into everything? YES, 50 positive responses have been rec`d in less than one week.

Mr. Jackson, you mention that the new consulting company for digital angel will promote the potential markets...can we, the
individual investor get a copy of the report?
      A. It is likely that highlights from the report would be available at some point on the ## website.

      Mr. Jackson:
Do you expect to come out of the D.A. show with any contracts, license agreements, and/or JV announcements,
given the amount of attention and free ink D.A. has amassed in the last few months. It certainly would be a pleasant
      October surprise.........DM
      a. It is our intention to have at least one agreement in Q4 either as a result of the event or through discussions leading to
      up to it.

Mr. Jackson, can you comment on upper management, directors, officers` morale at ADS during this harsh market?
      A. Extremely upbeat, perhaps even more so than during the heady months preceding March.

      Regarding Cell phone uses
      Mr Jackson,
Will ## have to utilize PRAV patents in this arena of cell phone location detection?
      A. Dr. Zhou does not seem to feel that will be neccessary. Again, though, issues such as this will have to be addressed as
we move from prototype to an individual licensees product.

      Mr. Jackson:
Does management look at Digital Angel-Net as a core company or a potential spin-off/I.P.O.
Given the fact that so many products exist in D.A. potential market segments, has management developed retrofit
      marketing strategies to facilitate ROI.......DM
      A. At this point, D-A, due to its wireless capabilities and usage of ASP models, could already be considered "core"; it is
very much CTII. As to whether is would ever be slated for divesiture, one will have to wait and see. At any rate, it is far to
early to even consider such action.

      1) What will be the size of the prototype ## that will be shown on 10/30? Several have argued on the message boards that
you have said it will be "dime-sized" but I seem to recall you said it would be much larger at the demo.
      2) You answered on half of my question re: the reception capabilities of ##. Does this mean it CANNOT be used to tract
vitals of someone indoors for all practical purposes. It seems like this was a highly touted use for it but you only focused on
the tracking ability if someone were outside. Don`t mean to belabor the point but I think it`s important to understand this
      properly.
      A. First 2)GPS is not required to send the signal that contains the information from the bio-sensors. That is accomplished
via exisiting ground station infrastructure. GPS is, in effect, one-way.
      1) Refer to www.digitalangel.net

Mr. Jackson RE: to receive the income stream on the back side through utilization of the service.
I understand the razor/razorblade philosophy sooo...
ADSX will receive continued revenue flow after the original sale?
A Eureka!!!! The recent strengthening of our ASP model!!!

Mr. Jackson, the market is more concerned about profitability now instead of revenue growth. Is ADS liability, debts a
major concern? How, when will ADS reduce their liabilities?
      A. We have always striven to build ADS without undo debt. Our balance sheet shows that to be the case.

At what point in the future do you realistically see things coming together - please be honest about this - I mean the
troubles of the past quarter, SALE, ##, loss of credibility, etc. turning around to a solid positive trend.
This quarter, next, end of Q4 2001, 5 years? Please be specific if you can.
      A. I started typing a rather flippant answer before I remeber that Vulture had joined us. In fact, things have already begun to
come together. It is an ongoing and dynamic process.

Mr. Jackson, I had the misfortune to witness a 74 year old bedridden woman die in a house fire yesterday, the smoke
detector worked but she did not have a panic switch, could digital angel be placed in a smoke detector to act as a panic
button? I`m sure in the future an implantable angel could alert the change in body function, but what about now.
      A. This is already the realm of home security companies. I beiolev that a few of these such companies have been invited
and/or expressed an interest in the presentation.

Mr. Jackson, the wireless industry (examples: Nokia, Motorola) has been crushed recently, analysts fear decreasing
demand for wireless technology. Will this downtrend affect ADS?
      A. Quite the contrary. Value added systems, such as D-A could well go a long way towards revitalizing reveune and profits
in a market that has shown signs of falling victim to the results of its own extreme competition.

      I NEVER LIE:
That is crass of you to say that, hardly worthy of an executive with a major company. I would not stoop to say you are lying,
or Sullivan is lying. But what did Mr. Sullivan say last Dec. 7, 1999. He said the D A would be worth "hundreds of billions".
      Was that a lie
      A. Ah, the irony of one saying they never lie...it never fails to amuse me. As far as the market size for D-A, our consultant
will have researched number in the very near future. At that point we will no if "hundreds of billion" was an
exaggeration...my money says that it was not.

Mr. Jacson..in a news release a few months back, it stated negotiations were ongoing concerning prime time media
      coverage of ##.
Please inform the status of such and if it does happen, what may be the scenerio. What time of day would prime time be?
      A. Though these negotiations stalled for a short time, we are very much back on track. "Prime Time", I beleive, runs from
      8:00 or 9:00 to 11:00 PM ET.

      Mr, Jackson- Manufacturing
      One more ? please.
When/if the various buyers, DOD, ALL those cell-phone manufactures, etc. decide to buy (and it looks like it could be
some very large orders) will ADS be ready?
What kind of capabilities are now in place and if you can, what measures have you taken for future demands?
      A. It is unlikely that we would attempt to manufacture the D-A in-house. Dr. Zhou has identified several manufacturers that
have the technological and volume requirements to handle just about any size job.

      Mr. Jackson...
Can you tell me how your company`s l-commerce technology is superior to your competitors? Say companies like
      Paradigm Advanced Technology.
Do you own patents on the transmission or transceiver technolgy?
Is your technology based upon GPS technology routed over cellular networks?
What portion of the L-commerce market do you hope to capture over the next 12 months? That is, what specific areas
(besides companion animal) like military, fleet asset management, etc. Also, what percentage of the overall L-commerce
market? I am assuming you have set targets?
      Thanks.
      Durango
      A. The particulars of your questions will be answered more efficiently via consultant`s report. However,
www.digitalangel.net conatins much of what you request by way of patent info and competitors.

Mr. Jackson, I have about 275,000 shares of ADSX. Do you think I am a smart person?
      A. I would be willing to nominate you for the Nobel prize in Economics, had it not been awarded. The prudence of a large
position of any dynamic company is measured by your motivations and timeframes. I do not intend to sit hear today and
state that ADSX will do nothing but rise. I do feel quite strongly, though, that we are undervalued and that there does exist
great potential in our stock for those with the right expectations.

      SIGNING ON

      Good afternoon.
I wanted to take this opportunity to provide a couple updates since I am certain that I will not get a chance on Friday, my regularly
      scheduled time.
The excitement surrounding the Digital Angel presentation of Friday is evident. The announcement of Secretary Mineta’s
attendance, while met with only vague interest by the street, has gained the attention of the media and corporate America. As a
result, the return rate on RSVP’s is such that we are becoming genuinely concerned about the sheer number of attendees. Wall
Street has responded en masse, sending wireless/cellular, technology, and communications analysts from just about every
major firm. This is being recognized as breakthrough technology and no one wants to be caught napping. Attendees are coming
from as far as Europe, South America and Korea. All of this will be complimented by our advertisement on the Nasdaq MarketSite
Tower in Times Square on the three business days preceding the show.
      The excitement is well founded:
      1. We have received the preliminary report from our independent consultants that verifies what we have believed all along: The
market for Digital Angel is a multi-billion market.
      2. We are in the early stages of discussions to deliver the first production Digital Angels under a purchase order worth in excess
of $10 million with follow-up orders that could add an additional $20 million. While there is no guarantee that this order will be
consummated, it is significant both in size and in the fact that this is being discussed before the technology has been unveiled to
      a wider audience.
From a stock standpoint, it is certainly nice to see the upturn and the vigorous volume. It has been interesting to note that over the
past few weeks, a couple of market makers, KINN and FCAP have been sitting on the offer for a good portion of the day and then
turning around and making large block purchases. The action and the motivation behind this can be interpreted a few different
ways. My personal favorite interpretation is that that they have been trying to accumulate large positions for an institutional client at
the lowest possible prices. The logic is this: you sit on the offer to keep the stock from moving up, occasionally shorting to
maintain your offer. You them purchase during “naturally” occurring dips. The size of some of these blocks (10k-100k) is what
leads me to believe that they are institutional buyer. Again, this is just my theory.
I will take a few questions at this point, but I am trying to keep this to about an hour today.

      Mr Jackson
This has probably already been asked but:
When do you expect digital angel to begin having a significant effect on quarterly results
      A. As we have discussed before, the ability for D_A to generate licensing and/or JV opportunities starts now.

Mr. Jackson: Will a transcript or recording the meeting on Oct. 30 be available to investors?
      A. We are anticipating a webcast of the evnt shortly after the 30th.

      Hello, Mr Jackson
I emailed you couple weeks ago concerning the 1.6 Millions shares that have been sold to the Managment according to your
press release. You answered me that all the shareholders will have the detailled information about this deal in an SEC Filling.
When this filling will be posted? We as shareholders have a lot of question about this deal like how it was paid with (loan or cash),
who bought, what is the restriction in selling if any?
      A. Regardless of the mecahnics of the purchase, all insiders are subject to the short-swing trading rules. It is important to note
that a number of individuals who made the purchase were not subject to these rules and yet chose to file voluntarily, therby
      making themselves subject.

Mr. Jackson: What exactly was the device I was shown that was reputed to be a digital angel. It was encased in an acrylic disk
and was about 5/8 inch long and 1/8 inch around. Thanks for having the guts to come on this board.
      Regards, GPBABS
A> I am not certain what device you were shown, when, or by whom. The description generally matches that of a Destron Fearing
      chip, however.

      Mr. Jackson,
You stated that your independent consultant has priced D A as a multibillion market. The attendees will get a copy of the report.
Why can`t we the faithful investors get a report?
The SEC just implemented fair disclosure rules!!!
      ---Frustrated stockholder!
      A. Regulation FD surrounds financial projections made by a company and insure fair disclosure. The report will be available only
to those for whom JV or other partnerships are appropriate. Once we have a full report and based upon approval of our
consultant, we will release the information to the financial community including, of course, shareholders.

Hello MR. Jackson, thanks for your time
can you reveal the NET-VU client and subsequently the one million shares of stock that ADS now owns?
      a. The party has requested to remain anonymous at this time.

      Mr. Jackson
Which part of the business do you feel will be the bigest money maker for ADSX, the ## or the tech business?
      A. They are really part and parcel of the same CTII focus of the company. D-A employs disciplines from each of our core
      technology groups.

      Mr. Jackson,
Does ADSX expect national news coverage on network news, syndicated newspapers, etc..?
We hear alot about the limitations of ## due to GPS satellite restrictions, ie.. will not work inside buildings, etc... - could you
      respond to these concerns?
      Thanks for the information
      A. The full list of media is still being compiled. We have confirmed, however, member of both national and international press.
Regarding GPS limitations, please refer back to previous sessions for those discussions. We do have to work within the existing
      state of GPS technology, however.

      Mr. Jackson,
What time will this even take place..Why is the guest list so secret?..Why not just post who will be there and who want its not as if
that is an invasion of privacy..Does this product compete with ,or is it superior to the animal tracking devices that the "Dearstrom
Fearing" (sorry if the name is incorrect)company make...Can this device be used to track people inside buildings?..
      A. The date and location is listed on the D-A website. The list has not been fully disclosed for both security reasons and the fact
that I do not want to solicit each groups` approval for such disclosure. The technology surrounding D-A, but Randy Geissler`s own
admission, is superior to Destron`s chips; its abilities open it to a far wider audience.

      Question Mr. Jackson:
Any planned live interview by Mr. Sullivan on CNBC or CNNfn the day of, or after the unveiling?
      A. Again, specific media coverage is still being solidified.

ADSX IR...... Will the dfco merger have a positive impact on the speed of FDA approval?
      A. If there ever comes a time when we are comfortable with need for an embedded applications, approval for embedded chips is
animals could assist us in that specific area. It is unlikely, however, that existing approval for animal use would have any effect on
      human usage.

mr jackson, are there any patents pending for ##? can an order be received before a prototype is built? how many analysts will
      attend the unveiling? thanks!
      A. With the assistance of our consultants, we have identified areas that we would benefit from additional patents.
The number of analysts currently stand at about 20.

Mr Jackson good afternoon. I asked this question about 5 minutes befor eyou signed on, and on`t know if you got it, so here it is
      again.
The last time you were here I believe you stated that ADSX had received 50 RSVPs at that time, although the invitations had just
      been sent out.
Could you please update us on the # of RSVPs and how many of them are affirmative?
      A. As of this morning, our attendance list stood at roughly 240. I haven`t paid much attention to the number of negative responses,
      though.

Mr. Jackson, Are the major competitiors of the ##?
      A. The technology surrounding D-A has a number of players, but no one has established a strong foothold.

Mr. Jackson, as an investor naturally I am interested in making money however I wanted to ask what, if any, the focus on ## and
      human tracking will be?
Yesterday the body of a 10 year old girl was found floating in a local lake. This girl has been missing for the last 3 weeks. My 9
year old niece goes to the same school and lives only minutes away from where this girl lived.
This is a big problem in our area (Vancouver BC) and it makes me want to cry thinking about that poor inocent girl. I`m sure if she
had a ## implant her chances of being found alive would be much greater.
I am expecting my first child in June of 2001 and without sounding hysterical and over zealous, I would be very inclined to have my
baby implanted with the ## chip.
What is ADSX`s position on this. Thanks very much!
      A. Congratulations! As some know, I have 4 year old triplet boys. Some say that is why I got into IR...I am used to dealing with
      large of demanding individuals (LOL).
What the general public should be hearing is that we are being very careful about the issue of "implanting". There may be only a
few, very extreme applications where an embedded chip is of any more value than one worn close to the skin.

Mr. Jackson ( I am trying to stay non controversial, all of those thoughts will be answered eventually and even D A probably
couldnt rescue Sully if insider fraud comes out)
The newes relationship with SALE is interesting, can you expand on potential and is there any other news concerning sale of
SALE? and when will you officialy announce negotiations with ATEC again?
      A. The announcement yesterday, although credited by Marketwatch as the reason for the upward movement, is not really all that
significant from our (purely business) perspective. It is always great to get additional distribution channels, especially ones with
very admirable ideals, but the impact on SALE`s results remain to be determined.
We would release information regarding ATEC if/when there was any news to announce.

I`ll skip the cut and paste on this one. The issues you bring up are not taken as "slams". They are, in fact issues that have been
brought to our attention before. Obviously, any issues that would potentially prevent a succesful roll-out of a new technology need
to be addressed. That having been said, it is important to note that the prelim report I referenced earlier did not address any of
your issues as significant from either a social, religious or technical aspect.

Mr. Jackson, will there be any representatives of the health industry attending the unveiling?
      A. I can confirm the attendace of a CEO from a Fortune 500 healthcare company.

Reagrding the 10 million shares filed..
Could you explain this Mr. Jackson..Was this 10 million to be unloaded on the market or was this a purchase?
      Thank You,
      A. The filing was made pursuant to merger/acquistion agreements with previously announced companies.

Bob Jackson, PLEASE READ. How are you sir. My question is do you agree with the revenue projections Richard Sullivan gave in
an interview with Wallstreetreporter.com early this year of over 850 million in 2001. Also,he mentioned that the company shoud be
worth in excess of 1.5 Billion Dollars at the present time. Do you agree with these statements and do you feel it was appropriate
for the CEO to make these comments. Thnk you very much for your time.
      Concerned
      A. I work for Richard. On the one hand that makes me comfortable with just about anything he says. However, it is certainly
possible to see reveunes approaching that level for 2001. As to the valuation, Richard was not pulling numbers from thin air. he
was applying the multiples that the market was assigning to other companies in our space to our situation.

      SIGNING ON

Good Afternoon. Obviously, we have a lot to talk about today. As such, please try to review each message during the session to
insure that we are not duplicating questions.
The DA showing on Monday was everything that we had hoped it to be. The 300+ attendees were given a presentation on the
markets and potetial for DA and a live demostration of its capablities by tracking and monitoring one of Dr. Zhou`s research
assistants who was driving some 20 miles away. Individual meetings were held with potential partners, follow-up meetings with
Wall Street analysts and influencial brokers have been scheduled, and media coverage was heavy. Our media tracking company
registered 12 hits on October 30th and an additional 31 when the b-roll (an edited version of the presentation for distribution to
media sources) was delivered. In all respects, it was a tremendous success. We will be posting the b-roll or other version on the
website in the ensuing days for general viewing.
The price of ADSX is in NO WAY a reflection of the markets interest in Digital Angel or ADS, as a whole. I came back to my office
on Wednesday to over 200 emails and close to 50 voicemails. The majority of them started off with "I just saw DA on my local
news and wanted to get additional information about investing..." My assisitant has put out more investor packages that I have
ever seen go out in one week. Once again, for whatever reasons, we are stuck in some sort of technical trading range. In the face
of very significant pressure, though, our stock has demonstrated a tremendous ability to absorb the selling. This is a testament to
the general interest and belief in ADS.
The interest we have acquired in ATEC Group from Mr. Remetra is designed to facilitate the return to profitability of Intellesale.
ATEC has always had great distribution channels; Intellesale`s forte` has been in the procurement of product. Management styles
also are very synergistic. This action bodes extremely well for both concerns. The extent to which this develops into a more
strategic relationship will be determined by a careful evaluation of the each has upon the other during the coming months.
In the interest of time, I am reserving the right to ignore those questions that are designed soley to be argumentative. Individuals
interested in debate are welcome to call me directly. Further, non-public or "undisclosed" information will remain just that.
      With that let`s get going

Sir, Thanks for the opportunity once more, which leads to my questions.
When do you see these bi-weekly hand holding sessions to be irrelevant in relation to significant events making them
unnecessary? They currently fill a need as Applied is a weak stock with no analyst coverage, but I would expect that to change.
The private placement seems to also be driven from a position of weakness. From what I understand about Elliot & Co they have
a certain ill repute especially with their dealings with Peruvian bonds. Is $7.69 less 5% fees the best we can do? It seems as
though this is selling the future cheap.
      Thank you for responding
      A. These session, in my opion may nevr become unneccessary. A recnt article in IR Magazine which talked about the future of IR
indicated that there is a fundamental change underway. Contact with the individual investor, especially in light of Reg FD, is apt to
become an increasingly important aspect of IR. This has been borne out over the last few weeks through discussions with other
IR professional who have solicited my input in how to grow increase the distribution of their shares to a wider audience.
The issues with Elliot and the Peruvian government are well-documented. Although they thier actions can be interpreted as
malicious toward Peru, the fact of the matter is that they, like you, invest to make money. They are extremely astute and
      competent investors.
The need for the cash is not from an operating standpoint, but from a balance sheet perspective. We are embarking upon
negotiations with extremely well-heeled partners for DA. We need the ablity to be able to walk away from these negotiations.
Financial strength, cash in the bank, is one of the surest method of assuring that we can gain the best possible partnerships.

ADSX_IR, is ADSX in fact in talks with QCOM and NOK?
      Thank you
      A. You should know better that to ask me to confirm a rumor.

Question to ADSX IR, as mailed to you last night....
      Dear Mr. Jackson!
First of all, sorry for my English, but I am from the heart of Europe,
      from Austria.
I am very disappointed, that nothing detailed about the unveiling is
      being presented.
No details about attendees, no short video of the unveiling on
      www.digitalangel.tv, etc.,
in fact as ADSX shareholder I request more information in that topic.
Further I found in the ragingbull board that message.
      A. The b-roll, I just found out, will be on the DA website this afternoon.

      Mr. Jackson:
I have concerns with what appears to be a significant dilution of our stock value, as well as an apparent `lack of focus` by
management. We seem to be spreading ourselves thin by going in so many directions rather than focusing on one direction and
executing. I have been a shareholder for approximately 1 1/2 years and have what I feel are shared concerns about the direction
(or lack of) the company is taking at this point in time.
Thanks in advance for your response to these concerns.
      A. Yu have been a shareholder during a time of restructuring and significant growth. During the 4th qtr, many of your concerns
regarding direction will be brought into a very clear focus. I have indicated in the past and feel more strongly now that this is a
      pivitol time for ADS.

Mr. Jackson...investor sentiment is low. Morale is low. We are extremely frustrated that the company seems secretive. For
example, why can`t you give us the name of the consulting company? Name of the company, ADS bought DDS proprietary
      technology from?
When we a DA product be available for the commodity tracking versus human tracking?
If we had more concrete facts, we would have more faith in the company and management!
      A. Your questions are legitimate. The reason we cannot disclose our consultant is that they have specifically requested that we
not do so in writing. In the presenation and to any that have called me to inquire, I have always been willing to share their name.
Similarly, the partener from whom we bought the streaming technology and the partner to who we sold the NetVu license have
requested that the names not be shared. This is an extremly competative industry in which proprietary technology of bundling of
technology needs to be kept under wraps until its debut.
DA technology for tracking of commodities technologically viable now. There exist a number of applications among the 26 vertical
markets identified that can be acted upon in the very near term.

      mr. jackson,
in your opinion, what do you think is holding down the price of this stock right now?
      A. It is difficult to say with any certainty, but the fact remains that there are certain market participants who have been extremely
active in the stock from the offer side.

      Regarding ATEC
How many shares and at what price was the purchase?
      A. The number of shares to be acquired from Mr. Rametra can be found in the public filings of ATEC. The purchase amount has
      not be made public.

      Hello Mr. Jackson
      You state:
one of Dr. Zhou`s research assistants who was driving some 20 miles away.
The tracking of D.A. is then not interrupted by (car) electronics or the steel structure of a vehicle?
Mr. Sullivan spoke of an annoucement in Q4 as to a JV?licence agreement are you still confident of this? Thanks
      A. Transmission from within a vehicle posed no obstacle. The testing of our demostartion commenced about three weeks ahead
of the show to insure that there were no techical glitches.
Following the show, we feel VERY confident that we will be in partnership or sign a license during Q4.

Mr. Jackson, I am a 20 year old college student who has invested a great deal of money in your company last year at a price of
$14.00. I invested based on Richard Sullivan`s comments during an interview when he stated the value of the company should be
in excess of 1.5 Billion dollars. Do you see the value of your company approaching this number in the near term and if not why
does the CEO say these things if it is not the truth. Also, he states that all types of deals are in the works, how come we have not
      seen any for DA.
      A. I have always maintained that Richard`s comments were both accurate and appropriate since they were based upon factual
      data and relevant market ratios.
In regard to the "deals", Rome was not built in a day. We do feel though, again, that we will have an greement during Q4.

      Mr Jackson-
What is the story with Intellisale? Did Sullivan and
company just write that off and is now jumping on the
DA thing? What`s the story? Are the investors supposed to
forget that he publicly announced that it would be spun
      off?
Also, why are there so many acquisitions being done in
the face of the falling stock price. Isn`t further
dilutions ONLY going to cause more problems?
      Thanks.
      A. Intellesale remains an work in progress. Marc Sherman and his team have made some tremendous strides at getting
Intellesale back to a profitabile model. The alliance with ATEC Group furthers that.
Keep in mind that we are not the only stock which is currently down. I could list off a number of far more recognizable names than
ADS who have also fallen significantly. This market means that there are a great deal of companies that are selling at bargain
prices and a larger number f private companies that now cannot enter the public markets via an IPO. Yes, our price is down, but
this is a great buying opportunity not only for investors, but for us, as well.

Mr Jackson If you recieved a purchase order today for 1,000 da`s for tracking , lets say freight, how long would it take adsx to ship
      a finshed product???
      A. I do not have the specifics on that but I can tell you that the engineering and manufacturing capabilities have been established
      for some time.

Good afternoon, Mr Jackson. According to filings of 9/28/00, Rametra Surinder owned 2,140,640 shares of TEC. Are we
purchasing the full amount? It is roughly 21% of the company as I understand it. Do you know the price we paid for these shares?
      A. I beleive that we are acquiring his entire position, but I cannot offhand comment on what % that equates to. The price, again,
      has not been made public.

Thank you for your response, Mr. Jackson. Could you please be a little more specific in addressing my concerns regarding the
dilution of share value as well as the direction in which the company will be heading. Thank you.
      A. Lets talk about the issuance of shares since many have that as a primary concern.
The issuance of shares for acquisition has long been the primary means for ADS. This should NOT come as a suprise to
anyone. We have grown a company from $300,000+ to $3.3+ million in a short period of time. During that time, we have remained
profitable on an annual basis. In issuing shares as payment for acquistitions, we have avoided overburdening the company with
      debt.
I hesitate to continue on this tact for fear of being percieved as insulting, but look at what has been accomplished and how it has
been accomplished and then attempt to find fault.
The direction of the company is as it has always been, although more formally adressed upon the restructuring begun in 1998: to
grow a profitable business around emerging and proprietary communications technologies.

And if it is a direct "line" the distance inbetween would not be effected or would it?
      Thanks
      A. GPS is essetially an one-way street. It does not receive signals, only transmits. The signals are interpretted by the GPS
receiver. In the case of DA, those signals are then transmitted to a groundstation and then ultimately to the end user at a
      terminal.

      IBM CREDIT AGREEMENT:
This new agreement apparently says nothing about ADS`s revolving credit line. Does ADS still have this ability to finance
operations by drawing on the revolving line of credit, or has this been cancelled by IBM? Have they called in this revolving
      loan?
      A. That fact that there is a NEW agreement would seem to indicate that the loan has not been called in.

Selling $20 million (net $19million)of convertibles with warrants appears to have been a very expensive way to raise cash,
especially since some shares were sold to a firm that "..specializes in distressed securities" (Elliot and Westgate. Why
were cheaper financing arrangements not sought, even the sale of more shares, rather than burden the future earnings
with this convertible sale. Are we to now take it that ADSX stock is "distressed"?. It sure seems to be.
      A. "Distresed securities" seems to be a term which could be applied to the vast majority of the Nasdaq right now. The
secondaryu you propose would have automatically generated the dreaded "D"-word that you so veemently oppose since it
would have to have been sold at market prices.

      Mr. Jackson,
On Digital Angel TV, there is a short video about the D.A. On it, the female narrator says,
"A miniturized transceiver known as the Digital Angel"
"The transmitters would be monitored by global positioning satellites thousands of miles above the earth"
"The same technology used to steer jetliners"
I`m under the impression that GPS satellites cannot monitor something like this, that they are only "beacons" sending time,
orbital, and satellite health data, and the only thing that they receive is ground control signals.
Is ADSX planning on updating or replacing this video to more accurately reflect how the units actually work (receiving
signals from GPS and transmitting to ground stations)?
      A. Noted...I will check it out after the session

Mr. J, could a coordinated effort against ADS and ## by anti## forces be depressing the stock price? Are they trying to
`take away our ammo`? what kind of attention is being paid to marketing and PR? are focus groups being used?
A.. It is unlikely that the small % of individuals that oppose DA could mount such a strike.
The marketing of DA, the vertical markets and values of those market, is being guided by our consultant.

Can you give us some guidance into the TOP and BOTTOM line growth prospects/projections for the next year?
Please don`t skimp on the answer. Obviously, judging from the tone of the comments recently many of us long-time
shareholders want/need answers we aren`t getting
      A. As you know as a longtime holder, it has NEVER been the policy of ADS to project future growth on either TOP or
      BOTTOM line numbers.

You played that market card in the Spring... but everything recovered except ADSX - you publicly stated $8 was a great
buying opportunity - here we are at 2 7/8. Why should we believe you now?
      A. The reasons for the flat trading over the summer have been discussed at great length. Ironically, many of the companies
that did stage rallies over the summer are right back (or lower) to their March levels.

      Mr. Jackson,
Why are there 2 registered Nasdaq dealer/brokers on the board of directors?
      A. Answered in previous sesseions. We are talking about life insurance and annity business here.

Scratch my last question, he actually answered it. Now how about the one about whether ADS has sold its 3 million shelf
      from last spring?
I and others can vehemently oppose further dilution, but that doesn`t stop Richard Sullivan, does it?
      A. The sale of securities via shelf registration requires additional amendments to the filing. As you know, there have been
      none.

Mr Jackson, I noticed that the US Commerce Secretary
was at the presentation...can you comment on why and if there is any Government interest in DA? TIA
      A. As the body which contraol the FCC, FDA, millitary and a host of other agencies with potetial applications for DA, their
      interest is apparent.

AGAIN I ASK, MR JACKSON, SINCE THERE ARE A LOT OF SHAREHOLDERS CONCERNED WITH THE NEGATIVE
PR SPIRAL WE HAVE BEEN IN. PLEASE EXPLAIN WHY ADSX WAS SO DESPERATE TO ENTER INTO A
FINANCING THE LIKES OF THE CONV PREF JUST ANNOUNCED? THE ARBITRAGE BY ELLIOT ASSOC THRU THE
MM INCA IS KILLING ALL CREDIBILITY IN THE STK AND THE CO!
      A. If you can find eveidence linking the declining stock price to the convertible, as opposed to spouting conjecture, I would
      love to pursue this avenue.

We are not the only ones` concerned with dilution, it is obvious to me that no one will get near this stock as a result of the
massive dilution. You speak of growth from 300,000 to 3.3 it means nothing to me until we produce bottom line earnings.
PERIOD, if the answer is wait, than fine we need to make a decision but the constant promises of contracts and growth I
      have not seen
      A. "...until bottom line earnings" Please review AR from each of the last five years. As a shareholder, you should know your
      companies earnings history.

According to your statements on the DA demonstration, that if one was lost on an icy mountain with a DA, one would also
have to have a cellphone to make it possible for one to be found? Glad to see other skeptics here. Buyer beware.
      A. DA transmits to the same ground stations as cellular phones.

Won`t answer about Elliot and Westgate will he (you). Is ADSX a "distressed security" or not Mr. Jackson?
      A. What is the definition of a distressed security? Answer that and I will let you know.

      MR. JACKSON,
If I were a prospective investor looking to invest in ADSX right now, there`s absolutely nothing CONCRETE you are stating
today that would give me a warm and fuzzy feeling. There`s also nothing I as an investor can objectively make my decision
on since there are secretive deals where terms are not made public and there`s lot`s of bread but "where`s the beef"? My
question is how do you expect the stock price to go up since I am certain most of us feel the same way. PLEASE
      RESPOND
      A. You are excatly right. I an not stating anything concrete to give anyone a fuzzy, warm or otherwise. I do not come here to
encourage people to buy the stock. That is a determination to be made by an individual after engaging in some DUE
DILLIGENCE, not after having been on a chat board.

      RE: Follow up Mr. J
Let me try to ask a little differently (my fault).
Does the D.A. unit require amplification (let`s say a 1000 mis. away from home base) along the way to stay in contact with
      the GPS or home base.
      A. DA uses the same infrastructure as cellular phones.

I think you will find as time goes on, and if these chat sessions continue, the tough and unfriendly questions will dominate
these. In fact they will get worse if the stock continues to decline (I believe the stock will continue to decline). Mr. Jackson
will then have to make a choice of either responding to those questions or not bother with these sessions any more. We`ll
just have to wait and see.
      A. I think that that is exactly the intention of some posters, to get me so irritated with these sessions that I give up. Not
going to happen until 1 single verifiable shareholder tells me to quit...maybe not even then.

      LAST QUESTION
I will stay long enough to clear the back log.

you have spoken some threads before about ground stations. Please can you tell me, where are the ground stations, must
you build them at first, and do you need them in the quite word or how is it going ??
      Thanks for answer Jani
      A. The grounstations exist and are part of the cellular network.

      MR. JACKSON>>>>>VERY IMPORTANT PLEASE ANSWER!!!!
If it is ADS policy to NEVER make projection on top or bottom line growth then why in an interview did Richard Sullivan state that
the Top line would be in excess of 850 million? the interview was with wallstreetreporter.com or something. I can find it for you if
      necessary. Thank you
      A. I beleive Mr. Sullivan indicated a run run figure, not an actual revenue projection.

Mr. Jackson, Is QCOM`s recent test of locating of cell phone users which was tested a week ago in direct competition of DA? I`m
not a technical person but as I read QCOM pr I wondered if their is a lot of competition for DA. Thank you!
      A. The SnapTrack technology that QCOMM displayed recently does not contain the bio-sensor aspects of DA that make it useful
      in medical monitoring.

ADSX facts/ #s speak for themselves
      1 profitability since 1995
      2 solid balance sheet
3 successful execution of a very dynamic buisiness plan
4 upcoming entrance into $70+ billion market
You folks have to understand that that Mr Jackson cannot answer all of the questions asked here, for legal reasons ect. No I dont
      work for ADSX either lol
Mr Jackson, when will ADSX enter the wireless market?
Do you have a time frame?
      Thank you.
      A. We have been in the wireless market since inception, recently naming Gary Gray to head further development in that area.

Mr. Jackson, Why the big pr push to announce the annoucement of the unvieling? and now afterwards theres nothing?
      A. As indicated earlier, our medioa service has recorded over 40 hits since the presetation, not including our own release the night
      of the 30th.

Omega, you don`t owe anyone an apology for anything. You have paid for the privilege to say what you like. He has not only
accused me of being "prejudiced" (in an email), but also publicly stated "...vulture lies like a rug". I would challenge him to prove I
have ever lied about anything. When it comes to asking them about "lies", they turn around and call it "exaggeration". Keep up the
      good work Omega.
      A. Vulture,
You emailed me an ethnic joke that I found offensive. It is might right to say that makes you predjudiced. You have alo emailed a
number of conflicting reports as to your involvement in ADSX.

      Mr. Jackson:
How would you charaterize the response so far (from industry, analysts, etc.) with respect to recent innovations presented by
      ADSX? Thanks.
      A. Responses have been very encouraging, indicating a determination to learn more about what we are developing. We are not
dealing with companies that have succeeded by jumping at the latest technology without completing a thorough investigation. The
same can be said for the response from mainstream Wall Street.

      Mr. Jackson
When is the reverse stock split going to happen?
      A. There is no discussion of any reverse stock split. Absolutely not.

      SIGNING OFF
Thank you for your questions and insights. As always, even when the stock price goes up during these sesseions, I will be

      SIGNING ON
I will be avialable here today from 11:00 AM EST. I would ask that you chat amongst yourselves and come up with a list of
questions that a majority of participants would like to address. Maybe vulture, omegaman and bizzo could coordinate on
the tough ones so that I can I only have to avoid one set of questions. In all seriousness, I want to bring a level of decorum
back to these sessions and I do want to have everyone come away knowing more that they did before.
      SIGNING OFF UNTIL 11:00

      Good morning.
I would like to start by providing additional insight into two recent event, the acquisition of a controlling interest in SysComm and
the “memorandum of understanding” with Blue Impact AG.
The acquisition of SysComm, first and foremost, is not a discreet, singular event. It is the first tactical step in a greater strategy
previously laid out, namely, more accurate valuation of Applied Digital Solutions underlying assets. The acquisition of SysComm,
and their subsequent acquisition of our IPC subsidiary, provides a means of moving undervalued assets into the public markets
where they can receive a fair market capitalization. The choice of SysComm as the vehicle has to do with IPC’s abilities to
enhance SysComm’s existing strengths more than the inherent value of SysComm, itself.
As this strategy unfolds and expands, our shareholders can expect to benefit from participation in each of these
ventures. Put simply, it more likely than not that our shareholders will receive shares in these ventures.
The “memorandum of understanding” with Blue Impact is a major development with DA. This letter of intent lays out, in terms
more specific than its title would suggest, the plan to incorporate DA into Blue Impact’s TellMan product in two stages. You can
learn more about Blue Impact and TellMan at: http://www.blue-impact.com/english/start.html. This is an important first step in
every partnership. Further, Blue Impact’s membership in BITKOM provides an entre’ into that organization. For more information
on BITKOM, visit: http://www.bitkom.org/index.htm (you will need to put this through a translator site unless you read Gernman).
We will continue to advise our shareholders of further developments, as appropriate, in this and other DA projects in the works.
Our recently released Q3 report shows in all respects, a company moving in the proper direction. We bounced off the worst
quarter in the company’s history with direction and momentum which will accelerate through Q4 and beyond. As mentioned, we
expect an EBITDA number for Q4 in excess of $16 million; our annual revenue run rate should approach $500 million
and we expect shareholders equity to be in excess of $3.00/share by year end. That places us trading at less than our
      expected book value.
In regards to the effect that the convertible preferred might be having on the stock price, it is interesting to note that PRIOR to the
closing of the transaction (Sept 30 filing), the much maligned Elliot Associates held a position of 850,000 shares. It is unlikely that
they are attempting to influence our share price in a negative fashion, as this would cannibalize their own long position. Also of
note, our institutional holdings are increasing, both in raw number and percentage. Keep in mind that the reported numbers
compare shares held as of a particular date, in this case Sept 30, vs sharesoutstanding ON THAT SAME DATE.
With that, I will open it up to questions. In order to allow every participant to receive an answer to his/her question, I would like
participants to limit themselves to one question each. Please follow the threads to see if your question has already been
      answered.

MY CONCERN...APPROVE MORE DILUTION VS. DELISTING?
      A. The chances for delisting are somewhere between slim and none. A very specific set of unlikely events would need to occur in
order for delisting to occur. This is a disclaimer included in SEC filings due to the fact that it a remote possibility, not a likelyhood.

      Mr Jackson,
In a previous session you stated that ADSX expected to be signing a deal before the end of year. I was wondering if that Blue
Impact Memorandom was the deal you were reffering to, or is there an actually JV or licensing agreement that is in the works?
      A. The Blue Impact LOI is certainly the first step towrads this eventuality, but by no means the the only possible JV/license which
we are working on. Dr. Zhou has been traveling almost non-stop since the presentation and has interested parties worldwide.

      Mr. Jackson:
Is Mr. Richard Sullivan intentionally pushing this stock toward delisting and the pinks? Seems he is not concerned at all about ever
declining stock prices by his continuing to use these "devalued" shares for more and more acquistions.
      A. As the largest single shareholder of ADSX, Mr. Sullivan has the single largest motivation for returning shareholder value. As
discussed before, the current market environment is ideal for finding other companies that have either been similarly affected (in
the case of public companies) or have lost their access to enter the public markets (in the case of private companies).

MR JACKSON, is the conv pref pp by elliot assoc EFFECTIVE? IF NOT, PLEASE PROVIDE DATES WHEN EXPECTED. have
you verified whether elliot, thru inca, was shorting the stk? you have availability to gather info from the transfer sheets. thx.
      A. As you may know, INCA or Instinet is used by a variety of MM`s to indicate the desire to buy or sell. INCA is not, in and of itself,
a MM in the tradition sense. As to Elliot, with their filing of a long position as of 9/30/00, it is unlikely that they have been attempting
to negatively impact our stock. I do not yet have an effective date, though.

MR. JACKSON, thank you for your time. I would like to say your opening comments were a breath of fresh air as to howADSX has
has contacted shareholders in the past
      A. Thank you. I wanted to insure that these sessions returned to their original intent.

Mr. Jackson...I want to know what applications are being developed for the DA tech?
Press release state elocation, commodity tracking, etc.... when will these software/applications be released??
Also, why isn`t Destron fearing winning contracts with DA tech in say cattle tracking? Is it because no software/applications are
      presently available.
      A. We have developed the ASP model, Digital Angel Delivery System, to effectively handle any specific applications. Without
divulging too much of the confidential report from McKinsey, I will let you know that of the 26 vertical market, 5, each with
significant market potetial, are within our reach in the short term.
Ironically enough, Randy Geidssler will soon be sharing some recent developments within the cattle business.

mr jackson, can you tell us WHEN any analyst will cover this stk? you have given us the carrot for months, but have not delivered.
      A. Grub, although you are exceeding your question limits, I feel that your question is most likely shared by a large number of
shareholders. Notwithstanding the fact that if there was EVER a time to be without coverage this is it (too many trigger-happy
analysts slashing targets with the least provocation)I continue to work toward coverage. The fact is, though, that trading where we
are and in a difficult overall market, mainstream coverage is hard to come by. I feel that the wallstreet investment community, just
like the mainstreet investors are anxious to have us deliver on a DA contract before jumping in.

I`m concerned about what is happening with Intellesale group. Why would someone want ATEC (revenues are declinging)
especially at the cost? As I understood previously, Intellesale is up for grabs. However, I don`t see how adding more companies
with declinging revenues and profits (or lack of) could enhance the group.
      Please explain.
      A. Intellesale has always been able to secure product in wholesale fashion; it has been not a strong on the distribution side.
ATEC, on the other hand, has had no difficulty in distribution, but has had procurement issues. The fit is natural, especially when
taken in the context of other recent events. Please do not take my answer as evasive, I am saying all that I can at this point
      regarding SALE and ATEC.

      Mr. Jackson, thanks for stopping..
in your opening post you state:
As this strategy unfolds and expands, our shareholders can expect to benefit from participation in each of these ventures. Put
simply, it more likely than not that our shareholders will receive shares in these ventures.
This would seem to imply a spin-off or IPO.
Can you give a time frame for this venture? first half of `01? in `01?
      Thanks
      A. It does not imply anything..it states outright that it is our intention to deliver shares in each venture to our shareholders. The
timing is subject to several functions, but it is reasonable to expect that this would be during the first half of 2001.

      Mr. Jackson:
The earnings release said 2000 revenues will be near 500 million dollars and EBITDA will be 16 million dollars for Q$.
May I conclude properly a contract has been completed since 30 September with payment within Q4 is in hand that will propel
revenues to 500 million dollars for 2000? If so, when will this great news be announced?
      A. Run rate and actual revenues are distinct. Run rate assumes that every revenue source on Dec31 was in place at Jan 1. Our
actual number for the year will be less than 1/2 billion, since some companies were acquired midway through the year. Your
assumption on the latter, is correct though.

      Good Morning Mr. Jackson,
Thanks for taking the time to meet with us shareholders.
My concern is allegations that a certain individual on this thread has been making concerning the dual licensing arrangement with
      MCY.com Inc.
He makes the case that this arrangement can be viewed as an underhanded method of exchanging ADSX shares for cash to
      enhance revenues.
Sadly, his argument has struck a resonant chord with me. I can`t get it out of my mind. It is bothering me because I have seen
other companies do something similar and the end results were not pretty.
Please explain why the deal had to be structured this way.
      Thank you.
      A. This arguement neglects to take into consideration the value that each license has to each company. MCY rec`d a
non-exclusive license, we, and exclusive. The security measures that the MCY product brings to the Digital Angel Delivery
      System is extroidinbary valuable.

Mr Jackson, does ADSX plan on tracking cellular phones in the near future, or is there already a chip that does this?
ADSX to 200+ GO ADSX GO
      A. The FCC mandate that calls for 911 calls from mobile to be more carefully located has a few major companies addressing
that. Our ability to provide the sensor technology certainly gives us a competative edge, but it is uncertain whether this will be a
      primary target market.

mr.jackson thank you for taking the time to answer our questions, are we still negotiating with the worlds largest shipper of
perishable goods to use our d.a. thank you in advance
      A. I just confirmed that we are still in discussions, but I do not have much beyond that.

      Good morning Mr. Jackson
One question I have. The company has had 7 acquistions and can you tell us who received the "finders fees" associated with
      these purchases? Thank You. JBird
      A. The "finders fees" associated with each have been rec`d by a variety of unaffiliated individuals or bankers.

      Mr. J:
When do expect FIRM orders for DA to appear?
      Will they be actual sales?
Can you give us a clue on volumes?
      Any sales in first quarter?
When can we expext to see the first delveries after the first order? 1 month? 6 months?
      ThanQ
      A. Pretty tough questions since a great deal hangs on who the first firm partenr is. Blue Impact has existing orders for TellMan
which could mean DA sales to them in first or second qtr. Dr. Zhou is also is speaking with a major reatiler who commissioned a
feasibility study regarding placing a DA-like chip into a line of kids clothing. The report came back as feasible, but expensive. They
learned of DA at just about the same time they got their report back.
So as not to get my neck wrung by my attorneys, I will add that having a discussion in no way is meant to imply that a deal is
      being struck.

Mr. Jackson, thanks for being brave
for my one question I would like to know if insiders are still buying or selling and if the latest addition to the filing was to forwarn us
that the insiders have been or are trying to sell?
      A. I am unaware of any selling except a small amount by 1 individual to help out in the purchase of a home (property?) closer to
the office. In addition, Dan Penni, one of our Directors recently made an open market purchase of 50,000 shares.

      Profitability is a concern-
When do you see ADSX becoming self sufficient with positive earnings. A company can only do so much with private placement,
loans, etc. There comes a point in time whereby the company as a whole must show at least 3 quarters of profits before interest
is shown. Please advise because of have one more question as an add on to this which relates to the acquisitions and all being
      subsidiaries.
      A. Profitablity is always a concern. The company has NEVER acquired a company that has not been accretive either immediately
or within the first 12 months of acquistion. As with many acquisitive companies, we have chosen to to use the purchase method
of accounting rather than "pooling of interest". This does generate goodwill but in no way changes the CASH EARNINGS of the
      company.

      Mr. Jackson
Why did Sullivan pay $7 a share for Surender Rimetras shares when they could have be bought on the open market for $1.50 a
share? As to dilution and more dilution, how long do you think this can continue before we hit the pinks? The buyers just aren`t out
there. Stock has dropped since you came on
      A. First, as mentioned in the past, I do not come here with the intention of affecting share price in the moment. I come hear to help
shareholders better understand their company. Mr. Rematra`s shares were purchased directly from him for not with an intention
of gaining "x" number of shares, but for gaining specific shares.

Mr Jackson, when does ADSX plan on getting into the ``multi-billion dollar wireless market`` as previous stated a few months
      back?
      Thats 2 questions, sorry
      A. Digital Angel is very much a wireless product and its market has been identified as multi-billion.

      Mr Jackson
I also question whether the BITKOM DA deal is the much anticipated 4th qtr licensing agreement we have be waiting for?
You also have stated that it was expected to resolve the Intellesale issue in the 4th qtr.
      Is that still true
      A. Blue Impact came into the radr screen long after we discussed our confidence at having a JV /license during Q4. In regards to
ATEC, the resolution to that situation is already underway.

It is troubling that there is widespread belief that ADSX mgt is self-serving. For example, last year when revenues were declining,
Mr. Sullivan and others were given relatively exorbitant salaries/bonuses. There are many other examples that have been cited by
otheres. And now, it sounds like since he is a major shareholder in ADSX he personally stands to benefit by the plan you just
announced to "deliver shares" in each venture to shareholders. Understand I am not accusing anyone of any improprieties, but it
seems to be widespread consensus from opinions I have read about the co.
My question is is Mr. Sullivan aware of this perception of him and other mgt and what is mgt intending to do about it?
I would think the stock would rally strongly if this were addressed in some fashion. This is a legitimate question that I hope you will
      address seriously.
      A. The most self-serving thing that ADS management can do is return shareholder value. It is that simple.

I would like to clarify why your acquisitions have been kept as subsidiaries and not divisions.
The way I understand it, as a subsidiary they still maintain their own accounting, etc. Typically when companies are acquired, cost
reductions are set into place and consolidation takes over. Now some of the companies you have or will acquire are not doing that
well. Revenues are on the decline. I can only assume based on the current information, ADSX is basically looking to spin off
anything that is currently a subsidiary since it is would be more difficult to consolidate funtions for the companies. Please clarify
the reason for subsidiary vs division.
      A. I will confer with my CFO for this one and post later.

      Mr. J:
When/Where can we get/see the recent conference + analyst report?
The report will likely remain confidential for a while. Excepts from the conference can be seen at digitalangel.tv

      Mr. Jackson,
The question this person was technically wrong, referring ti "insiders". What I believe he meant was the 18 million shares being
sold in the last SEC- S3/A Filing.
What say you to that enormous amout of selling pressure?
Why do nearly all the former owners that take adsx shares in exchange sell 100% of those shares at the first legal opportunity?
      A. The shares that are registered under and S3 pursuant to merger agreements are in no way indicative of the actual selling by
those individuals. The S3 is filed only as a provision to closing, not as an opportunity/intention to sell. An s3 is a shelf reg. allowing
those covered shares to sell "from time to time". The filing of an S3 does not mean they are selling.

Mr. Jackson.....any comment on not making the D&T Fast 500 list? One person keeps saying you should have been #29 on the
list instead of falling off by 500 slots. Thank you!
      A. After this session, I will calculating the number myself to see where we are.

Mr. Jackson how`s things down your way? Anything interesting happen lately? LOL
? Which type of industry or area (including govt.) do you see the greatest interest and potential for DA technology, both short term
      and long term? Thanks
      A. Unfortuately, the specific verticals identified in our report cannot be divulged. The development with Blue Impact, though,
accelerates our potential entrance into the medical monitoring area.

      Mr Jackson,
I have seen the figure of ADSX having an EBIDTA of $16 Million for Q4..Does that mean it is safe to assume that ADSX will have a
      profitable BOTTOM LINE?
      A. Unfortunately, I do not have clearance to go there.

      Mr.Jackson,
Why are the results of the conference remaining confidentail?
      Thanks
      A. The content of the report from McKinsey is remaining largely confidential, NOT the conference. The unveiling has been
covered, to date, by over 25 TV stations in numerous markets and dozens of radio and print media.

      SIGNING ON
I will be here at 10:00 AM EST.
      SIGNING OFF UNTIL 10:00

      Good Morning.
The decline in our market capitalization 1999 vs. 2000 is very much in synch with others in our business space and less severe
than many. Should we be content with that? No, but we should look at what the Company has accomplished in spite of market
      conditions.
      1. We have acquired and/or developed proprietary technology that allows us to be more than just an integrator of the technology
of others. Revenue from the licensing of NetVu, alone, stands to impact Q4 in a very positive manner.
      2. We have grown shareholder equity to the point where we expect a book value at December 31, 2000 to be in excess of
      $3.00/share.
      3. We have grown revenues to a new historical high.
      4. We have wrapped an operating company around Digital Angel technology in an accretive transaction that provides an
immediate entrance to several key markets
      5. We have made the first tactical steps toward recognizing the value of Company assets by moving them into the public markets
      6. Our December 31 Balance Sheet will show a significant cash position that will allow us to be competitive as we pursue Digital
      Angel jv’s or license agreements.
There are few companies in our space that can match this tremendous development of their business plan in a very difficult year.
Was the year without difficulties? Absolutely not. The IPO of SALE, or lack thereof, was a tremendous disappointment. The
DFCO merger with Digital Angel.net caused significant and prolonged weakness due to the arbitrage that has been discussed at
length. The recent financing may or may not be having a hand in the recent weakness of our stock, but that , too, will pass. If, in
fact, the Convertible Preferred shareholders, individually or as a group, are creating a hedge for themselves, it surely must be
close to an end. Continued pressure on the stock is ultimately self-defeating. These investors stand to profit more on the upside
than they EVER could on the short side.
Were any of these items avoidable? Perhaps. But the fact remains that we have overcome adversity in the past and we will do so
      again.
In short, we have not let the market conditions during 2000 dictate our strategy or affect its implementation. This has not always
set well with the street, but it is the only means of insuring that when the market as a whole recovers, that we are in the thick of it.
There are some questions floating about the board that I would like to address in a pre-emptive manner.
      1. Regarding Digital Angel, we are in various stages of discussions with a variety of concerns. One of the more promising,
mentioned in the last session, is a large retailer in the U.K. that would like to include DA technology into a line of children’s wear.
They are awaiting a proposal from Dr. Zhou addressing, among other things, engineering fees. Regrettably, they have requested
anonymity until a prototype is delivered.
      2. In an other development, an application specific beta-prototype will be available for display in early February. Further details on
this will be released early next week
      3. The recent purchases made by insiders were accomplished with the assistance of FULL RECOURSE loans from the
      company.
      4. A reverse split of our stock is not an option
      5. According to Nasdaq rule 4310 c-4, de-listing due to share price occurs only when the closing price of the stock is below $1.00
for a period of 30 consecutive days. At that point, a company has 90 days to become compliant. Compliance can be met by
maintaining a closing price of $1.00 for 10 consecutive days during that 90 day period. De-listing is therefore, not an issue of
      significant concern.
As a team, management I very confident of our ability to capitalize on the tremendous strides we have made this year.
In keeping with that sentiment, you can look for Form 4 Filings indicating direct, open market purchases by a variety of
officers and directors dated late November and early December.
I will now take a few questions until 11:00.

      Bob-
How did the insiders acquire their shares. You stated because they had acquired shares, they were standing shoulder to shoulder
with the stockholders. That`s easy for you to say without us knowing the conditions of the acquisitions of treasury stock.
      A. The treasury shares were purchased, as indicated in my statement, via FULL RECOURSE loans from the company. We are
on the hook for the full amount of the loan.

      C`mon:
Gross revenues are not at "..a historical high". Not for the 9 months ending September 30th. They are 8 million below last year`s
      revenues. Get honest
      A. Revs for the full year 2000 will be at a historical high.

Mr. Jackson: How many of the "insiders" listed in your most recent S-3 have sold this past week? If they have not already sold,
when do you think they will?
The most recent s-3 are shares registered in conjunction with the convertible preferred. The reg is not effective, therefore they
      have not been sold.

      Bob,
With the stock in a tailspin, and the price is way down, how much more stock will have to be registered to fulfill the requirements.
How much more dilution to make up for the price of the stock where it is.
      A. I will have to look at the convt pref documentation to get an exact number.

      C`mon:
We traded shares for cash in the MCY.com deal for $10 million in revenue.
We got more deals like this in the hopper. Bend over
      A. Your analysis neglects the value of the licenses. The MCY products are an integral portion of the Digital Angel Delivery System,
providing the requisite security for the transmission of sensitive data.

Mr. Jackson: Why is it that the institutions that just invested in are now getting out?
      A. The filing does not indicate their getting out. Any activity that they may be engaged in at this point is soley for hedging purposes.
As I indicated, they stand to profit far more on the upside than at these levels.

hey bobby, are you ignoring my question? how do you explain the price @ 1 5/8? oh, it`s the mkts fault. it`s the election. how about
gross incompetence by mgt and your white lies?
      A. Please revisit my opening statement to learn my opinions on the reasons for a 1 5/8 price. It is not a single event, action, etc.,
but a combination of events. As a broker, I imagine your book has a number of positions that have experienced similar declines
based in no manner whatsoever on a decline in fundamentals.

      ATEC:
I suspect that your gross revenues will be at " ...a historical high for 2000" due to Sullivan having ATEC "buy" Intellesale for some
ridiculous amount of stock, not monetizing the investment at all, only getting a stack of stock certificates. Isn`t that true?
      A. Your "suspicious" nature has lead you to an incorrect assumption. While there may or may not be a connection between ATEC
and SALE down the road, it is unlikely that anything will occur this month.

MR.JACKSON TWO QUESTIONS.ARE YOU SAYING FOURTH QUARTER REVENUE WILL BE HIGHER THEN LAST YEARS
FOURTH QUARTER REVENUE?IS THEIR ANY THING NEW ABOUT D.A ?
      A. Please revisit the opening statement for DA updates. We are expecxting to post new rev highs which would force Q4 2000 to
      beat Q4 1999.

      ACT LEASING AND STC NETCOM:
ADS sold these two subsidiaries in the third and fourth quarter. How much did "we" receive for them. While it is stated that ACT
leasing was for no gain or loss, what about STC NETCOM? a loss?
      A. I beleive that both were sold at our book value, meaning no gain or loss.

      C`mon:
We gave $40 million worth of shares and got $10 million in cash back. Ever see the movie "the Flim Flam Man"?
      A. I am afraid I missed that film. You can learn by reading MCY`s filings the amount of money they invested in the development of
this software. If you are still unconvinced of the value, I will have my CTO give you a call to explain the specifics.

slow down a bit...I want to make sure that everybody gets a chance.

      MR. Jackson
First, sorry for my english, I´m from germany.
      My question is:
As far as I can remember u bought back ADSX-shares at
a price short under 3$ and u said u do that cause u
      think the stock is undervalued.
Why don´t u buy back now lets say 10.000.000 Mio shares
at this prices we have in the moment???
Furhtermore there came up that SIEMENS AG has also a product like the DA only bigger (think 200 Gramm or so)
Is SIEMENS a direct rival to ADSX with DA??
      Thanks for the answer
      Brainstorm
      A. As indicated in my opening statement, insiders are buying at this point. In regards to Seimens, I have forwarded information to
Dr. Zhou in regards to this development. Regardless of the outcome, we hold the patents on including bio-sensors with GPS.

      SYSCOMM:
SysComm deal was also a reciprocal deal, how many shares did we give THEM, and did we get cash back as in the MYC deal?
      A. The STCM transaction was of an entirely different nature; no technology was exchanged. We acquired a vehicle to bring IPC to
the public markets. The exact number of shares would be in the second most recnt s-3.

      Mr. Jackson
What is your confidence level now of having a licencing deal by the end of Q4. Before you were VERY confident. What is your
      status now?
If we have one will we recongize the name?
      A. Confidence remains high.

bob, other stks dn 50%, 60%. this is dn, slmost 90%! will you ever admit that sullivan has not performed? how about answering
the question of why the co is so desperate as to enter into this death spiral pp? HUMILITY, NOT EXCUSES IS CALLED FOR.
WHY DOESN`T SULLIVAN APPEAR TO ANSWER SOME TOUGH QUESTIONS?
      A. The value of a company is measured in market capitalization, not stock price in a vcuum. Of those others that are dowm
50-60, how much of their business plan has been implemented during the year?

Waiting for an answer to the first question:
Of the session. Sullivan has jepordized the company for loans up to $40 million, conceivably allowing Elliot et.al to eventually
receive 43 million shares of stock. Knowing that the shareholders will never approve this, Sullivan has put the company in the
position of voluntarily delisting from the Nasdaq. Why did he do this, and did he receive any commissions through the Bay Group
      or otherwise?
      A. Sorry, this question must have come before I was on. The convt. pref deal is equity, not debt; no loan. The possibility of
de-listing is slim, at best. The issuance of these shares is a discretionary vote.

      Mr. Jackson
Please excuse the bashers here today. My question is the apparent comments by the Cisco CEO on CNBC this past week. Was
he describing DA and is it true they were at the DA Presentation in October. Thanks!
      A. Representatives of Cisco were invited, but did not attend. I have opened a dialogue with the IR dept at Cisco to explore the
comments made and there apparent reference to DA. I do not know whether CSCO`s structure is such that their IR has direct
      contact with CEO, though.

      4th Quarter Revenues:
I still think you have something up your sleeve to beat last year`s 4th quarter revenues of $105 million. Do we actually get any
CASH, or is it a stack of stock certificates for a sale of Intellesale?
      A. I am unable to comment specifically, but it does NOT entail stock.

      LETS CUT IT HERE.
I will stay on to answer ALL questions to this point, though.

bob, can this stk ever conquer the dilution problem? if so, please explain how?
      A. Moving assets of the company into a public vehicle SHOULD allow those groups to identify and act upon opprtunities for
themselves, reducing the reliance upon ADSX as currency for each groups growth.

Mr. Jackson, why don´t u never answer questions from Germany
      A. I don`t mean to. refer post number, pls.

MR. Jacksson you are a brave man (or foolish or really really greedy) but I think your do as well as you can under cirmumstances.
Please go a little more out on a limb, after the BIG presentation is the best we can do with D A is a potential contract with a
clothing mfg. in Great Britain of all places? Surely we can do better than sell all the little Brits some p.j.`s? Wouldn/t a contract with
      the colonies be better?
      A. Regardless of the locale, we intend to pick the "low-hanging fruit" first. We were approached by this group after they
commissioned a feasibility study to be conducted by a tech think tank. The result was that their idea was feasible, but expensive.
They learned of us shortly thereafter and opened the dialogue.

      Bob,
Considering your cash and cash equiv., does ADSX have enough revenue coming in to avoid any further private placements.
      A. We have a significant cash position. I do not anticipate another private funding being neccessary any time soon.

      Bob,
Has the real market for DA been defined. I`m not talking about the TAM (total available market) but the SAM (that would be the
market DA can service). Your product is of a given technology. It may not be competitive (since I don`t know your cost to market)
      in comparison with other choices.
      So what is your market.
      A. The total market consists of 26 or so vertical applications ranging in time frame from 0-36 to deployment based upon, among
other things, the state of technology. The report showing these vertical, understandably, I think, is confidential. Each of the items
on our website, though is a market for us.
I don`t mean to sound evasive on this, but the information remains confidential to protect those markets.

MR JACKSON.HOW IS BUSINESS IN GENERAL?
      A. In general, the business is very good. As you know, we have hired several key individuals to assist the effort toward integration
including HR, National Sales, CFO. These are already having an effect in productivity and costs.

      Bob,
I got the impression adsx really did not have the money to bring DA to market on it`s own. Is that correct and is that why you are
      looking to liscense or partner?
Don`t forget, there is some pretty big competition out there with strong marketing avenues.
      A. We do not intend to bring this to market ourselves except in those areas that we have a captive audience (DFCO). That is
exactly why we are looking to JV or license.

      Mr Jackson,
By your calculations, how much revenue will need to be generated to offset the recent dillution?
      A. Per a comment last session, we have NEVER made an acquisition that has failed to be accreative within a twelve month
      period.

      Is :
Tickertrader, Coolhead6, Alexst0ck (all the same person) a relative of Sullivan? Still waiting on convertibles explanation. The
      "Sullivan death spiral".
      A. Feel free to call me and I will descibe the hedge that can be build in a convert. pref deal. I will also descibe why continued
pressure is self-defeating. I am, obviously, in my office, 561-366-4800, x239.

DILUTION BOB! HOW CAN ADSX OVERCOME? COMMON NOW, SKIRT THE QUESTION
      A. Previously answered.

D.A EXPO IN NYC!! WHY DON,T WE HAVE ANY COVERAGE BY ALL
THE PEOPLE WHO ATTENDED(BROKERAGE FIRMS ETC) ???
      A. To date, we have rec`d over 45 media hits. Wallstreet, I am afraid, has their hands full trying to keep up with constant
      downgrades on Nasdaq 100 companies.

Mr. Jackson: When do realisticaly see DA production? Do you think ADSX could be purchased by a company of greater financial
strength? Judging by your most recent S-3, ADSX is in troubled financial condition w/IBM and other lendors.
      A. We would expect production and commercial distribution in mid-2000, very much in keping with our established time frames.
We are currently in full compliance with the IBM covenants.

      Hello!!!!!
      I am a german adsx-shareholder.
      My queations:
Would we see a JV this mounth?
Can you say something new about the E-Commerce Infrastructure Venture ?
Some great news in the future?
      Thank You!!!!
      A. We aremain confident that we will see a jv or license of DA this month. Pls clarify E-Commerce Infrastructure...

MR JACKSON CAN YOU ANSWER THE QUESTION THAT SOME BASHERS ON THIS BOARD ARE SPREADING
RUMORS.THEY ARE SAYING THAT WE WILL HAVE A REVERSE STOCK SPLIT.CAN YOU PUT THIS TO BED RIGHT NOW?
      A. Please revist the opening statement. A reverse split is not considered an option at this point.

      Mr. Jackson>>>
please give your honest opinion why some are posting degrading matter to you if they own no ADSX stock? If they are owners,
      why would they post such?
      A. Their posts and/or motivations really don`t matter much. If my skin was that thin, I choice the wrong line of business. Everyone
      is entitled to an opinion.

      Dear Mr. Jackson:
I would like to ask you about your reference to patent rights comments (as stated in your answer about Siemens). If the
bio-sensor innovation does indeed is viewed as valuable for customers then we can expect large companies with much more
financial and political muscle that ADSX to produce such technology. Now, I think we both agree that ADSX would have a hard
time to face companies like Siemens, Ericsson, etc., in a court case and it would also take a long time abd be a cumbersome
      process.
Q: What is your belief about the chances of ADSX to protect its patents in an efficient way? Are you trying to increase your
leverage by trying to sell your technology to big customers?
      Thanks
      Swedish investor
      A. Since coming on with DA, Dr. Zhou has filed several patents, Randy Geissler of DFCO has added other to protect his areas of
interest. DFCO, interestingly enough, recently successfully defended theoir patents, so they are quite aware of what it takes to do
      so in an effective manner.

      Would still like to know:
If Richard Sullivan, through the Bay Group or otherwise, personally received a commission for the convertibles placement. There
is a huge distrust of Mr. Sullivan for always acting in his own best interests, to the detriment of the shareholders.
      A. ABSOLUTELY NOT!! There was no association whatsoever between Mr. Sullivan, the Bay Group, or any other affiliation.

      SIGNING OFF.
If I missed any questions before cut off, pls feel free to call or email.

      Hallo Eric,

super Sammlung.
