CLIFTON, N.J., Jan 4, 2001 (BUSINESS WIRE) -- Tutogen Medical Inc. (AMEX: TTG), today announced that Sulzer Medica USA Holding Co., a subsidiary of Sulzer Medica Ltd., (NYSE: SM), a Swiss medical technology company, has become a significant shareholder of Tutogen Medical, Inc. In a press release made on December 27, 2000, Sulzer Medica announced the completion of its tender offer for 50% of the Trust Units of Capital Partners II which owns a majority of Tutogen`s stock. By purchasing 50% of the Trust Units of Capital Partners, Sulzer Medica beneficially owns approximately 37% of Tutogen`s common stock.

Sulzer Medica baut Einfluss auf Tutogen aus
Der Sulzer Medica AG sind im Rahmen ihres Übernahmeangebots für die US-Beteiligungsgesellschaft Capital Partners II Trust 32`885 Trust Units für je 1387,12 US-Dollar angeboten worden. Diese kontrolliert die Firma Tutogen Medical.

Damit halte Sulzer Medica rund 50 Prozent an Capital Partners II, teilte das Unternehmen am Mittwoch nach Ablauf der Angebotsfrist mit.
Capital Patners II hält eine Mehrheit am US-Unternehmen Tutogen Medical. Sulzer Medica hält bereits bisher 10 Prozent an Tutogen.

Ende November gab Sulzer Medica bekannt, dass der Konzern seinen Anteil an Tutogen Medical Inc. ausbauen wolle. Mit einer 50-Prozent-Beteiligung an Capital Partners II wird Sulzer Medica indirekt weitere 25 Prozent von Tutogen kontrollieren.

Tutogen Medical verarbeitet Produkte aus humanem oder tierischem Knochenmehl für medizinische Anwendungen und erzielte 1999 einen Umsatz von 11,5 Millionen Dollar.
