      Moin ow,

Talk.com gibt Verlust in Q4 bekannt

      "Valuation borders on absurd".

Just IMHO.

      Press Release
Talk America Completes Systems Testing For Local Service Rollout in Ohio

RESTON, Va.--(BUSINESS WIRE)--June 8, 2001--Talk America (Nasdaq NM: TALK - news), an integrated communications provider of bundled local and long distance services to residential and small business customers, today announced completion of its provisioning, billing and customer service testing in the Ameritech region of Ohio.

The expanded coverage increases the Company`s potential market of addressable residential subscribers to approximately 75 million lines and initiates Talk America`s fifteenth statewide launch of bundled phone services, since May of 2000. Ohio marks the second state in the Ameritech region where Talk America is fully integrated with Ameritech`s network and facilities and operationally ready to receive orders.

``We are pleased with performance levels in our provisioning and billing systems in Ameritech territory demonstrating our readiness to enter the Ohio market,`` said Gabe Battista, Chairman and CEO of Talk America. ``Our operational systems are now prepared to provide quality along with seamless service for future Ohio customers.``

Battista concluded, ``Since the FCC landmark 1999 order began to pave the way for an open market in residential telecommunications services, Talk America`s mandate has been to capture market share in the lucrative residential market. We believe the positive results of our current operations in Ohio coupled with thriving success in the fourteen existing states positions us for growth and reaffirms consumer demand for bundled telecommunications offerings.``

The "real" Grandich has sent out two messages. The first was to inform his readers that he had just discovered an associate of his abusing their business relationship on several fronts and that he was severely reprimanded. I knew the petergrandich poster could not be the person posting here. I have copied in his latest comments. He doesn`t sell them so I do this strictly for informational purposes only. I do this only once because I value the real Grandich views. He`s one of the few wall street people who will always talk about the egg on his own face.

While I sit here very pleased that I foresaw the big decline in the stock market, the bear market rally that followed, and what appears to be the resumption of the decline to at least test the previous lows, I take no comfort in the fact that I have a very significant paper loss in the one stock I own-TALK.

I’ve been investing for nearly two decades, and in all those years never did I see a speculative opportunity like TALK is at the current price of $1. Hindsight is 20-20, but it’s fairly clear why we are here at this level:

1- The telecommunications sector is turning out to be the biggest disaster in the stock market in many, many years. Never has so much money gone into a sector, only to see huge losses across the board in a relative short period of time. We have gone from a belief that the entire world would be wired; to a belief we will be back using tom-toms to communicate.

2- The list of big-time blow-ups continues to grow. Nortel Networks announced after the close on Friday, one of the biggest losses ever. This has wide implications to anything remotely related to telecommunications. I have stated to many of you one-on-one, that I felt Lucent Technologies has a strong chance of filing for bankruptcy. I believe it’s now an 80/20 chance for it (up from 50/50 just a few weeks ago).

3- Within the telecommunications sector, CLECs (Competitive Local Exchange Carriers), which were once the darlings of Wall Street, have been taken out and shot. Several weeks ago, Winstar Communications blew up. Now today, McleodUSA, and XOXO Communications are trading like they are about to blow up as well. How does this affect TALK? TALK is a CLEC, but its key difference is being tossed out with the baby water. Unlike Winstar, McLeodUSA and XOXO, TALK didn’t take the approach “build it and they will come”. They instead have used UNE-P to capture customers at a rapid pace without the tremendous high costs associated with building a network like WINSTAR, MCLEOD and XOXO. Unfortunately, they are being included in this bloodbath.

      Press Release
Talk America Expects to Take Second Quarter Accounting Charges
RESTON, Va.--(BUSINESS WIRE)--July 3, 2001--Talk America (Nasdaq NM: TALK - news), an integrated communications provider, today announced that the Company expects to take a non-cash charge in the second quarter to reflect an increase in the provision for doubtful accounts. This charge which is expected to be in the range of $12 to $15 million is associated with customers acquired through targeted direct marketing programs. Excluding this charge, the Company expects second quarter and year-end results to be in line with previously announced EBITDA guidance. Despite the charges, the Company indicated that it increased subscribers and improved its cash position during the quarter.

Commenting on the announcement, Gabe Battista, Chairman and Chief Executive Officer of Talk America, stated, ``We identified provisioning issues with our targeted direct marketing programs in the first quarter and are now seeing the poor credit quality associated with those customers who made it through the provisioning process. Fortunately, the corrective actions taken in the first quarter to address provisioning will also alleviate credit quality issues on a going forward basis.``

Mr. Battista continued, ``These are non-cash charges and will not impact our future results. Our Company has made tremendous progress in proving out our local business model and we are encouraged by the proven demand for our bundled service offering, significant improvements made to our provisioning process as we expand our service coverage area, the strength of our integrated back office systems and the huge opportunity that lies ahead.``

In addition to these non-cash charges, the Company, as previously disclosed, expects to take a non-cash charge to earnings that could be in excess of $40 million in accordance to new accounting rules that took effect during the second quarter. The FASB EITF has issued, ``Accounting for Derivative Financial Instruments Indexed to, and Potentially Settled in, a Company`s Own Stock,`` which addresses how such contracts should be classified and measured by the Company. Under this issue, contracts that require net-cash settlement would be initially classified as assets or liabilities, and then measured at fair value, with changes in fair value reported in earnings and disclosed in the financial statements as long as the contracts remain classified as assets or liabilities. If contracts classified as assets or liabilities are ultimately settled in shares, any gains or losses on those contracts should continue to be included in earnings. This abstract is effective for all contracts that remain outstanding at June 30, 2001, and presented that date as a cumulative effect of a change in accounting principle.

The Company expects to announce its second quarter results the week of August 6, 2001.

Talk America Sees 2nd Quarter $12M-$15 Million Charge

RESTON, Va. -(Dow Jones)- Talk America Holdings Inc. (TALK) expects to take a noncash, second quarter charge of $12 million to $15 million to reflect an increase in the provision for doubtful accounts associated with customers acquired through targeted direct marketing programs.
Excluding this charge, Talk America expects second quarter and year-end results to be in line with previously announced guidance for earnings before interest, taxes, depreciation and amortization, the company said in a press release Tuesday.

In May, the company had said it expects second quarter EBITDA of $4 million to $6 million and EBITDA for the year is projected at $25 million to $30 million.

In addition to these noncash charges, Talk America, as previously disclosed, expects to take a noncash charge to earnings that could be more than $40 million in accordance to new accounting rules that took effect during the second quarter.

For the 2000 second quarter, Talk America posted a loss of $891,000, or 1 cent a share, on sales of $135.8 million.

For the 2000 year, Talk America lost $61.9 million, or 88 cents a share, on sales of $544.5 million.

      Hi,
