COMTEX) -- Arch Wireless, the Westborough-based paging company, reached an
airwaves-for-cash deal with Nextel Communications yesterday that pumps $250
million into Arch while giving Nextel substantial new capacity for expanding
wireless phone services.
Having completed its takeover of Dallas-based PageNet late last year to become
the dominant U.S. paging company, Arch had been eager to use surplus "spectrum,"
or licensed airwaves, to whittle down its $1.9 billion in debt. Arch is making a
big push into offering advanced wireless data services, including a plan to
offer wireless access to America Online e-mail and content.
Shares of Arch, which had lost nearly 90 percent of their peak March value
recently, popped 27 percent on news of the deal.
Reston, Va.-based Nextel, which has more than 6 million cell phones in service
in the United States, will lend Arch $250 million until the companies get
federal approval to transfer the "special mobile radio" spectrum from Arch to
Nextel.
Once that deal closes, $75 million of the debt will convert to Arch preferred
shares bearing a 12 percent coupon, and Arch will keep the other $175 million.
The deal is subject to approval by Arch creditors and other conditions.
C. Edward Baker Jr., Arch chief executive, said that besides helping Arch work
down debt, a key part of the deal is for Nextel and Arch to pursue joint
marketing arrangements.
These deals could include Arch and Nextel cross-promoting Nextel phones and Arch
two-way pagers, devices that can get information from the Internet.
"This will definitely lead to bigger things," Baker said. "There`s absolutely no
question in my mind about that."
Baker said Arch retains "more than enough" spectrum nationally to support its
nationwide wireless data plans but plans no more significant sales any time
soon.
Arch and Nextel would not say how many of the licenses are involved or how many
potential Nextel subscribers could be supported by them.
Nextel president Timothy Donahue said the deal gives his company at least 20
megahertz of spectrum space in 53 of the top 100 U.S. markets.
