PCCW Said to Acquire "Hong Kong Yellow Pages"
      Mar 06, 2001 - 10:37:17 HKT
      Quamnet News Service

Pacific Century CyberWorks (0008), a major Asian communications company which owns Hong Kong`s largest phone company, is purchasing from a Canadian partner the interest in the publisher of Hong Kong Yellow Pages, said Hong Kong Economic Times.

Telecom Directories Ltd, currently 51 percent owned by CyberWorks and 49 percent by Canada`s Bell Actimedia Ltd, is a joint venture publishing phone directory for commercial units. It also maintains an online phone directory, encompassing 300,000 Hong Kong companies. It has been reported that Telecom Directories expects online advertising revenue to grow 70 percent to HK$85 million this year.

CyberWorks will own the whole of Telecom Directories after the transaction, as one of the steps to explore its yellow-page businesses in the Greater China, said the newspaper. The company acquired 37.65 percent stake in ChinaBIG, a business online directory for HK$200 million in September.

      COURTS
NWT loses bid to halt fees trial

      JANE MOIR

PCCW-HKT International has won the latest round in a controversial call hi-jacking case which pitted it against arch rival New World Telephone (NWT).
An appeals court has thrown out NWT`s bid to thwart a trial which could cost it more than HK$375 million in delivery fees it is claiming from PCCW.

NWT was denied a special order which would save the telecoms giants from battling the case at trial.

In its ruling yesterday, the Court of Appeal was sceptical of NWT`s behaviour in relation to the rerouting of calls.

Evidence suggested NWT had been "much less than frank and had actively attempted to conceal what it had done from PCCW", Mr Justice Simon Mayo said.

In 1995, NWT`s network was linked with the international gateway of Hong Kong Telecom - now PCCW-HKT International.

This gave rise to the payment of delivery fees.

However, PCCW soon discovered NWT was routing a large number of incoming calls destined for the network of the called party to be diverted on to the NWT network and then rerouted back to the called party`s network.

In other words, it was accepting a call not meant for itself and then inter-connecting it to the local network it was destined for, HKT.

It would then collect a delivery fee from PCCW. In effect, PCCW paid fees to its rival to accept calls originally destined for its own customers.

PCCW sued after paying HK$280 million to NWT in delivery fees between January 1997 and October 1998.

In turn, NWT is claiming HK$95 million in fees which have been held back by PCCW.

NWT contends that fees were payable when it took delivery of calls on its own fixed network.

PCCW, however, argues that NWT should only be paid when it terminated the calls.

The practice of diverting calls was scrapped after an investigation by the Office of the Telecommunications Authority (Ofta).

PCCW, to back up its case, pointed to the authority`s determination in 1995 covering the payment of delivery fees.

It said the rerouting of calls by NWT was not within Ofta`s plan.

Mr Justice Mayo noted: "It was also apparent that, if delivery fees were payable, as claimed by the defendant [NWT], it would inevitably lead to chaotic market conditions . . ."

Every local fixed-operator would vie to get into bed with overseas parties to obtain "totally unmeritous delivery fees", he said.

"This could not be a beneficial outcome to the matter."

It was moreover "plain and obvious" from reading the telecom authority`s determination that it "contemplated there should be some consideration for justifying the receipt of delivery fees", the judge said.

The case should proceed to trial unless NWT appeals yesterday`s decision at the top court, or it comes to a settlement with PCCW.

NWT was ordered to pay PCCW`s legal costs.

      TELECOMS
No plans to expand Telstra joint ventures

      BEN KWOK and REUTERS

Three joint ventures between Pacific Century CyberWorks and Telstra are unlikely to be expanded into acquisitions and fund raising in the next four months, according to Telstra executives.
Speaking after the Australian company`s interim result announcement yesterday, finance director John Stanhope said business plans such as floating the companies, taking on partners and making acquisitions were not on the agenda in the short term.

"Our objective right now is to get these businesses running. Initial public offers and acquisitions . . . are not at the front of the mind," Mr Stanhope told Reuters.

"It would be highly unlikely for there to be acquisitions in the rest of this fiscal year."

Telstra`s financial year ends at June 30.

CyberWorks formed a 50-50 Internet protocol backbone joint venture, named Reach, and a greenfields data centre venture with the largest Australian telecommunications company last month.

In addition, Telstra injected US$2.43 billion into CyberWorks in exchange for a 60 per cent stake in CSL, a CyberWorks mobile unit in Hong Kong, and US$750 million for CyberWorks convertibles.

In a meeting with analysts, Telstra chief executive Ziggy Switkowski said CSL performed ahead of their expectations and Reach was also in line with expectations.

Mr Switkowski urged investors not to look at its dilution effect after partnering with CyberWorks but to look for possible gains in China.

Mr Switkowski told investors: "While nothing has been promised regarding access to China, and we have not counted on any benefits from this in our analysis of the PCCW-HKT transaction, we clearly have options to expand north to China in the medium term."

The Australian company yesterday reported an 11 per cent rise in first-half profit to A$2.1 billion (about HK$8.53 billion). That drove Telstra`s share price up 4.3 per cent to A$6.73.

"This is a set of better-than-market-expected results that came after several large Australian corporates failed to please the market," said Ord Minnett Securities analyst David Wilson.

He said Telstra-CyberWorks ventures could finance capital expenditure with cash flow, so there were no capital-raising plans.
