      33% Increase Over Third Quarter 2000

      Product license revenues for the third quarter 2001 increased 42% from the same period last year to $6.9 million, while professional services revenues increased 21% from the third quarter of last year to $3.7 million.

      For the three months ended September 30, 2001, the pro forma net loss, excluding non-cash stock compensation charges and amortization of intangible assets, was $8.0 million, or $0.25 per share on a pro forma basis, compared to $5.4 million, or $0.20 per share on a pro forma basis, for the three months ended September 30, 2000.

      International Progress

      SpeechWorks recently added two international telecommunications customer deployments: Telekom Applied Business, a subsidiary of Telekom Malaysia; and CANTV, a Venezuelan telecommunications company and a fixed-line operation of Verizon.       Third Quarter Financial Results

      Product license revenues for the third quarter of 2001 grew 42% to $6.9 million from $4.9 million for the same period last year, and represented 60% of total third quarter 2001 revenues excluding non-cash stock compensation charges, compared to 56% in the third quarter of last year.

      Professional services revenues for the third quarter of 2001 increased 21% to $3.7 million from $3.1 million in the third quarter of last year, and represented 33% of total third quarter 2001 revenues excluding non-cash stock compensation charges, compared to 36% in the same period last year.

      Other revenues, which include the resale of hardware products and facilities management services, totaled $0.8 million in the third quarter of 2001 versus $0.7 million in the same period in 2000. Other revenues represented 7% of total revenues excluding non-cash stock compensation charges in the third quarter of 2001, compared to 8% in the third quarter of 2000.

      For the three months ended September 30, 2001, the pro forma net loss, excluding non-cash stock compensation charges and amortization of intangible assets, was $8.0 million, or $0.25 per share on a pro forma basis, compared to $5.4 million, or $0.20 per share on a pro forma basis, for the third quarter of 2000.

      The net loss for the third quarter of 2001 was $12.0 million, or $0.37 per share, compared to a net loss attributable to common stockholders of $8.3 million, or $0.39 per share, for the third quarter of 2000.

      First Union Direct (FUD) Launches New Speech Recognition System; First Banking Application of Its Kind in the United States
      CHARLOTTE, N.C., Dec. 4 /PRNewswire/ -- First Union Direct (FUD), First Union National Bank`s call center for 24-hour sales and service telephone banking, is offering customers an easier and better telephone banking experience thanks to a new state-of-the-art speech recognition system.

      Motorola and SpeechWorks Develop First Distributed Speech Recognition Prototype On a Deployed Wireless Network
      Prototype Leverages SpeechWorks` Technology and User Interface Expertise
      BOSTON & SCHAUMBURG, Ill.--(BUSINESS WIRE)--Jan. 29, 2002-- SpeechWorks International, Inc. (Nasdaq: SPWX - news), the global leader in speech recognition and text-to-speech (TTS) technologies and services, and Motorola, Inc. (NYSE:MOT - news), today announced the development of a live prototype for distributed speech recognition (DSR) and multimodal applications using SpeechWorks` OpenSpeech Recognizer(TM) (OSR) speech recognition engine and DSR architecture. The Motorola prototype is the first known case of DSR working over a deployed wireless network.

      A DSR architecture allows applications to combine local speech processing that occurs entirely on the device with remote access to network-based speech services (e.g., ``check available product inventory``). For this prototype, signal processing, including noise reduction, occurs on the device, which then sends data over a digital network to a network-based speech service. The network-based speech service processes the resulting signal to determine the user`s request and responds to the caller using a voice output, visual display, or both. The prototype`s multimodal functionality also allows users to utilize both speech recognition and a visual display on a device to create an enhanced user`s interface.

      SpeechWorks International Announces Revenues of $11.7 Million for Fourth Quarter 2001
      11% Increase Over Fourth Quarter 2000
      BOSTON--(BUSINESS WIRE)--Jan. 30, 2002--SpeechWorks International, Inc. (Nasdaq: SPWX - news), the global leader in speech recognition and text-to-speech (TTS) technologies and services, today reported total revenues excluding non-cash stock compensation charges, of $11.7 million for the three months ended December 31, 2001, representing an 11% increase over revenues of $10.6 million in the same period in 2000.

      For the full year ended December 31, 2001, revenues excluding non-cash stock compensation charges totaled $45.0 million, a 49% increase over the year ended December 31, 2000.

      For the three months ended December 31, 2001, the pro forma net loss excluding non-cash stock compensation charges and amortization of intangible assets was $7.6 million, or $0.23 per share, compared to a pro forma loss of $5.2 million, or $0.17 per share, for the three months ended December 31, 2000.

      ``SpeechWorks delivered another solid quarter, in line with guidance and expectations,`` stated Stuart R.       Customers Choosing SpeechWorks

      SpeechWorks continued to add new customers and projects in the fourth quarter, including Ann Taylor in the retail sector, the National Weather Service and the City of Portsmouth, Virginia in the government sector, Mid Atlantic Medical Services Inc. in the healthcare sector, and Countrywide in the financial services sector. Also during the quarter, the Company deepened its relationships with existing customers, such as AT&T, CheckFree, The Hartford, and the IRS.

      Expanding Partner Network

      SpeechWorks` sales and distribution partners play an integral role in enabling the Company to address the market for speech recognition and TTS products and services. During the fourth quarter, the Company grew its network of channel partners, signing reseller and distribution agreements with leading providers of communications systems, including Catalyst Telecom, Convergys, NEC Infrontia and Total Tec. In addition, Comverse is integrating SpeechWorks` speech technologies and will use these technologies to provide superior voice-based enhanced services to network providers. Partners that returned to SpeechWorks for additional business include Qwest, West Communications and Wildfire.

      International Progress

      SpeechWorks supported a number of notable international customer deployments during the fourth quarter. In China, SpeechWorks supported the launch of the country`s first ``smart telephone directory`` for China Yellow Page Company (Shenzhen Branch) and Shenda Telephone Company. SpeechWorks was also selected by new customers, including BellSouth Chile, Government of Nuevo Leon in Mexico, the Korean National Tourism Organization, and Tenovis in Germany. In addition, the Company deepened its relationships with existing customers, Citibank Europe and Singapore Telecom.

      During the quarter, SpeechWorks took important steps to address an increasing demand for speech technology and services in Asia-Pacific. The Company began offering its ETI-Eloquence(TM) TTS solution in Japan and Korea, and its speech recognition products in several countries, including Australia and Taiwan. SpeechWorks also established a Japanese subsidiary, SpeechWorks Japan KK, to expand the reach of speech in Japan.

      For the fourth quarter of 2001, international revenues accounted for 7.8% of total revenues excluding non-cash stock compensation charges, down from 13.4% in the year-earlier period.       New Automotive and Mobile Device Customer Focus Unit

      SpeechWorks created a new business unit, the Automotive and Mobile Device Customer Focus Unit, to capitalize on the growing demand for speech applications in the automotive, mobile device and set-top box industries. This unit provides product and business development as well as marketing and sales resources to customers in these industries. SpeechWorks also signed development agreements with three key partners, Texas Instruments, Motorola and Mitsubishi Electric Research Laboratories, to support the advancement of speech technology in these markets.

      Technological Innovations

      During the fourth quarter, SpeechWorks introduced a new, upgraded version of OpenVXI, a standards-based, open source interpreter that supports the VoiceXML 2.0 specification and allows developers to add VoiceXML capabilities to their products without developing the technology on their own. OpenVXI complements SpeechWorks` OpenSpeech(TM) product line, which is optimized for VoiceXML.

      SpeechWorks also began shipping its Speech2Go(TM) embedded speech recognition engine during the quarter. Speech2Go is designed specifically to control the functions in cars and on mobile devices, such as dialing telephone numbers, reading email messages, or getting directions. The product will also enhance the performance of existing enterprise and telecommunications speech applications by allowing some of the speech recognition processing power to reside locally in a phone or device.

      Financial Results

      Product license revenues for the fourth quarter 2001 increased 15% to $7.0 million from $6.1 million in the same period last year, and represented 60% of total fourth quarter 2001 revenues excluding non-cash stock compensation charges, compared to 58% in the fourth quarter of 2000. For the full year ended December 31, 2001, product license revenues totaled $25.8 million, a 58% increase over full year 2000, and represented 57% of total revenues excluding non-cash stock compensation charges, as compared to 54% in 2000.

      Professional services revenues for the fourth quarter of 2001 increased 20% to $4.4 million from $3.6 million in the fourth quarter of last year, and represented 37% of total fourth quarter 2001 revenues excluding non-cash stock compensation charges, compared to 35% in the same period last year. For the full year 2001, professional services revenues totaled $16.1 million, a 43% increase over full year 2000, and represented 36% of total revenues excluding non-cash stock compensation charges, versus 37% in 2000.

      For the three months ended December 31, 2001, the pro forma net loss was $7.6 million, or $0.23 per share, compared to $5.2 million, or $0.17 per share, for the three months ended December 31, 2000. For the full year 2001, the pro forma net loss totaled $30.9 million, or $0.97 per share, compared to $23.0 million, or $0.92 per share, for the full year 2000. Pro forma net loss and net loss per share exclude non-cash stock compensation charges, amortization of intangible assets, and accretion and deemed dividends on redeemable convertible preferred stock.

      Total revenues including non-cash stock compensation charges for the fourth quarter 2001 were $11.5 million, and for the year, revenues were $43.9 million. The net loss for the fourth quarter of 2001 was $11.5 million, or $0.36 per share, compared to a net loss of $8.3 million, or $0.27 per share, for the fourth quarter of 2000.       SpeechWorks makes pact with Microsoft

      peechWorks International, a Boston company that sells speech-recognition
      systems to businesses, is scheduled to announce today a strategic partnership
      with software giant Microsoft Corp. to develop new products and services.

      The companies envision
      the partnership potentially
      leading to speech-powered
      enhancements to
      Microsoft`s Internet
      Explorer Web browser,
      enabling people to call up
      Web pages by speaking
      rather than typing, and
      ``voice in, data out``
      services for wireless
      handheld computers and
      cellphones.

      SpeechWorks is not
      disclosing any financial terms of its alliance with the world`s biggest software maker,
      a growing force in Internet-based information and entertainment. The deal comes
      as the six-year-old Boston company has been struggling to turn widespread
      consumer and industry excitement about the possibilities for speech-enabled
      computing into major revenues and profits.

      Last week, SpeechWorks reported revenues of $45 million for 2001, up 49
      percent from a year earlier, including a growing share of international business.

      But its pro-forma net loss widened to $30.9 million from $23 million, and
      fourth-quarter sales of $11.7 million were up only 11 percent from $10.6 million in
      the same period a year earlier. SpeechWorks shares have dropped by over 60
      percent in the last year and closed Friday at $11.99, down 31 cents.

      Over the last year, SpeechWorks has been gaining a growing number of customers
      among travel, financial services, and other companies for systems that let telephone
      callers use their voice to hear information and conduct transactions. The company
      has launched a special division focusing on speech systems for automobiles and
      handheld computers.

      Steve Chambers, the SpeechWorks marketing chief, said the alliance with
      Microsoft should help SpeechWorks accelerate its growth in computer-based
      markets and handheld devices. ``It`s very exciting to see a juggernaut like Microsoft
      enter this arena,`` Chambers said.

      The deal would make SpeechWorks technology available to 6 million software
      developers and Microsoft customers, according to X.D. Huang, general manager
      of speech technologies with Microsoft`s .Net project.

      Bill Gates, the Microsoft cofounder and chief software architect, regularly speaks
      about improving the possibilities for people to use their voice and ears as a way to
      interact with computers. ``Microsoft is really serious about making this mainstream,``
      Huang said.

      Last week, a speech recognition technology alliance founded last year by Microsoft
      and SpeechWorks - along with Internet-equipment giant Cisco Systems, telecom
      technology maker Comverse, computer chip leader Intel, and Philips, the consumer
      electronics giant - said it has added 18 more companies as members, including
      Lobby7 of Boston, a wireless data start-up, and NMS Communications of
      Framingham, which makes software and components for telecom equipment.

      SpeechWorks International Announces Pro Forma Revenues of $10.1 Million for First Quarter 2002, $9.5 Million After Non-Cash Revenue Offsets
      BOSTON--(BUSINESS WIRE)--April 24, 2002--SpeechWorks International, Inc. (Nasdaq: SPWX - news), the global leader in speech recognition and text-to-speech (TTS) technologies and services, today reported total revenues of $9.5 million for the three months ended March 31, 2002, versus revenues of $10.9 million in the first quarter of 2001.

      Total revenues on a pro-forma basis, which exclude non-cash stock compensation charges, were $10.1 million for the three months ended March 31, 2002, representing a 12% decline versus revenues of $11.5 million in the first quarter of 2001. This is slightly below the low end of management`s revenue guidance of $10.5 million to $12.5 million provided during the Company`s conference call on January 30, 2002.

      Effective in 2002, new accounting guidelines require that we report non-cash stock compensation offsets to revenue and customer reimbursable expenses on the consolidated statement of operations differently than in the past. Specifically, non-cash stock compensation charges recorded as a reduction of revenue result from the amortization of deferred stock compensation and warrant values. These were issued to customers under long-term marketing agreements and must be offset to the extent of cumulative revenue from those customers. Additionally, professional services revenue and cost of professional services revenue now include customer reimbursable expenses.

      For the three months ended March 31, 2002, the net loss was $11.6 million, or $0.36 per share, compared to a net loss of $10.1 million, or $0.32 per share, for the three months ended March 31, 2001.

      For the three months ended March 31, 2002, the pro forma net loss which excludes non-cash stock compensation charges and amortization of intangible assets and purchased technology was $8.3 million, or $0.25 per share, compared to a pro forma net loss of $6.1 million, or $0.19 per share, for the three months ended March 31, 2001.

      ``Revenues for the first quarter were below our targets, primarily due to lower than expected sales through our channel partners and overall market conditions,`` stated Stuart R. Patterson, Chief Executive Officer of SpeechWorks. ``Nevertheless, our loss was in line with expectations as a result of strong cost control, and we are encouraged by the ongoing interest in speech and in SpeechWorks products and services.``

      Expanding Customer Base

      SpeechWorks continued to add new customers and projects in the first quarter, including: Aetna in the financial services sector; Ticketmaster in the retail sector; Merck-Medco in the pharmaceuticals sector; the Canadian Department of Fisheries and Oceans and several new customers in state and local U.S. government; and Bell Canada in the telecommunications sector. During the quarter, the Company also deepened its relationship with Pershing, a financial services company, which is using SpeechWorks software to support new customers.

      Expanding Partner Network

      SpeechWorks` sales and distribution partners play an important role in broadening the Company`s ability to address the market for speech recognition and TTS products and services. During the first quarter, the Company added more than a dozen new partners bringing the Company`s total to more than 170. SpeechWorks forged new relationships with telecommunications partners CMG and Glenayre, and added LocusDialog to its list of partners known for their strength in automated attendant and call routing services. In addition, the Company expanded its relationship with Telera and Avaya, increasing the breadth of SpeechWorks products they offer.

      International Progress

      In its major overseas markets, SpeechWorks was selected by new customers and partners such as Deutsche Telekom, through partner, Speech Design (Germany); Genius Institute of Technology (Brazil); HIMS (Korea); News Connect (Australia); Osaka Gas, through partner Denwa Housou Kyoko (Japan); Nihon Tandem Systems K.K. (Japan); and SingPost (Singapore). During the quarter, the Company also significantly expanded its business with existing customers Citibank Europe and Singapore Telecom. For the first quarter of 2002, international revenues accounted for 16% of total revenues excluding non-cash stock compensation charges, versus 9% in the year-earlier period.

      Technological Innovations

      During the first quarter, SpeechWorks announced that it formed a strategic alliance with Microsoft to accelerate the availability of multimodal applications on devices that incorporate both visual and spoken input and output. Under the agreement, SpeechWorks will become a designated Independent Software Vendor (ISV) and marketing and professional services partner for the upcoming Microsoft® .NET speech platform, which is a SALT-based (Speech Application Language Tags) multimodal and telephony-enabled solution. SpeechWorks will also configure its speech technologies to support the SALT specification and integrate with the Microsoft .NET speech platform.       During the quarter, SpeechWorks enhanced the quality of its network-based TTS engine, Speechify(TM).       Financial Results

      Product license revenues for the first quarter 2002 decreased 25% to $4.6 million from $6.1 million in the same period last year, and represented 45% of total first quarter 2002 revenues excluding non-cash stock compensation charges, compared to 53% in the first quarter of 2001.

      Professional services revenues for the first quarter of 2002 increased 18% to $5.2 million from $4.5 million in the first quarter of last year, and represented 51% of total first quarter 2002 revenues excluding non-cash stock compensation charges, compared to 39% in the same period last year.

      SpeechWorks International Announces Pro Forma Revenues of $8.6 Million for Third Quarter 2002, $7.6 Million After Non-Cash Revenue Offsets

      BOSTON--(BUSINESS WIRE)--Oct. 28, 2002--SpeechWorks International, Inc. (Nasdaq:SPWX - News), the global leader in speech recognition and text-to-speech (TTS) technologies and services, today reported total revenues of $7.6 million for the three months ended September 30, 2002, versus revenues of $10.9 million in the third quarter of 2001.

      Total revenues on a pro forma basis, which exclude non-cash stock compensation charges, were $8.6 million for the third quarter, down from revenues of $11.6 million in the third quarter of 2001.

      The net loss for the third quarter was $13.3 million, or $0.41 per share, compared to a net loss of $12.0 million, or $0.37 per share, for the three months ended September 30, 2001. The pro forma net loss for the quarter, which excludes non-cash stock compensation charges, amortization of intangible assets and purchased technology and restructuring costs, was $8.2 million, or $0.25 per share, compared to a pro forma net loss of $8.0 million, or $0.25 per share, for the same period in the prior year.

      SpeechWorks recently introduced "Speechify Tom," a new, U.S. English, synthesized male voice for Speechify(TM) 2.1, the industry`s most natural-sounding TTS software.       SpeechWorks recently launched OpenSpeech MediaServer(TM).       Financial Results

      Product license revenues for the third quarter 2002 decreased 55.6% to $3.1 million from $6.9 million in the same period last year, and represented 35.9% of total third quarter 2002 revenues excluding non-cash stock compensation charges, compared to 59.4% in the third quarter of 2001.

      Professional services revenues for the third quarter of 2002 increased 16.6% to $4.5 million from $3.9 million in the third quarter of last year, and represented 52.8% of total third quarter 2002 revenues excluding non-cash stock compensation charges, compared to 33.3% in the same period last year.

      For the nine months ended September 30, 2002, GAAP revenues totaled $26.8 million, a 16.4% decrease from the nine months ended September 30, 2001. For the nine months ended September 30, 2002, revenues excluding non-cash stock compensation charges totaled $29.1 million, a 13.6% decrease from the nine months ended September 30, 2001.

      For the nine months ended September 30, 2002, the GAAP net loss was $36.1 million, or $1.11 per share, compared to a net loss of $35.3 million, or $1.11 per share, for the nine months ended September 30, 2001. The pro forma net loss for the nine months ended September 30, 2002, which excludes non-cash stock compensation charges, amortization of intangible assets and purchased technology and restructuring costs, was $24.4 million, or $0.75 per share, compared to a pro forma net loss of $23.4 million, or $0.73 per share, for the same period in the prior year.

      As expected, the Company recorded a restructuring charge of $2.1 million during the third quarter of 2002 in association with the reduction of headcount by 17%.

The system is based on SpeechWorks(R) speech recognition technology with both Japanese and US English language capabilities, and has been developed by SpeechWorks Japan`s local professional services team. The application is the first bilingual flight information service available in Japan. United Airlines customers can now call 0120-226688 (toll-free) 24 hours a day and speak naturally into the phone in the language of their choice to check the real time status of any of United`s nearly 1,800 daily flights.

      Canada Direct provides home phone numbers for Canadian callers abroad, using local Home Country Direct access numbers in most major countries. With the new speech-enabled services, callers have the convenience of using their voice to connect calls from any landline or wireless phone. Callers may interact with the Canada Direct speech recognition system in either English or French, to identify their own local phone company, to place calls, and to request the services of an operator. Calls may be completed to any Canadian number, from one locale to another in the same country abroad, or from that country to most other countries in the world.

      Canada Direct service is available from over 110 countries and to over 240 countries around the world. In 2001, Teleglobe carried more than 9 million calls per year to Canada through this service. Prior to the introduction of speech recognition, 50 percent of the Canada Direct calls were routed to long distance service operators, with 30 percent of those calls routed to operators because there was no touch-tone service available in the caller`s area. In its first five months of service, the speech system reduced the number of calls routed to operators by 7 percent.

      Brings Together the Broadest Portfolio of Speech Technologies, Applications and Services


      PEABODY, Mass. & BOSTON--(BUSINESS WIRE)--April 24, 2003--ScanSoft, Inc. (NASDAQ: SSFT - News) and SpeechWorks International, Inc. (NASDAQ: SPWX - News)
      Transaction Expected to be Ten Percent Accretive to ScanSoft`s Earnings per Share, before Amortization of Intangibles, in 2004; Strengthens Financial Resources, Customer Base and Global Partnerships
      ScanSoft, Inc. (NASDAQ: SSFT - News) and SpeechWorks International, Inc. (NASDAQ: SPWX - News) today announced a definitive agreement for ScanSoft to purchase all of the outstanding common stock of SpeechWorks.

      Under the terms of the agreement, ScanSoft will issue approximately 32.6 million shares of its common stock to SpeechWorks shareholders who will receive 0.860 shares of ScanSoft common stock for each share of SpeechWorks stock that they own. The transaction is valued at approximately $132 million, net of SpeechWorks` cash balance of $49 million as of December 31, 2002 and based on the closing price of ScanSoft common stock on April 23, 2003 of $5.56 per share. Based on the average closing price for the companies` shares during the last 30 days, the premium paid is approximately 63 percent. The transaction will be accounted for as a purchase.

      The combination of ScanSoft and SpeechWorks will result in a global organization with the broadest portfolio of speech technologies, applications and services in the industry. The company will apply its innovative and patented technologies to produce next-generation speech interfaces and solutions and leverage its financial strength and operational discipline to provide customers and partners with a stable and reliable global supplier of standards-based speech applications.

      Upon completion, ScanSoft expects to have total assets of approximately $386 million, including approximately $60 million in cash. The transaction is expected to generate cost synergies of approximately $27 million through headcount reductions in major operating functions of each company, office site consolidations and reductions in marketing and administrative expenses. As a result of these synergies, most of which will be realized at closing, ScanSoft expects the transaction to be neutral to earnings, before amortization of acquisition-related intangibles, for the first full quarter; approximately five percent accretive to earnings for the first full year; and approximately 10 percent accretive to earnings for the full year 2004. In 2004, ScanSoft expects combined revenue to exceed $200 million, including more than $125 million in speech-related revenue, and earnings per share of approximately $0.42 to $0.43, before amortization of acquisition-related intangibles.

      The transaction has been approved unanimously by both Boards of Directors and is subject to the approval of ScanSoft and SpeechWorks shareholders and various closing conditions including expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The special meetings of shareholders are to be announced at a later date. Following regulatory and shareholder approval, ScanSoft expects the transaction to close by August 1, 2003. Evercore Partners served as financial advisor to ScanSoft in the transaction and Morgan Stanley served as financial advisor to SpeechWorks.
