      Princeton eCom Acquires Intuit`s Quicken Bill Manager
      To become bill payment, presentment and distribution provider for Quicken.com
      PRINCETON, N.J.--(BUSINESS WIRE)--May 16, 2001--Princeton eCom, the first company to present a bill online, announced today that it has acquired Quicken® Bill Manager, Intuit`s online bill presentment and payment service, in a long-term strategic relationship with Intuit in which it will process payments for customers utilizing the industry leading Quicken® personal financial management software.

      ``This acquisition will help to advance adoption of online billing and payment services by consumers, billers and financial institutions,`` said Curt Welling, Princeton eCom`s CEO. ``It marries the power of Quicken`s leading consumer brand with Princeton eCom`s experience and expertise in presenting bills and processing payments online and offering consumers anytime, anywhere bill paying convenience. The combination of trusted brand names and quality services will remove many of the obstacles that have held back widescale adoption and prevented banks, billers and consumers from enjoying the convenience, cost effectiveness and potential marketing capabilities of online billing and payment services.``

      Under the terms of the acquisition, Princeton eCom will:

      Acquire Quicken® Bill Manager and, later this year, provide electronic billing and payment services to the consumers who currently receive and pay their bills through the Quicken.com Web site as well as Excite and Webcrawler. Princeton eCom will also promote and market Quicken® Bill Manager as an easy and convenient way for consumers to receive and pay their bills online.
      Provide pay anyone services later this year on Intuit`s Quicken Desktop.
      Obtain the right to market electronic bill presentment and payment services using the Powered by Quicken® Bill Manager name, one of the strongest and most recognizable brand names in the personal financial management arena.
      Provide consumers with a service that delivers all of their bills electronically through Quicken® Bill Manager by combining available electronic bills and paper bills through scanning services.
      Market the Quicken® Bill Manager ``front end`` capability to banks and other financial institutions or through the company`s strategic online banking software partners. Princeton eCom currently provides ``back end`` payment processing or ``pay anyone`` services to more than 950 banks, credit unions and other financial institutions.
      Welling said that Intuit could become a minority stakeholder in Princeton eCom or receive cash consideration at Princeton eCom`s discretion in the future.

      ``This transaction might be more accurately described as a long-term relationship than a sale or an acquisition,`` Welling said.

      Welling said the acquisition was a ``ratification`` of Princeton eCom`s market leadership and business model by Intuit, the industry leader and innovator in personal financial management software.

      Welling said he expected integration of the various business lines to take several months. Approximately 25 Intuit employees based in California will become Princeton eCom employees. They will work out of the Princeton eCom California office.

      ``This acquisition will make important contributions to Princeton eCom in terms of our capabilities and our ability to attract and serve our clients and their customers,`` Welling said. ``Additionally, this is an important step forward for our industry. It makes Princeton eCom the catalyst for universal bill distribution because of our commitment to using open standards to distribute bills to consumers.``

      ``Princeton eCom is a proven leader in electronic bill presentment and payment and is well-positioned to provide the end-to-end billing and payment solutions demanded today by both billers and consumers,`` said Steve Bennett, president and CEO of Intuit. ``Their knowledge and experience allow them to provide innovative services to Quicken customers, to billers, and to banks and financial institutions.``

      Quicken Bill Manager allows anyone with a valid U.S. checking account to make online payments to anyone in the United States. Additionally, it eliminates the clutter of monthly bills by allowing an end-user to receive all bills - paper and electronic - online.

      The Quicken.com Bill Conversion service allows users to have all of their paper bills automatically sent to a service that scans the bills and securely presents an image of the bill online for consumers to view. E-mail alerts are sent out both when bills arrive as well as when bills are due thereby eliminating the worry of missing bills or having to incur costly late fees. When making payments, individual bills can be scheduled to be paid automatically or paid on specific dates determined by the consumer. Additionally, consumers can choose to make payments from any account they have with check writing privileges.
