Moving closer to swap terms
The agenda now set for Uralsvyazinform`s AGM on June 15 offers shareholders a framework for consolidation of the Urals super-region. While the detailed swap ratios have not yet been announced, the proposal is to authorize 15bn new preferred shares and 35bn common shares. Given the current 8.7bn of common shares outstanding, the new equity, if issued, would leave current shareholders of Uralsvyazinform with 19.9% in the consolidated Ural region telecom. Company representatives point out that not all the authorized equity will necessarily be issued for the swap, so the implicit 19.9% would be the worst outcome; however our own calculations of fair swap terms (as described in our report Ready to Connect, published 3 weeks ago) envisage a very close target of 20.5%.

If Uralsvyazinform really does end up with some 20% in the consolidated company, an arbitrage opportunity appears to be offered through purchase of KhantymansiiskOkrtelecom, Tyumentelecom or Yamal Electrosvyaz, all of whose shares are currently cheaper on the secondary market than the implied swap ratios. We remind readers that we rate all three of these stocks a Buy. However, it is important to remember that the final swap ratios remain to be negotiated. They will ultimately be a compromise among the interested parties, and they may differ significantly from prior calculations. The ex ante arbitrage, although we consider it attractive, is not riskless.

A decision to authorize preferred shares at Uralsvyazinform might particularly benefit the preferred shareholders of the smaller companies in the Urals super-region. Unlike other regional telcos, Uralsvyazinform does not currently have preferred shares, which has created added uncertainty about the likely treatment of pref holders in the other local companies. Uralsvyazinform emphasizes that no details are yet finalized, but there is now at least an indication that the Urals merger scheme may feature a straightforward swap of prefs for prefs at the same ratios as commons. If the new prefs offer the usual dividend treatment (ie, 10% of net profit), this could be especially beneficial for KhantymansiiskOkrtelecom, whose current charter gives pref holders much less favorable treatment - a fixed dividend of 10% of par value (which works out to R1.5 per year).

Charttechnisch wohl einer der Besten Werte aus der Telekombranche incl. der Deutschen. Vielleicht kommen da bald heisse News.








Wie man sieht performed die russische Telekombranche wesentlich besser als die deutsche. Wobei der Chart von URALSVYAZINFORM m. E. auch besser als der von Rostelecom ist!

Investieren die Russen eigentlich in UMTS? Wenn nicht haben sie diese imennsen Kosten jetzt wohl noch nicht zu tragen!?
