Paris, France and Woburn, Mass. June 1, 2001 - Genuity Inc., a leading
global eBusiness network provider (NASDAQ: GENU), and Integra, a premier
European provider of managed hosting and eBusiness solutions (IEA NM or
INTG NM), today announced they have entered into a binding and
exclusive agreement to merge their organizations. The combined company
will leverage their complementary business solutions and geographic reach
to create a world class eBusiness infrastructure and managed services
provider.
Genuity will make a public tender offer for all of Integra s outstanding
shares. Integra will be merged into Genuity s European operations and
rebranded as “Genuity Europe.“ This transaction will provide Genuity with a
solid foundation for dynamic growth and significant synergies.
The transaction is valued at 125 million Euros based on 45.0 million Integra
shares outstanding. Integra shareholders will be offered 0.75 Genuity shares
for each share of Integra. This offer represents a premium of approximately
14% as of May 30, 2001.
The transaction has the unanimous approval of both Boards of Directors.
The Benefits
“The combination of Integra and Genuity represents an exceptional
opportunity to strengthen and expand our managed web-hosting solutions

The combined organizations, on a pro forma basis, will have global
revenues in excess of 1.5 billion Euros in 2001 and will offer a unique set of

The public offer will be filed with French Stock Exchange authorities on or
about June 11, 2001. Genuity will apply for the listing of its shares in Paris

das ist mit an sicherheit grenzender wahrscheinlichkeit erfolgt - welcher integra aktionär sollte das nicht annehmen?? (freefloat ca. 60%) - und da freundliche übernahme, haben sie die 40% der altaktionäre sicher!

europaweiten Managed-Hosting- und eBusiness-Lösungen, steht kurz vor
dem Abschluss.
Die französische Börsenaufsicht “Commission des Operations de Bourse“
(COB) hat mit Datum vom 6. Juli 2001 unter der Visa-Nummer 01-935 (mit
Anmerkungen) den Börsenprospekt genehmigt, der das Übernahmeangebot
von Genuity für Integra beschreibt. Genuity und Integra haben am 10. Juli
2001 einen gemeinsamen Börsenprospekt in der französischen
Tageszeitung La Tribune veröffentlicht, der offiziell über das Angebot
informiert. Der Conseil des Marchés Financiers hatte zuvor das
Tauschangebot vom 27. Juni 2001 für zulässig erklärt (Admissibility Notice
No.201C0760 vom 28. Juni 2001). Das Formular mit der englischsprachigen
Version des Börsenprospekts wurde zudem vom Bundesaufsichtsamt für den
Wertpapierhandel (BaWe) zur Veröffentlichung in Deutschland am 6. Juli
2001 freigegeben. Die Frist für das Tauschangebot beginnt am 10. Juli
2001 und läuft mit Börsenschluss am 13. August 2001 aus.

Das stimmt so nicht. Es gibt auf dem deutschen Kurszettel massenweise Unternehmen, die mehrheitlich übernommen wurden und deren Kurs nach Auslauf des Umtauschangebotes sich NICHT angepasst hat an den Übernahmepreis, darunter waren Baan und Mannesmann (mittlerweile neues Angebot von Vodafone) und sind heute noch Hoechst. Das sind nur ein paar von vielen Beispielen.
Genuity wird also die angebotenen Integra-Aktien tauschen und damit die Kontrolle über die Firma bekommen, die restlichen Stücke werden weiterhin gehandelt und dümpeln herum.

shareholders will receive three shares of Genuity Class A common stock in exchange for four Integra shares. Integra stock warrant holders will receive 0.068 shares of Genuity
Class A common stock for each stock warrant exchanged. If 100 percent of Integra`s currently outstanding shares as well as any shares acquired upon exercise of "in the
money" stock options and stock warrants (i.e., those options and warrants with an exercise price of 2.78 Euro or less) are exchanged, Genuity will issue approximately
35,000,000 shares of its Class A common stock.
Genuity initially announced its intent to acquire Integra on June 1, 2001. On August 24, 2001, Genuity announced that it had succeeded in its amicable exchange offer for Integra,
receiving approximately three quarters of Integra`s 45 million shares outstanding.
The listing prospectus will include Genuity`s financial results for the three- and six-month periods ending June 30, 2001. Genuity announced its second quarter operating results

Genuity Reopens Exchange Offer For Integra
Becomes first company to reopen tender offer under new French regulation; Enables remaining Integra shareholders to tender shares
Paris and Woburn, Mass. - Genuity Inc., a leading global eBusiness network provider (NASDAQ: GENU), and Integra S.A., a premier European provider of managed hosting and
eBusiness solutions (IEA NM or INTG NM), today announced that they will reopen the offer period of Genuity`s amicable exchange offer for Integra`s remaining shares
outstanding. Integra shareholders have already tendered over 75 percent of Integra shares outstanding. In order to reopen the exchange offer for an additional period of at least
10 trading days, Genuity is relying on a recently adopted French tender offer regulation. The reopened offer period will be from September 7 until September 20, 2001.
"By reopening the offer, we hope that those Integra shareholders who may have missed the opportunity to tender their shares during the initial offer period, will now have the
