Liebe Freunde,
leider hat mich w-o aus mir unerklärlichen und unverständlichen Gründen gesperrt. Unter meinem ehemaligen Pseudo Eisi Gulb kann ich nicht mehr Beiträge zu den teilweis guten Foren leisten. Meine Eisi-Daten wurden gesperrt und vollständig gelöscht. Damit ist meine Eisi-Ära bei W-O beendet und die mir zur Verfügung stehenden Quellen werde ich nicht mehr auf die WO-Foren portieren. Ich hoffe, dass für den ein oder anderen meine sogenannten Profi-Foren ein wenig Aufhellung in die Sino-Geschichte gebracht haben und tlw informativ genug waren, allen Kurs- und Buchverlusten zum trotz. Hiermit sind die Profiforen beendet. Dankt w-o dafür.

Auf eine werthaltige Aussage hierzu verzichte ich. W-O hat mir den Spass verdorben. Zudem werde ich ohnehin in naher Zukunft nicht mehr die Zeit und Muse haben, bei w-:o regelmäßig reinzusehen. Ich verändere mich beruflich und bin ab Herbst länger im Ausland und so gut wie nicht online.

ISSUANCE OF CONVERTIBLE LOAN NOTES

On 5 September 2001, the Company and Power Ocean, an independent third party, have entered into a Settlement Agreement in respect of the full and final settlement of a loan facility of HK$210,000,000 under the Loan Agreement. Under the Settlement Agreement, Power Ocean has agreed to settle the Loan by means of the subscription for the Notes in the principal amount of HK$210,000,000. Assuming full conversion of the Notes, a total number of 2,100,000,000 Conversion Shares will be issued at a conversion price of HK$0.10, which is equal to the nominal value of each Share, representing approximately 7.275% of the existing issued share capital of the Company and approximately 6.782% of the issued share capital of the Company as enlarged by the Conversion Shares.

SETTLEMENT AGREEMENT

Provisions of the Settlement Agreement

1. Power Ocean shall subscribe for and the Company shall issue the Notes on Completion;

2. The Notes shall be issued at its full value to Power Ocean; and

3. The subscription proceeds shall be used for full and final settlement of the Loan.

Conditions

Completion is conditional upon:

1. the approval of Bermuda Monetary Authority being obtained for the issue of Notes and the free transferability of the Conversion Shares which may fall to be issued on conversion in full of the Notes in accordance with the terms of the Agreement, if required.

2. the Stock Exchange granting listing of and permission to deal in the Conversion Shares which may fall to be issued on conversion in full of the Notes in accordance with the terms of the Agreement.

Principal terms of the Notes

1. The Notes will mature on the first anniversary from its date of issue and will bear an interest of 5% per annum.

2. From the date of issue of the Notes until the date immediately before the maturity date, the Company is entitled to make early redemption of all or part of the principal under the Notes after the date of issue in multiples of HK$1,000,000 without being subject to any penalty for early redemption.

3. From the date of issue of the Notes until the date immediately before the maturity date, the Noteholder is entitled to convert all or any part of the principal amount then outstanding under the Notes into Shares.

4. The Notes may only be transferred or assigned subject to obtaining the prior approval of the Stock Exchange. Any alterations in the terms of the Notes after issue must be approved by the Stock Exchange.


The Conversion Shares

The Conversion Shares to be issued upon full conversion of the Notes will be issued pursuant to the general mandate to the Board at the special general meeting held on 9 July 2001. Such mandate is valid and subsisting and has not been revoked.

The Conversion Shares represent approximately 7.275% of the existing issued share capital of the Company and approximately 6.782% of the issued share capital of the Company as enlarged by the Conversion Shares. The issue price of HK$0.10 per share was determined after arm?fs length negotiation between the Company and Power Ocean. The issue price of HK$0.10 per Share represents a premium of approximately 96.08% to the closing price of HK$0.051 per share as at the date of this announcement and a premium of approximately 79.53% to the average closing price of HK$0.0557 per share for the last ten trading days up to and including 5 September 2001.

Application will be made to the Stock Exchange for the listing of, and permission to deal in, the Conversion Shares. All Conversion Shares will rank pari passu in all aspects with the existing issued Shares.

Completion

Completion of the Agreement will take place at the office of the Company on the date that the conditions as specified above are fulfilled, but in any event no later than 30 September 2001.

Reason

The Board considers that the settlement of the Loan by means of issue of the Notes would eliminate the cash outflow and the Company?fs net current liabilities will be reduced by HK$210,000,000 on the assumption that the Noteholder will convert the Notes in full. Moreover, the repayment period of the Loan would be revised from six months to one year after the arm?fs length negotiation between the Company and Power Ocean and, therefore, the Company would not face a relative short-term cash outflow impact. The Board believes that the terms as stipulated in the Settlement Agreement are in normal commercial terms and such arrangement is in the best interest of the Company.

Information of the Company

The Company and its subsidiaries are principally engaged in properties investment and development, and in the design, manufacture and marketing of electronic learning toys.

General

There will be no change in the composition of the Board, nor will there be any material change in the control of the Company which may arise by reason of full conversion of the Notes.

HONG KONG, Sept 6 (Reuters) - Electronic learning toys maker South Sea Holding Company Ltd said on Thursday it was issuing HK$210 million worth of convertible loan notes to Power Ocean Investments Ltd to repay a debt of the same value.

Assuming full conversion of the notes at a price of HK$0.10 each, a total of 2.1 billion shares or 6.782 percent of the enlarged issued share capital will be issued, it said in a statement.

South Sea, also engaged in property investment and development, said the issue price was equivalent to the nominal value of each share.

South Sea shares closed at HK$0.051 on Wednesday and have lost about 8.93 percent in the last three months.

Meine Sino-I-Aktien habe ich längst abgeschrieben.
Ich bin nach wie vor der tiefen Überzeugung, dass Sino-I die Emmissionserlöse hauptsächlich dazu verwendet hat, seinen maroden Hotelbestand zu sanieren.
Heute ist mir auch klar, warum sich Quamnet immer so negativ zu Sino-I geäussert hat.
Sino-I ist halt eine Internet-W.x-Bude.

Aber momentan gibt es einfach nichts mehr, was es rechtfertigen würde, Zeit in Sondierungsaktivitäten zu stecken.
Demzufolge hast Du meiner Meinung nach Sino-I abgeschrieben, wahrscheinlich Deine Aktien (längst) abgestossen und dafür habe ich auch vollstes Verständnis.

Bin schon oft über SINO-I.COM LTD. gestolpert, habe aber nicht gewußt, daß dieses Unternehmen etwas mit Hotels zu tun hat. Zumindest entnehme ich das dem Posting # 8 von
Nasdachs.

Vielleicht findet China Travel Euer Interesse. Hat auch etwas mit Hotels zu tun. Allerdings kann China Travel in 2001 bereits eine Performance von 80 % vorweisen.
Es gibt auch 2 Threads zu China Travel, denen Ihr diverse
Einzelheiten entnehmen könnt.

Mich hat ohnehin gewundert, daß sich der größte Teil der User im Asien-Forum mit Werten befaßt, die 2001 mehr oder weniger im Minus liegen. Ich habe versucht, auf China Travel aufmerksam zu machen. Leider interessiert`s die wenigsten. Warum eigentlich?

China Travel ist ein Red Chip, der sich mit der Boom-Branche
Tourismus befaßt.
In China steckt der Tourismus noch in den Kinderschuhen, hat aber sehr gute Perspektiven.
Auch wenn es noch lange bis dahin ist, wird China Travel von
Peking als Austragungsort der Olympiade 2008 profitieren.

China Travel erzielt 2001 das beste Ergebnis in der Unternehmensgeschichte. Die Dividende ist soeben kräftig erhöht worden.

An deutschen Börsen ist der Handel mit China Travel relativ
schwach, um so stärker an der Börse Hong Kong.
Mit entsprechenden Limiten gibt es aber in D kein Problem.

freut mich sehr, wieder mal von Dir zu hören.
Veränderung tut immer gut. Schade, daß es so wenig Veränderung bei Sino gibt - wir Sanierungsopfer sind die Finanzjonglierereien (schönen Gruß an den echten Eisi, der nur 20 Kilometer von mir entfernt wohnt!) der Sinos langsam leid!

Wünsch Dir alles Gute für Deine berufliche (und natürlich auch private) Zukunft.

Ich selbst mache mich grade fertig für meine alljährliche Veränderung - zurück zu mein Heim in HK. Hoffe dort auf gutes Klima und viel Muße zum Schreiben und Ideen sammeln. Im Frühjahr komm ich zurück...
