BHP Billiton will acquire all of the issued and outstanding shares of the Company`s wholly owned Guatemalan subsidiary, Jaguar Nickel, S.A., which holds exploration licenses in the Lake Izabal area in the Republic of Guatemala;
- The purchase price will be CDN $19 million cash;
- The Transaction will be submitted for shareholder approval at a meeting that is expected to be held in January 2006;
- Concurrently with the closing of the Transaction, which is expected to occur not later than February 28, 2006, the Company will enter into an exploration alliance agreement (the "Alliance") with another wholly owned subsidiary of BHP Billiton for the exploration and development of nickel mining properties in Canada, Alaska, the mid-continent United States and Greenland, excluding certain properties currently held by BHP Billiton;
The Alliance will be overseen by a five-member steering committee comprised of three representatives of the Company and two representatives of BHP Billiton. This committee will be responsible for determining properties of interest and an agreed upon exploration program. The Company can separately and independently carry out other exploration and development activities in North America and internationally.
David Goldman, Chairman of the Board, stated, "The Board of Directors unanimously recommends acceptance of this transaction. The Company will emerge from this transaction as a well-funded junior exploration company in North America with an alliance with the world`s largest diversified resource corporation. Our strategic review process, which was formalized earlier this year with the formation of the Special Committee and the engagement of Scotia Capital, has been beneficial to the Company and has enhanced shareholder value."
Richard Weizenbach, Executive Vice-President and Chief Operating Officer stated, "We believe that the alliance with BHP Billiton provides an accelerated platform for the Company to enter into the nickel sulphide business. Exploration targets have been selected for immediate field work, with drilling anticipated for the first quarter of 2006. We expect that cooperation with BHP Billiton`s worldwide exploration team under the Alliance will be of immense benefit to the Company."
The Company will retain its proprietary process technology patent rights.

Fazit:
Damit haben wir jetzt eine Explorer mit 19 Mio CAN$ Cash und BHP Billiton als strategischem Partner (zumindest in einem Projekt).
Gleichzeitig kann JNI aber selbständig weitere Projekte bearbeiten ("The Company can separately and independently carry out other exploration and development activities in North America and internationally.") - und jetzt hat JNI auch genug Geld dafür, das manchem anderen Explorer fehlt.

The Board of Directors of Jaguar Nickel Inc. (the
"Company") (TSX:JNI) today announces that it has approved the
Management Proxy Circular (the "Circular") for the Special Meeting
(the "Meeting") of Shareholders scheduled for January 24, 2006.
Shareholders will be asked to consider and vote on the proposed sale
of the Company`s wholly-owned Guatemalan subsidiary, Jaguar Nickel,
S.A., pursuant to the terms of a share purchase agreement with a
wholly-owned subsidiary of BHP Billiton Limited ("BHP Billiton").
The record date for shareholders entitled to vote at the Meeting
has been set as December 23, 2005. The Circular will be mailed to
shareholders by December 28, 2005.
At the Meeting, the shareholders of Jaguar will be asked to
approve the transaction (the "Transaction"), pursuant to which the
Company would sell all of its common shares in the capital of Jaguar
Nickel, S.A. to BHP Billiton. The terms of the share purchase
agreement dated November 29, 2005 provide for an aggregate cash
consideration of $19 million, subject to adjustments, and the benefit
of an alliance to explore for nickel sulphide and associated minerals
with BHP Billiton.
In connection with the closing of the Transaction, Jaguar would
enter into:
1. An alliance agreement with BHP Billiton which would provide
Jaguar with an ongoing relationship with BHP Billiton for the purpose
of exploring for and developing minerals within Canada, Alaska, the
Mid-Continental United States and Greenland, excluding certain
properties currently held by BHP Billiton;
2. An option agreement with BHP Billiton, pursuant to which
Jaguar would be granted an option to acquire a 51% interest in three
mineral properties located in the Snow Bird, Target 87 and Nelson
River areas of Canada; and
3. An option agreement with BHP Billiton, pursuant to which
Jaguar would be granted an option to acquire a 51% interest in
mineral properties located in the area around Cottonwood, Minnesota.
Details of the Transaction will be outlined in the Circular
mailed to shareholders and available on the SEDAR website at
www.sedar.com.
On approval of the Transaction by the shareholders and subsequent
to closing, the Board of Directors will review its mandate,
composition and future direction including appropriate management

Thankfully, there are real nickel references in Cottonwood that make interesting reading, but it should be noted that the Cottonwood nickel on Google is in Nevada, not Minnesota as on the Jaguar news release. No luck on that front, except for the Wooden Nickel Saloon in Marshall, Minnesota.

This is because the last paragraph of the news release highlights ‘management changes’. If the ‘management changes’ includes the resignation of the Board of Eunuchs, er, Directors, that that would definitely be worth voting for."
