      BRASILIA, March 30 (Reuters) - Brazil approved its biggest ever merger early on Thursday, allowing the country`s top two drinks companies Brahma and Antarctica to form the world`s third largest brewer.
      Four out of five panellists from Brazil`s Cade anti-trust agency voted in favour of the union after an all-night, 14-hour meeting, but tacked on conditions to the merger that include forcing the sale of a beer brand and five manufacturing plants.
      The new company, AmBev , will control an estimated
      67 percent of the local beer market and 25 percent of the soft drinks market, making it the world`s fifth largest beverage company -- a dominance that opponents charged would create a monopoly power.
      While markets feared far harsher restrictions, Antarctica`s President Victorio De Marchi told reporters the loss of its Bavaria beer brand -- which controls 4.6 percent of the national beer market -- was a steeper sell-off than AmBev had expected.
      Also nagging at AmBev is a clause forcing the merged company to open up its massive distribution networks to the future owner of the Bavaria brand, as well as five smaller regional brewers for four years.
      "The restrictions were greater than we had anticipated,"
      said De Marchi, who is scheduled to be co-president of AmBev. "It will reduce efficiencies... we still will have to calculate by how much." De Marchi will speak at an AmBev press conference in Sao Paulo at 3 p.m. (1500 GMT).
      Cade also restricted the sale of Bavaria, which must be shed within eight months of the deal`s official publication, to a company with no more than five percent control of the local beer market.
      Analysts attending the meeting said the move pointed to a likely acquisition by one of several foreign drinks companies vying to plunge into the massive Brazilian beverage market, which ranks third worldwide, behind the United States and Mexico.
      "Now, foreign companies have almost no stake of any
      consequence in the Brazilian market, but they do have the
      resources for investments to make it (the acquisition) work," said one industry analyst, who declined to be named.
      Rival beer company and arch-foe of the merger, Kaiser,
      blasted the Cade proceedings as "a staged show" and "an
      embarrassment to Brazil," where merger-wary beer drinkers swear by their favourite beer brands with the same passion as they align themselves with soccer teams.
      AmBev will now control 18 beer brands, including top selling Antarctica, Brahma and Skol, as well as sales of beer from Milwaukee-based Miller Brewing Co, a unit of Philip Morris Co. It will also control 37 soft drink brands and a host of other products, including fruit juices and mineral water.
      Kaiser said AmBev would crush smaller companies and did not rule out court action in an attempt to overturn the ruling. "I think that Cade has just died. They (the panel members)have buried any morality that there could have been in Cade,"Kaiser President Humberto Pandolpho told Reuters.
      "Now we are going to analyse this calmly, every word, everysentence to see if there is any irregularity, any point straying from Cade`s norms. If this is the case, we will go to the courts and fight this."
      Kaiser, which ranks as third largest Brazilian brewer and counts Coca Cola Co. as one of its biggest shareholders,said Cade had strayed from every separate government recommendation against the merger based on fears AmBev would have an unfair advantage in the beer market.
      AmBev, which distributes PepsiCo Inc.`s Pepsi-Cola
      Co brands, charged that Coca Cola was lobbying hard behind the scenes to fight the merger.
      According to company sources, AmBev opponents will continue to lodge injunctions in coming days in an attempt to nullify Cade`s ruling. Kaiser plans its own press conference at 11:30 a.m. in Brasilia.

      Ja und wer kennt nicht Antarctica Guaraná?

      As the first concrete deal to come out of AmBev, the
      company entered into a deal at the end of last with year with PepsiCo Inc.`s Pepsi-Cola to distribute and market Guarana worldwide.


      Na hoffentlich dauert das nicht mehr so lange, dann kann man endlich Guaraná auch hier trinken ;)
