Initial franchise information due to be published by the end of calendar 2006. Franchise model = a lot of short term profits via franchise fees while passing on the risk to the franchise holders. Chuck E. Cheese the CEO built to 200+ restaurants within 5 years.

(4) CEO's policy, as seen with Atari and Chuck E. Cheese is immediate and massive growth. A quote of his from answers.com: "The critical ingredient is getting off your butt and doing something. (5) Similar but different from Dave & Busters - all games come free with food and drink and are at the table and bar. Food and drink can be ordered directly from the terminals for fast and accurate service. Whole new style of games that allow for a social atmosphere (with games between tables and projectors to flash giant screens on the wall to simulate master games) instead of the anti-social gaming that is more D&Bs which each participant playing more by himself. There's also a lot more than games at the terminals - movie trailers (before they even hit the internet), magic tricks, fortunes, and the old-fashioned carnival stuff that tests your whatever by putting your hand on the screen, comedy skits, music videos, etc.

(6) Food-wise, the menu was created by one of the pioneers of California Pizza Kitchen and he was directly responsible for making it the huge success it is. (8) Analyst Eric Wold of Merriman Curhan Ford Co. says that the trick is to distinguish yourself from the other chains serving up predictable dining fare. Bushnell "will bring something to consumers they can't get anywhere else," Wold says. He adds that "the tabletop terminals can be remotely managed—unlike arcade games that break down—and that video meal-ordering will allow the company to save on labor costs for servers."

I just picked up my Nintendo Wii. It is amazing how far video games have come since UWNK's CEO Nolan Bushnell invented the first video game Pong and the first video game console Atari.

I believe Nolan Bushnell is going to build UWNK into a billion dollar company just like he did with Chuck E Cheese. (the market cap of UWNK right now is only $40MM)

Nolan Bushnell has a famous quote that says it all, "The critical ingredient is getting off your butt and doing something. It's as simple as that. A lot of people have ideas, but there are few who decide to do something about them now. Not tomorrow. Not next week. But today. The true entrepreneur is a doer, not a dreamer."

This isn't some concept OTC BB company with a great idea that will never follow through with it. I can guarantee you that Nolan Bushnell will grow this company rapidly during the next year.

I have been playing the Nintendo Wii for the past hour. What I like about it is how simple it is to play. Nintendo realized they need to be different to compete with Sony and Microsoft. The Wii enables anybody to pick up and start playing who never played before.

Nolan Bushnell is using the same concept with UWNK. The games they have developed are very simple to play. He realizes that only 15 million out of 300 million Americans are gamers. He wants to attract the 285 million non-game players. UWNK's games are a catalyst for social interaction, not the obsession of greasy-haired adolescent outcasts.

Once UWNK has 50-100 locations they are going to introduce 2-3 additional games they have developed that will link all of the restaurants together so customers can compete against diners throughout the country.

I am so excited about UWNK. The reaction I have been getting about this company is overwhelming. I have gotten hundreds of emails about it today after sending out my initial alert last night.

Nolan Bushnell made his first fortune in 1976 when he sold gamemaker Atari to Warner Communications for $28 million. Next he convinced parents that gobbling bad pizza, playing arcade games, and watching a robotic rat named Chuck E. Cheese was a good use of their kids' time. Now the entrepreneur is merging the concepts in uWink, a restaurant where customers play interactive games as they dine. Days after his first establishment opened near L.A., Bushnell spoke to FORTUNE's Ellen Florian Kratz.

Why is your business called uWink?

I wanted a name that was playful. Short names are better than long names.

So you think adults want to play videogames while they're eating?

Most videogame experiences that people have today are isolated, and I don't perceive that as being social. I want to create a situation where a group of four goes into a restaurant not knowing a person in there and leaves with six new friends.

You don't have any waiters and waitresses. Won't customers feel a little neglected?

It's almost the opposite. People say, 'Gee, it's so easy for us to [use the touchscreen] for another drink or appetizer.' They're saying it's a little bit like Las Vegas in that it's too easy to spend money.

What's an example of a game you have in the restaurant?

We've got a best-friend game for birthday parties in which the birthday person makes a list of things that she likes and then everybody else tries to guess what they are. Of course, the person who most matches the birthday person is clearly the best friend. Tween girls love that one.

Have you played Grand Theft Auto?

I don't want to be a prude, but I just don't believe that any industry should race to the bottom. I perceive those things to be not good for kids or adults.

You say you've done some clever financial engineering. Can you give an example?

If you're having a normal meal, you never ever pay for game play. It's free. But if you're just hanging out, there's a game surcharge. We're trying to make an economic model that is significantly more profitable than a regular restaurant.

So what was Steve Jobs like when he worked for you at Atari?

Steve was a little bit, let's say, meticulous. I loved him dearly and still do. He didn't abide fools gladly.

Is the food better than Chuck E. Cheese's?

Yeah. In fact everyone made me promise I'd forget everything I learned about pizza at Chuck E. Cheese. uWink's macaroni and cheese has garlic and extra flavors you don't expect because we're using high-quality cheeses [like smoked mozzarella].

Have you ever had your birthday party at Chuck E. Cheese's?

I have not. My kids have.

MY LATEST VISIT TO UWINK (LAST NIGHT)

We were a party of 5 (two couples + their daughter) at around 8:20pm. The other couple plus their 9 year old daughter had never been there. The daughet and father immediately ran over to the 6 player light table. Huge change in the friendliness and enthusiasm of the staff than from my other visits. Prior they seemed to all have a half-confused glazed look on them. Now every single one of them act like I'm a guest at my own surprise party. Huge non-stop sincere looking smiles and extremely witty.

Anyway, we gave our name, said party of 5, exchanged quick-witted jokes with the staff (it was clear to me that somebody in management implement some massive positive changes and/or training in the last couple of weeks), but then Nolan walked in. (he seems to fall from the sky every time I go, lol). Spent a good 5-10 minutes talking to him. Here's some of what he told me:

(1) He was pleased to inform us that Ruby's Diner (another chain-type restaurant in the mall) despite Ruby's being there for over 20 years and right next to the movie theatre on the grand floor and despite UWINK not even being "officially" open yet and no advertising whatsoever, UWNK currently has more customers than Ruby's Diner that Friday night!
(2) Every single day at UWNK has been a consistent record breaker since opening. This means every Monday has been the best Monday they've had, Tuesday the best Tuesday they've had, etc.
(3) They have 20 engineers in China creating games. The 6 player games are going to have some really cool games on them. The current simple games (like 6 play pong) are just for show because he "just wanted to light up the tables."
(4) At the Grand Opening party, he thinks there will be Hollywood Stars there but he cannot confirm any specific names for sure. He said he refuses to pay them to eat in his restaurant because "that would be just wrong" he said with a smile to have to do that. In addition, he has confirmed that 9 prospective franchisees so far will be attending the party.
(5) The wife of the other couple was talking to Nolan
He said they got approved for another location in San Jose, CA (45 minutes from San Francisco - only mentioing it to us after she suggested a location that happened to be 10 minutes from there so there may be several other locations approved that he didn't mention)

My additional observations since my last visit....

(1) The bar area uses two big wall projectors as TVs for sports, etc. instead of art.
(2) The terminals have a leaf/Fall color scheme and design now.
(3) Seating capacity is now fully open (on the inside) with all terminals fully functioning and operational throughout the entire restaurant. Prior the back area was sectioned-off for the programmers doing their thing. This added maybe an additional 30% capacity or so (which was badly needed last night)
(4) 8:20pm when we arrived the place was pretty packed! Bar area was full and there were maybe 3-4 empty tables (including the one we got) out of the expanded capacity. Also interesting to note is the parties were larger than previous visits. More parties of 4, 5, and 6 filling the tables instead of just 2.
(5) Just prior to entering the restaurant, a group of teenage girls were walking by and one dropped her jaw, pointed at the uWink sign and shouted rather excitedly, "Ohhhhhh, I heard about this place!!!"
(6) A few new items on the menu. A dessert or two also. New buttons for additional help. "Get me a runner here now" (i forget the exact wording) "Get me a refill" "I need this condiment" etc.
(7) The 9 year old demonstrated how easy the terminals are (at least for kids). Each couple shared a terminal + she got one for herself. 5-10 minutes after we sat down while we were still figuring out which appetizers we wanted to share, and the bartender was uncorking the wine we brought with us, a pizza and a shirley temple mysteriously appeared that the little girl apparently ordered with ease within seconds of sitting down. She absolutely loved the place.
(8) There is a place that mentions that they are traded publicly and what their stock symbol is.
(9) Food quality was delicious as always with the pizza looking most tasty this time. 9 year old loved it anyway. Very skinny girl who is picky and doesn't eat much wolfed the entire thing down pretty fast, lol. My GF's friend is a manager for a fine-dining restaurant near San Francisco and she was very impressed and shocked with the quality of the food. My girlfriend is half-Thai and a chef + restaurant owner herself and always rips apart every Thai restaurant we go to with her critique but was astonished by the Thai dish they serve being one of the best she's ever had anywhere (and she's eaten at dozens of Thai restaurants). Her friend, also a big fan of Thai food, agreed. Her only criticism was that she thought they should kick it up a notch in terms of how formal the place is. Upgrade the uniforms from t-shirts to polo shirts. I tended to agree there. Plus she was concerned about table turning - getting people to leave quickly so that new people can be sat. Her thinking was that with so much "eye candy" it's very tempting to sit there and chit-chat for hours while just slowly sipping coffee. I agree, but I think in the big picture that can be a good thing. Like Starbux.

Letter to Shareholders

To Our Shareholders:

I am writing today to update you on our amended Form SB-2 registration statement filed with the SEC on December 8, 2006 and other amended SEC filings we have made in the last 10 days.

This year we raised a total of approximately $3,000,000 from 63 investors in two private placement transactions, one in March 2006 and the other in September 2006. In these transactions we sold approximately 10,000,000 shares of common stock and 5,000,000 warrants to purchase common stock (a warrant is a right to purchase a share of common stock at a fixed price). We priced both these transactions at $0.30 per share (and the exercise price of the warrants at $0.345 per share), at a time when our stock was consistently trading below $0.30.

The investors in these transactions were largely our officers and directors and our friends and family, and we appreciate their faith and support during this important year for our company. We used the proceeds from these transactions to develop and open our first uWink restaurant in Woodland Hills, California.

Like many small public companies, we, in conjunction with our financial, legal and accounting advisors, structured and accounted for these transactions as typical PIPEs (private investments in public entities). Because the securities we issued in these transactions cannot be resold (at least for the first year) without registration with the SEC, we agreed with our investors that we would file a registration statement with the SEC to allow for the resale of their shares and warrants, as is typical in PIPE transactions. In addition, as is typical in PIPE transactions, we agreed that, if this registration statement was not “effective” within 180 days, we would pay the investors monthly cash penalties equal to 1.5% of their investment until the registration statement became “effective”.

We filed a registration statement on Form SB-2 with the SEC on September 29, 2006 to register for resale the approximately 10,000,000 shares and 5,000,000 warrants we issued in these transactions. Shortly thereafter, the SEC notified us that they would “review” our registration statement, a standard process during which the SEC reviews the information provided by the company and, generally, issues a comment letter to the company suggesting improvements and clarifications.

We received a comment letter from the SEC on November 9, 2006. We filed an amended SB-2 registration statement on December 8, 2006 with the responses to those comments, as well as an amended annual report for 2005 and amended quarterly reports for 2004 and 2006, providing additional and revised information in response to the SEC comments.

In that letter, the SEC raised two questions in particular that required significant revisions to our previous filings.

Firstly, the SEC questioned whether the shares and warrants we were proposing to register for resale were eligible for resale on a “shelf” registration, given the number of securities registered relative to our total shares outstanding and given that certain of our officers and directors were registering securities for resale.

In response, our officers and directors have agreed to remove all their shares and warrants from the registration statement and our other 2006 investors have agreed to remove their warrants from the registration statement. As a result, we reduced the number of shares being registered for resale from 15,867,001 to 7,495,254 (30% of our total outstanding) in our amended SB-2 registration statement.

Secondly, the SEC questioned our accounting for the warrants issued in our 2006 private placements. Originally, in consultation with our outside auditors, we accounted for the value of the warrants (as calculated using the Black Scholes valuation formula) in the equity section of our balance sheet. In their letter to us, the SEC questioned whether we should instead account for the value of these warrants as an expense on the income statement and as a liability on the balance sheet, because we were obligated to pay penalties to our investors for failure to register the warrants.

At the time we received the SEC letter, our outside auditors advised us that the SEC was now requiring expense/liability accounting treatment for warrants like ours. Therefore, we decided to amend and restate our 2006 quarterly financial statements to reflect an expense on the income statement and liability on the balance sheet for the Black Scholes value of the warrants issued to investors in 2006.

Our 2006 investors have now permanently waived both their right to have their warrants registered and to receive penalty payments for our failure to register their warrants. Thus, it is important to note that we do not have any monetary obligation in respect of these warrants. In addition, we believe we now have a strong argument to remove the warrant liability from our balance sheet at December 31, 2006.

und halt die berichte die man sich so ergooglen kann von leuten die dort waren.

mein eindruck bis jetzt ist das das konzept aufzugehen scheint aber wichtiger ist jetzt für die aktie das UWNK wahrmacht was sie angekündigt haben und zwar zu franchisen.

sollte da nicht bald was kommen dann wird der kurs sicherlich weiter zurückgehen.

Atari founder serves games, food and possibly love

LOS ANGELES, Dec 22 (Reuters Life!) - Lovelorn video gamers who are better with consoles than conversation, have a new venue -- a restaurant where each table has touchscreens for ordering food and for playing a variety of social games.

Entrepreneur Nolan Bushnell, founder of the original Atari game company and the children's U.S. restaurant franchise Chuck E. Cheese, has set up uWink in a shopping mall in Woodland Hills, a Los Angeles suburb, to attract an adult dating set.

Bushnell, a life-long gamer and uWink's master game designer, cemented his place in video game history three decades ago when he introduced Atari's first product -- the now legendary table tennis game "Pong" -- to the world. He sold Atari in 1976, four years after its was launched.

Bushnell's new target market is 21 to 35 year old women, although he also hopes to appeal to school kids and families during the day.

"If you've got a restaurant full of women, you're automatically going to attract men," he said.

The new restaurant, which Bushnell wants to franchise, is steeped in LA cool -- with dark wood, sleek surfaces, videos projected onto walls, bistro fare and sophisticated adult cocktails.

It is a far cry from his first restaurant venture, Chuck E. Cheese, where kids go for pizza, arcade games and birthday cake, although the central theme -- gaming -- is the same. Nolan, who took Chuck E. Cheese public and left the company in 1983, has already established uWink as a public company that trades under the ticker UWNK.

Each table at uWink has a pair of touchscreens for ordering food and playing conversation-fueling trivia games covering everything from entertainment to politics and sports.

The library at uWink, which opened in October this year, already has more than two years of game content, including more than 45,000 questions that update weekly.

But Bushnell wants mingling to be the name of the game at uWink, which hosts "room games" where every table in the restaurant can compete simultaneously. The next level of play, to be introduced soon, is table-to-table competition.

Players can stand at so-called party tables and play a fast-paced, six-player game called "Ping" -- a tribute to "Pong."

Bushnell said one of his goals is to take the social risk out of buying a stranger a drink.

"The only thing we're not going to do is determine who is hot and who's isn't," he joked, referring to hotornot.com, an online dating site where people rate each other's looks.

uWink’s Television Debut - TOP CHEF - Wednesday, January 10th @ 10 p.m.!

Last summer I thought uWink’s TV debut would be January 2007, when reality TV show, Top Chef, airs an episode filmed at uWink. Little did I know that we’d have CNBC, LA TV, FOX 13, AP TV, and so many others, filming uWink!

To catch uWink’s pre-opening TV debut, tune into the BRAVO channel, Wednesday, January 10th. Check your local schedule for show times, but in LA it is on at 10 p.m.

Also, we’ll be watching the episode LIVE at uWink on January 10th, so if you want to come down and join in the fun, we’d love to share with you the back story!

BTW, the episode is entitled: “Unhappy Customers”. Remember the episode was filmed at uWink over the summer, before uWink was opened, so don’t be thinkin’ that it was uWink’s customers that were unhappy! :)

A silver lining

Not everyone is seeing doom and gloom if the minimum-wage bill is passed. Businesses offering self-service technology are hoping for a boost as restaurants seek to replace unskilled workers with devices such as self-service order pads.

Van Nuys, Calif.-based uWink debuted its first uWink Media Bistro in Los Angeles in October. The company plans to begin a nationwide expansion in 2007.

The concept, developed by Chuck E. Cheese founder Nolan Bushnell, features touchscreen ordering pads at customer tables. The pads also function as video-game consoles.

Calvin Watkins, manager of Baltimore-based Chosen Media Inc., sees the minimum-wage increase as the first step in pushing restaurants down the path followed by banks, where customers interact with technology more than people. Chosen Media sells touchscreen technology similar to that used by uWink.

According to Watkins’ calculations, a typical 40-table restaurant requires one server for every four tables, or 10 servers per shift. Adoption of touchscreen technology could cut that number down to one person for every 10 tables, or two servers per shift.

Those two people would mainly function as food runners, Watkins said.

In its 2007 forecast, the NRA named self-service technology its No. 2 trend to watch for full-service restaurants. Presently, only about 3 percent of fast-casual operators and 4 percent of fine-dining restaurants offer self-service technology, according to the forecast.

Adoption of self-service technology isn’t a matter of if, but a matter of when, Watkins said.

“It’s going to be a generational thing. Our generation is always going to want that interaction, but the younger generation has grown up with technology,” he said.

Moving Beyond Pong and Pizza

WOODLAND HILLS, CALIF.-Nolan Bushnell is on fire. Sitting at a table at uWink, his sleek new digital restaurant, the inventor of Pong, the world's first video arcade game, has pushed aside his plate of garlic and mushroom pasta to show he's still got it. Booting up Sharp Shooter, a basketball video game designed by uWink, Bushnell, 64, works the touch-screen of the computer mounted on the table in front of him with the dexterity of a 12-year-old. He sinks shot after shot-nine in a row-until flames consume the basket. Finally, a ball bounces out, and his score appears on the screen. Bushnell furrows his brow: "I'm better than that," he says.

It's not the first time the thought has occurred to Bushnell. Not only did this founding father of the digital age invent Pong in 1972, but his fledgling software company, Atari, also launched one of the first home video game consoles a few years later. Bushnell sold Atari for $28 million in 1976, but he never stopped designing new ways to make gaming better. Later that year, worried that seedy arcades weren't good places for kids to play, Bushnell opened the first Chuck E. Cheese's, a still-thriving pizza parlor-cum-video game palace.

Now, Bushnell is at it again. In October, he opened the first of what he hopes will be a worldwide chain of uWink restaurants, a dining-entertainment experience where customers can not only order food from computer consoles at their tables but play games and challenge strangers to table-to-table trivia tournaments. Call it an adult version of Chuck E. Cheese's for the 21st century-minus the creepy mechanical mice, of course-and this time, the food will be palatable, too. "People used to joke when we were starting that we'd have to forget everything we knew about pizza-making," says Bushnell with a laugh. "I understood what they meant." UWink's executive chef is a Wolfgang Puck alum.

Click to order. Bushnell's new eatery, with its stylish white walls and waterproof computer consoles, is not only a far cry from Chuck E. Cheese's-it's a radical leap away from the way most other restaurants operate. "I have a rule about not doing things twice," says Bushnell. "In some ways, I didn't do this sooner because I didn't want to replow an old field." The combination of touch-screen technology and networked computing, he thinks, has paved the way for a new kind of restaurant. Apart from its ever present video games, there are no waiters at uWink, only "runners" who bring diners their already-ordered food. Want salad dressing on the side? A few clicks will do the trick. Accidentally drop a fork on the ground? Same goes. "The most difficult hire of the restaurant set is good waiters and waitresses," says Bushnell. UWink avoids the problem entirely. Eliminating waiters, Bushnell estimates, will cut uWink's costs by 6 percent-not an insignificant number for a publicly traded company looking to franchise. He plans to open six restaurants in L.A. and Las Vegas by the end of the year.

Labor savings aside, Bushnell hopes uWink's games will be its main attraction. "Most video games today are too isolating," he insists. "I want to bring the social back into game play." UWink is everything Halo and Grand Theft Auto are not: Its more than 40 games-which range from PG-13 "truth or dare" challenges to lightning-round trivia matches-are neither violent nor complex. Their target audience is a decidedly new demographic: 21-to-35-year-old women. "Where the women go, men follow," he chuckles. Equally true, of course, over the past 30 years: Where Nolan Bushnell goes, entire industries have been known to follow.

Dear Shareholder,

I wanted to personally thank you for your support and give you an
assessment of the progress of uWink and our first restaurant. Today, I
am very proud to announce that we believe that uWink has delivered
strong proof of concept for the next innovation in the restaurant
industry.

Since we opened the doors to our prototype restaurant in Woodland
Hills, California on October 16, 2006, our monthly revenues have grown
steadily from $30,000 in October to $87,000 in November to $161,000 in
December to $185,000 in January '07. We expect to continue our revenue
growth as we layer in additional capacity and software designed to
create activities that will add revenue streams and fill the
restaurant during traditionally slow times.

With little promotion, we are currently serving approximately 3,000 -
3,500 guests per week in Woodland Hills, and these guests are playing
between 50,000 and 60,000 games per week on our terminals. Our
customers' level of engagement with our entertainment offerings has
far exceeded our expectations.

The uWink experience - the ambience, the food, the fun, the service -
is attracting new customers everyday. We are currently running one
hour-plus wait times on weekends. We will be adding additional inside
and outside seating in the next few weeks to meet the current and

US Entrepreneur Serves High-Tech Restaurant Fare

A pioneer in the video game industry, Atari founder Nolan Bushnell, is blending high-tech entertainment with high-end cuisine in a new venture called uWink. Mike O'Sullivan reports, Bushnell hopes to bring computer consoles to corner restaurants throughout the United States and overseas.

Bushnell founded Atari games in the 1970s, then sold the company to Warner Communications for $28 million in 1976. Then, he concentrated on his chain of pizza restaurants, called Chuck E. Cheese's, which still operate under different management. The restaurants serve up pizza and games in a noisy environment custom-made for children.

Today, Bushnell is trying a modified concept for the adult market, with his first restaurant in suburban Los Angeles. At the center of each table is a touch-screen console on which patrons order their drinks and meals.

"What we want to do is to make, first of all, a very, very good restaurant - good food, good fun," said Nolan Bushnell. "But the automatic ordering makes it so that the fun actually starts when you are ordering your food. It is faster, it is easier, and it is actually more controllable than a waiter-waitress kind of a experience."


High-tech uWink bar

The computer console is also a labor-saving device. The electronic ordering system reduces the number of servers needed in the restaurant.

Patrons can play games as they wait for their food or after they finish eating, testing their knowledge of trivia, or taking a three-dimensional tour of the world's historic sites.

"You can see what it looks like to be standing in the middle of the Gaudi Park in Barcelona, or on a street scene in Portugal, or standing in the grand ballroom of the Vienna Opera House," he said.

The restaurant is aimed at patrons of all ages, and the games are intended to add to restaurant's party atmosphere. Bushnell says many who come are skeptics.

"A lot of people have come at the behest of their friends, or what have you," explained Nolan Bushnell. "And they thought, well OK, I'll do the ordering, but I'm not a game player. I would say that at least 20 or 30 percent of the people that come have not played a game for 20 years or 30 years. Zero percentage of the people leave without playing some games and having a great time."

He says games are part of the attraction, and food is the other part. His executive chef trained at high-end restaurants, including the well-known Spago. Bushnell says he makes American standards, sometimes with a twist, such as a hamburger topped with guava sauce.

"Hamburgers, pizza, pasta, some interesting fish and meat entrees, as well as some tremendous salads and soups," he said.

Bushnell plans to extend uWinks across the United States with both company-owned restaurants and a franchise operation, then move into Asia and Europe. He says customers seem to like the concept. In one recent week, 3,500 patrons dined on burgers, salads and pasta, and played 60,000 games.

With Chuck E. Cheese's, Nolan Bushnell created a place where a kid can be a kid. At his new restaurant in Woodland Hills, an adult can be a kid.

UWink Media Bistro is a mash-up of Bushnell's greatest hits.

As founder of Atari Inc., he created the electronic table-tennis game "Pong" and the Atari 2600 game console, which together jump-started the video game industry in the 1970s. His next commercial venture, Chuck E. Cheese's Pizza Time Theater, proved that the unlikely combination of animatronic mice and pepperoni could indeed mix.

His new restaurant in the Westfield Promenade, uWink, distills the two ideas, seeking to re-create the infectious fun of early arcade games while serving food for a more mature palate — such as slow-roasted pork and crispy calamari.

At uWink, food and frolic are delivered through interactive touch-screen displays, which stand back-to-back like pup tents in the center of every table. Guests can use those screens to place orders, challenge one another to a quick trivia game or giggle about a palm reading. It's designed to appeal to women, who flock to such computer games as solitaire and "Bejeweled" but have been largely ignored by console game developers.

The spare, sleek lines of the interior, the angular seats and the light walls that serve as video projection screens lend it a futuristic feel that complements the electronica.

Whether it's a recipe for success remains to be seen. The company is so strapped for cash, Bushnell had to personally sign the lease for its first location.

Playing games is his life's work. Now 64 and living in Brentwood, this gray-bearded giant of a man hasn't let the kid in him die. Respected technologists consider him a one-man incubator, whose agile mind dreams up personal robots, talking teddy bears and other fanciful concepts — sometimes long before they're commercially viable.

"In the early days of the video game business, everybody played," Bushnell said. "The question is, what happened? My theory — and I think it's pretty well borne out — is that in the '80s, games got gory, and that lost the women. And then they got complex, and that lost the casual gamer."

That nostalgia for simplicity has worked for Nintendo Co., the Japanese entertainment company that courts people who don't want to devote hours to mastering the complex button-mashing combinations required to play most console games. Its Wii console — which features a motion-sensing controller that, for example, users can swing to launch a virtual tennis serve — outsold Sony's hotly anticipated PlayStation 3 more than 2 to 1 last holiday season.

UWink has taken both design and marketing cues from Nintendo. All of uWink's short-form games can be played with the most elemental of controllers — the index finger. And the electronic diversions themselves — horoscopes, love meters and a trivia game called Zillionaire — have a slumber-party feel.

Bushnell hopes these casual games bring out the kind of natural interaction that flows when friends or families gather to play board games.

On a Monday night in February, Carol Greenhut, 49, of Tarzana plucked away at a mah-jongg-inspired tile-matching game called "Shanghai Express," while her 13-year-old son, Henry, and his friend, AJ, watched Kiefer Sutherland's image projected on three of the bistro's walls. This weekly viewing party for the Fox show "24" attracted about two dozen people. Bushnell sat alone at the bar and later chatted with guests as he departed for the evening.

Greenhut joked that uWink was the one restaurant where her son willingly accompanied her to dinner. He can get a burger and talk to his mother as they play video games in an atmosphere she finds appealing.

"It's refreshing to do something different," she said.

Steve Cannon, 41, of Thousand Oaks invited the three friends who meet at his house each week to watch "24" to instead join him at uWink. He said he loved the techno atmosphere and his ability to control the flow of food.

"I found out about the place one week ago, and I've been back four times," he said. "I keep bringing new people."

Not every diner that night was sold on the idea of electronic conversation-starters. Cheryl Liu, 25, of West Los Angeles tested her romantic compatibility with her date, Paul Lee. Although she found meals served in the glow of a computer screen to be novel, she said the restaurant wasn't compelling enough to draw her back. "It's not something where I'd say, 'Hey, let's drive all the way to Woodland Hills,' " she said.

Dennis Lombardi, executive vice president at restaurant consultancy WD Partners, said uWink ran the risk of going the way of other narrowly targeted entertainment-themed restaurants that the public lost its taste for, such as the Fashion Cafe, which was financially backed by models.

"A lot of people play games on the Internet, but usually not in groups," Lombardi said. "They may play in a virtual environment. But that's different from saying, 'I'm going to go somewhere with two or three of my friends and do this.' "

More fundamental obstacles could prevent uWink from becoming Bushnell's next great franchise. UWink Inc. has accumulated losses of $33.5 million, and its accountants have questioned whether it can raise enough money to stay in business or fund its planned expansion, according to documents filed with the Securities and Exchange Commission.

Bushnell offered an upbeat assessment of the restaurant's prospects in a recent letter to shareholders. He wrote that the company's revenue grew steadily from about $30,000 in October, the first month in operation, to $185,000 in January, without much advertising. He said guests were playing 50,000 to 60,000 games a week at the restaurant's terminals, and he was negotiating to open more restaurants in California.

Bushnell has founded more than 20 companies during a career marked by tremendous success for some while other concepts, such as the Androbot mobile companion, never caught on.

He sold Atari to Warner Communications in 1976 for a reported $28 million. Shortly after that came a business Warner wasn't interested in developing: Chuck E. Cheese's, the pizza joint where, as its slogan says, "a kid can be a kid."

The chain expanded and sales soared to more than $100 million in three years, but Bushnell was forced to resign after two failed reorganization attempts. It has since emerged from bankruptcy and, under new ownership, grown to more than 500 restaurants.

Bushnell also hatched a plan to create talking teddies that could respond to children's voices. He sold the idea to Hasbro Inc., which a decade later turned the concept into the Furby.

"This isn't Nolan's biggest idea — this is Nolan's latest idea," technology forecaster Paul Saffo said. "He always makes money off 'em."

Bringing Technology to the Dinner Table

We recently told you about how Disney is staying on top of technology trends with audio-animatronic Muppets, and now, a new restaurant is incorporating technology into its theme. uWink Media Bistro opened last October in Woodland Hills, just outside of Los Angeles. The idea for the high-tech bistro came from Nolan Bushnell, founder of Atari Inc. and creator of the table-tennis game, "Pong," and the children's restaurant chain, Chuck E. Cheese's.

The goal of uWink Media Bistro is to bring back the fun of early arcade games while still serving a more sophisticated menu for adults. Each table includes two interactive touch-screen displays that stand back-to back in the center of the table. With those screens, customers can place orders, play trivia games and even experience a palm reading. Though many gaming companies target a mostly male demographic, uWink's touch-screen displays are targeted more toward women.

It's too soon to tell if this restaurant is just a trend or if it has lasting power, but all the same, it's a new, creative idea that definitely falls outside the box.

ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On April 2, 2007, we completed the sale of $857,000 of convertible promissory notes to 19 accredited individual investors. The notes have a six month term, accrue interest at 10% and are secured by the assets of the Company. The notes are convertible, at the option of the holder, into the same securities issued by the Company in (and on the same terms and conditions pari passu with the investors in) any offering of its securities that results in gross proceeds to the Company of at least $3,000,000. April 11, 2007 (Computerworld) -- Nolan Bushnell, the legendary high-tech inventor who founded Atari and the Chuck E. Cheese restaurant franchise, is at it again with his latest venture, uWink. Like Chuck E. Cheese, uWink, launched last October, is a restaurant with a high-tech twist. Instead of video games, however, this time it's all about social networking and high-tech entertainment. Computerworld's Robert L. Mitchell spoke with Bushnell, the company's CEO, and his daughter, game designer and publicist Alissa Bushnell, about the start-up, which Bushnell hopes to franchise across the country.

What's the idea behind uWink? It's to create an entertainment facility that combines food and fun but in a more at-the-table relationship. We really want to create social games. These are games that a lot of people can play in which conversation actually increases as opposed to decreases, and everybody is having a great time. Everybody has a digital life these days, but every once in a while, they want to leave the house and actually meet somebody. We're here to facilitate that.

But isn't uWink also a restaurant? That's correct. We have a touch-screen terminal at every table, sometimes two. You can order food, and then you can order the drinks, and then you can ... play games. Some are free, some are pay. The objective is to have a technology environment that increases conversation. All of the walls are also dressed with video so that we can change the look and feel of the restaurant.


The goal is to encourage teens and others to spend
lots of time, and money, while playing games like this
e-version of Truth or Dare.


What technology are you using? It's custom-built; we're using Python. We interface with a Volante open-source [point-of-sale] system. We use Mac minis at the terminal level. It's very robust in that we have very serious backup servers, and the restaurant is actually run on DC, so we don't have to run AC out to the tables.

So the order system at each table is a Mac mini? It's a flat-panel touch screen that is driven by a Mac mini.

Since you order from a screen instead of a server, how do customers get their food? You order your food, and it's brought to the table. What is interesting about that is it feels blindingly fast. Sometimes you touch an order of a Coke ... and boom, it's at your table. Everything else seems slow once you've gotten used to this. After a customer places an order and swipes the access card to confirm, it takes only moments for a ticket to print for the item that they have requested. Any drink requests print at the bar to be filled and then are delivered by runners. Any food requests print at the ticket machine in the kitchen. After the item is prepared by the kitchen, it is quickly delivered to its table by designated food runners.


The terminal at each table gives users a choice of free and paid content, as well as food and drink.

What sorts of social networking games do you offer? Can tables play against each other? The table-to-table thing is about putting you on the same team as opposed to putting you on different teams. Alissa did a game called Truth or Dare, an old teenage party game. But we did it electronically, and it is hugely successful. People do it and end up standing on chairs and singing like Britney Spears and all kinds of funny stuff.

I assume that you want people to order food and keep tables turning over. How do you keep people from parking themselves at tables for long periods of time and just playing games? If you price things correctly, I'm very happy to have people sit and spend money playing games. What happens is, after a period of time, the free games go away. And so if you're going to be there playing, we'll be happy to host you. We can make money through game playing, or we can make money through food. We really don't care.

We believe that we will end up with 25% to 30% of our revenue coming from non-food and -drink sources. Since we opened the doors to our prototype restaurant in Woodland Hills, Calif., on Oct. 16, 2006, our monthly revenues have grown steadily from $30,000 in October to $87,000 in November to $161,000 in December to $185,000 in January '07. We have not broken out or publicly announced the revenue split between food and game revenues.

What's next? We think there's a huge advertising opportunity for us. The amount of page views we have is astounding. It's Internet kinds of numbers in one little restaurant. As we build out our chain, that will be a huge, huge opportunity for us.

Our new favorite obsession, sitting in silence with a dining mate while playing video trivia, is soon to arrive at our new favorite ugliest hang out. Yes, indeedy, uWink is opening a restaurant at Hollywood & Highland and suddenly the hazy skies have gone blue. In one of those ebullient press releases that could only be penned by the most highly talented flacks, we learn that uWink will open in early 2008 in a 6,500 sq. ft. space in H&H, a "hot spot for locals as well as a “must see” destination for international visitors." ITEM 2. MANAGEMENT'S DISCUSSION AND ANALYSIS OR PLAN OF OPERATIONS

PLAN OF OPERATION - UWINK RESTAURANT

We are currently operating and continuing to develop an entertainment restaurant concept called uWink. We opened our first uWink restaurant in the Westfield Promenade Shopping Center in Woodland Hills, California (Los Angeles area) on October 16, 2006. We have secured an approximately 10 year lease on this location.

We spent approximately $1,000,000 to build out and equip the Woodland Hills location for our first restaurant, including approximately $400,000 on leasehold improvements; $375,000 on technology, furniture and fixtures; $180,000 on certain "pre-opening" expenses (including staffing, staff training and menu development costs and initial inventory); and $75,000 on licenses.

To staff the restaurant, we have hired an executive chef, 6 managers and 64 full time and part time non-managerial restaurant staff.

Our near term strategy is to prove our concept at the Woodland Hills location and subsequently seek to open 3 to 6 additional company-owned and/or managed restaurants within the next 6 to 12 months.

On May 1, 2007, we announced the signing of a letter of intent to open a new restaurant location at the Promenade at Howard Hughes Center in Los Angeles, California. On May 7, 2007, we announced the signing of a letter of intent to open a new restaurant location at the Hollywood & Highland Center in Hollywood, California. Both these transactions remain subject to the execution of a definitive lease agreement. Assuming prompt execution of the definitive lease agreements for these locations, we expect both locations to be open by early 2008. In order for us to open these new locations, as well as additional company-owned restaurants, in furtherance of our growth plans, we will, in all likelihood, need to raise additional capital.

As of the date of this report, we do not have any material commitments for capital expenditures.

Our longer term growth strategy is to open additional company-owned and/or company-managed restaurants in new markets and to franchise our concept, focusing on multiple-unit area development agreements with experienced operators. We are targeting a mix of one-third company-owned restaurants and two-thirds franchised restaurants. We expect we will also seek to generate additional revenue through the sale of media equipment to franchisees.

We expect that we can currently satisfy our cash requirements for the next 2 to 3 months. We expect to need to raise additional amounts of capital through the sale of our equity or debt securities within the next 2 to 3 months because we do not expect to have sufficient funds remaining following completion of the build out to fund our corporate overhead and expenses and growth; and we do not expect the cash flow from our first restaurant location to be sufficient to cover our corporate overhead and expenses and growth. As of the date of this report, we have no commitments for the sale of our securities nor can we assure you that such funds will be available on commercially reasonable terms, if at all. Should we be unable to raise the required funds, our ability to finance our operations and growth will be materially adversely affected.

MANAGEMENT'S DISCUSSION AND ANALYSIS

GENERAL

The following discussion and analysis should be read in conjunction with our consolidated financial statements and related footnotes for the fiscal year ended January 2, 2007 included in our Annual Report on Form 10-KSB. The discussion of results, causes and trends should not be construed to imply any conclusion that such results or trends will necessarily continue in the future.

OVERVIEW

We are a digital entertainment company, based in Los Angeles, California, that designs and develops interactive entertainment software and platforms for restaurants, bars, and mobile devices. Over several years of operation, we have invested substantial time and capital in the development of over 70 short-form video games (uWink Game Library) and our SNAP! countertop game machine and Bear Shop entertainment vending product.

From 2003-2006, we largely derived our revenue from the sale of SNAP! countertop game platforms (and its predecessor platforms) and the Bear Shop entertainment vending machine, related clothing, and software licensing fees.

Our entertainment vending platform, Bear Shop, offers animated point of purchase vending. The Bear Shop product allows customers to pick outfits and accessories for a plush/stuffed bear using an interactive touch screen resulting in thousands of combinations. The foundation of the Bear Shop product is an interactive entertainment-vending platform that we believe can be leveraged to create various vending machine products.

We have made a strategic decision to reposition ourselves as an entertainment restaurant company. As a result, we wound down our SNAP! and Bear Shop manufacturing and sales operations and we decided not to enter the 2006 or 2007 marketing cycle of tradeshows and advertising for SNAP! and Bear Shop. This decision also allowed us to liquidate inventory and product-related receivables. Given our perception of the market opportunity in combining dining with short form, social video gaming/entertainment and our management team's experience in the digital entertainment and restaurant industries, we believe that the restaurant project is the most cost effective way to monetize our investment in technology. As a result, we have licensed our SNAP! and the Bear Shop intellectual property to third party manufacturers in exchange for licensing fees.

Going forward, our strategy is to leverage our network and entertainment software assets, including the uWink Game Library, to develop and operate an interactive entertainment restaurant concept called uWink. The uWink concept is designed to allow customers to order food, drinks, games from the uWink Game Library and other digital media at the table through touch screen terminals. This concept integrates food and our interactive entertainment software to provide what we believe to be a new entertainment dining experience.

We believe that the software platforms and touch screen terminals we have developed, and are continuing to develop, for our restaurant concept can be deployed in other restaurants, bars and mobile devices. While we have no current plans to do so, we may in the future seek opportunities to employ these assets in some or all of these other venues.

We are aiming our concept to compete in the "fast-casual dining" segment of the restaurant market. We believe we combine some of the best elements of the fast-casual dining market, including freshly prepared food with generous portions at attractive price points and quick turnaround times, with our innovative touch screen ordering and entertainment to create a new experience for fast-casual dining patrons.

We opened our first uWink restaurant in Woodland Hills, California in the Westfield Promenade Shopping Center at 6100 Topanga Canyon Boulevard, Woodland Hills, California 91367 on October 16, 2006.

BASIS OF PRESENTATION

In 2006, with the commencement of restaurant operations, we adopted a 52/53-week fiscal year ending on the Tuesday closest to December 31st, and fiscal quarters ending on the Tuesday closest to March 31, June 30 and September 30, as applicable, for financial reporting purposes. As a result, our 2006 fiscal year ended on January 2, 2007 and our fiscal first quarter 2007 ended on April 3, 2007. For purposes of the following discussion, the three month periods ended April 3, 2007 and March 31, 2006 are sometimes referred to as fiscal quarters.

The accompanying consolidated financial statements, included elsewhere in this Quarterly Report on Form 10-QSB, have been prepared in conformity with accounting principles generally accepted in the United States of America, which contemplate continuation as a going concern. We have incurred a net loss of $1,291,546 for the three months ended April 3, 2007, and as of April 3, 2007, we had an accumulated deficit of $36,425,161. These conditions raise substantial doubt as to our ability to continue as a going concern. The consolidated financial statements do not include any adjustments that might result from the outcome of this uncertainty. The consolidated financial statements do not include any adjustments relating to the recoverability and classification of recorded asset amounts, or amounts and classification of liabilities that might be necessary should we be unable to continue as a going concern.

RESULTS OF OPERATIONS

Fiscal first quarter 2007 compared with fiscal first quarter 2006.

Net sales for the three months ended April 3, 2007 increased by $528,529 (1,050%) to $578,876, from $50,347 for the three months ended March 31, 2006. In 2006, we wound down our SNAP! and Bear Shop manufacturing and sales operations and repositioned ourselves as an entertainment restaurant company. Revenue from our first restaurant, which opened on October 16, 2006, amounted to $557,907 (96% of total first quarter 2007 revenue) for the three months ended April 3, 2007. There was no revenue associated with our entertainment restaurant operations for the three months ended March 31, 2006. The other first quarter 2007 revenue of $20,969 was generated through the liquidation of part of our remaining SNAP! and Bear Shop inventories. First quarter 2006 revenue reflects the liquidation of part of our remaining SNAP! and Bear Shop inventories. In addition, we generated licensing revenue of $10,000 (20% of total revenue) in the first three months of 2006 from the licensing of some of our games to Mondobox LLC.

Cost of sales for the first quarter of 2007 totaled $198,128, compared to $34,168 for the first quarter of 2006, representing an increase of $163,960 (480%). Cost of sales for our restaurant amounted to $195,903 (35% of restaurant revenue) in the three months ending April 3, 2007. As our restaurant matures and we continue to optimize our menu and menu cost structure and generate a greater percentage of media revenue, we expect that our restaurant cost of sales will drop to the 23%-27% (of restaurant revenue) range.

Non-restaurant cost of sales amounted to $2,225 for the first quarter of 2007, as compared to $34,168 for the first quarter of 2006. The decrease in non-restaurant cost of sales is attributable to lower SNAP! and Bear Shop sales volume resulting from our decision to wind down our SNAP! and Bear Shop operations. In addition, we sold 16 Bear Shop machines in the first quarter of 2007 for $16,000. There was no cost of sales associated with these machines, as they had been fully reserved for in prior periods. As a result, our non-restaurant gross margin was 89% for the first quarter of 2007, as compared to 32% for the first quarter of 2006.

Selling, general and administrative expenses for the three months ended April 3, 2007 totaled $1,658,794, compared to $395,326 for the three months ended March 31, 2006, representing an increase of $1,263,468 (320%).

The increase in SG&A is attributable to $496,469 of restaurant SG&A in 2007 (including restaurant salary and benefits expense of $339,057), higher corporate salary expense ($422,011 in 2007 as compared to $163,819 in 2006), increased engineering consulting expense ($81,980 in 2007 versus $6,651 in 2006), higher legal and accounting expense ($123,099 in 2007 versus $38,179 in 2006) and higher nominal stock option expense in 2007 resulting from the continued amortization of fair value expense of options issued prior to 2007, coupled with the recording of expense relating to the increased issuance of employee options in 2006 ($253,779 of expense for the first quarter of 2007 versus $110,034 of expense for the first quarter of 2006).

As a result, our loss from operations for the three months ended April 3, 2007 was $1,278,046, compared to a loss of $379,147 for the three months ended March 31, 2006, representing an increase of $898,899 (237%).

Total other expense for the first quarter of 2007 was $12,031, compared to $530,192 for the first quarter of 2006, representing a decrease of $518,161 (98%). This decrease was primarily attributable to the non-recurrence in 2007 of $500,444 of expense relating to the issuance of financing warrants in the first quarter of 2006.

As a result, our net loss for the first quarter of 2007 totaled $1,291,456, compared to a net loss of $909,339 for the first quarter of 2006, representing an increase of $382,117 (42%).

LIQUIDITY AND CAPITAL RESOURCES

As of April 3, 2007, our cash position was $105,067 and we had negative working capital of $1,980,047. Working capital represents our current assets minus our current liabilities and is related to our ability to pay short term debt as it becomes due.

On April 2, 2007, we completed the sale of $857,000 of convertible promissory notes to 19 accredited individual investors, including our CFO and the brother-in-law of our CEO ($25,000 of these proceeds were received from our CFO on April 10, 2007 and accordingly we issued the $25,000 note in favor of our CFO on that date). The notes have a six month term, accrue interest at 10% and are secured by the assets of the Company. The notes are convertible, at the option of the holder, into the same securities issued by us in (and on the same terms and conditions pari passu with the investors in) any offering of our securities that results in gross proceeds to us of at least $3,000,000. Upon conversion, the holder is entitled to receive, as a conversion incentive, additional securities equal to 20% of the aggregate principal value plus accrued interest converted.

Our debt at April 3, 2007 consisted of the following:

A $32,885 loan payable to the Company's former Vice President of Marketing issued on various dates in 2004 and 2005, 10% interest secured by inventory and receivables of the Company, due November 14, 2007. On May 14, 2007, we amended the terms of this note to: reduce the interest rate from 12% to 10%; extend the term from February 15, 2007 to November 14, 2007; prohibit prepayments on the note; and make the principal and accrued interest outstanding under the note convertible, at the option of the holder, into the same securities issued by the Company in (and on the same terms and conditions pari passu with the investors in) any offering of our securities that results in gross proceeds to the Company of at least $3,000,000. Upon conversion, the holder will receive as a conversion incentive additional securities equal to 20% of the aggregate principal value plus accrued interest converted. Accrued interest of $94,440 outstanding on this note as of April 3, 2007 is included under accrued expenses on the balance sheet as of April 3, 2007. During the three month period ended April 3, 2007, we repaid $14,400 of this note in cash.

$782,000 in Convertible Notes in favor of 17 accredited individual investors with maturity dates ranging from August 12, 2007 to September 30, 2007. The notes accrue interest at 10%, are secured by our assets, and are convertible, at the option of the holder, into the same securities issued by the Company in (and on the same terms and conditions pari passu with the investors in) any offering of our securities that results in gross proceeds to the Company of at least $3,000,000. Upon conversion, the holder will receive as a conversion incentive additional securities equal to 20% of the aggregate principal value plus accrued interest converted.

A $50,000 Convertible Note payable to Mr. Dennis Nino, brother-in-law of our CEO. This note is due August 28, 2007, accrues interest at 10%, is secured by our assets, and is convertible, at the option of Mr. Nino, into the same securities issued by the Company in (and on the same terms and conditions pari passu with the investors in) any offering of our securities that results in gross proceeds to the Company of at least $3,000,000. Upon conversion, Mr. Nino will receive as a conversion incentive additional securities equal to 20% of the aggregate principal value plus accrued interest converted.

On April 2, 2007, we entered into an agreement with our CFO, Peter Wilkniss, pursuant to which Mr. Wilkniss agreed to purchase a $25,000 six month convertible note. We received the $25,000 purchase price for this note on April 10, 2007 and issued the note on that date. The note accrues interest at 10%, is secured by our assets, and is convertible, at the option of Mr. Wilkniss, into the same securities issued by the Company in (and on the same terms and conditions pari passu with the investors in) any offering of our securities that results in gross proceeds to the Company of at least $3,000,000. Upon conversion, Mr. Wilkniss will receive as a conversion incentive additional securities equal to 20% of the aggregate principal value plus accrued interest converted.

As of the date of this report, we are not in default on any material debt obligation. We have filed as exhibits with the SEC all of our material financing arrangements.

CASH POSITION AND SOURCES AND USES OF CASH

Our cash and cash equivalents position as of April 3, 2007 was $105,067.

On April 2, 2007, we completed the sale of $857,000 of convertible promissory notes to 19 accredited individual investors ($25,000 of these proceeds were received on April 10, 2007). We are using the proceeds from this transaction for working capital purposes.

During the three months ended April 3, 2007, net cash used in operations was $969,390, compared to a use of cash of $254,660 for the three months ended March 31, 2006.

Our major uses of cash in operations in the first quarter of 2007 were to pay cash employee compensation and benefits of approximately $700,000, cash non-salary restaurant operating expenses of approximately $150,000 and cash rent expense of $81,908. The non-cash transactions that reduced cash used in operations relative to our net loss included: $253,779 of non-cash expense relating to employee stock options, and an increase in our accrued payroll of $51,121.

Our major uses of cash in operations in the first quarter of 2006 were to pay cash employee compensation of approximately $83,000 and cash rent expense of approximately $30,600. The non-cash transactions that reduced cash used in operations relative to our net loss included: $500,444 of non-cash expense related to the expensing of the fair value of financing warrants issued in the first quarter of 2006; $110,034 of non-cash expense relating to employee stock options, and an increase in our accrued payroll of $80,551.

During the three months ended April 3, 2007, we used $59,833 in our investing activities, largely related to equipping the outside patio area of the restaurant. During the three months ended March 31, 2006, we used $5,000 in our investing activities.

During the three months ended April 3, 2007, our financing activities provided cash in the amount of $1,079,283, as compared to providing cash of $1,301,102 for the three months ended March 31, 2006. Net proceeds from debt issuance amounted to $809,080 in the first quarter of 2007, largely due to the sale of $832,000 convertible notes to 18 investors (including $50,000 from the brother-in-law of our CEO), as compared to net repayment of $117,000 in the first quarter of 2006. In addition, we received cash proceeds of $270,203 from the exercise of warrants and options in the first quarter of 2007. We received no proceeds from the issuance of common stock to investors in the first quarter of 2007, compared to net proceeds of $1,418,102 in the first quarter of 2006.

CRITICAL ACCOUNTING POLICIES AND ESTIMATES

Our discussion and analysis of our consolidated financial condition and results of operations are based upon our consolidated financials statements, which have been prepared in accordance with accounting principles generally accepted in the United States of America. The preparation of these consolidated financial statements requires us to make estimates and judgments that affect the reported amounts of assets, liabilities, revenues and expenses, and related disclosures of contingent assets and liabilities. On an ongoing basis, we evaluate our estimates, including those related to allowance for doubtful accounts, inventory reserves, and value of our stock and options/warrants issued for services. We base our estimates on historical experience and on various other assumptions that we believe to be reasonable under the circumstances, the results of which form the basis for making judgments about the carrying value of assets and liabilities that are not readily apparent from other sources. Actual results may differ from these estimates under different assumptions or conditions; however, we believe that our estimates, including those for the above-described items, are reasonable.

SOFTWARE DEVELOPMENT COSTS

Software development costs related to computer games and network and terminal operating systems developed by the Company are capitalized in accordance with Statement of Financial Accounting Standards ("SFAS") No. 86, "Accounting for the Cost of Computer Software to be Sold, Leased, or Otherwise Marketed." Capitalization of software development costs begins upon the establishment of technological feasibility and is discontinued when the product is available for sale. When the software is a component part of a product, capitalization begins with the product reaches technological feasibility. The establishment of technological feasibility and the ongoing assessment for recoverability of capitalized software development costs require considerable judgment by management with respect to the completion of all planning, designing, coding and testing activities necessary to establish that the product can be produced to meet its design specifications and certain external factors including, but not limited to, anticipated future gross revenues, estimated economic life, and changes in software and hardware technologies. Capitalized software development costs are comprised primarily of salaries and direct payroll related costs and the purchase of existing software to be used in the Company's products.

Amortization of capitalized software development costs is provided on a product-by-product basis on the straight-line method over the estimated economic life of the products (not to exceed three years). Management periodically compares estimated net realizable value by product with the amount of software development costs capitalized for that product to ensure the amount capitalized is not in excess of the amount to be recovered through revenues. Any such excess of capitalized software development costs to expected net realizable value is expensed at that time.

REVENUE RECOGNITION

We recognize revenue related to software licenses in compliance with the American Institute of Certified Public Accountants ("AICPA") Statement of Position No. 97-2, "Software Revenue Recognition." Revenue is recognized when the Company delivers its touch screen pay-for-play game terminals to its customer and the Company believes that persuasive evidence of an arrangement exits, the fees are fixed or determinable, and collectibility of payment is probable. Included with the purchase of the touch screen terminals are licenses to use the games loaded on the terminals. The licenses for the games are in perpetuity, the Company has no obligation to provide upgrades or enhancements to the customer, and the customer has no right to any other future deliverables. The Company delivers the requested terminals for a fixed price either under agreements with customers or pursuant to purchase orders received from customers.

The Company does not have any contractual obligations to provide post sale support of its products. The Company does provide such support on a case by case basis and the costs of providing such support are expensed as incurred. We earned no revenue from post sale support during the periods presented.

Restaurant revenue from food, beverage and merchandise sales is recognized when payment is tendered at the point of sale. Revenue from the sale of gift cards is deferred and recognized upon redemption.

Little uWink is finally expanding

The tiny company uWink (UWNK - $1.66) is finally starting to expand. Since we met with management earlier in 2007, the company is finally starting to be vocal again, which must mean they are close to getting a financing completed. Why do we say this, because the company has issued two press releases in May already about new venues (near LAX and in Hollywood) that are scheduled to open in early 2008.

First, uWink signed an LOI for a location in the Promenade at Howard Hughes Center in LA (3 miles north of LAX off I-405). It was not mentioned how big the uWink location will be within this 250k SqFt maill. The mall is said to have an outdoor oriented design (which matches nicely with the success uWink is having in the original and only location right now in Woodland Hills where they expanded the outdoor seating capability). This announcement noted there being strong national and regional tenants stretching to many surrounding communities and matches their prime demographic in West LA.

Second, uWink signed an LOI for a location in the Hollywood & Highland Center in Hollywood. This will be 6.5k sqft in the 387k sqft center, which is home to the 3,400 seat Kodak Theater where live broadcasts of the Academy Awards and other award shows are held. The center gets 18mn visitors per year and is considered a must see for international visitors and since it is the epicenter of hollywood it matches their demographic.

UWNK shares have soared since the start of May and are hence in an overbought condition now after having been extremely oversold two months ago when it flirted with $1.00. We see a chance for the stock to run to $2.00/share on this move, but for any weakness to be curbed at $1.30-1.40. We maintain that each location is likely worth $0.25/share to the stock, but with each one adding a little bit more for the benefits of scale. Hence, with three locations now announced, the stock should be able to be worth north of $0.75/share based on the should be free cash flows of each location. This is still a buy at your own risk type of stock, but one that I continue to believe is one of the best long-term opportunities on a percentage gain basis.

uWink Expansion in Full Swing

Matthew Crowder submits: Last November, I profiled a new restaurant concept called uWink (UWNK.OB). Though open only a few weeks at the time, this brainchild of Nolan Bushnell (of Atari and Chuck E. Cheese fame) had great aspirations to become the next big restaurant chain. A great deal has transpired concerning uWink in the seven plus months since I wrote that article, so I felt an update was in order...

The stock experienced a temporary pop in mid-November when uWink was featured on CNBC. It is rare for a company on the Over-The-Counter exchange to be the subject of a CNBC story but Bushnell articulated to Jane Wells uWink's vision of social gaming and targeting women with casual video games. Momentum traders stampeded in and out of the stock but the exposure the restaurant received was priceless.

In January, uWink launched "24" nights. Jack Bauer fans congregated at uWink every Monday night to watch their hero save the world again. The TV show was projected on the walls throughout the restaurant and customers played 24 trivia at their table's touchscreens during commercial breaks in a bid to win free desserts and t-shirts.

April brought a new full-featured website and another first for the ground-breaking restaurant: Touchscreen computers at 20 patio tables enabling outside ordering. Additionally, new media pioneer Liz Heller joined uWink's Board of Directors during the month. Buzztone, the marketing company Heller founded, specializes in cutting-edge online and off-line word-of-mouth promotion techniques.

May began with a bang with announcements of 2 new company-owned locations in California. First, the company has signed a letter of intent to open a location at the Promenade at Howard Hughes Center in Los Angeles by early 2008. A week later, uWink signed a letter of intent to open a 6,500 square foot location at the Hollywood & Highland Center in Hollywood during the same timeframe. The illustrious center is home to Grauman's Chinese Theater and the Kodak Theatre where The Academy Awards ceremonies are held annually.

By the end of May, uWink had strengthened their management team with the appointment of John Blake as Director of Restaurant Operations. Blake joins fellow California Pizza Kitchen alum John Kaufman (who was promoted to Chief Restaurant and Development Officer) at uWink. Blake was Regional Director of Operations at the pizza chain, charged with restaurant management and training of franchisees. He worked closely with franchisees during openings of new California Pizza Kitchen locations. Furthermore, uWink CEO Nolan Bushnell joined the board of directors at NeoEdge Networks, a developer of ad-supported casual video game delivery networks, during the month. A strategic partnership between these 2 complementary companies is certainly a possibility.

In June, uWink announced their first franchise area development agreement. OCC Partners, LLC agreed to open up to 3 franchised uWink restaurants in Miami-Dade county, Florida, over the next 4 years. Of note, the restaurants will be the first to implement the chain's multilingual capabilities. The touchscreen computers at each table in their restaurants will feature bilingual menus in both English and Spanish. This was followed by the announcement of the creation of uWink Canada in partnership with Canadian venture capital firm Jefferson Partners. The 50-50 joint venture is expected to open its first restaurant in Canada by early spring 2008.

Moreover, uWink announced their plan to undergo a 1-for-4 reverse split of their stock. Now I know what you're thinking: "A reverse split is a sign a company is in trouble!" Not necessarily. In many cases that is true. Those situations are typically failing companies whose stock price has dropped significantly. The companies resort to a reverse split (typically ranging from 1-for-10 to 1-for-100) as a stopgap measure to prop up their stock price. In comparison, stocks who undergo a 1-for-4 or smaller reverse split have a much higher rate of successful price performance post-split.

uWink is targeting a modest 1-for-4 reverse split with the aim of listing their stock on a better exchange. The company has announced their plans to apply for listing on the AMEX, a move that will enable the company to attract the interest of large institutions and mutual fund managers. The reverse split will likely peg the price of uWink's stock in the $5 - $6 range, well in excess of the $2 minimum for listing on the American Stock Exchange.

Most recently, uWink just announced a follow-on offering valued at up to $15 million. They have also announced their intention to reincorporate in Delaware. These steps are necessary to more quickly achieve their goals of rapid expansion. Establishing a first-mover advantage is paramount to uWink as imitators will eventually crop up once uWink's unique touchscreen ordering and entertainment system gains traction.

In summary, uWink appears to be firing on all cylinders while making the housekeeping moves necessary to facilitate their next stage of growth in both company-owned and franchised locations. Prospective investors may initially be put off by the forthcoming follow-on offering and reverse split. Time will tell if these were the right steps to transform uWink into the next restaurant mega-chain. However I, for one, am not going to be left on the sidelines as this compelling growth story unfolds.

(OTCBB:UWNK - News), a developer of digital media entertainment software and an interactive restaurant concept, today announced preliminary revenue of $718,694 for its fiscal 2007 second quarter ended July 3, 2007, as compared to $578,876 in the first quarter of 2007 and $59,683 for its fiscal 2006 second quarter. Preliminary second quarter 2007 net sales at uWink's prototype interactive restaurant in Woodland Hills, California amounted to $682,064, as compared to $557,907 in the first quarter of 2007.

All three proposals passed with ease. Just a couple shareholders questioned the r/s.

Peter Wilkness gave very simple and to the point answers (attract more invesment, get off the otc.bb, etc).

I was very impressed with him and Nolan. We have a sharp team working for us.

There were also the questions of why no PR lately. Peter explained that we are in sort of a "quiet period" now and have to be consrvative with releasing any new PR.
He said this was due to the $15 million stock and warrant offering as well as the Amex application.

Peter said we should have approval for NY, CA, and Illinois in the "4th quarter-ish" but no guarantees.

Nolan was very approachable and kind. Nancy Nino introduced me to him and he gave me his undevided attention.
He says the team they have in place now is 20 times better than what he had at Chuckie Cheeses.

Some things he told me made my jaw drop. uWink is gonna be huge. This meeting definately re-energized me.

3. The proposal to effect a reverse stock split, pursuant to which
every four shares of uWink's common stock issued and outstanding
was combined into one share of common stock.

The corporate actions approved pursuant to each of the proposals were effected as of July 23, 2007.

Under this agreement, uWink’s interactive digital content operating system and real-time, multi-player game platform will initially be deployed into Arbor Court, a groundbreaking housing community in Lancaster, California. In addition, InSite and uWink will partner in developing custom senior-specific applications based on the uWink technology and will license to third parties in the senior housing market.

The uWink technology allows users to intuitively and easily use touch to access and interact with various forms of digital content and custom applications including menus, games, videos and music.

At Arbor Court, each residential unit contains a touch screen terminal. uWink Hollywood will also showcase new 3D gesture recognition technology from
Softkinetic. Their gesture-based technology will be featured in a variety of
applications including the entrance of uWink's Hollywood & Highland restaurant
where guests can play an interactive game using their bodies to control the

A new addition to uWink's unique technology is the ability to view the menu on
the terminals in multiple languages; uWink Hollywood customers can choose to view
the menu in Spanish Korean, Italian, German, or French. And coming soon will be
the addition of Chinese and Japanese languages.

Photo Essay: uWink Hollywood & Highland Media Party

The new 7,300-square-foot Hollywood & Highland location of uWink (its first location is in Woodland Hills) opens to the general public tonight at 5pm. But last night we were able to take a sneak peek of the high-tech interactive restaurant at the media party where we had free reign over the food menu and extensive cocktail list and could order directly through a touchscreen at our tables instead of going through a waiter. Dangerous for the wallet and the liver, considering how easy they make it to ask for another drink.

And yes, it was a bit overwhelming pouring over the cocktail list, the specialty cocktail list, the different liquor types, and the beer list. Our "entertainment director" (read: waiter) came over several times as we tried to decide what we wanted to drink. And once we picked our cocktail we considered the different ways to customize it. "Umm, Hollywood Nights Martini on the rocks with no maraschino cherry, please."
