OFFER FOR FOREST ASSETS OF HIGHLAND TIMBER PLC

Louis Dreyfus Energy Holdings ('LDEH') announces that, following a letter of
intention dated 4 May 2007 to Highland Timber PLC ('HT') and a subsequent due
diligence process undertaken with HT, LDEH has made an offer to acquire HT's
forest assets for a total cash consideration of GBP11,100,000 (the 'Offer').

The Offer was made to HT on 31 May 2007 and is subject only to (i) confirmatory
due diligence as to title and liabilities and (ii) agreed documentation. LDEH
believes that the Offer represents a material improvement over the proposed
transaction announced by HT on 18 May 2007.

Notwithstanding LDEH submitting the Offer in accordance with the timetable
indicated by LDEH to HT, on 1 June 2007 HT informed LDEH that it was not able to
consider the Offer due to exclusivity arrangements in place with another party.
However, LDEH believes that the Offer represents a substantial benefit for both
HT and its shareholders.

LDEH is consulting with its advisers and is reviewing its options.

Hallo CCLSC, ich habe mir auch welche zugelegt. Mit Limitorder in London (natürlich im unteren Bereich der Handelsspanne), hat zwar ein paar Tage bis zur Ausführung gedauert, dafür bekommt man aber einen annehmbaren Kurs. PS: Hast Du Ahnung, was eine \"single protected transaction\" ist ? Grüße zomby

Single Protected Transaction:

A protected transaction occurs when a large order is going through the market. The buyer (or seller) may wish to keep the order anonymous from the rest of the market as the size of the order could greatly alter the price of the stock. With a protected transaction, the dealer will put the trade through in small quantities rather than knock the whole order out in one hit. The entire transaction is reported once the deal is completed. The LSE is notified at the start and at the end of the transaction. However, the market as a whole isn't told until the end, thus the order is protected.

SALE OF FOREST ASSETS
Highland Timber P.L.C. (\'the Company\') is pleased to announce that it has today entered into a conditional agreement for the sale of all of the Company\'s forest assets (\'Forests Assets\') to FIM Timber Growth Fund IV (\'FIM TGF IV\') for a total cash consideration of £12,500,000 (\'the Transaction\' or \'the Offer\').

SUMMARY

* The Offer is for the Forest Assets for a total cash consideration of £12,500,000.

* Following completion of the Transaction, cash balances held by the Company will be approximately £15,000,000, equivalent to approximately 121 pence of cash per share on a fully diluted basis.

* Completion of the Transaction is subject to shareholder approval being obtained at an extraordinary general meeting of the Company to be held no later than 27 September 2007 (\'the EGM\').

* The Company\'s Directors who hold shares in the Company have irrevocably undertaken to vote in favour of the Transaction at the EGM in respect of all the shares held legally and beneficially by them and by interests related to them and their families, representing approximately 36.4 per cent. of the Company\'s issued share capital.

* The proposed Transaction will divest the Company of all of its trading activities and, as such, following completion of the Transaction the Company will become an investing company pursuant to Rule 15 of the AIM Rules with an investment strategy as approved by shareholders at the company\'s extraordinary general meeting on 26 June 2007.

* The Board will continue to explore cost effective methods of returning capital to shareholders in the short term, with the intention of seeking shareholders\' approval to change the investing strategy to enable a full return of capital or a liquidation of the Company.

Hallo @ all,
letzte Woche teilte mir die DAB mit, dass die "European Forest Resource Acquisition Ltd" ein Übernahmeangebot zu GBP 1,20 abgegeben hat. Zum Zeitpunkt des Gebots lag der Kurs bei GBP 1,11.
Was haltet ihr davon? Mir erscheint das recht wenig, angesichts der Spekulation auf eine komplette Neuausrichtung.
Wesentliche Waldbestände sind meines Wissens auch nicht mehr vorhanden.
Oh, gerade seh' ich, dass ich auf das Angebot bis 27.9. 12°° reagieren muss, wenn ich es wahrnehmen möchte.

RESULT OF EGM

The Company announces that, following the resolution proposed at the
Extraordinary General Meeting of the Company held earlier today being duly
passed by shareholders:

* Mr Robert Palmer of Gallaghers has been appointed liquidator for the
purpose of winding up the Company and distributing its assets to
shareholders; and

* Cancellation of trading of the Company's ordinary shares on AIM is expected
to take effect from 7.00 a.m. on Thursday 6 December 2007.

It is intended that an initial distribution of cash to shareholders , which
would comprise a substantial portion of the Company's cash assets, will be made
in early 2008, with the remainder to be distributed as soon as practicable
thereafter.

Shareholders will be notified by the Liquidator in due course in relation to
the distributions.

Hallo,
heute hab ich ne Gutschrift auf meinem DAB-Depot bekommen. Ohne nähere Bezeichnung, auch sonst kein Hinweis im Postfach. Kann sich eigentlich aber nur um die Auszahlung von Highland Timber handeln. Passt ungefähr. Umgerechnet hab ich dann 1,522€ pro Aktie bekommen. Naja, hat sich nicht gerade gelohnt.
Merkwürdigerweise befinden sich Aktien aber noch immer im Depot.
Habt ihr auch was ähnliches zu berichten?

dies war 'nur' die erste Liquidationszahlung von GBP 1,133;
Und wenn dann vom Rest übrig bleibt
(Cashposition: 1,21 - Auszahlung 1,133 - Aufwand Liquidation) wird dann irgendwann bezahlt!

Hallo,

meine Bank sagt gerade zu mir, dass nur die Investoren das Geld direkt ausgezahlt bekommen, die damals die Uebernahme im Herbst akzeptiert haben. Habt ihr das Geld so bekommen oder habt ihr damals akzeptiert? Ich habe nicht, weil mir 120p nicht genug erschienen ;(

Wuere mich - auch ueber eine PN - freuen!

Highland Timber wurde NICHT übernommen sondern ist/wird liquidiert!
D.h alles Cash wird den Eigentümern sprich Aktionären gegeben.

Bei der einen Bank (Consors) habe ich die erste Liquidationszahlung von GBP 1,133 bereits erhalten.
Bei der Volksbank läuft die Anfrage, warum ich das Geld noch nicht habe.

Bei beiden Fällen habe ich damals die Übernahme nicht zugestimmt!

Hallo Handicap,

genau so habe ich es gemeint. Die Uebernahme ist damals geplatzt und es folgte die normale Ausschuettung der Cash-Position und was Oliver dann mit der Bude anstellt wird sich erst noch rausstellen.

Meine Bank meinte halt, dass es von diesem Uebernahmeangebot abhaengig waere, wann ich das Geld bekomme, was ich persoenlich fuer Unfug halte, denn da gibt es schliesslich keinen direkten Zusammenhang. Somit habe ich hier einmal nachfragen wollen, weil meine Bekannten die Bude alle schon kurz vor dem De-Listing verkauft haben und ich der einzige bin, der die noch haelt. Bin auch bei einer Genossenschaftsbank, also muss die DZ-Bank diesen Ablauf fuer zumindest uns zwei machen

Und es waere sehr nett, wenn du kurz Bescheid sagen koenntest, wenn es bei dir geklappt hat. Ich werde dir auch gerne eine kurze Nachricht geben, wenn es geklappt hat.

Hallo,

das Geld von der Volksbank ist jetzt auf meinem Konto gelandet.

Zuerst hat meine Beraterin ergebnislos recherchiert.

Nachdem ich ihr das Aschreiben, das ich von der Volksbankbzgl. der ersten Iquidationszahlung erhalten hatte, zumailte, wurde wenige Tage das Geld mir gutgeschrieben.
