      AFRICAN GOLD GROUP, INC. ANNOUNCES PRIVATE PLACEMENT FINANCING

      African Gold Group Inc. has arranged a brokered private placement of up to $12-million of units at a price of 70 cents per unit. The offering will be led by TD Securities Inc. and include GMP Securities LP.

      The net proceeds of the offering will be used to finance the continuing exploration and development of the company's Kobada, Mali gold project and its Asankrangwa, Ghana, holdings.

      Each unit will consist of one common share and one-half of one common-share purchase warrant. Each whole warrant shall entitle the holder to acquire an additional common share of the company at a price of $1.00 during the period ending 24 months following the closing of the offering. In the event that the closing sale price of the company's common shares on the TSX Venture Exchange is greater than $1.40 per share for a period of 20 consecutive trading days at any time after closing of the offering, the company may accelerate the expiry date of the warrants by giving notice to the holders thereof and in such case the warrants will expire on the 30th day after the date on which such notice is given by the company.

      All securities issued under the offering will be subject to a four-month hold period in accordance with applicable Canadian securities laws.

      Closing of this offering is expected to occur on or about Dec. 17, 2010, and is subject to receipt of all necessary regulatory approvals including that of the TSX Venture Exchange.

      Midas Letter Report -- Drill Intercepts Make Gold Shares Go Up

      VANCOUVER, BC--(Marketwire - December 11, 2010) - Midas Letter Report -- Drill Intercepts Make Gold Shares Go Up - There is a basic fact of mining investment that many investors fail to embrace, and geologists loathe. And the fact is that good drill results make shares go up, regardless of the context of geology. An excellent case-in-point is Seafield Resources (TSX.V: SFF), which last week announced a drill interception of 449 meters grading 1.29 grams per tonne gold including a 23.95 metre segment grading 9.18 grams per tonne gold. The shares closed the day at $0.23, and opened the next morning at $0.35, touched a high of $0.77, before settling at the end of the day at $0.55. The stock traded 70 million shares, which amounted to 29% of the day's volume on the TSX Venture Exchange.

      Seafield has (or had, rather) 47.9 million warrants and options, all of which were issued between $0.10 and $0.25, which would go a long way towards explaining why 70 million shares traded only took the stock into the $0.60 range. The stupendous volume and stellar intercept immediately drew critics, primarily geologists, who warned that the deposit had limited geological merit, and that the drill hole was essentially anomalous.

      Now as widely regarded geologist Brent Cook of Exploration Insights correctly asserts in his piece, "Beware of Geologists," geology is "as much an art as a science."

      He goes on to caution: "As most of what is of interest to explorationists is hidden under dirt, rocks and water, they're usually dealing with only a small sampling of the data required to 'know' what really lies below the surface. Interpreting this limited, and often contradictory, data then becomes an exercise in 'seeing the unknown' through the crystal ball of one's own experience. In other words, making an educated, or as is all too often the case, an uneducated guess."

      Which demonstrates succinctly one of the catalysts of the herd instinct, a critical component of human nature, itself arguably more important than geology when it comes to successful investing. If a result is perceived to be good, then the enthusiasm generated by that result will manifest itself in the desire to own that result. So it doesn't matter if the Miraflores deposit, that is the subject of Seafield's stupendous drill hole press release, is characterized by the fact that "Drilling, mapping, and underground sampling have essentially defined the limits of the body at about 250 meters by 280 meters."

      According to Cook's own statements, this is either an educated or uneducated guess. In either case, nobody cares. As investors, our goal is to make money from our investments. That's it. Nothing more. So if the share price goes up to $0.77, and I can sell what I bought at $0.35 for, let's cut it off at $0.70, then I've just about doubled my money, minus fees and/or commissions.

      Beware of geologists indeed, for they are in the business of being right, whereas we investors are simply in the business of making money.

      Now that being said, I would caution investors that you also need to Beware of Promoters.

      A promoter can be described as anyone who has a vested interest in the company he promotes, which is nothing more than trying to attract investors to a company¹s shares by making "forward looking" and generally very positive statements about the prospects of a company.

      Promoters can also be "negative promoters," or "bashers" as they are more commonly known, who are typically investors who have gone "short" against a stock, borrowing shares a current price on the assumption that, because a company's share price is going to go down, he'll be able to buy the borrowed shares at a lower price and make the spread in between. When you hear a voice that is describing a company in negative terms, you have to bear in mind that the source of information might just have an interest in making sure the shares go down in price, as opposed to up.

      When a stock trades as liquidly as did Seafield's shares last week, traders, who are happy to make a few cents on large volumes traded, and shorts, who need liquidity both to be able to borrow shares, as well as generate downward momentum in the share price, are attracted like fruit flies to lemonade.

      These are just a few of the booby traps that can cause a share price to boomerang around in an apparently senseless pattern, and snare bewildered investors like deer in headlights, invoking irrational and emotional buy and sell decisions that cause losses.

      In Seafield's case, there is some cause for concern in that the company wasted no time in announcing first a 20 million share, then upgrading it to a 30 million share private placement at $0.50 just as soon as they could.

      To me, this indicates the company has little faith in the remaining 9 holes that it has to release from this drill program, and therefore scrambles to raise money before the bloom is off the rose, as it were, from what just might be the best drill hole that the Miraflores deposit is capable of producing. Furthermore, the announcement of a 30 million share private placement at $0.50 gives investors who paid more quite an incentive to sell their shares, as that $0.50 often defines the cap of a share price after such a financing.

      But that has not happened at this point. Friday, the shares closed up $0.04 on the day at $0.68. That indicates there is a great belief in more to come.

      And let's keep in mind, the Miraflores deposit is far from the only flower in the Qunchia garden.

      The company announced a trench result that assayed 1.75 grams per tonne over 94 metres at the Dosquebrados prospect 3 kilometers from Miraflores. Geologists have yet to weigh in publicly on the quality of that deposit, though it is common for the critics to grow silent as discoveries gain momentum, and hang together from a macro-geological viewpoint.

      According to the press release last week:

      "Following completion of the drill program at the Miraflores gold-bearing breccia body, the diamond drill has now been moved about three kilometres to the northwest, to the Dosquebradas area to extend the gold mineralized porphyry discovered in 2006."

      The gold-in-soil anomaly which defines the northern extension of the Dosquebradas porphyry on Seafield's property has an area of about 700 metres by 550 metres as defined by soil samples above 50 ppb Au (0.05 g/t Au).

      Other Great Companies on the Move

      The Midas Letter portfolio is full of companies that are moving steadily upward in share price on strong drill results.

      Gold Canyon Resources, (TSX.V: GCU) featured in the November Midas Letter premium version at $1.19, and currently trades in the $2.20 - $2.40 range. It was the announcement of a 223 metre intercept grading 1.45 gram per tonne, which came close on the heels of another great intercept of 307 metres grading 1.44 grams per tonne gold at the company's Spingpole Gold Project in the prolific Red Lake district in Ontario, Canada.

      Another great company powering forward on strong drill results is Evolving Gold Corp. (TSX: EVG), first brought to the attention of Midas Letter subscribers in 2009 when the shares were trading in the $0.37 range. Evolving Gold announced an absolutely astonishing drill intercept grading 1.31 grams per tonne gold over 405.4 meters at the company's Rattlesnake Hills project in Wyoming.

      African Gold Group (TSX.V: AGG) saw its shares climb to new highs after announcing a series of excellent drill intersections from its Koboda project in Mali, West Africa, such as 125 metres grading 1.04 grams per tonne gold, and 64 metres grading 2.57 grams per tonne gold.       None of these have become mines yet, and so, by the rules of Canada's National Instrument 43-101, these cannot technically even be classified as economic deposits. That means all these companies remain excellent opportunities for risk tolerant investors, and demonstrates definitively that despite the absence of geologic endorsement, good drill intercepts will always make share prices go up.

      ASANKRANGWA HOLDINGS, GHANA: Planned +20,000 Meter Drill Program

      KOBADA, MALI: Planned +30,000 Meter Drill Program

      AGG's exploration objectives at its Kobada Gold Project (Mali), are as follows:



      -- To extend the Zone 1 deposit to the north of section 1500S, the northern
      extent of the 43-101 mineralized envelope that is estimated to contain
      approximately 740,000 oz's Au at an average grade of 1.25 g/t Au at a
      0.3 g/t Au cutoff. At present, North step out drill highlights, 450
      meters north of the 43-101 mineralized envelope on section 1100S
      include: 8m @ 7.74 g/t Au & 21m @ 4.89 g/t Au.

      -- To extend the Zone 1 deposit to the South of section 2600S, representing
      the southern extent of the 43-101 mineralized envelope, where the
      deposit remains open to the south and west. At present, South step out
      drill highlights, up to 200 meters south of the 43-101 mineralized
      envelope, include: 100m @ 1.00 g/t Au; 44m @ 2.11 g/t Au; 37m @ 1.47 g/t
      Au; 26m @ 1.09 g/t Au.

      -- To continue with the exploration and development of the newly discovered
      Foroko North structure, a distinct north-south structure that is located
      4.3 km north of Zone 1. To date AGG's reconnaissance drilling has tested
      and encountered mineralization over 800 meters of the 4 km long Foroko
      North Structure. Drill highlights at the newly discovered Foroko North
      Structure include: 23m @ 2.10 g/t Au; 62m @ 1.04 g/t Au; 53m @ 1.53 g/t
      Au & 9m @ 5.78 g/t Au (hole ended in mineralization).

      -- To complete the evaluation of the seven distinct structural targets that
      have been identified by AGG's 2010 airborne geophysical survey flown
      over the entire 216 sq km Kobada footprint. Approximately 10% of this
      ground has been explored to date.

      -- To drill test anomalous trench results from the current ongoing trench
      program where trenching is now up to 800 meters south of section 2600S,
      the most southerly extent of the 43-101 mineralized envelope.

      -- To execute +30,000 meters of RC drilling to evaluate the above mentioned
      targets.

      Es ist fast unglaublich wie lange es hier gedauert hat bis ein Thread afging.
      Es ist ebenfalls unglaublich, dass ich im Dez. 2009 zu 0.045 CAD AGG gekauft habe.
      Ich habe jedoch verkauft bei 0.23, 0.45, 0.65, 0.77, 0.50.

      Hätte ich alle behalten würde ich jetzt besser dastehen;-)
      Trotzdem war es mein erfolgreichster Trade im ganzen Tradingleben von zeitweise über 2200%.

      Ich bin der Meinung, dass der Zug hier abgefahren ist, sucht euch doch einen neuen Wert der noch nicht so fest gestiegen ist.

      Falls AGG wieder in die 40 cent zone zurückkommt, würde ich mir ein paar Stücke gönnen.
      Aber die Market cap ist inzwischen ja auch schon bei 80 mio cad.

      Ich bin immer auf der Suche nach euen AGG's....diese werden immer rarer bei besserem Börsenumfeld, aber es gibt sie noch..die 1000% er und 2000% er....sie sind auch heute noch im Markt...Aber das aufspüren ist meist Zufall mittels Recherchen.

      denke nur an das angekündigte aggressive drill prg.
      desweiteren frage ich mich warum die insider in der range von 0,70 bis 0,80 cad gekauft haben ???

      und nicht für nen appel und nen ei ???

      Welche bei 80 cents und 70 cents gekauft haben, haben bereits bei 5 cents, 7 cents, 20 cents, 30 cents gekauft. da macht es ja nichts wenn diese dann noch ein paar Stücke bei 70 cents gönnen.

      Klar ein gewisses Potenzial hat AGG schon, ich meine 2.50 CAD sollte schon drin liegen, das sind aber auch nur ein paar hundert prozent. Ich bin stets auf der Suche nach 10 X 100% er...

      Die 1 cad marke ist auf jeden fall mal im visier für die nächste zeit.


      Ach ja wegen denn dem Argument, einfach mal so zu schreiben, dass sich ein Investment nicht mehr lohnt.

      Ich sage es mal so: ich beziehe mich mehr charttechnisch bei AGG auf meine Aussage.

      wie hoch ist die Wahrscheinlichkeit, dass eine Aktie die bereits 2000% gestiegen ist, nochmals 1000% macht vom jetzigen niveau?

      Die Chance für weitere Kurssprünge sind auf jeden FAll da, vor allem wegen den anstehenden Drills. Aber das Risiko ist nun grösser als bei jenen die bei 4 cents gekauft haben.

      Verstehst du was ich damit aussagen möchte?
      Die Rahmenbedingungen bei AGG haben sich seit sie bei 4 cents sind und heute nicht gross verändert. Projekte sind die gleichen, management das gleiche.

      Nun haben sie einfach mehr Kapital und das anstehende Bohrprogramm.
      Und natürlich der Goldpreis der eine prächtige entwicklung in der zwischenzeit gemacht hat.

      Ich werde sogar einsteigen, falls agg wieder runterkommt. aber nur unter 50 cents. CAD cents.

      Du sagst für die nicht investierten sei der zug abgefahren?
      najaa, ich war ja bei 4.5 cents cad rein und nicht du.

      aber anyway ich möchte euch in diesem Sinne viel Glück wünschen. AGG hat gute Projekte das ist unumstritten. Unter 50-65 cents werde ich an Bord sein, anonsten nicht.

      Ich habe in den letzen 2 Jahren ein 2-3 Glücksfälle gehabt, wo ich im absoluten Tief gekauft habe. Das ist jeweils nur Glück.

      im hoch verkauft? najaa, habe ja bei .23, 45, 63, 80 verkauft.....sie waren ja bis 1.00 intraday schon gewesen zu meiner AGG zeit.

      hmmm ich finde es trotzdem interessant vergangene werte die man verkauft hat, wieder auf die watchlist aufzunehmen zum gegebenen preis.

      ich fokussiere mich auf firmen mit tiefen Market caps.
      Mein nächster Tenbagger könnte

      Aviva Corp. sein....27 Mio wert und fast gleich viel REssourcen Kohle wie CIC Energy die zu ca. 300-450 mio übernommen werden. und sie haben noch diverse andere Projekte. Die Firma ist völlig unterbewertet. zudem haben die kraftwerke die gleiche mw kapazität wie jene von CIC energy. zudem noch ein Kohlekraftwerk in Australien in der Pipeline.

      Vielleicht kann ich euch hiermit helfen einen Tenbagger zu schenken.

      Auf ein gutes Jahr 2011.

      AFRICAN GOLD GROUP, INC. ANNOUNCES LOANS TO DIRECTORS

      African Gold Group Inc. has loaned two directors of the company an aggregate of $295,000 to enable them to exercise 1,966,667 share purchase warrants of the company at 15 cents per share prior to their expiry on Jan. 23, 2011, and Jan. 29, 2011.

      Pursuant to the company's recently completed $12-million financing that closed on Dec. 17, 2010, the directors provided lock-up undertakings in favour of TD Securities Inc. and GMP Securities LP that they will not, without the prior written consent of the underwriters, sell any securities owned by them in the company until after April 17, 2011. As a result of having to provide the lock-up undertakings, the directors' ability to generate liquidity for the exercise of the warrants has been restricted, and, as such, the company has agreed to loan the directors the funds required to exercise the warrants. The corporation expects $250,000 advanced by the corporation will be substantially repaid by one of the directors within the next two weeks upon securing a loan with a Canadian chartered bank.

      The loans are repayable no later than May 17, 2011, bear interest at the rate of 5.0 per cent per annum and are secured against the shares received pursuant to the exercise of the warrants. The loans also provide that any proceeds from the sale of the shares will first be applied to repayment of the loans.

      The loans were considered and approved by the board of directors of the company, with the two directors receiving the loans abstaining. There was no materially contrary view or abstention by any director approving the loan. The related-party transactions are exempt from the formal valuation requirement and shareholder approval requirement of Multilateral Instrument 61-101 (takeover bids and special transactions) because the fair market value of the loans and the fair market value of the shares do not exceed 25 per cent of the company's market capitalization. The filing of a material change report under MI 61-101 fewer than 21 days before the loans to the directors was necessary to complete the exercise of the warrants prior to their expiry.

      CEO sticks with his Mali gold project

      Michael Nikiforuk at African Gold Group (TSX: V.AGG, Stock Forum) has been plugging away for eight years in Mali and Ghana.

      The CEO’s timing in West Africa is good. Several prospectors, including one upon which I have staked my Ticker Trax legacy, are printing significant gold intercepts in Ghana, Mali, Burkina Faso and elsewhere on that part of the African continent.

      Yet Mr. Nikiforuk, based in Toronto, is just starting to receive investor kudos for rock at its Mali project -- rock that might be worth $85 a metric ton and perhaps more.

      “With almost 20,000 meters of drilling under our belt, I am convinced the market will come around to our Kobada project,” he tells me. “We have that conviction, all of us on the team.”

      Now, I’ve heard that kind of talk before. I’ve been busted by bravado on more than one occasion in the past 25 years. Still, Mr. Nikiforuk is referred to me by several researchers and investors who share his zeal.

      If they were folks I did not know, or respect, I would throw the Mike out with the reverse-circulation dirt bags. Happily, that is not the case …and after many moons of discussion, I have agreed to tour African Gold Group’s 12 concessions, the most advanced being Kobada. The Big K in Mali shares its first letter with the Big K in Ghana, the Kibi Gold Belt. Kobada’s Canada-compliant resource amounts to 740,000 ounces of the metal.

      I asked Michael, ahead of my visit later this month (a tour that he is hosting, along with two or three other companies on the continent), what it will take to get AGG’s Canada-traded shares above the $1 level, a notch they have not seen since early 2008. The market cap of AGG fully diluted is about $60 million.

      Mr. Michael N., by the way, had his company take the step of lending money to directors so that they could exercise (and presumably purchase the underlying stock) 15-cent warrants. The stock right now is about 75 cents Canadian. See the pact.

      Michael Nikiforuk: “In October of 2010 we commissioned a Montreal based engineering firm to undertake a Scoping Study or Preliminary Economic Assessment for AGG’s Kobada gold project. AGG anticipates that the Study will be delivered to AGG on or before PDAC in Toronto (early March). AGG is optimistic the Scoping Study will be positive and therefore will include the recommendations of the Engineering Firm to advance the project through the Feasibility Study stage. Moving forward, AGG’s strategy will be to continue to develop the project with the conviction that the addition of tonnes and ounces will be reflected by an increase in AGG’s market cap. In the event an attractive offer presented itself that met with the approval of the majority of shareholders (20% management / 70% large firms / 10% individual investors) the project would be sold.”

      I asked Michael N. when was the last time a Newmont (NYSE: NEM, Stock Forum) or an AngloGold Ashanti (NYSE: AU, Stock Forum) visited the property? He responded, “Goldfields (NYSE: GFI, Stock Forum) of South Africa is our immediate neighbour, having purchased the remaining 90% of Glencar Mining in July 2009. Any and all AGG ounces would be incremental to a Goldfields project, where they had five rigs operating in 2010. AGG has a significant number of Confidentiality Agreements with mining companies and as a result of this, we are not at liberty to disclose the names of these companies. What we can say is AGG has hosted a significant number of site visits to Kobada, Mali, in 2010 … and AGG remains in continuous discussion with a number of these companies. An arms-length regional producer independently drilled the project and the results were announced in March of 2010. (See those results.)

      Thom C: What can make this property stand out against some of the many other projects out there in West Africa?

      Mike: “The outstanding characteristics of AGG’s Kobada gold project are as follows: the oxide profile or depth of oxidation at Kobada frequently reaches 100 vertical meters from surface. AGG has only explored 10% of the 216 sq km footprint. Artisanal gold diggings are present throughout the entire footprint, which bodes extremely well for additional ounces and tonnes. Preliminary Metallurgical Testing indicates that a gravity plant could recover in excess of 90% of the gold (without cyanide treatment). AGG conducted an airborne geophysical survey that identified six geophysical anomalies of which six are coincident with Potassium anomaly, indicative of hydrothermal alteration and coincident with significant local gold diggings.”

      As for what the industry calls “blue sky,” an overused term if you ask me, but hey, whattya?

      “We believe our potential in the oxide profile alone, the first 100 vertical meters from surface, is three million ounces. We are generating mineralized intercepts of up to 100 meters,” he said. As for West Africa comparables, Michael N. mentioned Avion with its Tabakota & Segala project; and Orezone (TSX: T.OZN, Stock Forum) and Volta Resources (TSX: T.VTR, Stock Forum) in Burkina Faso.

      I do not own AGG shares. Maybe I should. We’ll learn more later this month on site … and at the Ghana concessions.

      "We are most encouraged with the development potential of the southern region of our Kobada gold project. On November 16th, 2010 AGG announced the results of Zone 1 southern extension drill holes that were collared to the south of the most southerly extent of the 43-101 mineralized envelope. One of the highlight holes included hole RPA10-008A, which intercepted 102 meters of 1.0 g/t Au. This hole intercepted gold from the collar and ended in mineralization at the completion depth of 102 meters. Similarly, on August 31, 2010 we announced southern extension holes RPA10-003, -005 and -006 which intercepted, 44m @ 2.11 g/t Au, including 3m @ 19.30 g/t Au; 37m @ 1.47 g/t Au, including 5m @ 7.48 g/t Au and 26m @ 1.09 g/t Au, respectively. All three of these Zone 1 southern extension holes ended in mineralization. In addition, our 2010 drill program has also confirmed that the most northern region of the Zone 1 deposit remains open along strike.

      The Termite Zone represents a separate and distinct structure that lies up to 1,500 meters south of and between 300 to 600 meters east of the North 20 degrees East (N20E) trend of the Zone 1 main gold deposit (http://media3.marketwire.com/docs/termite_zone_drill_collars…

      At present, our understanding of the Termite Zone region has yet to reach a level from which we can draw conclusions about the ultimate potential of the area. It may be that the mineralization intersected at depth in KBRC10-018 and KBRC10-026 are connected, as low angle veins have also been observed in Zone 1. If this is the case, we may be at the north end of another pod of mineralization. Regardless, all tonnes and ounces that emanate from the Termite Zone could be accurately categorized as incremental ounces that will ultimately complement the main Zone 1 gold deposit. Our Kobada gold project continues to grow," states AGG President, Michael A. Nikiforuk.

      Under the guidelines of National Instrument 43-101, the qualified person for the Kobada Gold Project is Mr. Pierre Lalande, P. Geo. Mr. Lalande is a member of the Association of Professional Geoscientists of Ontario and has reviewed and approved the contents of this news release.

      Sampling - QA/QC Program

      RC cuttings are recovered at the bottom outlet of the RC rig cyclone into 50-kg capacity poly-weave bags to recover the cuttings from each 1 meter of drill penetration. Each one meter sample weighs an average of approximately 19 to 23 kg. Each sample is passed through a 3-tier Jones Riffler (1 to 8 split), the samples are riffled twice to obtain from 3 to 5 kg of cuttings which are put in a numbered sample bag. Each bag is sealed and dispatched to the ALS Chemex laboratory located in Burkina Faso. The remaining 14 to 18 kg of cuttings (field rejects) are stored in camp under tarps to protect the bags against the elements.

      Original samples are analyzed using Leachwell on 2 kg of pulp. Leachwell is a bottle roll cyanidation procedure with the addition of a catalyst to speed up gold dissolution. A QA/QC program is in place and includes: blank (1 in 20 samples), duplicates (1 in 20), standards (1 in 20), external lab checks (1 in 30) and two different analytical procedures check (1 in 100).

      Corporate Update

      AGG's 2011 drill campaign at Kobada, Mali is well underway. The Company has recently completed a significant trench program that is anticipated to guide southern extension drilling an additional kilometer south of the RPA10-003 zone which itself is 200 meters south of the southern extent of the 43-101 mineralized envelope. A complete update of the ongoing exploration and development work at Kobada will form the basis of a separate press release, in the near future.

      AGG's 2011 Asankrangwa, Ghana exploration program is well underway and the Company remains confident that it will achieve its drill commencement target date of April, 2011. An update on Ghana progress, including a discussion on the 11 newly identified structural targets that were identified in the high resolution helicopter airborne geophysical survey, will form the basis of a separate press release, in the near future.

      The Company is pleased to advise that Dr. Kevin Downing, senior structural geologist, has been appointed Vice President, Exploration. Since joining AGG, approximately one year ago, Kevin has demonstrated exemplary leadership, diligence in the understanding and advancement of our Kobada gold project and a desire and dedication to move our Company forward. Kevin will continue to report to AGG Director, Mr. Pierre Lalande, P. Geo. and to AGG President, Michael Nikiforuk.

      Finally, the Company is pleased to report that as per its press release of January 20, 2011, $225,000 of directors and officers loans have been repaid to the Company, leaving an outstanding loan balance of $70,000 that is fully secured and it is anticipated will be repaid, in the very near term.
