      Artnet-Gründer wehrt feindliche Übernahme ab

      Nach der tumultartigen Hauptversammlung des Berliner Online-Auktionshauses artnet AG haben die Anteilseigner Redline Capital und Weng Fine Art ein Übernahmeangebot noch für diesen Monat angekündigt.

      - Zugleich drohten sie mit juristischen Schritten gegen die Beschlüsse der Hauptversammlung von Mittwoch nacht. "Wir sind leider in unserer Befürchtung bestätigt worden, dass sich das artnet-Management allen Angeboten zur Zusammenarbeit mit anderen Aktionären verweigert hat", sagte Robert Kenedi, Bevollmächtigter der Redline.

      Um artnet tobt seit Juni eine Übernahmeschlacht. Hinter Redline, das zusammen mit Weng Fine Art rund zehn Prozent der Stimmrechte an artnet kontrolliert, steht der russische Milliardär Wladimir Jewtuschenko. Er gilt als einer der reichsten Russen, seine Sistema-Holding ist unter anderem Hauptaktionär des größten russischen Mobilfunkanbieters MTS.

      Jewtuschenkow will Artnets Schatz heben: Als einziges Unternehmen weltweit verfügt artnet über einen Preisdatenspeicher, in dem alle internationalen Auktionsergebnisse der zurückliegenden 20 Jahre erfasst sind. Per Tastenklick lassen sich Umsätze und Auktionsergebnisse tausender Künstler abrufen. Mit der darauf aufbauenden Online-Handelsplattform konkurriert Artnet mit dem klassischen Auktionsgeschäft solcher Häuser wie Christie's und Sothebys. Dem Kunsthandel im Netz wird eine große Zukunft vorhergesagt, zumal er den Markt für nichtprofessionelle Händler öffnet.

      Artnet-Gründer Hans Neuendorf, dem mindestens 26 Prozent der Anteile an dem Unternehmen zugerechnet werden, ist es auf der Hauptversammlung gelungen, sich eine Sperrminorität zu sichern und damit Redline auszubremsen. "Wir brauchen keine Investoren, denen es nur um Profilierung und Profit statt um Kunst geht. artnet wird aus eigener Kraft weltweit erfolgreich sein", sagte er. Durch die Übernahmeschlacht ist der Wert des Unternehmens auf mittlerweile 50 Millionen Euro gestiegen.

      BERLIN — Late last night, Artnet shareholders emerged with heads shaking from their 13-hour-long general meeting as the clock stuck midnight, marking the end of their tumultuous debate by German law. This was hardly a tame, well-mannered discussion about the fate of the well-known art services company, according to sources working to organize the event. “They have been at it the entire time,” one attendant remarked, even as yelling turned into cacophony as the last 10 minutes of the meeting wore down. At one point, the group got so rowdy that the police were almost called to come break up what seemed to be escalating from verbal to physical blows.

      “I’ve been to many AGMs [general meetings] but this was by far the most chaotic I have ever seen in my life,” remarked Rüdiger Weng in an interview with ARTINFO. Most recently noted for his role alongside Redline Capital Management in the attempted hostile take over of Artnet, Weng disclosed that the company currently has a precarious debt balance, with €1.2 million ($1.5 million) in cash and over €3 million ($3.75 million) in debts. He added that he has started selling off shares, presumably to focus on his central business, Weng Fine Art, which has been traded on the Frankfurt Stock Exchange since January.

      Pointing to the chaos that filled the meeting from 11 in the morning until midnight, Weng said, “No decisions made today will stand. It will be the courts that decide,” adding that the central investors would be meeting well into the night and continue in the next days to decide how to progress. “It was totally unprofessional, Artnet against the shareholders the entire time,” Weng said, referring to the company’s founder and, until late June, CEO, Hans Neuendorf. Shareholders now fear that stock will be tied up in legal proceedings for the next two years, and worse, that new investors will be few and far between — perhaps justifiably, Weng suggests.

      As the meeting came to a close, Skates — which had been put on retainer by Redline and Weng for their private analysis and only last Monday went public again with reports — released a rather more balanced report than Weng’s take. And, according to another report released by the company itself, things don’t look quite so grim, with projected maintenance of 23 percent growth rates across sectors of the business. The split in opinion comes largely down along lines of ideology and age. Neuendorf and his circle of majority shareholders believe in maintaining the current business model, while Weng and Redline’s contingent are out to slash, burn, and maximize profits.

      Much to the ire of the latter contingent, the shareholders loyal to Neuendorf voted to amend the company’s charter, allowing a veto by any shareholder who owns one share more than 25 percent of the company. Currently, Neuendorf controls 26 precent of total shares, blocking the ability for any drastic restructuring of the firm for the time being. Though he rushed out of the meeting on Wednesday night, the erstwhile CEO later said in a statement, “We do not need investors who are interested in raising their profile and profit instead of in art,” — clearly digging in for what may very well be a protracted battle.
