      von drüben auf Yahoo folgendes zum Fusion & aussichten:eek:

      Dienstag nach Börsenschluß sollte es "first merger news geben" " The merger will eliminate the uncertainty of whether it happens or not and that alone should stabilize the stock at around $3.50. The question is when catalyst are announced - kit sales in Europe & China, US approval on kit sales, Curetis BLA projections, and OPGN's FDA approval what happens. Obviously, the stock will rise and the exit of sorting will allow it to more easily, but rise by how much? Also, the next FDA filing for UTI is the "big" one with potential revenue of $100mm so OPGN FDA#1 approval increases the chance of OPGN FDA#2 approval With 11.75mm shares o/s post close this could move up significantly very quickly. Also, the merger will not be voted down. If the votes are not there the meeting will be cancelled. Some quick math: Assume all catalyst project $50mm in revenue and a 40% operating margin = Profit Margin of $20mm. Divide $20mm by 11.75mm = $1.7 eps x 15 = $25.53 s/p.

      Das Unternehmen, das von OpGen geschluckt wird, muss der Fusion natürlich auch zustimmen. :)

      Curetis to Hold Extraordinary General Meeting on March 10, 2020

      Curetis N.V. will hold the EGM on Tuesday, March 10, 2020, at Steigenberger Airport Hotel, Stationsplein Zuid - West 951, 1117 CE Schiphol - Oost/Amsterdam, the Netherlands. The meeting is scheduled to commence at 01:00pm CET; local registration starts at 12:30pm CET.

      In addition, Curetis N.V. will be offering electronic pre-voting from Wednesday, February 12, 2020, at 08:00am CET to Tuesday, March 3, 2020, 05:30pm CET at www.abnamro.com/evoting.

      A copy of the convening notice for the EGM, including a description of the formalities to participate in the EGM, and a shareholder circular explaining the proposed resolutions of the EGM in more detail, are available at https://curetis.com/investors/#corporate-governance.

      Primary resolutions on the agenda of the EGM relate to the Implementation Agreement (the "Implementation Agreement") with OpGen and Crystal GmbH, a wholly-owned subsidiary of OpGen incorporated in Germany, which was announced September 4, 2019. Under the Implementation Agreement, the Company and OpGen have agreed on the terms of the Transaction (the "Transaction") under which Curetis GmbH, owning all of the Company’s group business, will be acquired by OpGen in exchange for the issuance of new OpGen shares to the Company, and the Company’s business will be continued by OpGen.

      The Transaction is subject to approval of the shareholders and debt holders of the Company and Curetis GmbH, as well as the stockholders of OpGen and debt holders of OpGen.

      Following the Transaction, it is intended that the Company will be dissolved (the "Dissolution”) and that OpGen shares issued to the Company will be distributed to the shareholders as a liquidation distribution, to the extent possible, in advance pro rata to each share held by them on the Distribution Record Date (the “Distribution”, see paragraph 4 of the shareholder circular for more details).

      During the EGM, the shareholders will, among others, be asked to approve:

      (i) the Transaction in accordance with Section 2:107a of the Dutch Civil Code;
      (ii) the resolution to effect the Dissolution of Curetis N.V.;
      (iii) the Distribution of OpGen shares received as consideration to Curetis N.V. shareholders
      (iv) the establishment of remuneration of the liquidators and the supervisory directors of Curetis N.V., respectively, for the performance of their duties during the liquidation process;
      (v) the granting of discharge to the managing directors and supervisory directors of Curetis N.V., respectively, in respect of the performance of their duties and
      (vi) the appointment of Curetis GmbH as custodian of the books and records of Curetis N.V. in accordance with article 2:24 of the Dutch Civil Code.

      If approved by the EGM and finalized, the overall result of the Transaction, the Dissolution and the Distribution will be that the investment of shareholders of the Company holding shares in the Company on the Distribution Record Date is effectively transformed from a holding of shares in the Company to a holding of OpGen Shares, listed on NASDAQ.

      Die ist in der Tat unentdeckt. Aber: für alles gibt es einen Grund.

      Das Übernahmeangebot (falls es Morgen eines gibt) wird sicher nicht die Phantasie einpreisen. Sehe das aktuell als riesigen Nachteil gegenüber den anderen CV-Werten.

      Darf ich trotzdem in der Aktie bleiben? 😉 Heute hatten zwar in der Tat viele Menschen weltweit keine Lust in Aktien zu investieren, nicht mal in Krisenaktien, erlaubst Du mir aber zu denken dass solche Tage äußerst selten sind?

      Ansonsten, wenn Du an solche kleine Pharma-Aktien nicht glaubst, hier hast Du eine größere Auswahl während der Krise 2020:

      Ich liste Dir schon mal einige Bereiche auf, aus denen Gewinner-Aktien kommen könnten:

      • Biotechfirmen,
      • Broker,
      • Anbieter von Software fürs Homeoffice,
      • Videokonferenz-Anbieter,
      • Hersteller von Schutzmasken,
      • Desinfektionsmittelproduzenten,
      • Konservenhersteller,
      • Pulversuppenhersteller,
      • Hersteller von haltbaren Produkten wie Spaghetti oder Snacks,
      • Milchpulverhersteller,
      • Essensauslieferer-Plattformen,

      Einzelne Aktien sind hier konkret benannt:

      Nicht genug Auswahl? Dann komm wieder, reden wir darüber welche Bereiche es noch gibt. Jeder findet was nach seinem Geschmack, Krise hin oder her.

      Lieber Malecon,

      ich erlaube Dir alles! Du darfst also auch gerne weiter an diesen Wert glauben. Ich wünsche Dir auch den ersehnten Erfolg, Du wirst das sicher für Dich gut abgewogen und recherchiert haben.

      Erlaube mir aber eine andere Sich auf die Dinge. M.E. ist das eine Luftnummer. Ich glaube hier an nix. Jedem anderen Deiner aufgelisteten Bereiche traue ich mehr zu. Auf den ein oder anderen wäre ich sogar selbst gekommen. Hast Du zufällig einen Wert für Pulversuppenanbieter? Würde den gerne mal testweise in meine watchlist aufnehmen.

      the business combination with Curetis. On the same day at 1:00pm CET, Curetis
      will host its extraordinary shareholder meeting with the objective of seeking
      approval from its shareholders for the planned business combination with
      OpGen.

      Until the closing occurs, each of OpGen and Curetis are operating as
      stand-alone businesses.

      “We are convinced that the combination of OpGen and Curetis will help maximize value for our stockholders and will result in an organization with a robust pipeline of molecular diagnostic and bioinformatics products, significant management experience, and proprietary assets for developing and commercializing novel data-driven solutions in infectious disease diagnostics,” said Evan Jones, Chairman and CEO of OpGen.

      “This transaction will allow Curetis to access U.S. capital markets, which we believe is essential to accelerate the development of our proprietary molecular diagnostic platforms and solutions for microbiology,” said Oliver Schacht, CEO of Curetis. Mr. Schacht continued, “It also strengthens our management team and financial position, allows us to leverage OpGen´s existing U.S. public company infrastructure, and adds complementary assets to our product development portfolio.”

      Top US health expert: "We’re going to need millions and millions and millions of tests"

      Dr. Anthony Fauci, director of the National Institute of Allergy and Infectious Diseases, said at CNN’s town hall tonight:

      Coronavirus screening got off to “a slow start" and there were some “missteps” with regard to the US Centers for Disease Control and Prevention’s test, but the problems have been addressed, Dr. Anthony Fauci, director of the National Institute of Allergy and Infectious Diseases, said at CNN’s town hall tonight.

      By the end of the week or the beginning of next week, the CDC should be able to get out about 75,000 additional tests. Partnering with the private sector will help get out millions more, Fauci said.

      “What you’re going to see in the reasonable future is a dramatic escalation in the number of tests that are going to be available,” Fauci said. By the following week, “they could get up to a million tests out there – that’s the plan, that’s what we’re hearing.”
      To get a fuller picture of the coronavirus, the US needs testing that is “much more proactive,” not just when doctors ask for it, Fauci said. This will help determine how much the disease has spread and how many cases are going undetected.

      “For that reason, we’re going to need millions and millions and millions of tests,” Fauci said. “That’s what I feel and that’s what many of my colleagues feel.”

      Because a quorum was not represented at the Special Meeting, shareholders voted to adjourn the meeting in order to allow additional time for shareholders to vote on the proposal. Accordingly, the Special Meeting was adjourned to 10:00 a.m., local time, on Monday, March 30, 2020, at the offices of Ballard Spahr LLP, 1909 K Street, NW, 12th Floor, Washington DC. OpGen’s shareholders as of the record date of January 24, 2020 will continue to be entitled to vote at the Special Meeting on March 30, 2020. As of March 9, 2020, the quorum was at 36% or 2.0 million shares voted. Approximately 2.8 million shares are required to achieve the 50% quorum threshold. Of those OpGen shareholders who have voted on the business combination proposal, more than 98% have voted in support of the transaction.

      aus der Q&Q des gestrigen earning calls (bevors wieder hinter der paywall verschwindet):

      Oliver Schacht

      Okay. Perfect. Thanks, Yi. Look, the BGI test kit is a standard PCR plate-based assay. It works on an ABI, so it’s a Thermo Fisher platform, ABI 7500; fairly simple reagent kit. It works with any standard RNA extraction protocol. They have specified or recommend the QIAGEN one, but we also know it works with other RNA perhaps. In terms of volume of shipments, it’s really early days as Evan pointed out. Literally last week we received our very first shipment. We’ve gone from let’s say low single digit thousands. Our second order which we received yesterday is the first five digit number of tests. We’re processing orders daily. What I can say is we have shipped several thousand tests in these past 48 hours and quite literally by the hour there is expressions of interest. We just got to work through and figure out how to best and most efficiently and effectively leverage our existing European distribution network. Because as you remember, we at Curetis no longer have a direct sales and end customer presence in the European market. We work through various distributions such as Menarini, Axon Labs, [indiscernible] and others. So that’s our primary goal. That said, we’ve also been – I won’t say inundated, but we’ve also been receiving a lot of inbound calls and requests from hospitals existing Unyvero customers across Germany, France, Benelux where we’re of course also willing to stand by and provide these kits to anybody who has an ABI 7500 system. In terms of the accounting, it’s fairly straightforward. We purchased these kits at an agreed upon transfer price from BGI. They ship to our warehouse here in Germany and we then sell them at a transfer price to our distribution partners. We’ve not guided to any specific pricing, but – and I’d say it’s fair to assume that we’re working off of standard molecular diagnostic industry distribution margins, so somewhere in the call it 20% to 40% range. So there’s definitely a positive gross margin. And again we as of today have no direct end customer channel here. This is all buying in bulk from BGI and then reselling to our distribution network to make sure these tests get straight into the hands of the labs and doctors who need them most urgently across initially Europe, but we’ve also been given the green light from BGI to expand beyond the strict boundaries of the European Union and we have inbound requests as Evan pointed out from a number of countries across the Northern African, Middle Eastern and Asia-Pacific regions of the world as well.

      Yi Chen

      Thank you. Could you also comment on the additional synergy, if there’s any, between using both the BGI COVID-19 test and the Unyvero test system? Thanks.

      Oliver Schacht

      Absolutely. If you look at some recent data that’s come out of China, there has been a retrospective study of about 200 patients showing very clearly that in intensive care unit patients you have a prevalence of about 15% to 20% of patients also getting a bacterial pneumonia co-infection. If you look at the mortality cases, almost half, 50%, of all of deaths in the COVID crisis have been attributable to bacterial pneumonia. So while of course it is critical initially to triage patients and diagnose them for coronavirus, as soon as you have them in an intensive care unit and especially ventilated, it’s also critical to make sure you get a rapid diagnosis of all the potential pathogens and that’s really the core of our product portfolio and pipeline at Curetis with the pneumonia and lower respiratory panels in Europe and the U.S. So being able to detect 20 different pathogens and 10 different resistant markers in the U.S., 19 of them have been cleared in Europe, clearly also gives doctors the ability to then select the best antibiotic treatment. Of course, the good news is as opposed to a virus, we do have effective drugs for bacterial pneumonia. We just got to make sure we pick the right ones for these critical care patients.

      Oliver Schacht

      Sure. I’ll let Evan comment on the supply chain. In Europe, what I can so far, knock on wood, on the Curetis side have not been impacted by any immediate supply chain issues. That of course can change going forward. But we have supply of instruments, we have supply of any components, plastics as well as reagents we need to manufacture our cartridges. So, so far so good. In terms of the structured programs, you’re obviously facing a very interesting conundrum. On the one hand there is significant inbound interest from hospitals to bring in additional Unyvero systems for what I outlined earlier, this parallel testing for bacterial pneumonia. On the other hand, there’s virtually no way physically to send anybody into these hospitals, be it Northern Italy, Austria, the borders are closed across Europe, even inside Germany frankly with a lot of the travel restrictions, it’s literally impossible. So part of the programs we’ve been working on with our distribution partners but also with some of our former direct end clients is sort of virtual video-based Skype and WhatsApp-based video tutorials where we have staff virtually standing by and assisting in the installation, training. And again, it goes to show how easy the Unyvero platform is to use. It doesn’t take necessarily somebody onsite as much as you’d like to be there for the first installation and initial training. That’s just part of the programs. We’ve also offered to our European partner Menarini an increase – we have a pool defined across Europe in all the 11 countries that they serve for us, we have a pool of Unyvero instrument systems which we have agreed to potentially increase in size, make additional units available in a very uncomplicated fashion. And again, we’ve received several additional installation requests in Italy, in Southern Europe in places like Greece. Again, right now the key challenges that Menarini being headquartered in Northern Italy is effectively quarantined as a company, nobody able to go from A to B, so we’re trying to figure out smart ways of working through that. We’ll have some of the – just the hands-on real world challenges that we’re facing, but we’re going to find smart solutions to those.

      (..)

      Maxim Jacobs

      Hi, guys. Thanks for taking my questions. My first one is just – I understand that the testing landscape for COVID-19 is rather fluid, but I was wondering if you can give us a sense of where the Curetis COVID-19 test stands compared to others that are available in that?

      (...)

      Got it, okay, understood. Sure. Look, the one thing to realize is as you said it’s a very fluid, very dramatic situation. There’s a substantial universe of opportunities for COVID-19 testing, be it almost home testing for antigens. There’s more and more tests coming out that way all the way through the ultra-high throughput Roche, Covis platforms which honestly those types of platforms are likely going to take the bulk of the sheer volumes when you look at central labs processing thousands, if not tens of thousands of tests in a very short order. Where the BGI test kit fits in is really in that middle segment. The Thermo Fisher ABI 7500 is really a workhorse of the PCR landscape. It’s a well established, widely distributed platform both in Europe and the United States, but in Europe it’s been around for a long time. It’s got a lot of fans, a lot of labs. They’re sort of in the lower to medium volume, but it’s a simple platform; doesn’t require the capital outlay if you go farther out into Eastern Europe or Southeastern Europe, they have fewer and fewer labs that have sort of the latest and greatest Roche, Covis [indiscernible] platforms but they do often have these ABI 7500 workhorse platforms. So we’re playing in this let’s call it medium volume throughput, again, standard 96 well plate. So it’s not onesies and twosies, but it’s also not designed to do 10,000 tests in a single shift. So in that mid range and again that’s the sweet spot and that’s really where the focus is getting those tests in the hands of all of those labs who have the platform readily available. If you look at the PAC insert and the instructions for use and you look at it from a technical standpoint, frankly there’s also no reason to believe these reagent kits and this is true for the BGI kit but also many others that are out on generic PCR equipment would not also work on many other PCR platforms, but of course this being a regulated CE Mark diagnostic, it has been validated on the ABI 7500. Now if folks are looking at this from – getting cute and looking at other PCR platforms, I would not be too surprised if it works equally well on a bunch of other platforms. We know it works on other Thermo Fisher platforms as we have some of those in our own labs. We’re not promoting it actively for those, but it’s certainly something that as things evolve can be looked at in terms of expanding the universe of instruments this can run on.

      Maxim Jacobs

      Great, that was very helpful. I was just wondering what’s the prospect of developing a test for the U.S. market?

      Oliver Schacht

      Well, the BGI test kit has been FDA cleared under the Emergency Use Authorization. Given our longstanding strategic partnership with BGI, is this a conversation we’re having with them? Absolutely. Now BGI also has its own direct commercial channels in the U.S., so no decisions have been made there. But the test is, in principle, available in the United States by now. Where they are in terms of inventory, I have visibility on their European operations because their European affiliate is in Germany and in Denmark, so we have good visibility on this. The bulk volume that’s coming through there out of China, I don’t have that visibility on any available test kits in the United States, as in are they physically available there today. But from a regulatory standpoint, as of last week, this has been emergency use authorized by the FDA.

      Evan Jones

      Max, Evan here. Just wanted to add that on the script earlier, we talked about the potential of adding the coronavirus test to the Unyvero LRT Panel. If that goes forward, that could be moved into the North American market under the Emergency Use Authorization fairly quickly. And then we’re also looking at other opportunities, but one thing we don’t want to do is just duplicate some of the activities that have already been done by others. So I think we’d look to the company to make smart strategic moves here while it capitalizes on its position on the two products that I just mentioned.

      Maxim Jacobs

      Wonderful. That was extremely helpful. My last question is kind of minor one for Tim. I was just wondering, so after the amendment that was filed last week, how much is left under the ATM right now?

      Tim Dec

      Sure. There’s a significant amount left, in excess of 11 million.

      (...)

      Bruce Jackson

      Hi. Good afternoon and thank you for taking my questions. I wanted to start off with the 510(k) for the Acuitas device. Can you give us a sense of what types of questions the FDA is asking? Are they questions that are easy to address or are these questions that might take some time to work on?

      Evan Jones

      Bruce, thanks for the question. Even Jones here. I’ll answer that one. First, let me just say that the near-term delays are primarily a function of the State of Maryland having shutdown all nonessentials businesses. And so even though the FDA is capable and is working remotely, that’s causing anticipated understandable near-term delay there. In terms of the remaining questions, without getting into a lot of details I can tell you that they’re the type of questions that are related to product labeling and things like that.

      Bruce Jackson

      Okay, great. That’s really helpful. And then in terms of the supply of the BGI SARS-2 test, you said you’ve got some visibility. Do you have any type of relationship in place where if you get – if they get supply constrained, you get preferred status and the product can continue to flow to your customers?

      Oliver Schacht

      That’s a very good question. I would like to believe so. Is it contractual in writing? No. But I’ve been dealing with Chinese partners for many, many years. We were the first ones they called in January in Europe. We were the first ones they offered the commercial partnership opportunity too? No. Understandably they’re not relying on Curetis alone here in Europe. So we are one of several partners. But we have a very close dialogue with the European representatives and we also have a direct communication channel to corporate headquarters in Shenzhen in China. So far they’ve been very good. They give us heads up on volumes inbound. They proactively ask, what’s your next week’s take? If only I knew. I can tell you literally we’ve been in a mold these last 48 hours where we’ve been short selling products. I’ve sold kits that I knew we were going to get and we did actually receive them this morning, but I sold some of those kits last Friday. So, so far – again, they have made us a preferred partner. We hope that stays that way and we obviously do our utmost to justify that trust in that relationship by getting those kits in the hands of distribution partners and into the market as quickly as possible. What I can see from – again, it’s only been a week the first shipment. The second shipment was 10x the size of the first one. It’s a safe assumption that the next shipment we’re getting is yet again going to be larger. So we’re definitely getting a feel for what’s the weekly volume that we can safely put into our channels, and that number is likely going to be increasing. And so yes, I think we will continue to benefit from this personal but also corporate relationship between Curetis and BGI as things get even crazier and even more hectic here.

      Some commercial labs have said they have cut backlogs that developed after they initially rolled out coronavirus tests. A spokesperson for the company Eurofins, for example, said its labs are now running 7,000 tests a day with a 24-hour turnaround time.

      "Right now we are not testing enough people so we don't know what's happening with community-level transmission, and we're almost certainly missing many cases," Buckee said.

      Merger with Curetis closes

      Following approval from both OpGen and Curetis shareholders, the merger between the two companies has now closed. Curetis is a Germany-based molecular diagnostics company with a focus on infectious disease. It has two main business lines: the Unyvero A50 high-plex polymerase chain reaction (PCR) platform for the diagnosis of infectious disease in hospital patients; and the ARES AMR database (ARESdb), which includes data on 40,000 sequenced strains with a focus on resistant pathogens. Together, OpGen and Curetis had around $6.0m in sales in 2019, up 33% compared to the combined sales of the previous year and at the top end of the original $5–6m guidance for 2019 (given at the time of the merger announcement).

      OpGen Subsidiary Ares Genetics Demonstrates Feasibility and Potential of Next Generation Sequencing Based Antibiotic Susceptibility Testing in Multi-Center Study

      Peer-reviewed study evaluated performance of AI-powered bioinformatics cloud platform, ares-genetics.cloud, for NGS-based antibiotic susceptibility testing on 12 pathogenic bacterial species and 21 antibiotic drugs

      NGS-based testing reached 100% agreement with reference culture-based testing for 32 pathogen-drug pairs and 89% across all 129 pathogen-drug combinations evaluated

      The comprehensive study on NGS-based antibiotic susceptibility testing was based on 620 isolates from more than 2,000 patients collected at nine medical centers across the U.S.

      VIENNA, Austria and GAITHERSBURG, Md., April 16, 2020 (GLOBE NEWSWIRE) -- OpGen, Inc. (Nasdaq: OPGN, “OpGen”), a precision medicine company harnessing the power of molecular diagnostics and bioinformatics to help combat infectious disease, announced today that a study on the feasibility and potential of antibiotic susceptibility testing and bacterial pathogen identification using next-generation sequencing (NGS) has been pre-published in the Journal of Clinical Microbiology. The study was performed by its newly acquired subsidiaries Ares Genetics GmbH and Curetis GmbH, and scientists at the Max Perutz Labs (Austria), a joint venture of the University of Vienna and the Medical University of Vienna, and the Mayo Clinic (Rochester, MN, U.S.A.).

      The article titled, “Species Identification and Antibiotic Resistance Prediction by Analysis of Whole Genome Sequence Data Using ARESdb - An Analysis of Isolates from the Unyvero Lower Respiratory Tract Infection Trial” (Ref. 1) reports on a study evaluating the performance of pathogen identification and antibiotic susceptibility testing based on whole genome DNA sequencing (WGS) using Ares Genetics’ AI-powered cloud-based bioinformatics platform ares-genetics.cloud and its underlying reference database, ARESdb.

      WGS-predicted susceptibility to antibiotics showed 89% categorical agreement with the current reference method of broth microdilution susceptibility testing across a total of 129 pathogen-drug pairs analyzed. Categorical agreement exceeded 90% in 78, and reached 100% in 32 pathogen-drug pairs. For the taxonomic identification of the isolated bacterial pathogens, WGS showed 99% and 93% concordance with the MALDI-ToF reference method at the genus and species levels, respectively.

      The study evaluating the AI-powered ares-genetics.cloud platform and the underlying ARESdb reference database included 12 pathogenic bacterial species and 21 antibiotic compounds covering common lower respiratory tract pathogens and is likely one of the most comprehensive peer-reviewed reports on the performance of WGS in predicting susceptibility to antibiotics in a multi-center U.S. trial.

      Dr. Andreas Posch, CEO of Ares Genetics and senior author of the study, commented, “This multi-center study clearly demonstrates the feasibility and potential of next-generation sequencing based antibiotic susceptibility testing using our AI-powered cloud platform. Already today, we are offering cloud-based data interpretation and next-generation sequencing services for research use which we intend to roll out more broadly based on these validating results. Equally important, we learned through the study how to optimize our reference database, ARESdb, and improve our predictive models to further advance to applications in clinical practice.”

      In this study, the investigators analyzed WGS data of a total of 620 bacterial strains isolated from more than 2,000 clinical samples collected from patients with suspected lower respiratory tract infections at nine hospitals across the U.S. The samples were originally collected for a U.S.-FDA study for the validation of the now FDA-cleared Unyvero LRT syndromic multiplex PCR panel by Curetis. Species identity of the isolated pathogens and their susceptibility to antibiotics were analyzed using MALDI-ToF and broth microdilution, respectively, as best-in-class reference methods according to current practice.

      The WGS data analysis was performed using Ares Genetics’ proprietary database, ARESdb, with state-of-the-art open-source tools and public data. At the time of the study, ARESdb comprised of curated genotype-phenotype data for approximately 35,000 bacterial strains. To date, ARESdb has further grown containing matched whole-genome sequencing and antibiotic susceptibility data for more than 50,000 bacterial strains and more than 100 antibiotics.

      Microbial infections and antibiotic resistance have become major healthcare challenges with rapidly spreading antimicrobial resistance estimated to have caused 700,000 deaths globally in 2016, a number that is projected to dramatically increase to 10 million deaths annually by 2050 if no countermeasures are taken (Ref. 2). At the same time, few novel antibiotics are in development and prominent pharmaceutical companies have cut back their R&D efforts in the infectious diseases space. In the absence of novel treatment options, we believe novel diagnostic approaches to allow for rapid identification of causative pathogens and their susceptibility to available treatment options are urgently needed to guide appropriate therapy of patients while enabling prudent and informed use of antibiotics.

      The study was supported through funding provided by the Austrian Research Promotion Agency and the Vienna Business Agency.

      First Quarter 2020 Financial Results of OpGen, Inc. Stand-alone

      Total revenue for the first quarter of 2020 was approximately $617,000 down from $1.0 million in the first quarter of 2019. This decrease can be attributed to Acuitas AMR Gene Panel and Acuitas® Lighthouse revenue, which was approximately $254,000, while revenues from the company’s rapid FISH products decreased to $363,000. Curetis and Ares revenue was approximately $900,000 for the first quarter generating a pro forma combined unaudited revenue of over $1.5 million.
      Operating expenses for the first quarter of 2020 were $4.6 million, compared with $4.8 million in the first quarter of 2019.
      The net loss for the first quarter of 2020 was $3.9 million or $0.53 per share, compared with $3.9 million or $8.25 per share in the first quarter of 2019.

      http://ir.opgen.com/news-releases/news-release-details/opgen…

      The Company also provided the following business updates that were achieved during the first quarter of 2020:

      Successful closure of the business combination between OpGen and Curetis on April 1, 2020. At the closing, William E. Rhodes III, the former chairman of the Supervisory Board of Curetis N.V., was appointed chairman of the board of OpGen, and Oliver Schacht, Ph.D., the former Chief Executive Officer of Curetis N.V., was appointed the President and Chief Executive Officer of OpGen and to the board of directors;
      The newly formed board of directors of OpGen now also includes Evan Jones, former Chairman and CEO of OpGen, Don Elsey, Mario Crovetto, and Prabhavathi Fernandes, PhD;
      Announced the start of an investigator initiated collaboration with Karolinska Institutet, Sweden, to identify bacterial co-infections in patients admitted to the ICU for COVID-19 pneumonia using the Unyvero HPN panel;
      OpGen significantly improved its working capital position in the first quarter of 2020 through $5.8 million of sales under the company’s ATM program and $8.1 million in proceeds from the exercise of warrants issued in the company’s public offering in October 2019;
      Clinical trials were initiated during the first quarter of 2020 at nine participating sites for the Acuitas AMR Gene Panel (Urine) test. Testing and the trial have been suspended due to hospital actions to focus resources on the COVID-19 pandemic;
      Acuitas Lighthouse® was utilized in a research study conducted by the Mayo Clinic to predict phenotypic resistance and antimicrobial susceptibility among clinical isolates, with findings published in Diagnostic Microbiology & Infectious Disease; and
      Curetis, Ares Genetics, and BGI announced a partnership around BGI’s CoV-2 test kit commercialization in Europe; Curetis has begun selling the BGI CoV-2 product via its distribution network in EMEA during Q1 2020 and to date has sold over 15,000 tests into its distribution network.

      Additional key business updates and strategic milestones include:

      OpGen’ expects that its submission to the U.S. Food and Drug Administration (“FDA”) for clearance of the Acuitas® AMR Gene Panel (Isolates) for the detection of antimicrobial resistance genes in bacterial isolates is nearing completion. OpGen has responded, and is continuing to respond, to the FDA’s additional information requests and now anticipates approaching a clearance decision for the Acuitas® AMR Gene Panel for isolates. Exact timing is unknown as a result of the COVID-19 pandemic;
      OpGen successfully achieved the last of the first year milestones in the groundbreaking collaboration with the New York State Department of Health and ILÚM Health Solutions, LLC, to develop a state-of-the-art research program to detect, track, and manage antimicrobial-resistant infections at healthcare institutions statewide. In response to the COVID-19 emergency in New York State, testing under the program has been put on hold by the Wadsworth Center and participating hospitals; however, the parties are currently engaged in active negotiations and discussions for a second year of the collaboration and expect to resume the project and expand it into its second year once the COVID-19 situation permits;
      OpGen’s subsidiary Ares Genetics in April announced that a study on the feasibility and potential of antibiotic susceptibility testing and bacterial pathogen identification using next-generation sequencing (NGS) has been pre-published in the Journal of Clinical Microbiology. The study was performed by Ares Genetics GmbH and Curetis GmbH, and scientists at the Max Perutz Labs (Austria), a joint venture of the University of Vienna and the Medical University of Vienna, and the Mayo Clinic (Rochester, MN, U.S.A.); and
      Curetis and Quaphaco entered into an exclusive three-year distribution partnership for the Unyvero product line in Vietnam; the contract includes minimum commitments by Quaphaco totaling approximately $ 2.1 million over the initial three-year term.

      Mr. Schacht continued, “We have a strong pipeline heading into the second quarter of 2020 despite the unique market challenges presented at this time. With the anticipated near term FDA clearance decision and subsequent launch of our Acuitas AMR Gene Panel product for isolate and the exciting combination of the Acuitas Lighthouse® database with the ARESdb, our strong, proprietary product pipeline attests to our ability to deliver premier AI-powered bioinformatics solutions and diagnostic products. We are especially excited about an upcoming major milestone in the Ares collaboration with its strategic R&D collaboration partner, a leading global IVD corporation, where completion of the R&D phase is expected for the third quarter this year. The IVD corporate partner has pre-funded an option which upon exercise would then grant it 90 days of exclusive negotiations with Ares regarding a potential future partnering and licensing deal.”

      OpGen Releases Preliminary Data Demonstrating its Unyvero HPN Panel for Pneumonia Identifies Life-Threatening Bacterial Co-Infections in COVID-19 Patients in Just Five Hours

      Download PDF

      Performance of the Unyvero HPN Panel for pneumonia proves to be strongly concordant (98.2%) compared to bacterial lower respiratory tract culture Collaboration with Karolinska Institutet highlights critical need for rapid diagnostic tests, as one in four COVID-19 patients in the ICU had a bacterial co-infectionProviding results in hours instead of days provides clinicians with early organism differential, including resistance marker information, allowing earlier treatment decisions and support for improving antimicrobial stewardship

      GAITHERSBURG, Md. and HOLZGERLINGEN, Germany, June 09, 2020 (GLOBE NEWSWIRE) -- OpGen, Inc. (Nasdaq: OPGN, “OpGen”), a precision medicine company harnessing the power of molecular diagnostics and bioinformatics to help combat infectious disease, announced today preliminary data from an investigator initiated collaboration with Karolinska Institutet, Stockholm, Sweden, to identify bacterial co-infections in hospitalized patients with COVID-19 pneumonia. The patients in this cohort had been admitted to the ICU after respiratory deterioration during hospital stay, and their lower respiratory tract samples were analyzed with the Unyvero HPN panel.

      Preliminary data demonstrates that the performance of the Unyvero HPN Panel for pneumonia as compared to bacterial culture is strongly concordant (98.2%) for organism targets. In 31 out of 35 patient samples that were evaluated, Unyvero results confirmed all pathogens reported by culture. Unyvero detected additional pathogens in 7 patients, one of which was subsequently tested again by microbiological culture 7 days later and confirmed positive.  These results indicate that the Unyvero system, while not always completely concordant with culture results, can detect possible pathogens which are missed by culture. Results obtained by the Unyvero Panelin five hours instead of up to several days by culture methods provides clinicians with an early organism differential, including information on antibiotic resistance markers, allowing earlier treatment decisions and support for antimicrobial stewardship efforts. Among the 35 lower respiratory specimens tested to-date, 63% were tracheal aspirate, 34% BAL/mini-BAL, and 3% sputum.

      “We are pleased to share preliminary data that highlights what we already know – when it comes to managing bacterial co-infections, time is critical! Our Unyvero HPN panel provides comprehensive diagnostic information to clinicians in just a few hours, with only minutes of actual hands-on time, ensuring faster treatment decisions,” said Oliver Schacht, PhD, CEO of OpGen. “This rapid testing technology is even more important in the face of a global pandemic when time is of the essence in preventing global spread. We are encouraged by the preliminary results of our Unyvero HPN panel in Sweden and look forward to contributing testing capabilities to additional healthcare facilities around the world in the future.”

      The samples were derived from patients admitted to ICUs in four acute care hospitals in Sweden – Karolinska University Hospital, Solna; Karolinska University Hospital, Huddinge; South General Hospital; Danderyd Hospital, and were taken from a patient population of SARS CoV-2-positive patients being admitted to the ICU. Patients were sampled during their hospital stay for suspected hospital-acquired pneumonia, as they were already in crowded hospitals and had experienced deterioration and inevitably requiring ventilators. Of the above-described patient population, one in four (25%) tested positive for a bacterial co-infection by microbiology.

      “Although secondary bacterial infections are uncommon upon admission to hospital, these patients are at risk for hospital-acquired bacterial pneumonia, and the positivity rate is fairly high,” said Professor and Senior Consultant Physician Christian Giske, at the Department of Laboratory Medicine, Karolinska Institutet, Stockholm, Sweden. “That makes receiving test results in a matter of hours instead of days critically important. The Unyvero HPN panel empowers clinicians to make earlier treatment decisions, while supporting antimicrobial stewardship efforts, to give the best opportunity to quickly treat and manage bacterial co-infections.”

      High-risk COVID-19 patients, especially in intensive care units and on ventilation, many of whom may be elderly or have preexisting conditions that compromise their immune system, are at a higher risk of acquiring bacterial co-infections that pose severe life-threatening complications. These co-infections are not always easily determined based on clinical symptoms alone, and, if they go unnoticed or diagnosis is delayed, it can lead to dire outcomes including mortality. Within this preliminary study, the median patient age was 58 years old.

      The Unyvero Hospitalized Pneumonia (HPN) panel detects 21 clinically relevant pathogens and 19 antibiotic resistance markers in less than five hours directly from native specimen with only around two minutes of hands-on time, compared to routine bacterial cultures that can take up to several days for confirmatory pathogen identification and antimicrobial susceptibility testing results. In the U.S., the Unyvero LRT and LRT BAL panels for rapid detection of lower respiratory tract infections such as pneumonia are FDA-cleared for tracheal aspirate samples and bronchoalveolar lavage fluids, respectively. Unyvero HPN and LRT BAL are the only syndromic pneumonia panels that also include Pneumocystis jirovecii, a key fungal pathogen often found in immunocompromised patients that can be difficult to diagnose.

Diese Infos hatte ich aber leider übersehen und dann später bei Bekanntwerden mit 70% Verlust vor der Liquidierung verkauft. In OpGen werde ich nicht investieren.

      Just one last thing (Rest homes bezogen)

      Patients colonized or infected with antimicrobial resistant organisms are often cared for in multiple types of healthcare settings. Due to the movement of patients within a healthcare system, an AMR concern in one facility is typically considered a concern in other healthcare facilities and public health departments within a region. To prevent transmission and protect patients, facilities that share patients must also work together to maintain high infection control standards. The CDC recommends a coordinated regional approach to control the spread of AMR organisms.

The first split for OPGN took place on January 19, 2018. This was a 1 for 25 reverse split, meaning for each 25 shares of OPGN owned pre-split, the shareholder now owned 1 share. For example, a 1000 share position pre-split, became a 40 share position following the split. OPGN's second split took place on August 29, 2019. This was a 1 for 20 reverse split, meaning for each 20 shares of OPGN owned pre-split, the shareholder now owned 1 share. For example, a 40 share position pre-split, became a 2 share position following the split.
      Looking at the OPGN split history from start to finish, an original position size of 1000 shares would have turned into 2 today.

Evtl. könnte eine US Tochter OPGen übernehmen.

Da hat sogar mal unsere Bundesregierung was verdient:laugh:. Nur kann die nicht rechtzeitig aussteigen:(.

      OpGen Provides Business and Pipeline Update and Announces Preliminary Unaudited Revenue and Cash Position for the Third Quarter 2020

      The company also announced accomplishment of the following key milestones in the third quarter of 2020 and year to date:

      OpGen announced that subsidiary Ares Genetics GmbH won the Austrian national digitization award and was also nominated for the 40th Austrian Innovation Award for its artificial intelligence powered, next-generation sequencing based molecular antibiotic susceptibility test marketed under the brand name ARESupa – Universal Pathogenome Assay.
      OpGen’s subsidiary Curetis GmbH received EUR 350 thousand in grant funding in a collaboration project with InfectoGnostics campus at Jena University Hospital.
      OpGen’s subsidiary Ares Genetics GmbH in collaboration with researchers from the Johns Hopkins University School of Medicine, announced the publishing of a peer-reviewed study on modifiable risk factors for the emergence of ceftolozane-tazobactam resistance in P. aeruginosa in the journal Clinical Infectious Diseases.
      OpGen announced the release of a new peer-reviewed publication that demonstrates the clinical utility of the Unyvero LRT panel and its potential impact on antibiotic use in hospitalized patients with suspected pneumonia compared to treatment directed based on microbiological culture results.
      OpGen successfully completed its study collaboration with Karolinska Institutet on bacterial co-infections in COVID-19 pneumonia patients and data on the Unyvero HPN Panel was presented by the Karolinska investigators at ECCVID 2020.
      OpGen significantly improved its working capital position in the third quarter of 2020 through the sale of approximately 1.8 million shares of common stock under the company’s ATM program and the exercise of warrants from the October 2019 financing for gross proceeds of $4.4 million during the third quarter. During the nine months ended September 30, 2020, the Company sold approximately 11.4 million shares of common stock under the company’s ATM program and upon exercise of warrants from the October 2019 offering for gross proceeds of $24.4 million.

No further action is expected from the Federal government on this matter.

      The net loss for the third quarter of 2020 was $7.7 million or $0.40 per share,

      ... und Positives dazu (Hoffnungen)
      Accomplishment of the following key milestones in the third quarter of 2020 and year to date:

      OpGen’s subsidiary Curetis GmbH obtained CE mark certification in the European Union for its own SARS-CoV-2 Kit with PULB for the detection of SARS-CoV-2, the virus that causes COVID-19.

      The subsidiary Ares Genetics GmbH won the Austrian national digitization award and was also nominated for the 40th Austrian Innovation Award for its artificial intelligence powered, next-generation sequencing based molecular antibiotic susceptibility test marketed under the brand name ARESupa – Universal Pathogenome Assay.

      Curetis GmbH was awarded EUR 350 thousand in non-dilutive grant funding in a collaboration project with InfectoGnostics campus at Jena University Hospital.

      OpGen announced the award of a German Federal Government grant to its subsidiary, Curetis GmbH, and collaborators Carpegen GmbH and the Clinic for Small Animal Internal Medicine of the LMU Ludwig-Maximilians University to collaborate on a project focused on travel related and enteric diseases in small animals.

      Ares Genetics GmbH in collaboration with researchers from the Johns Hopkins University School of Medicine, announced the publishing of a peer-reviewed study on modifiable risk factors for the emergence of ceftolozane-tazobactam resistance in P. aeruginosa in the journal Clinical Infectious Diseases.

      OpGen announced the release of a new peer-reviewed publication that demonstrates the clinical utility of the Unyvero LRT panel and its potential impact on antibiotic use in hospitalized patients with suspected pneumonia compared to treatment directed based on microbiological culture results.

      OpGen itselfs successfully completed its study collaboration with Karolinska Institutet on bacterial co-infections in COVID-19 pneumonia patients and data on the Unyvero HPN Panel was presented by the Karolinska investigators at ECCVID 2020.

      The German Federal Ministry for Economic Affairs and Energy (BMWi) concluded its investigation of the OpGen business combination with Curetis with regards to its impact on the public order and security of the Federal Republic of Germany as well as national healthcare interests in the light of the current COVID-19 pandemic. No further action is expected from the Federal government on this matter.

      aus dem SEC filing:

      RISK FACTORS

      Investing in our securities involves substantial risks.
      In addition to other information contained in this prospectus and in any accompanying prospectus supplement, before investing in our securities, you should carefully consider the risks described under the heading “Risk Factors” in our most recent Annual Report on Form 10-K and Quarterly Report on Form 10-Q and any subsequent Quarterly Reports on Form 10-Q or Current Reports on Form 8-K and in any other documents incorporated by reference into this prospectus, as updated by our future filings. These risks are not the only ones faced by us. Additional risks not known or that are deemed immaterial could also materially and adversely affect our financial condition, results of operations, our products, business and prospects. Any of these risks might cause you to lose all or a part of your investment.

      The number of shares being registered for resale is significant in relation to the number of our outstanding shares of Common Stock.

      We have filed a registration statement of which this prospectus is a part to register the shares offered hereunder for sale into the public market by the selling stockholder. These shares represent a large number of shares of our Common Stock, and if sold in the market all at once or at about the same time, could depress the market price of our Common Stock during the period the registration statement remains effective and could also affect our ability to raise equity capital.

      USE OF PROCEEDS

      We will not receive any of the proceeds from the sale or other disposition of the Securities held by the selling stockholder pursuant to this prospectus.

      Da wird also in den nächsten Monaten und in 2021 einiges in den Markt kommen.
      Andererseits spekuliert auch der Käufer und Verkäufer auf steigende Kurse.

      The selling stockholder, and its pledgees, donees, transferees or other successors in interest, may from time to time offer and sell, separately or together, some or all of the Securities covered by this prospectus. Registration of the Securities covered by this prospectus does not mean, however, that those Securities necessarily will be offered or sold.

      The Securities covered by this prospectus may be sold from time to time, at market prices prevailing at the time of sale, at prices related to market prices, at a fixed price or prices subject to change or at negotiated prices, by a variety of methods including the following:

      · in the Nasdaq Capital Market;

      · in privately negotiated transactions;

      · through broker-dealers, who may act as agents or principals;

      · through one or more underwriters on a firm commitment or best-efforts basis;

      · in a block trade in which a broker-dealer will attempt to sell a block of securities as agent but may position and resell a portion of the block as principal to facilitate the transaction;

      · directly to one or more purchasers;

      · through agents; or

      · in any combination of the above.

      In effecting sales, brokers or dealers engaged by the selling stockholder may arrange for other brokers or dealers to participate. Broker-dealer transactions may include:

      · purchases of the Securities by a broker-dealer as principal and resales of the Securities by the broker-dealer for its account pursuant to this prospectus;

      · ordinary brokerage transactions; or

      OpGen gibt Veröffentlichung der endgültigen Studienergebnisse des Unyvero HPN-Panels zur Diagnose von bakteriellen Co-Infektionen bei Intensivpatienten mit COVID-19-Pneumonie bekannt
      Studie des Karolinska Institutet hebt hervor, dass Unyvero HPN eine höhere diagnostische Ausbeute als eine bakterielle Kultur aufweist und somit eine schnelle Diagnose von Erregern ermöglicht, die bei diesen Patienten von Bedeutung sind

      Ein hoher negativer Vorhersagewert von 99,8 % kann eine Reduzierung des unnötigen Antibiotikaeinsatzes ermöglichen und die Bemühungen um Antibiotic Stewardship unterstützen

      Die Leistungsdaten, die umfassende Abdeckung und die Durchlaufzeit von weniger als 5 Stunden von der Probe bis zum Ergebnis dieses Panels liefern Klinikern frühere Daten, um antimikrobielle Entscheidungen zu treffen, insbesondere bei schwerkranken COVID-19-Patienten während der Grippesaison

      GAITHERSBURG, Md., und Holzgerlingen, Deutschland, 08. März 2021 (GLOBE NEWSWIRE) -- OpGen, Inc. (Nasdaq: OPGN, "OpGen"), ein Unternehmen der Präzisionsmedizin, das die Leistungsfähigkeit von Molekulardiagnostik und Bioinformatik zur Bekämpfung von Infektionskrankheiten nutzt, gab heute die Veröffentlichung einer neuen, von Experten begutachteten Publikation bekannt, die zeigt, dass das Unyvero Hospitalized Pneumonia (HPN)-Panel ein zuverlässiger und schneller diagnostischer Test mit hohem negativem Vorhersagewert für den Nachweis bakterieller Erreger direkt aus nativen Proben der unteren Atemwege ist, der die Identifizierung bakterieller Co-Infektionen bei hospitalisierten Patienten mit COVID-19-Pneumonie in nur fünf Stunden ermöglicht.

      Die Leistung des Unyvero HPN wurde im Vergleich zu mikrobiologischen Standardtests zum Nachweis bakterieller Erreger in Proben der unteren Atemwege bewertet, die von hospitalisierten COVID-19-Patienten mit einem klinischen Verdacht auf eine bakterielle Sekundärinfektion gewonnen wurden. Diese Proben wurden während der ersten Welle der COVID-19-Pandemie in Stockholm, Schweden, gesammelt (März 2020 bis Juni 2020). Insgesamt wurden 83 Proben von 68 Patienten gewonnen, bestehend aus 61 (73,5 %) Trachealsekreten, 11 (13,4 %) bronchoalveolärer Lavage, 8 (9,7 %) Protected Specimen Brush (PSB), 2 (2,4 %) Bronchialsekreten und 1 (1,2 %) Sputumprobe. Jeweils eine Probe wurde von 57 einzelnen Patienten, zwei Proben von 7 Patienten und drei Proben von 4 Patienten gewonnen. Das Durchschnittsalter der Studienteilnehmer betrug 58,8 Jahre, und 74 % waren männlich und 26 % weiblich.

      Die endgültigen Ergebnisse dieser Studie wurden nun im European Journal of Clinical Microbiology & Infectious Diseases veröffentlicht. Sie zeigen, dass das Unyvero HPN-Panel eine genaue Erkennung von häufigen Erregern bakterieller Lungenentzündungen mit einem insgesamt hohen negativen Vorhersagewert von 99,8 % für den Erregernachweis ermöglicht. Dies könnte eine Reduzierung des unnötigen Antibiotika-Einsatzes ermöglichen und die Bemühungen um Antibiotic Stewardship unterstützen. Die positive prozentuale Gesamtübereinstimmung (PPA, Sensitivität) und die negative prozentuale Übereinstimmung (NPA, Spezifität) mit der Kultur für den Nachweis und die Identifizierung von Bakterien, die in Routinekulturen wachsen, betrugen 95,1 % bzw. 98,3 %, was mit der Leistung der Unyvero Lower Respiratory Panels (LRT und LRT BAL) übereinstimmt, die kürzlich von Mackenzie E. Collins und Kollegen1 und Matthias Klein et al2 veröffentlicht wurden.

      Die Studie zeigte auch mehrere Vorteile des Unyvero HPN-Panels, darunter eine höhere diagnostische Ausbeute im Vergleich zur SoC-Kultur allein, die die Identifizierung zusätzlicher klinisch wichtiger Erreger wie Staphylococcus aureus, Pseudomonas aeruginosa, Serratia marcescens, Haemophilus influenzae, Stenotrophomonas maltophilia und einiger anderer in 25 % der Fälle ermöglichte, die mit mikrobiologischen Methoden übersehen wurden. Darüber hinaus zeigten die Daten, dass das Unyvero HPN bakterielle Erreger aus Patientenproben nachweisen konnte, die anfänglich durch eine Kultur negativ waren, aber als bei diesen Patienten im späteren Verlauf ihres Krankenhausaufenthaltes Folgekulturen bestellt wurden, waren sie tatsächlich positiv für denselben Erreger. Dies deutet darauf hin, dass das HPN-Panel potenzielle Erreger früher als eine Kultur erkennen kann, was eine frühere Behandlung und ein früheres Management der Patienten ermöglichen könnte.

      Aktuell ist die Firma weniger Wert als die Barreserven. Die Firma ist nach FDA Zulassung und genehmigten Kapital von nahezu 50 Millionen Shares ein sehr klassischer BO Kandidat. Trotzdem wundert mich der Kursverlauf. Es ist durchaus üblich das zu übernehmende Unternehmen vorher ordentlich zu shorten und über social media unter Beschuss zu nehmen, aber so krass habe ich das selten erlebt, die Auflösung sollten wir in 3 Monaten haben … .

      Antwort auf Beitrag Nr.: 71.439.338 von psycho214 am 27.04.22 18:47:18OpGen hatte am 31.12.2021

      46,5 Mio Aktien, davon 21,4 Mio Neuausgaben/-zugänge (Aktien/Optionsanleihen etc) für 47,5 Mio $
      Das Eigenkapital war zu diesem Zeitpunkt bei 41,2 Mio $ oder 89 $Cents je Aktie.
      Der Capital/Cash Burn betrug in 2021 $ 34,8 Mio, gegenüber $ 26,2 Mio im Vorjahr.
      Der Finanzmittelbestand am 1.1.2022 war 36,6 Mio $

      Wenn das Cash Burning so weitergeht, dann muss dieses Jahr eine weitere Kapitalzufuhr statt finden, so 50 Mio $.
      Die geben Investoren aber nur aus, wenn die Forschungspipeline Erfolgsaussichten aufweist.

      "To meet its capital needs, the Company is considering multiple alternatives, including, but not limited to, strategic financings or other transactions,
      additional equity financings, debt financings and other funding transactions, licensing and/or partnering arrangements. There can be no assurance that the Company will be able to complete any such transaction on acceptable terms or otherwise.
      The Company believes that current cash, will be sufficient to repay or refinance the current portion of the Company’s debt and fund operations into the fourth quarter of 2022. This has led management to conclude that there is substantial doubt about the Company’s ability to continue as a going concern. In the event the Company is unable to successfully raise additional capital during or before the end of the fourth quarter of 2022, the Company will not have sufficient cash flows and liquidity to finance its business operations as currently contemplated.

      Accordingly, in such circumstances, the Company would be compelled to immediately reduce general and administrative expenses and delay research and development projects, pause or abort clinical trials including the purchase of scientific equipment and supplies, until it is able to obtain sufficient financing. If such sufficient financing is not received on a timely basis, the Company would then need to pursue a plan to license or sell its assets, seek to be acquired by another entity, cease operations and/or seek bankruptcy protection.

      Die Company hat zwei Hauptaktiva, Curetis und AdvanDX, die an der Bilanz mit 16,6 Mio $ bewertet sind, wovon 7,5 Mio $ Goodwill.

      Kommt da was ?
      On October 6, 2023, OpGen, Inc.’s (the “Company”) subsidiary Curetis GmbH (“Curetis”) received an advance payment of 750,000 euros related to the sale of certain Unyvero A50 systems by Curetis to a strategic partner. The final purchase of such systems will be made pursuant to a purchase agreement or purchase order to be mutually agreed upon by the parties. Such purchase of systems and advance payment was made in connection with the negotiation of a potential strategic transaction involving Curetis and the Company’s subsidiary Ares Genetics GmbH (“Ares Genetics”) with such strategic partner.

      Was ist denn gerade los?
