Es gibt eine AD Hoc zu Bipop , die ich inhaltlich leider nicht verstehe ( ich kann sie zwar übersetzen , weiß aber trotzdem nicht um was es Geht ) Wer kann mir helfen.

The Board of Directors of the Bipop-Carire group met today.

The Board of Directors took note today that an assessment has not yet been made available by the assessor, appointed in accordance with article 2343 of the civil code, who has been called to express an opinion on the value attributed to Fineco Banca ICQ S.p.A. shares, held by Bipop`s managers, that will be contributed in kind into Bipop-Carire. This has resulted in the impossibility of depositing the aforementioned assessment at the company`s registered office within the 15 days preceding the shareholders` meeting as required by article 2441.

The assessor communicated by letter, received by the company on 23rd March, that he will be able to conclude the analysis and express the technical opinion, for which he has been called to anounce, subsequently to the expiry as provided by law for the deposit of such report.

The auditing company KPMG, on the other hand, released its report on the congruity of the assumed exchange ratio for the contribution of 3.25 Bipop- Carire shares per Banca Fineco share in accordance with art. 2441 of the civil code and art. 158 of the consolidation act.

In light of this fact, the capital increase related to the contribution transaction and to which the valuation mentioned above refers, which was to be deliberated on during the extraordinary shareholders` meeting on April l9th, will be postponed and it will be approved by a special Extraordinary Meeting. It is anticipated that this Extraordinary Meeting should be held by mid June.

The report of the Board of Directors to shareholders on the contribution in question and the report of KPMG are, at any rate, already available at the company`s registered office along with the letter sent by the assessor to the bank.

The Board of Directors also deliberated today to propose to shareholders that they grant the same Board the authorization to purchase own shares of nominal value Euro 0.26 for up to a maximum of Euro 70 million.

Da geht es wohl um die Übernahme von FINECO, die noch nicht so weit gekommen ist, wie gewünscht, da die Wirtschaftsprüfer irgendein Gutachten noch nicht fertig haben - so habe ich das verstanden.

Das habe ich heute in Börsenagent gefunden:

Bipop verschiebt Ausgabe neuer Aktien auf Mitte Juni
Brescia (vwd) - Bipop-Carire SpA, Brescia, wird die Ausgabe von 29,5 Mio neuen Aktien, die ursprünglich für den 19. April geplant war, auf Mitte Juni verschieben. Das italienische Bankhaus machte am Dienstag keine Angaben über die Höhe des Geldbetrages, den es durch die Ausgabe der Anteilsscheine erzielen möchte. Die Mittel aus der Kapitalerhöhung sollen zum Erwerb eines 15-prozentigen Anteils an dem Softwareentwickler Network Computer House SpA verwendet werden. Bipop-Carire will darüber hinaus einen Aktienrückkauf im Wert von maximal 70 Mio EUR vorschlagen.

sieht doch ganz gut aus diese Woche. Bei L&S zur Zeit 5.54 im Bid und 5.70 im Ask. Es scheint nach Norden zu gehen, wenigstens mittelfristig.
