Hamburg / Germany, May 31, 2001 - The Gauss Group (GSOG.DE, security identification number 507 460), a leading global developer of Unified Content Management Solutions, generated total sales revenues of EUR 11.85 million in the 1st quarter of 2001. This represents growth of 137% by comparison with the 1st quarter of 2000 (EUR 4.99 million).

Sales revenues in the product division amounted to EUR 8.30 million and therefore 70% of total sales revenues in the 1st quarter of 2001. EUR 3.72 million of this amount was accounted for by service operations; sales revenues of EUR 3.56 million were generated in license business. This represents an increase of 815 % in product business. Sales in the product division in the same quarter of the previous year amounted to EUR 0.91 million (licenses: EUR 0.83 million and service operations: EUR 0.08 million). Partners were responsible for obtaining 48.2% of total sales revenues. Gauss has won 23 new partners and 29 new customers.The company is extremely pleased with the sales revenues of EUR 6.04million recorded in the US business in particular. The proportion of total sales revenues accounted for by US business was 51%. European sales revenues in the product division amounted to EUR 2.52 million or 21% of total sales revenues. Germany contributed EUR 1.62 million. Total sales revenues in the product division in the rest of Europeamounted to EUR 0.9 million. International sales revenues without Germany amounted to EUR 6.64 million or 59%. Group EBITDA totalled EUR -7.54 million (1st quarter of 2000: EUR - 2.11 million), while the loss per share after the stock split was EUR 0.31 (1st quarter of 2000: 0.38 Euro). Gauss Interprise Consulting AG recorded sales revenues of EUR 3.55 million and therefore accounted for 30 % of total sales revenues (1st quarter of 2000: EUR 4.08 million and 81.95%). The consulting business as always operated profitably, producing positive EBITDA of EUR 0.16million. The number of employees increased from 241 to 507 between March 31, 2000 and March 31, 2001 (increase: 110%) Gauss has taken all the necessary measures: sufficient liquidity, intensification of the international sales activities and representative development of the unified content management solution form a sound basis for reaching break-even point at EBITDA level in the 4th quarter.

Issuer`s information/explanatory remarks concerning this ad hoc announcement:

The results reported for the 1st quarter of 2001 are right in line with the Gauss Group`s expectations. The better results than expected in the USA - particularly in view of the deterioration in the general economic situation there - are attributable, among other things, to the investments made in marketing, sales and research & development (most of the expenses incurred here are personnel costs), which are now starting to pay off. The implementation of a global marketing unit and the reorganisation of sales activities demand as planned significant investments, which act upon the earnings respectively. The investments that are already made begin to pay off. quarters. Encouraging progress has been made on integration of Gauss Interprise, Inc. in the Group; the combination of corporate functions is leading to increased efficiency and synergy benefits.

Despite the generally positive development of total revenues the cost structure will be continued quantitatively and qualitatively reviewed and appropriate steps will be undertaken in order to reach as planned the profitability.

Gauss exhibited the unified content management solution at Internet World for the USA and at CeBIT for Europe this year, drawing attention to the high flexibility of the individual components of the VIP product family. The seamless integration of portal, content, document and workflow management enables Internet infrastructure solutions to be supplied from a single integrated source. The presentation at Internet World and at CeBIT this year has helped considerably to stimulate further growth in sales revenues. A MetaGroup survey from April 2001 has highlighted VIP among products from one of the four manufacturers of the world`s leading enterprise content management systems.

Gauss Interprise AG succeeded in obtaining 29 new customers in both Europe (11) and North America (18) in the first quarter of 2001. They include Deutsche Telekom AG, Linde AG, Kaufmännische Krankenkasse, Deutscher Beamtenbund, The Boston Group, BMW and the German Ministry of Economics as well as Murphy Oil, National Bank of Canada, Bacardi, Chicago Bridge and Iron and Millennium Partners.

Gauss Interprise AG arranged for several capital packages amounting to EUR 20 million during the quarter under review. The company received almost EUR 12.2 million from the original shareholders, IKB Beteiligungsgesellschaft and the management. Vereins- und Westbank also approved a credit line of EUR 8 million. These capital injections demonstrate the confidence the investors and banks have in Gauss` strategy, positioning and products. (Contact: Verena v.
