Zijin Mining plans to give dir more flexibility in inv

(Infocast News) Fujian Zijin Mining Industry (2899) proposed to amend Articles Of Association, including a change to the investment authorisation of the directors in order to facilitate the company`s flexibility in seeking investment opportunities.

According to the proposal, Paragraph 4 of Article 94 of the Articles of Association -- "the authorisation to the board of directors for the application of the company`s assets in risk management and investment will be limited to not more than RMB10million" will be deleted. At the same time, the Paragraph 5 of Article 94 of the Articles of Association will be amended as "The authorisation to the board of directors for the application of the company`s assets for investment will be subject to the provisions of the Listing Rules as amended from time to time and the applicable laws, rules and regulations."

(Infocast News) Fujian Zijin Mining Industry (2899) has paid a generous dividend for 2003, with a payout ratio of 45.45%, compared to raito of 33% committed by the company during IPO. Chen Jinghe, Chairman of the company, said that the high payout ratio resulted from good liquidity flow. The company`s payout ratio in future will not be lower than 33%, he said.

The company enjoyed a comparatively lower tax rate last year because 40% of spending on equipment could enjoy tax deduction in Mainland China
