LOS ANGELES, Jan. 17 /PRNewswire-FirstCall/ -- Staruni Corp. (OTC Bulletin
Board: SRUN) today announced the closing of the merger with Elephant Talk
Limited, a subsidiary of The Hartcourt Companies, Inc. (OTC Bulletin Board:
HRCT). Staruni also announces the approval of a 1 for 10 reverse split. The
company will change its name to Elephant Talk Communications, Inc. and commence
trading of its shares on the US OTC Bulletin Board Market on January 22, 2002
under the ticker symbol ETLK. As a result of the merger, 51.8% of the
outstanding shares will be distributed to The Hartcourt Companies Inc., 38.2% to
the shareholders of Elephant Talk Limited and 10% to Staruni shareholders.

Andere Unternehmen sind noch in Gründung. Daneben ging das Investment in UAC Stock Trading. Diese elektronisch Handelsplattform wurde obsolet , nachdem die chinesische Regierung den Wertpapierhandel via Internet wider Erwarten doch erlaubte. Sinobull wird demnächst mit dem Börsenmantel Global Telephone Communications verschmolzen, um so am OTC Bulletin Board gelistet zu werden.

Besondere Hoffnungen hatte Hartcourt immer für die Gruppe um die 85%-Tochter Streaming Asia. Nennenswerte Einnahmen generiert der Bereich allerdings nicht. Die stammen zu 90% vom Telekommunikationsunternehmen Elephant Talk, aus dem praktisch der Geschäftsbereich Breitband/Telekommunikation besteht und das zu 51% zu Hartcourt gehört. Der Umsatz der übrigen Hartcourt-Unternehmen ist unbedeutend. Das ist vor allem deswegen enttäuschend, weil Hartcourt jahrelang "bedeutende Einnahmen" ankündigte, sobald die Sinobull-Gruppe konsolidiert sei. Elephant Talk wurde jetzt mit der winzigen, am OTC Bulletin Board notierten Internet-Agentur verschmolzen. Offenbar fehlt Hartcourt das Geld für ein reguläres Listing, das die Unternehmen für Investoren attraktiver machen würde. Dazu passt die Einschätzung des neuen CEO Wallace Ching, dass die Hartcourt-Töchter aufgrund der Lage an den Kapitalmärkten unbedingt in diesem Jahr noch profitabel werden sollen. Auch die verstärkten Bemühungen um Kapitalgeber sprechen für ein härteres Umfeld.
Möglicherweise will man auch die Regularien der Börsenaufsicht unterlaufen, oder braucht das Geld so dringend, dass man sich nicht mit dem langen Listing-Prozess auseinandersetzen will. Für eine skeptische Interpretation spricht auch das frühere Chaos, das Hartcourt bei seinen geplanten Börsengängen angerichtet hat: Erst sollten Sinobull und StreamingAsia an die NASDAQ gebracht werden, dann wurde für einen Börsengang in Hongkong getrommelt, bevor man dann erst mitteilte, dass nun „wesentliche Voraussetzungen" für den Börsengang geschaffen seien, worauf man dann ankündigte, der Prozess werde sich über zwei Jahre erstrecken. Jetzt also ein Reverse Merger von Elephant Talk.
Riskantes Geschäft
In den Sektoren Telekommunikation und Internet hat es in den letzten Monaten viel Pleiten und Ernüchterung gegeben. Kursdatenanbieter und Streaming Media-Anbieter haben es längst nicht mehr so leicht, Kunden und Investoren zu finden. China mag noch Nachholbedarf haben, aber dafür stellt die Regierung, die nun immer noch eine sozialistische Diktatur ist, immer wieder ihr gespaltenes Verhältnis zum Medium Internet unter Beweis. Wenn Tausende von Internetcafés in China geschlossen werden, dann betrifft das auch die Nachfrage nach Hartcourt-Produkten. Und nachdem Elephant Talk jetzt mit Staruni verschmolzen wurde, enthält das Hartcourt-Portfolio wieder keine Spitzen-Unternehmen mehr. Was Wunder, wenn Hartcourt nach neuen Zukaufsmöglichkeiten sucht (so CEO Ching in einem Aktionärsbrief), noch bevor man die Beteiligungen an die Börse gebracht hat, die - möchte man fast sagen - Hartcourt seit Jahren wie Sauerbier anbietet?
Wenig hilfreich für den Kurs ist auch die Aktienkreditlinie von 35 Mio. Dollar. Swartz Private Equity soll in den nächsten zwei Jahren immer wieder neue Aktien mit einem Abschlag von 10 Prozent zum Marktpreis kaufen. Diese wird die Investmentfirma wohl kaum brav behalten, wenn Sie am Markt damit einen netten Gewinn einfahren kann. Und das wird den Kurs drücken.
