      Latest Innovation Builds on Company`s e-Networks for Service Providers Strategy; Enables CDMA Carriers to Meet Market Demand for Fast, Efficient Wireless Data Connectivity

      3Com Corporation (Nasdaq:COMS), an industry innovator in wireless data access technology, today announced it is developing a next-generation interworking function (IWF) for Code Division Multiple Access (CDMA) service providers that will enable significant increases in call capacities. Scheduled for availability in late May 2000, the 3Com(R) Total Control(R) 1000 Platform IWF high density gateway will allow carriers to more efficiently address exploding market demand for wireless data connectivity.

      Development of the high density gateway for wireless data services is the latest innovation from 3Com as the company solidifies its leadership position in the market for packet-based networking solutions for service providers. 3Com is enabling CDMA wireless service providers to leverage the flexibility and economy of packet-based networks and to quickly develop new and differentiated customer services.

      Ovum, an independent research and consulting company that tracks the IT and telecom markets, has projected that by the year 2003, one of every four wireless subscribers worldwide will also be a wireless data subscriber. That would represent an increase of 268 percent from the current percentage of wireless data subscribers. Ovum also projected that service revenue from wireless data subscribers will grow to $124 billion worldwide by 2003, compared to an estimated $39 billion worldwide in 2000.       "3Com designed the Total Control IWF high density gateway in response to the booming demand for wireless connectivity data services," said Irfan Ali, senior vice president and general manager, 3Com Carrier Systems.

      "Subscribers accustomed to doing business with their mobile phones increasingly are using the same wireless device for e-mail and Internet access," Ali continued. "To meet customer expectations for fast, reliable access, service providers need to handle more calls more efficiently within the constraints of their central office space. Our Total Control IWF high density gateway enables them to do that."

      Total Control 1000 IWF: Ten Times the Call Capacity

      The initial release of the IWF high density gateway will introduce new edge server hardware on the Total Control 1000 platform. The new edge server card features a 400MHz processor and greater memory and storage capacity than is available today. A subsequent upgrade for the IWF high density gateway -- scheduled for early this fall -- will increase the call capacity of the IWF more than ten-fold. This significant increase in call capacity and future expansion capabilities will be accomplished while maintaining the same chassis footprint of the current Total Control 1000 platform.

      "The IWF high density gateway is the latest example of 3Com`s commitment to the wireless data market," said Gennady Sirota, director, wireless product management, 3Com Carrier Systems. "This gateway will require less central office space per call, and reduce the cost per call through lower capital and maintenance costs."

      Through the software upgrade, the IWF high density gateway will enable higher call volumes per chassis by increasing the capacity to handle a greater load of Quick Net Connect calls. Quick Net Connect is the flagship feature of 3Com`s CDMA IWF technology. By bypassing the public switched telephone network, Quick Net Connect eliminates costly toll charges and reduces set-up and modem-training time while establishing an all-digital connection. With Quick Net Connect, Internet or intranet connections are established in as little as 5-7 seconds versus the 20-40 seconds needed for analog modem connections.

      "With the rapid adoption of smart phones and their ability to get information quickly, as well as the increasing number of options for wireless Internet connectivity, wireless subscribers want the fastest connections possible," Sirota said. "3Com`s Quick Net Connect feature makes fast connections possible. Many carriers using our CDMA IWF equipment have found the percentage of Quick Net Connect calls is significantly higher than the percentage of analog modem/fax calls. The new IWF high density gateway is designed to handle a greater load of Quick Net Connect calls."

      hallo, über matsushita comm weiß ich auch nichts neues. der experte in diesem bereich ist daxjetztwieder. ich bin ebenfalls ziemlich enttäuscht vom kursverlauf und spiele seit tagen mit dem gedanken, zu verkaufen. wenn ich die umsätze in deutschland sehe. sollte das aber nicht so einfach sein.

      wenigstens gibts ne schöne kleinigkeit zu 3com: s. azzawi hat sie in seinem musterdepot. sonst finden sich da meist zockerwerte und vervielfachungskandidaten.

      hab mich heute von meinen matsushita getrennt, auch wenn es charttechnisch nun erstmal wieder nach oben gehen dürfte. zur zeit versuche ich, von dem biotech-hype noch etwas mitzunehmen. da kommt es mir steuertechnisch nicht unrecht, auch mal verluste realisieren zu können.

      enables middle school students to take photographs of the Earth from a camera aboard the Space Shuttle Endeavour, will be
      transmitted to and stored on a 3Com(R) e-Network for education.

      As part of its mission, the space shuttle, which launched into space today, will use the EarthKAM digital camera to collect highly
      accurate, high-resolution pictures of different areas of the Earth, including mountain ranges, valleys, deserts, coastal plains and
      forests. Over 11,000 middle-school students from the United States, Germany, France and Japan will use interactive Web pages
      to monitor the shuttle`s flight path and to select areas of interest to photograph. The image requests are sent to the shuttle through
      the Mission Operation Center network - the 3Com e-Network - at the University of California, San Diego (UCSD). Within
      hours, students can access the digital images on the Web and then use the images to conduct their own investigations of Earth.

      meines wissens wird in wenigen wochen ein kleiner teil von palm an die börse gebracht. davon profitieren 3com-aktionäre nur indirekt. ein halbes jahr später erhält jeder 3com-aktionär für eine alte 3com zwei neue 3com und eine palm. mit einer meldung kann ich nun spontan nicht aufwarten, wurde mir so von jemandem erklärt, der sich damit beschäftigt hat.

      3Com Corporation (Nasdaq:COMS) announced today that the City of Tulsa, Oklahoma, has standardized its new city-wide
      metropolitan area network (MAN) on 3Com`s e-Network technologies to keep pace with the city`s burgeoning growth. The
      enterprise e-Network, which provides application support, access and availability, seamlessly links 23 departments and agencies
      in 130 buildings and is speeding network services to 4,000 employees, the public and area businesses.

      Once known as the "Oil Capital of the World," Tulsa is now one of the fastest growing cities in the U.S., and has a diversified
      economy with an influx of new businesses from a broad spectrum of industries. To meet the needs of this growing community
      and its 400,000 residents, the 101-year-old metropolis is improving public services by extending advanced network applications
      to municipal buildings across the city`s 600 square miles.

      Fueled by 3Com`s e-Network technology, Tulsa is now using the network`s voice, video and data capabilities to enhance

      Better Networking for Better Government


      Tulsa`s new MAN emerged from the city`s need to provide advanced network services to an influx of new businesses and a
      booming population. Previously, Tulsa relied on its legacy data network built in 1990. Originally designed with six PCs linked to
      a mainframe, Tulsa`s network evolved to an FDDI ring that relied on wide-area connectivity over costly T1 lines or slow dial-up
      access to reach the city`s outlying facilities. Over time, however, this network, which utilized older generation 3Com systems,
      became saturated with demands from an increasing number of users and applications.

      "Our network simply couldn`t keep up with the city`s need to modernize services, particularly those vital to public safety," said
      Hall. "We needed a solution that would give us latency-free performance to any facility in the city, even for bandwidth-hungry
      imaging and video applications. We also wanted to avoid the ongoing costs of T1 leases."

      Tulsa seized the opportunity to rectify this situation when TCI Cable sought permission to lay fiber-optic cable throughout the
      metropolitan area. The city agreed to accommodate TCI in exchange for the cable company`s commitment to install additional
      cabling for a new communications infrastructure. Once the fiber-optic cable linked all city buildings, Tulsa built its sophisticated
      MAN using 3Com`s Ethernet/ATM (asynchronous transfer mode) technologies.

      "We wanted ATM for its proven ability to converge voice, video and data," Hall explained. "Having used 3Com systems, we
      knew they offered industry-leading technologies that were fast, reliable and low-maintenance. Their new generation of products
      confirmed everything we believed about the quality of 3Com systems."

      Deployed over the last three years, Tulsa`s new MAN utilizes 16 3Com CoreBuilder(R) 7000 ATM switches installed
      throughout the city to provide a 155 Mbps OC-3 ATM MAN backbone. Two of these switches are 17-slot platforms in the
      data center at the police/courts building that are linked by redundant OC-3 links. One of these two switches connects to five
      CoreBuilder 7000 ATM switches that form an ATM ring in the northern part of the city. The other provides connectivity for the
      CoreBuilder 7000 switches that comprise an ATM ring in the city`s southern half.

      The CoreBuilder 7000 ATM switches provide OC-3 links to a SuperStack(R) II Switch 2700 ATM/Ethernet switch in each of
      the city`s 130 buildings. The SuperStack II 2700 switches distribute 10 Mbps connections to some 2,000 desktops within these
      facilities. The city also is installing a SuperStack II Switch 3300 switch at 13 Tulsa County libraries that link via OC-3 to a
      backbone CoreBuilder 7000 switch. Moreover, Tulsa links 10 CoreBuilder 5000 switches to the ATM backbone at OC-3
      speed for connectivity in high-usage buildings. The CoreBuilder 5000 switches deliver 100 Mbps links to the SuperStack II
      DualSpeed Hub 500 hubs. These hubs provide shared 100 Mbps and 10 Mbps links to workstations and desktops and, to
      further maximize performance for users, Tulsa relies on 3Com`s EtherLink(R) II network interface cards (NICs) and uses 3Com
      NICs in the Dell desktops it acquires.

      To ensure users of speedy access to their applications, each department connects its servers to the network at switched 10
      Mbps and shared 100 Mbps speeds. For servers that retain their legacy FDDI connections, the city links them to the MAN via
      NETBuilder II(R) routers. It also uses NETBuilder II EZBuilt systems for Internet connectivity and to link the network to the
      public safety department`s 911 service.

      Managing an e-Network as dispersed as Tulsa`s has been made simple and efficient through the city`s use of 3Com`s
      Transcend(R) Network Control Services for UNIX networking management application. The application allows administrators
      to monitor every network device to the port level from a single central management console, eliminating the costs of sending IS
      personnel to sites scattered throughout the 600-mile city. "Thanks to Transcend software, we usually know if there`s a problem
      before our users do," Hall stated. For additional protection, Tulsa uses 3Com`s Express service, which provides hardware
      replacements, telephone support and software upgrades.

      3Com`s Palm raises IPO price range to $30-$32/shr

      WASHINGTON, Feb 28 (Reuters) - Palm Inc., the maker of the Palm Pilot hand-held computer devices, said on Monday it
      has raised the projected price range for its initial public offering to $30-$32 per share from $14-$16 a share.

      The company, a wholly-owned unit of 3Com Corp. <COMS.O>, now expects to net $663.8 million from the sale of 23 million
      shares of common stock in the offering, according to an amended prospectus filed with the Securities and Exchange
      Commission.

      After the offering, there will be approximately 562.2 million shares outstanding in Palm, putting its initial market capitalization at
      about $17.4 billion based on a $31 per share initial price, the midpoint of the new range.

      3Com will hold 532 million shares immediately after the offering. It plans to divest its holdings within six months by distributing
      the shares to 3Com shareholders.

      America Online Inc. <AOL.N>, Nokia Corp. <NOK1V.HE> <NOK.N> and Motorola Inc. <MOT.N> have agreed to
      purchase about $225 million worth of Palm shares at the initial public offering price.

      Palm said it would use the net proceeds from the IPO to pay a dividend to 3Com, repay about $58 million to 3Com, capital
      spending, increased marketing, and potential investments and acquisitions.

      The company, based in Santa Clara, Calif., has received approval to list its shares on Nasdaq under the symbol "PALM"

      inzwischen stehen wir bei 105 euro. als ich mir 3com am 13.12. zu 43 euro ins depot legte, habe ich zwar mit einer kurssteigerung aufgrund des börsenganges von palm gerechnet, aber das übertrifft alle erwartungen. eigentlich war 3com damals neben fujitsu, kamps und amgen einer der konservativsten werte in meinem depot. mit 3com/palm, so war damals meine überlegung, hat man die gelegenheit, bei einem boom, der an den der handys heranreichen wird, von anfang an dabei zu sein. das einzige, was mir derzeit sorgen bereitet: wie wird 3com nach dem spin off laufen? die letzten zahlen machen deutlich, daß palm die einzige wirklich erfolgreiche sparte war. aber meine news-sammlung zeigt ja, daß sich auch sonst einiges getan hat. also, herr eichel, ich muß sie enttäuschen, ich werde 3com auch nach dem palm börsengang behalten, wie es sich für eine weiterhin konservative anlage gehört.

      nun lest euch mal diese meldung durch (von der börse-online-seite):

      Knapp 1 Mrd Dollar fließen durch den Börsengang der Tochter Palm in die Kasse von
      3Com (COMS) – und dabei sind es nur rund 4% des Kapitals, die das Publikum
      kaufen kann. Weitere insgesamt 1% gehen an AOL, Nokia und Motorola – der Rest
      bleibt aus steuerlichen Gründen für mindestens 6 Monate bei 3Com und wird dann
      voraussichtlich an die Aktionäre verteilt: Pro 3Com-Aktie 1,5 Palm.

      Wegen der großen Nachfrage wurde der Emissionspreis von zunächst geplanten 14
      bis 16 Dollar auf 30 bis 32 Dollar angehoben. Damit wäre Palm 18 Mrd Dollar wert.
      3Com ist nach jüngstem Kurs 36 Mrd Dollar wert. Palm hat bisher insgesamt 5,5 Mio
      Geräte verkauft und in den USA rund 68% Marktanteil.

      Die Firma ist profitabel: In den ersten sechs Monaten (Ende: 26.11.) wurden bei 435
      Mio Dollar Umsatz und 22,5 Mio Dollar Gewinn erwirtschaftet. Neben den Umsätzen
      mit Handheld-Computern rechnet sich das Unternehmen zunehmende Erlöse aus
      Lizenzgebühren für das Betriebssystem Palm-OS und aus Abonnements für
      drahtlosen Internet-Zugang aus.

      Mit iPlanet, der E-Commerce-Allianz von Sun (SUNW) und AOL-Tochter Netscape,
      arbeitet Palm an einer Lösung, die Mitarbeitern den drahtlosen Zugang zu Computern
      und Informationen ihrer Firma geben soll. Marktforscher erwarten, dass die Zahl der
      benutzten Handheld-Geräte von 5,4 Mio in 1999 auf 19 Mio in 2003 steigen wird.

      Wer sich nicht am aktuellen Run beteiligen will, kann auch abwarten: Einige Monate
      nach dem IPO pflegt der Kurs sich wieder zu beruhigen. Dann ist immer noch Zeit, vor
      Ablauf der Sechs-Monats-Frist 3Com zu kaufen, um Palm zu bekommen.

      Eigentlich ist das Zuteilungsverhältnis durch völlig egal. Fakt ist, 3com besitzt über 500Mio Palm-Aktien, was momentan mehr als 50Mrd$ Kapitalisierung bedeutet. Komisch ist nur, daß 3com (Palm-Anteil + Rest) mit 30Mrd$ bewertet ist.

      wenn ich heute 2 3com-aktien kaufe, zahle ich ca. 175 $. is doch korrekt, oder?
      in sechs monaten bekomme ich dann noch 3 palm-aktien, die heute ungefähr 300 $ kosten würden. das wär doch dann kein schlechtes geschäft, oder irre ich mich da?

      bin noch ein relativer Aktien-Frischling, verfolge allerdings eure teilweise recht interessanten Beiträge mit Interesse.
      Mal eine Frage:
      Ist es normal, dass eine Aktie (3Com) am Ausgabetag der Palm-Tochter über 20% !! verliert? Muß ich da für die nähere Zukunft mit weiteren Verlusten rechnen (Morgen kommt ja noch der "Minus-Freitag") ?
      Noch bin ich satt im Plus, aber bei täglich 20% Kursabschlägen ist der Gewinn demnächst gewesen.
      Also meine Gretchenfrage: Aussitzen oder (kurzfristig) raus?

      das hat dem kurs heute abend ja echt auf die Beine geholfen...
      wie all die guten Nachrichten/Analysen und Rechenspiele
      die letzten Tage.
      Ich glaube die Investoren haben inzwischen auch schon gecheckt daß
      3COM theoretisch 150-200$ pro Schein bei diesem Palmkurs wert ist,
      aber was verunsichert ist daß diese Firma von einen Tag auf
      den anderen (nach Palms IPO) 3mal so viel wert ist wie vorher.Das zieht schließlich beide Werte runter,ganz davon abgesehen daß 3COM nicht die erste Muttergesellschaft ist,
      die von der Bewertung der Tochter nicht mitgezogen wird. Gerade diese weiterhin 94(!)%ige Beteiligung wird ja erst noch in einem komplizierten Verfahren unter die Palm Aktionäre gebracht.
      Ich denke, daß diese Verunsicherung von good News
      aus dem Hause Palm in eine positive Stimmung wechseln wird, und wenn die neuen Palms bald sogar in unseren Handy-Shops zum Standard geworden sind, wird sich kaum einer an den Kursverlauf der ersten Woche erinnern.
      Man kann darauf spekulieren,oder nicht, bei 60$ oder bei 200$ einsteigen, Fakt ist, daß Palm ein ganz großes Kapitel in der Computer- und Kommunikationsevolution wird.

      habe mal versucht infos wegen palm-spinoff zu bekommen. nach dem ich in den letzten tagen antwort von börse-online redaktion in new york bekommen habe, die auf die web-site von 3com verwiesen haben, sehe ich die situation für diejenigen 3com-aktionäre, die vor dem palm-börsengang schon dabei waren, sehr positiv. in 6 monaten (also anfang september) bekommen diese je 3com-aktie 1,5 palm- und eine neue 3com-aktie. da analysten mit einem fairen wert von ca. 35-40 $ pro 3com-anteil (ohne palm) rechnen, sieht die rechnung jetzt folgendermaßen aus:

      eine jetzige 3com-aktie kostet 60,563$ (stand 17.27 uhr)
      dafür gibt es :
      eine neue 3com-aktie für ca. 35 $ und
      1,5 palm- aktien, die zur zeit ca. 95,345$ wert sind (1 palm-aktie 63,563$, stand 17.27 uhr)
      dies würde einen wert von insgesamt ca 130 $ bedeuten

      dabei muß man allerdings bedenken, das die 3com-aktien, die jetzt gehandelt werden, keinen anspruch auf die palm-aktien haben.

      so denke ich wird der spin-off von palm durchgeführt. sollte jemand andere infos haben, bitte melden.

The record date and the distribution date have not been determined yet. Both dates will be set in the future and advance notification of those dates will be communicated when appropriate.

      A) The ratio is calculated by taking the number of Palm shares that 3Com owns, and dividing it by the number of shares outstanding for 3Com. 3Com owns approximately 532 million shares, or approximately 95%, of Palm. There are currently approximately 349 million shares of 3Com common stock outstanding. So, 532 divided by 349 equals approximately 1.5.

      A) The Palm dividend refers to the distribution of actual shares of Palm common stock to 3Com shareholders of record at the time of the spin-off. The term "spin-off" also refers to the distribution of shares of Palm held by 3Com to the 3Com shareholders.

      Q) When will the spin-off take place?
      A) The exact date of the spin-off has not been set yet. 3Com plans to distribute or "spin off" its shares of Palm to 3Com shareholders of record about six months after the IPO. As stated in the prospectus for the Palm initial public offering, the distribution is contingent upon formal approval by 3Com`s board of directors and the receipt of a ruling from the Internal Revenue Service that the distribution will be tax-free to 3Com shareholders."

      Weiss man denn in USA, wer wann in D die 3com im Depot hatte?

      Ich finde das Verfahren an sich merkwürdig, weil eigentlich der
      Handel mit 3com-Aktien abgewürgt wird: jede jetzt verkaufte 3com-Aktie
      verliert allein durch den Verkauf an Wert, da der neue Käufer
      wahrscheinlich keine Palm-Aktie bekommen wird.

      Ich verstehe nur nicht, wo dann die großen Umsätze der letzten Tage
      herkommen.

      Hallo,

      habe 3Com Corp. nach dem Börengang von Palm gekauft, bin ja damit
      wohl noch Mitbesitzer von den restlichen 94% Palm die bei 3Com
      verblieben sind!

      Palm war ursprünglich von Goldman & Sachs korrekt bewertet,
      die Verdopplung des Ausgabekurses kurz vor dem Börsengang ist nur
      auf die Hysterie zurückzuführen.

      Darum werden wir auch in nächster Zeit noch fallende Kurse sehen
      sowohl bei 3Com als auch bei Palm.

      TOKYO, March 16 (Reuters) - Palm Inc, a maker of hand-held computers, said on Thursday it was keen to tie up with major
      domestic firms as it seeks to expand in the Japanese market.

      "We have already partnered with Sony and I think other partnerships with major Japanese firms are possible," said Craig Will,
      representative director of its newly formed Japan unit.

      Palm, a unit of 3Com Corp <COMS.O>, licenses its operating system to Sony Corp <6578.T> for wireless and consumer
      electronic devices. The two are also developing "infotainment" solutions, which, for example, may in the future allow consumers
      to download Sony games and music into their Palm electronic organisers.

      Will said he saw potential for more licensing partnerships, agreements with Japanese manufacturers to developing devices that
      can be added to the Palm organisers and original equipment manufacturer agreements where Palm sells its devices to other
      companies which are then custom-designed for their needs.

      Among major Japanese firms, Palm has also tied-up with Japanese cell phone giant NTT Docomo <9437.T> to develop
      wireless services for the Palm computing platform.

      Palm has so far sold its devices under the IBM <IBM.N> brand name in Japan but now plans to begin using its own brand.

      Shares in Palm closed down 2 at 55 on Wednesday on the Nasdaq market.

      Ich frage deshalb:
      Würden die Aktien verschenkt, wäre der rechnerische Preis für eine 3Com-Aktie
      ja nur noch ca. 6 Dollar und man bekäme das Kerngeschäft von 3Com sozusagen um einen Appel
      und ein Ei.
      Wenn das so wäre, würden jetzt alle 3Com kaufen und der Kurs würde anziehen. Tut er aber nicht.

      DerMacher hat schon recht, man bekommt nix geschenkt, schon gar nicht an der Börse, aber es gibt Werte die sind hoch und andere sind nieder bewertet.
      Ich denke über die 3com Aktie ist der günstigste Weg um an Palm zu kommen.

      Es gibt nix geschenkt.
      Derzeit wird das 3com Kerngeschäft wirklich nur mit etwa 5-7€ bewertet. Aber man muß bei der Bewertung versuchen, zukünftige Kurse
      zu antizipieren. Also nicht der heutige palm-Kurs determiniert den 3Com-Palm-Value, sondern der kurs, den Investoren für den 11.juli
      erwarten.
      Wer weiß schon, wo sich der Palm-Kurs nach der Ausgabe von 95% der Aktien hinbewegt? Die ganze Hysterie um Palm beruhte
      doch darauf, daß 3Com nur 5% der Aktien ausgab, wobei Privatanleger fast keine abbekamen. Die ursprüngliche bookbuilding-Spanne
      war 14-17$. die wurde dann flugs verdoppelt, als sich die Hysterie abzeichnete. Diese Spanne beruhte doch (hoffentlich?) auf dem
      Versuch der Emissionsbanken, den Palm-Wert realistisch einzuschätzen. Deshalb ist es ein m.E nicht unwahrscheinliches Szenario,
      daß Palm in diesen Korridor hineinnordet, wenn nun alle Aktien auf den Markt kommen.
      Der Palm-Wert von 3Com wäre dann etwa 21-24€, und beim aktuellen Kurs würde 3Com etwa mit 16-20€ bewertet. Ist das zuwenig?
      Da 3Comr seine Strategie neu ausrichtet und keine Zahlen für die neuen Geschäftsfelder bekannt sind, tue ich mich schwer,
      angesichts dieser Unsicherheit eine Unterbewertung zu sehen.

      Nach heutigem Kurs ist 3COM nur mit 6,50 bewertet, aber PALM ist mit 22,60 deutlich überbewertet.
      Mcap. COMS = 13,64
      Mcap. PALM = 12,06
      Ist jetzt Palm mit 12 bewertet, dann ist 3COM wieder mit 22,40 bewertet, (44,40 - 18,00) und da gehört
      es hin.
      Für mich ist die Frage damit geklärt: Es gibt nichts billig, und es gibt schon garnichts geschenkt, und
      3COM ist und bleibt eine Looser Company und ich lasse die Finger davon.

      Falls mein Freund Gerhard aus der Defreggerstr. hier mitliest: Forget it, 3Com ist kein Geschäft!
      ==> 3Com glattstellen und den gesamten Erlös in AMD stecken, da wird er sich bis Weihnachten
      verfünffacht haben. AMD zu 74$ = 80/81€ momentan SEHR günstig zu bekommen!!!

      Allen anderen 3Com-Besitzern empfehle ich unbekannterweise das Gleiche! Hier am WO-Board
      gibt es sehr gute Infos zu AMD = 863186. Schaut mal rein!

      SK Telecom intends to make the high-speed wireless data and voice network available to its subscribers early in the fourth quarter this year.       3Com to announce modem business will keep old name

      PALO ALTO, Calif., June 7 (Reuters) - Even in the lightning-fast world of high-technology, it seems that sometimes the more
      things change, the more they stay the same.

      3Com Corp., a once-leading purveyor of data-networking equipment, on Wednesday will announce that the dial-up modem
      business it`s spinning off will emerge with the same name it had when 3Com bought the company in 1997, an acquisition that
      eventually proved disastrous. It will be called U.S. Robotics.

      The company, formed between Taiwan`s Accton Technology <2345.TW> and Singapore`s NatSteel Electronics <NASL.SI>,
      will be based in Chicago and will gear up to full operation by Sept.2, 3Com <COMS.O> said.

      Although the acquisition proved to be what some called 3Com`s undoing, the U.S. Robotics brand is well known and 3Com
      pointed to industry forecasts showing that growth in dial-up modems will continue at a reasonable rate, despite the rapid roll-out
      of high-speed cable and DSL Internet access.

      3Com was caught with bloated modem inventories and modem speeds that started to top out, while Cisco Systems
      Inc.<CSCO.O> built up its business of selling routers to speed bits of data across corporate networks and the Internet.

      3Com said that about 200 employees of Santa Clara, Calif.-based 3Com in engineering, marketing, sales and support will move
      to U.S. Robotics from 3Com.

      3Com on March 20 announced a plan designed to reignite growth, saying that it would exit the high-end data networking
      business, ceding that market to larger competitors such as Cisco, and that it would spin off its dial-up modem unit.

      The new company created through this alliance will be called U.S. Robotics(R)and will assume 3Com`s analog-only modem product lines and business, including U.S. Robotics and U.S. Robotics Courier(R)branded modems. U.S. Robotics will be headquartered in the Chicago area and will commence full operations by Sept. 2, 2000.

      3Com`s 4th-qtr results match expectations

      PALO ALTO, Calif., June 27 (Reuters) - Computer networking equipment maker 3Com Corp. on Tuesday reported fiscal fourth-quarter earnings that matched analyst expectations, saying that its ongoing restructurings are on track to be completed by the end of its first fiscal quarter.

      3Com <COMS.O> said that it had a loss of $146.8 million, or 42 cents a share, compared with year-ago net income of $87.5 million, or 24 cents. Sales fell to $763.7 million from $1.24 billion, but the fourth-quarter figure was higher than 3Com`s internal estimates of $675 million to $750 million, 3Com said.

      3Com, based in Santa Clara, Calif., was expected to report a loss of 42 cents, according to First Call/Thomson Financial, which tracks such forecasts.

      3Com, which has struggled in the past against Cisco Systems Inc. and other rivals, is shuttering its divisions that sold networking gear to big businesses and is exiting the analog modem business. Already, it spun off its Palm handheld digital assistant unit and the company is now focusing on home-networking, high-speed modems and wireless and Internet telephony, and networking for small-and medium businesses.

      Shares of 3Com, which earlier on Tuesday announced plans to buy closely held Internet radio start-up Kerbango Inc. for $80 million in cash, fell 1-11/1/6 to 48-11/16 in trading on the Nasdaq before results were released.

Robertson Stephens bekräftigten ihre Kaufempfehlung vor dem Hintergrund, dass sich der Umsatz doch besser entwickelt hat als zunächst erwartet. Außerdem begrüße man es, dass sich das Management immer mehr auf das Kerngeschäft fokussiere. Die Analysten von Goldman Sachs bekräftigen ihre Einschätzung als Market Outperformer.

      Nach den Worten des Unternehmenschefs Eric Benhamou fielen die Ergebnisse besser als erwartet aus. In dem vergangenen Vierteljahr seien innerhalb des Unternehmens große Veränderungen erfolgt. Benhamou bezeichnete die Ergebnisse deshalb insgesamt als "ermutigend". Der Unternehmenschef erklärte weiter, dass 3Com sich auch in den kommenden 2 Quartalen auf Grund hoher Marketing-Ausgaben Verluste einfahren wird, erst im 1.       3Com (COMS) ist nach der Palm-Abspaltung wenig beliebt bei Anlegern. Dies ist verständlich, wenn man nur die Ertragslage hineinschaut und mit einer längeren Restrukturierungsphase rechnet. Das Papier ist spekulativ interessant, wer an die Wiedererstarkung des Unternehmens glaubt und die Palm-Situation berücksichtigt.

      Der Netzwerk-Hersteller hat im vierten Quartal (Ende: 2.6.) des Geschäftsjahres einen Umsatz von 764 Millionen Dollar (Vj: 1,2 Milliarden) und einen Nettoverlust von 147 Millionen Dollar. Der operative Proforma-Verlust lag mit 36 Cents je Aktie um 8 Cents unter den Erwartungen, der Umsatz lag leicht darüber.

      Für das Gesamtjahr ergibt sich ein Umsatz von 4,3 (Vj:5,2) Milliarden Dollar und ein Gewinn von 674 Millionen Dollar, der auf den Verkauf von 6 Prozent der Palm-Aktien zurückzuführen ist.

      Im laufenden ersten Quartal des Geschäftsjahres erwartet das Unternehmen einen Umsatz zwischen 775 und 825 Millionen Dollar und einen operativen Verlust zwischen 210 und 240 Millionen Dollar. Den Verlust je Aktie schätzen Analysten auf 18 Cents.

      Nachdem im letzten Quartal schon 1000 Arbeitsplätze abgebaut wurden, sollen es diesem Quartal noch einmal 1000 werden. Im vierten Quartal des laufenden Geschäftsjahres will 3Com wieder in der Gewinnzone sein.

      Das Geld wird 3Com so schnell nicht ausgehen: In der Kasse sind 3,1 Milliarden Dollar, im Investment-Portfolio weitere 655 Millionen Dollar. Die mittelfristige Kurserholung ist davon abhängig, wie schnell das Unternehmen mit genügend neuen Produkten auf den Markt kommt. 3Com peilt ab Geschäftsjahr 2002 eine jährliche Wachstumsrate von 20 Prozent an.

      Ein neues Produkt wurde schon präsentiert – ein Internet-Radio von der gerade übernommenen Kerbango. Es soll für unter 300 Dollar ab September an den Markt kommen und wird außerdem von Thomson in Lizenz produziert.

      Dieses Rechenspiel lohnt sich: Pro 3Com-Aktie soll es im Juli 1,5 Palm-Aktien geben. Bei einem Palm-Kurs von 26 Dollar wären das 39 Dollar – verblieben 9 Dollar für den Rest, womit der Börsenwert unter einem Jahresumsatz läge.

      Das halten wir für ein Schnäppchen: Palm notiert bei 26 Dollar und hat Potential auf 50 bis 60 Dollar. Zum anderen gehen wir davon aus, dass 3Com wieder auf Wachstumskurs einschwenken kann, das sollte die Aktie – auch ohne Palm - wieder beleben.

      Update 1-Palm reports better-than-expected quarter

      SANTA CLARA, Calif., June 28 (Reuters) - Palm Inc. <PALM.O> Wednesday reported a better-than-expected profit in its fourth quarter, amid strong demand for its handheld computers used as electronic organizers and Internet communications devices.

      In its first full quarter since being spun off from 3Com Corp. <COMS.O>, Palm`s earnings jumped to $16.9 million or three cents a share for the quarter ended June 2, excluding separation costs related to the split. The company earned $6.8 million, or one cent a share in the year ago period.

      Analysts expected Palm to earn just one cent a share, according to First Call/Thomson Financial, which tracks earnings estimates.

      The stronger profit was helped by a doubling of revenue to $350.2 million from $174.3 million the prior year.

      In after-hours trading, Palm was up 1-3/8 to 27-3/4 after closing down 1/2 at 26-3/8 on Nasdaq ahead of the results.

      Including the separation costs, net income for the fourth quarter was $12.4 million, or two cents per share.

      Palm said it shipped more than 1.1 million devices in the quarter, bringing cumulative shipments to more than 7.1 million.

      The company said that it managed its gains despite a shortage of components in the quarter, although its close relationships with suppliers helped it meet most of the demand.

      "We achieved these results despite industrywide component shortages," said Carl Yankowski, Palm`s chief executive officer. "We believe Palm`s aggressive marketing efforts and the visibility of our IPO have been major factors in stimulating the total market demand for handhelds."

      The company underscored its commitment to connect Palm`s future to the Internet, since its handheld computers are increasingly being viewed as Internet devices. The latest Palms to be released are built with wireless access to the Net.

      "The mobile wireless Internet has emerged as an exciting growth opportunity for Palm, and our strategy to address it has gained major traction across each of our businesses," Yankowski said.

      vielen Dank für die Mühe die du dir schon seit Monaten mit dem 3Com-Threat machst.

      Ich bin seit Anfang März in 3Com investiert und habe lange Zeit
      fallende Kurse gesehen. Durch Nachkaufen habe ich einen Mischkurs
      von 54.- Euro erreicht.

      Ich denke mit dem heutigen fulminanten Start an der Nasdaq werden
      wir bis zum 11.07 noch viel Freude haben. Hoffentlich auch danach
      denn ich bleibe mindestens mit 2/3 weiterhin investiert.

      Gemischte Gefühle herrschen laut den Experten von Hornblower Fischer derzeit bei den Aktionären des Herstellers von Netzwerklösungen 3Com (COMS, WKN 868840).

      Zwar habe das Unternehmen im vierten Quartal seines Fiskaljahres aufgrund von Restrukturierungsmaßnahmen einen Verlust von 42 Cents je Aktie verzeichnet - bei einem deutlichen Umsatzrückgang auf 763,7 Millionen USD. Mit diesem Ergebnis habe man jedoch über den Markterwartungen gelegen, die von einem Verlust in Höhe von 44 Cents ausgegangen wären und habe zudem die eigenen Umsatzschätzungen übertroffen. Dies stimme zuversichtlich für einen positiven Abschluß der Umstrukturierung zum Ende des laufenden ersten Quartals.

      Positiv seien dagegen die gestern nach Börsenschluß veröffentlichten Zahlen der im März im Rahmen eines spinn-off an die Börse gebrachten Hand-held Sparte Palm ausgefallen. Deren Geschäftsverlauf sei für Aktionäre von 3Com insofern interessant, als sich noch 532 Millionen Aktien im Besitz der Muttergesellschaft befinden würden und am 27.Juli im Verhältnis 1,5 Anteile von Palm für jede 3Com-Aktie ausgeschüttet werden sollten. Palm habe in seinem vierten Quartal einen deutlichen Umsatzanstieg um 101 Prozent gegenüber dem vergleichbaren Zeitraum des Vorjahres auf 350,2 Millionen USD verzeichnet. Der Gewinn habe 16,9 Millionen USD oder 3 Cents pro Aktie betragen nach 6,8 Millionen USD oder einem Cent im Vorjahr.

      Auf Basis der Kurse aus dem nachbörslichen Handel sei der Palm-Anteil von 3Com derzeit 42 3/8 USD wert. Wenn man zusätzlich den großen Cashbestand von 3Com in Höhe von etwa 9 USD pro Aktie berücksichtige ergibe sich nach Meinung der Experten eine deutliche Unterbewertung. So erhalte man rein rechnerisch das Kerngeschäft von 3Com kostenlos.

      Die Analysten raten daher das Investment in 3Com dem direkten Kauf von Palm-Anteilen vorzuziehen, da die sehr geringe Bewertung des Kerngeschäftes von 3Com die mit der Umstrukturierung verbundenen Risiken ausreichend widerspiegele. Kaufen laute daher ihre Empfehlung an den Anleger.

      Wie wirkt sich der Spinn-Off von palm auf die Preise von Optionen von 3com aus?. Wenn es sich um eine Dividende (laut 3com Management)handelt, müsste doch der Preis von 3com Put-Optionen nach dem 28.07 (Spinn-off-Tag)explodieren, da bei Dividendenzahlungen der Basispreis unverändert bleibt. (Umgekehrt bei Call-Optionen).
      Kann das jemand verifizieren?? oder Falsifizieren??

      über die optionen weiß ich nichts. kann mir aber nicht vorstellen, daß die banken sich da nichts einfallen lassen. ein call ist ein kaufrecht. vielleicht hat man dann kaufrecht auf eine 3com und zwei palm. nur zu welchem basisipreis? keine ahnung.

      SAN FRANCISCO (CBS.MW) -- Options traders have turned
      especially bullish on 3Com in the last few trading days, as the company
      prepares to distribute its remaining holdings of Palm to shareholders.

      Since last week, market makers in 3Com have
      been raising volatility in out-of-the-money calls,
      from the mid-60s last week to about 70 on
      Monday, which means that options traders are
      interested in buying. Most popular Monday were
      any front month calls under $2 -- cheap July 60s,
      65s and 70s.

      Calls give the holder the right, but not the
      obligation, to buy the underlying security at the
      specified price. Because shares of 3Com are
      currently trading under 56, calls giving holders the
      right to buy the stock at 60 or more are “out of the
      money.”

      Recent action suggests that traders obviously think
      that currently 3Com (COMS: news, msgs) is
      undervalued. The stock fell 15/16 to close at 55
      7/8 Monday.

      On Tuesday 3Com will establish the ratio of Palm
      (PALM: news, msgs) shares to be distributed per
      3Com share. The distribution will be made to
      shareholders on record as of July 27.

      Palm, a unit of 3Com that makes popular hand-held computing devices,
      went public earlier this year in a widely anticipated IPO. The parent
      company said it would distribute its remaining holdings as part of a
      restructuring plan.

      In June 3Com posted a fiscal-fourth-quarter loss of 42 cents a share, but
      that didn’t chase away many long-term bulls on Wall Street.

      “The quarter was a little better than what people expected,” said Chris
      Sessing, an analyst with Los Angeles-based Crowell Weeden. “They’re
      taking one step back to take two steps forward. Instead of being a larger,
      more stagnant company, they’ll be a smaller one with higher growth
      prospects.”
      Because so few shares of Palm are available, options traders are having
      difficulty borrowing shares to hedge “short put” or “long call” positions by
      selling stock. This causes the 3Com puts to be more expensive than the
      calls, which is unusual. See earlier story

      That hard-to-borrow status will disappear after July 27.

      Arbitrage opportunity?

      But the when-issued contracts -- which represent Palmless, 3Com shares
      - have opened yet another chapter for options traders looking to make
      money on the companies’ divorce.
      Pre-traded “when issued” contracts (symbol COMSV), or “when when
      issued” contracts, have already started trading over-the-counter and the
      market is now pricing these contracts at around 13 3/8.

      However, based on the current price of 3Com and Palm, these 3Com
      shares (or when issued contracts) are being priced at around 10 3/8 a
      share, or about $3 less.

      Although Palm stock is hard to borrow, traders could buy 3Com
      (COMS: news, msgs) stock, sell 1.5 shares of Palm stock and sell 1
      COMSV contract. If this is the case, then traders should be able to lock
      in nearly $3 every time the arbitrage is made.

      Stumped? So are a lot of other people, so here’s how it works, including
      the calculations.

      3Com will spin-off the remaining 532 million Palm shares it owns (or
      about 94.2 percent of the outstanding common stock of Palm) in late July.

      Palm traded recently at 30 5/16, which puts its market capitalization at
      around $17.3 billion. Since there are 1.5 shares of Palm for every share of
      3Com, the value of Palm for every share of 3Com is now about 45 1/2.

      3Com recently traded at 55 7/8, and if you subtract this 45 1/2 valuation,
      you see that the market is pricing Palmless 3Com at about 10 3/8.

      Trading of the when-issued contracts is open to everyone and the
      over-the-counter contracts will have the same privileges as those formally
      listed by Nasdaq Tuesday. Also, all COMSV contracts will settle in the
      same bucket; the settlement date to be determined by Nasdaq.

      3Com closed down 15/16 to 55 7/8. Palm shares were skimmed to 30
      5/16

      SAN DIEGO, July 13 (Reuters) - Qualcomm Inc. <QCOM.O> said Thursday that 3Com Corp.<COMS.O> will bundle the wireless technology firm`s Eudora e-mail program on CDs with 3Com`s U.S. Robotics branded modems worldwide, giving 3Com increased visibility for its U.S. Robotics product. As part of Eudora`s distribution program, computer networking equipment maker 3Com said in a statement it will get increased brand awareness online and offline from the co-branding pact. The U.S. Robotics` logo will get placement within the user interface of Eudora e-mail software in sponsored mode and the logo will be prominently be displayed in the Eudora user interface. The Eudora distribution program lets its partners tap into its growing user base. Qualcomm has seen more than 1 million downloads of this newest version of Eudora since it was commercially released in mid-February.

      Shares of Qualcomm closed at 61 Wednesday and shares of 3Com closed at 64-7/8.

      3Com says final Palm distribution ratio set

      SANTA CLARA, Calif., July 14 (Reuters) - Computer networking equipment maker 3Com Corp. <COMS.O> said on Friday the final distribution ratio for the recently spun off company Palm Inc. <PALM.O> is 1.484 shares of Palm for each share of 3Com.

      3Com owns 532 million shares of Palm and as of July 11 there were 358.5 million shares of 3Com stock outstanding, the companies said in a statement. The Palm shares will be distributed to 3Com shareholders of record as of 5 p.m. EDT (2100 GMT) on July 27. The company said in a statement that the distribution of Palm completes the commitment it made last September to create two independent companies in the field of handheld computing and networking.

      Santa Clara, Calif.-based 3Com also reaffirmed its stock buyback plan of up to one billion dollars.

      Shares of Palm closed at 36-9/16 and shares of 3Com closed at 64-5/16.

      hallo palmpower
      ich habe selbst 3com calls gekauft und bei citibank und lehmann brothers nachgefragt. der call und daher sicher auch der put wird nach dem spinn-off wie ein basket auf palm und 3 com behandelt. also sollte man nicht darauf hoffen, daß der put auf 3com abstürzt. ich würde den put schnellstens verkaufen.du kannst dich aber vorher nochmal selbst informieren.gehe bei onvista auf optionsscheine,rufe die optionsscheine von 3com auf. wenn du auf einen emittenten gehst,
      bekommst du die jeweilige telefonnummer.
      ansonsten bin ich sehr gespannt wie die storry weitergeht!!!!!

      habe übrigens 3com zu 43 euro gekauft. die sind heute noch 18,8 wert.
      nur habe ich zusätzlich 1,48 mal soviele palm für je 63 euro.

      PALO ALTO, Calif., Sept 28 (Reuters) - Computer networking equipment maker 3Com Corp. <COMS.O> said on Thursday Bruce Claflin, president and chief operating officer, will replace Eric Benhamou as chief executive, effective Jan. 1.

      The move came two years after Claflin joined Santa Clara, Calif.-based 3Com after 22 years at International Business Machines Corp. <IBM.N> and a later stint at Digital Equipment Corp., now owned by Compaq Computer Corp. <CPQ.N>

      Benhamou, 45, and Claflin, 48, have now completed 3Com`s reorganization that was announced in March, under which 3Com said it would sharpen its focus on home-networking, high-speed modems, wireless and Internet telephony and networking for small- and medium-sized businesses. Benhamou, who had been at the helm of 3Com for 10 years, said the time was right for him to step down and let Claflin take the reins.

      "Bruce has earned his stripes as president and COO of 3Com," Benhamou, who will remain chairman, said in an interview. "He`s completely prepared, ready and eager to lead the next period of growth for the company."

      The announcement comes two days after the Santa Clara, Calif.-based firm reported a fiscal first-quarter loss that was nearly two-thirds less than what analysts were expecting, sending shares up 22 percent on Wednesday. 3Com said its loss for the three-month period ended Sept. 1 excluding extraordinary items was $41.3 million, or 12 cents a share, better than the 33-cents-per-share loss forecast by analysts.

      While sales in the quarter fell 23 percent to $933.8 million from a year ago, they included $127.5 million from its analog and high-end computer networking units, two businesses that it has exited. Excluding that revenue, sales from 3Com`s ongoing businesses were $806.3 million, 20 percent above its sales in the preceding fourth quarter.

      3Com shares rose $1 to to close at $18 on Nasdaq on Thursday.

      Claflin, before leaving IBM to join the struggling Digital Equipment, had been seen by some as a possible successor to "Big Blue" Chairman and Chief Executive Louis Gerstner. As head of IBM`s laptop business, he oversaw the launch of the hugely successful ThinkPad laptops. Claflin`s last position at Digital Equipment was head of sales and marketing.

      Benhamou, known as one of the preeminent technologists in Silicon Valley, said that he had given the board a 10-year commitment to be chief executive and that he will now have time to launch the 3Com Foundation as well as continue to advise 3Com in strategy and technology.

      Benhamou also sits on the board of Cypress Semiconductor Corp., Palm Inc. and Legato Systems Inc. He joined 3Com in 1987 when it acquired Bridge Communications, an early pioneer in computer networking, that he co-founded in 1981.
