      seit juli volle us-coverage.

XM Satellite Radio Touts Service, Fast Growth
Thursday March 13, 2:43 am ET
      By Tom Locke

DENVER -- What investors need to know about XM Satellite Radio Inc. is that it has a "hell of a product and people really like it," said Chairman Gary Parsons Wednesday.

Word-of-mouth, along with radio-installation commitments by automobile manufacturers such as General Motors Corp. , are driving subscriber growth, he said in a presentation at the Janco Partners 8th Annual Media & Telecommunications Conference in Denver.

Subscribers have grown from 28,000 at the end of the fourth quarter of 2001, to 201,500 by the end of the third quarter of last year and 347,000 by the end of the fourth quarter.

Mr. Parsons noted that he "feels comfortable" that XM subscribers will pass one million by the end of this year.

The $10 monthly fee for the 101-channel radio service has been well accepted, he said, and an important impetus to consumer satisfaction has been the advent of a second generation of radios that are higher quality and less expensive, at about $200.

The improvement in radio cost and quality is occurring faster than expected, and XM`s subsidization of radios is now expected to end much sooner than the two-year period the company originally anticipated, Mr. Parsons said.

In addition, GM has provided a "tremendous amount of financial support," Mr. Parsons said. "They know it`s a hell of a product" that helps GM differentiate its vehicles.

With a January $475 million financial package supported by GM, the number of XM shares has the potential to roughly double, from 132 million diluted shares prior to the financing to potentially as high as 272 million shares, said Mr. Parsons. The amount of dilution might be less if XM`s stock price goes above a certain level, he noted.

GM has the XM-receiving radio factory-installed in 25 model lines this year, with penetration within those models at about 15%. The number is rising to 44 models of its 57 models for 2004, and higher penetration is expected within the 2004 models. So Mr. Parson expects the number of GM vehicles equipped with the radio to rise from 350,000 to 400,000 GM 2003-model vehicles to 700,000 2004- model vehicles. Of the buyers getting vehicles equipped with the radio, he expects 70% to activate the service. They are allowed to initially sample ten of the channels free to see if they like the service.

The satellite-radio market is "absolutely" large enough for both XM and its competitor, Sirius Satellite Radio Inc. (NasdaqNM:SIRI - News) , according to Mr. Parsons. The two companies have incompatible technologies now, but they are working on an interoperable technology that`s about two years away, Mr. Parsons said.

In a March 11 note, Janco Partners analyst April Horace said she expects XM to generate positive cash flow, under generally accepted accounting principles, by the beginning of 2005. If XM cuts back on subscriber acquisition costs and marketing and advertising expenses, then it could become free cash-flow positive by 2004, she said.

Ms. Horace has a buy rating on the stock and a $5.85 price target. She doesn`t own shares of XM, and her firm makes a market in XM shares but it hasn`t received investment banking compensation from XM in the last 12 months and doesn`t anticipate receiving any in the next three months.

XM shares were at $4.21, up eight cents, as of 4 p.m. EST.

SkyWaves Research Report Releases 1Q 2003 Estimates of XM Satellite Radio and Sirius Satellite Radio subscriptions
Tuesday March 25, 8:31 am ET

ANN ARBOR, Mich., March 25 /PRNewswire/ -- SkyWaves Research Report, an Ann Arbor, Mich.-based research publication covering the burgeoning satellite radio industry, estimates XM Satellite Radio`s total subscriptions at the end of the first quarter 2003 at 490,000 to 500,000 and year-end 2003 subscriber totals of 1.24 million.

      Choose loan type:

SkyWaves Research Report, which begins regular quarterly publication with its April 2003 edition that is available now, derived these estimates from its exclusive and extensive channel checks of brick and mortar retailers and online merchants.

The Report also forecasts XM`s fourth quarter 2002 revenue at $9.3 million, full-year 2002 revenue at $20.5 million, and first quarter 2003 revenue at $14.4 million.

In addition, SkyWaves Research Report forecasts significantly lower XM subscriber acquisition costs (SACs) throughout 2003, beginning in the first quarter. SkyWaves Research Report expects SACs, which averaged around $130 per XM subscriber in 2002, to fall to $100-$110 for first quarter 2003. This forecast, the result of SkyWaves` research and analysis, is largely based on sharp reductions in XM subsidies associated with sales of the Delphi SkyFi receiver, which is capturing 65 percent of retail XM sales.

XM Satellite Radio (Nasdaq: XMSR - News) is expected to release subscriber totals, guidance concerning SACs and other data on March 27, 2003, when it reports fourth quarter 2002 financial results and conducts a conference call with analysts.

SkyWaves Research Report expects Sirius Satellite Radio (Nasdaq: SIRI - News) to report a total of 45,000 to 50,000 regular subscribers at the end of the first quarter. Previous subscriber reports have not been reflected in expected revenues, leading us to conclude that a substantial portion of subscriptions are not at the advertised subscription rate. Sirius may also report up to 20,000 subscribers resulting from Sirius` relationship with Hertz.

SkyWaves Research Report, a quarterly satellite radio industry review, issued its April 2003 complete report of the Satellite Digital Audio Radio Services (SDARS) industry on Tuesday. A unique, cutting edge investor tool providing timely insight into this quickly developing industry, SkyWaves Research Report also plans to issue intra-quarter updates as events unfold.

SkyWaves Research Report is designed to share with investors and other interested parties news and analysis concerning the dynamic SDARS field. Its researchers and writers provide in-depth reporting and analysis of subscriber acquisition plans and results, financial and operational developments, engineering challenges and achievements, marketing and advertising initiatives, and other developments in the industry. It also provides behind-the-scenes accounts of the people creating and producing a new form of entertainment.

SkyWaves Research Report is an independent, research-only organization and provides no investment banking services. XM, Sirius shares lifted by bullish report
Tuesday March 25, 12:16 pm ET

NEW YORK, March 25 (Reuters) - Shares of XM Satellite Radio Holdings Inc. (NasdaqNM:XMSR - News) and Sirius Satellite Radio Inc. (NasdaqNM:SIRI - News) rose on Tuesday fueled by a bullish study suggesting satellite radio subscriber growth is swelling faster than expected.

XM shares climbed 55 cents, or 10 percent, to $5.86, while Sirius shares gained 8 cents, or 14 percent to 61 cents in late morning trade on Nasdaq.

SkyWaves Research Report, of Ann Arbor, Michigan, forecast XM Satellite Radio`s total subscriptions at the end of the first quarter 2003 at 490,000 to 500,000 and sees year-end 2003 subscriber totals of 1.24 million.

XM in January said it had more than 360,000 total users at the end of 2002, and sees 1 million by the end of 2003. Wall Street Analysts had previously projected XM`s year-end total at around 975,000.

In addition, SkyWaves Research Report forecast significantly lower XM subscriber acquisition costs throughout 2003, beginning in the first quarter.

XM is expected on March 27 to to post its quarterly results and comment on subscriber levels.

SkyWaves also said it sees Sirius reporting 45,000 to 50,000 regular subscribers at the end of the first quarter. Sirius has said it ended 2002 with 30,000, and hopes to end this year with 300,000.

Both XM and Sirius have struggled to remain viable as the market for the capital-intensive satellite radio industry ramps up. Each has lost money as they try to attract subscribers.

SkyWaves, a new research firm, said it is an independent, research-only organization which provides no investment banking services, and that none of its principals is an officer, director or owns more than 5% of any publicly listed company.

NEW YORK, March 28 /PRNewswire-FirstCall/ -- SIRIUS , today announced its financial results for the year ended December 31, 2002, the end of the first year of commercial operations for the premier satellite radio broadcaster. SIRIUS launched its service nationwide on July 1, 2002, and had 29,947 subscribers on December 31, 2002. In addition, on March 7, 2003, SIRIUS closed a $1.2 billion recapitalization, which eliminated approximately 91% of the company``s debt and 100% of its convertible preferred stock, and raised $200.0 million of new equity. SIRIUS currently has funds to cover estimated funding needs into the second quarter of 2004.

(Logo: http://www.newscom.com/cgi-bin/prnh/19991118/NYTH125 ) FOURTH QUARTER 2002 VERSUS FOURTH QUARTER 2001

For the quarter ended December 31, 2002, SIRIUS reported total revenue of $685 thousand and a net loss applicable to common stockholders of $134.1 million, or $1.74 per share. This compares with a net loss applicable to common stockholders of $83.6 million, or $1.52 per share, for the 2001 quarter.

Subscriber revenue of $727 thousand was partially offset by $107 thousand of costs associated with a mail-in rebate program. Mail-in rebates that are paid directly to subscribers are recorded as a reduction to subscription revenue. Average monthly revenue per subscriber, or ARPU, was approximately $10.82. ARPU, excluding costs associated with a mail-in rebate program, was approximately $12.69.

FULL YEAR 2002 VERSUS FULL YEAR 2001

For the year ended December 31, 2002, SIRIUS reported total revenue of $805 thousand and a net loss applicable to common stockholders of $468.5 million, or $6.13 per share. This compares with a net loss applicable to common stockholders of $277.9 million, or $5.30 per share, for 2001.

Subscriber revenue of $1.0 million was offset by $426 thousand of costs associated with a mail-in rebate program. ARPU was approximately $7.47. ARPU, excluding costs associated with a mail-in rebate program, was approximately $12.58.

(Selected Balance Sheet Data and Statement of Operations follow). RECAPITALIZATION

On March 7, 2003, the company completed a series of transactions to restructure its debt and equity capitalization. As part of these transactions:

      * SIRIUS exchanged 545,012,162 shares of the company``s common stock for approximately 91% of its outstanding debt, resulting in the cancellation of all of the company``s Lehman term loans, all of the company``s Loral term loans, $251.2 million in aggregate principal amount at maturity of the company``s 15% Senior Secured Discount Notes due 2007, $169.7 million in aggregate principal amount of the company``s 14-1/2% Senior Secured Notes due 2009, and $14.7 million in aggregate principal amount of the company``s 8-3/4% Convertible Subordinated Notes due 2009; * SIRIUS exchanged 76,992,865 shares of its common stock and warrants to purchase 87,577,114 shares of common stock for all of the company``s outstanding convertible preferred stock; * SIRIUS sold 24,060,271 shares of its common stock to affiliates of Apollo Management, L.P. for an aggregate of $25.0 million in cash; * SIRIUS sold 24,060,271 shares of its common stock to affiliates of The Blackstone Group L.P. for an aggregate of $25.0 million in cash; and * SIRIUS sold 163,609,837 shares of its common stock to affiliates of OppenheimerFunds, Inc. for an aggregate of $150.0 million in cash.

After giving effect to these transactions, at March 7, 2003, SIRIUS had $61.2 million in aggregate principal amount of outstanding debt, consisting of $29.2 million in aggregate principal amount at maturity of 15% Senior Secured Discount Notes due 2007, $30.3 million in aggregate principal amount of 14-1/2% Senior Secured Notes due 2009 and $1.7 million in aggregate principal amount of 8-3/4% Convertible Subordinated Notes due 2009; and approximately 911,479,700 shares of common stock outstanding.

At March 7, 2003, SIRIUS had in excess of $300.0 million in cash, cash equivalents and marketable securities, an amount sufficient to cover its estimated funding needs into the second quarter of 2004. The company estimates that it will need additional funding of approximately $100.0 million before it achieves cash flow breakeven, the point at which revenues are sufficient to fund expected operating expenses, capital expenditures, principal and interest payments and taxes.

SIRIUS defines average monthly revenue per subscriber ("ARPU") as the total earned subscription revenue and activation revenue over the daily weighted average number of subscribers for the period. ARPU is not a measure of financial performance under accounting principles generally accepted in the United States and should not be considered in isolation or as a substitute for measures of performance prepared in accordance with accounting principles generally accepted in the United States.

Satellite Radio Sparks Interest in Millions Of America`s 18- to 24-Year-Olds, Study Reports
Thursday April 24, 5:12 am ET
SIRIUS Plays Nation`s Only Commercial-Free Music to Class of 2003

NEW YORK, April 24 /PRNewswire/ -- America`s young adults are always on the look-out for the latest in music and technology, and now millions have turned their interest to satellite radio, according to a recent Arbitron and Edison Media Research study. As this year`s graduates conjure up gift ideas for commencement day, SIRIUS offers them one last lesson -- you can get great music on your radio without the annoying commercials.

SIRIUS, which delivers more than 100 streams of uncompromised music, news, sports and entertainment, is the nation`s only satellite radio service providing genre-specific music without commercials. In addition to the 60 diverse music streams, from rock to hip-hop, jam to jazz, SIRIUS offers over 40 streams of news, sports and entertainment from leading providers such as CNN and ESPN. SIRIUS sports programming also includes live coverage of Major League Baseball and the NBA (service is $12.95 a month for subscription).

"SIRIUS` dedication to broadcasting the latest music, 24/7, with no annoying commercials or mindless DJ chatter is a major attraction for young adults," said Larry Rebich, vice president, programming & market development for SIRIUS. "Because we dedicate 60 unique streams to music, SIRIUS can offer a great variety of today`s most popular tunes, like our jam band stream, that you just won`t find anywhere else. Many young adults live and breathe music, and SIRIUS plays directly to them."

The Arbitron and Edison Media Research study released in January, states that approximately 17 million Americans say they are "very interested" in the concept of satellite radio. One of the groups identified specifically as showing significant interest is 18- to 24-year-olds.

Parents and friends can find SIRIUS-enabled radios at most major consumer electronics retailers like Best Buy and Circuit City, and at their local car audio dealers. And just in time for Father`s Day, graduates can return the favor of a SIRIUS gift with new "Plug N Play" portable satellite radios hitting retail shelves in early June.

The highly anticipated Plug N Plays, to be offered initially by Kenwood and Audiovox, will let listeners enjoy their favorite SIRIUS music, news, sports and entertainment streams wherever they go -- in the car, the home, the office, and even on a boat. Plug N Plays can be simply moved from location to location and then inserted into small palm-sized cradles. Key features include a dot matrix multi-line display that shows artist name, song title, stream name and category name; 24 - 30 presets with preset search; and a category and stream search using the on-screen menus.

More information is available at www.sirius.com , and photos are available upon request.

XM Satellite Radio comes to the PC

      By Ben Charny
      Staff Writer, CNET News.com
      April 28, 2003, 1:24 PM PT

XM Satellite Radio made its 101 channels available to personal computers Monday, unleashing new competition for the recording industry, which is now streaming music into millions of homes via the Web.

The world`s largest satellite-radio provider began selling the $70 XM PC Receiver, which connects to most PCs and lets them access broadcasts from XM`s two satellites, said XM spokesman Chance Patterson. The device is available at PC Connection or directly from XM.

XM`s programming faces enormous competition as it becomes available on the personal computer. Downloading music has become a staple for homes, thanks to free file-swapping software from Napster and now Kazaa. Also, major record labels have launched their own download services, while PC makers like Apple plan to make streaming music a regular part of their offerings.

But all those services use the Internet and are thus prone to slowing down as the data highways get crowded, said XM President Hugh Panero. XM`s satellite-beamed programming never goes near the Web or its "buffering delays or slow channel searches," he said.

"It is well known that Internet streaming places a terrible burden on a computer`s connections and resources," Panero said in a statement. "The XM PC receiver makes no such demands."

The new XM receiver is the third variety of radio receiver that XM sells. SkyFi, meant to be a portable boom box, was introduced last September. The first XM radio receivers ever sold were designed to replace the traditional radio receiver found inside a car`s dashboard.

After having spent themselves into huge debt building and launching their networks, satellite-radio companies XM and competitor Sirius have been struggling to achieve the breakout success many predicted.

Earlier this month, XM said it had 500,000 subscribers and was on track for one million subscribers by the end of this year. Sirius has about 30,000 subscribers, but believes it will have more than a quarter million by year`s end.
