Edison Schools Announces Entry into After-School and Supplemental Services Businesses and Major Summer School Expansion
Expansion Efforts Launched in Texas, New York, and California - Discussions
Underway with Over 150 School Districts Nationwide
Company`s Goal is at least $100 Million Division within 3 years - Up from
Current Revenues of $30 Million
NEW YORK, Nov. 18 /PRNewswire-FirstCall/ -- Edison Schools Inc. (Nasdaq: EDSN), the nation`s leading private manager of public schools, announced today its entry into the After-School and Supplemental Services businesses. The company also indicated that it is expanding its Summer School business from one state, Missouri, to four, with expansion now being launched in Texas, New York, and California. Edison said it will house all three service offerings within one business unit to be led by Dr. Larrie Reynolds, who has built Edison`s highly successful Summer School business. Under Dr. Reynolds` leadership, revenues for Edison`s Summer School business tripled, from $11mm to $30mm, between FY01 and FY02. Edison says its objective is $100 million in combined revenues of Summer School, After-School, and Supplemental Services within three years.
Edison Summer Schools, which enrolled over 30,000 students at 178 sites last summer, will continue to build on its formula of "adventure learning," blending rigorous academic programs with arts and crafts and other popular programs. Edison`s After-School programs will build upon this successful strategy. In After-School, the company indicated that it will offer both government-funded and parent-pay programs. Edison`s supplemental services will include offerings such as tutoring outside the regular school day. The company has been approved as a supplemental service provider in California, New York, and Texas, and is currently pursuing applications in 7 additional states.
"We are seeing significant interest in all three of these product offerings," said Larrie Reynolds, President of Edison Summer Schools. "We already have discussions and negotiations underway with over 150 districts. We are well into our marketing efforts and expect completion of most of our contracts for these services in the November and December periods. We are expecting excellent growth this year-and in the years ahead."
"These are all natural extensions of Edison`s core competency: the management of instructional services for K-12 students," said Jim Howland, the company`s Chief Development Officer. "For a decade we have been offering turn- key, whole-school-management for year-round schools. Now client districts can take advantage of our instructional and operational expertise before and after school and in the summer. These services are an important business-within-our- business, and, if disaggregated, would be an impressive, nicely-profitable, stand-alone company."
Edison recently raised its EBITDA estimates for the total company in the current fiscal year by 30%, saying it expects to generate annual EBITDA of $26 million. The company also said that it expects to post positive net income in the fourth quarter of this fiscal year, the first quarterly net income in the company`s 10-year history. In addition, Edison announced that it expects to generate approximately $50 to $70 million in incremental cash flow during the next three quarters from refinancing of a portion of its notes receivable from charter schools (approximately $30-$50 million), and improvements in the collection of receivables from its managed schools customers (approximately $20 million)..The company`s balance sheet remains strong with shareholder equity of $219 million or $4.07 per share, including $31.5 million of cash on hand at September 30, 2002. The company expects to end the year with cash on the balance sheet of approximately $25 million. This amount would be after material reduction in the company`s debt level and substantial investment in FY04 new business.
ABOUT EDISON SCHOOLS
Edison is the nation`s largest private manager of public schools. Edison educates approximately 110,000 students in 150 full year schools and 178 summer schools. Through contracts with local school districts, states, and public charter school boards, Edison assumes educational and operational responsibility for individual schools in return for funding that is generally comparable to that spent on other public schools in the area. Over the course of three years of intensive research, Edison`s team of leading educators and scholars developed an innovative curriculum and school design. Edison opened its first four schools in August 1995, and has grown rapidly in every subsequent year.

Edison Schools and Chester Upland Reach Agreement to Maintain Partnership
Agreement Calls for a Focus on the Instructional Program
NEW YORK, Nov. 15 /PRNewswire-FirstCall/ -- Edison Schools (Nasdaq: EDSN), the nation`s largest private manager of public schools, announced tonight that it had reached an agreement that will allow for the continuation of Edison`s partnership with the Chester Upland Board of Control in managing nine of the ten schools in the Chester Upland School District. The Chester Upland Board of Control voted to support an amended and restated management agreement.
The amended agreement calls for Edison to continue running the instructional program at nine Chester Upland schools. Edison will also continue to provide its core academic program including Edison`s curriculum and materials, professional development for principals and teachers, and achievement management systems. Edison will no longer be responsible for certain operational and financial functions including district planning and budgeting, quarterly financial reports, and recruitment.
Under the terms of the agreement, The Company will receive an annual net fee of approximately $4.1 million for providing these services to the district. In the past the agreement was on a gross basis.
"We are delighted to reach an agreement with the Board of Control. The partnership will allow Edison to provide critical educational services and resources to the students, families, and teachers of Chester Upland. We will move forward and continue to build on the success of our first year," said Dr. Juan Baughn, Vice President for Edison Schools in Chester Upland. "Hammering out the details of this amended agreement has taken longer than we expected, but our collective patience and persistence has generated a partnership that is in the best interests of Chester students, Edison, the district, and the community."
"We are pleased to have reached this agreement in Chester Upland," said Chris Cerf, President and Chief Operating Officer of Edison Schools. "We look forward to continuing our service to the teachers, staff, students and families of Chester Upland. With this agreement in place we can begin to build on the progress that was achieved in the first year of our partnership."

Edison Schools Receives NASDAQ Listing Approval Based on Share Price Gains
NEW YORK, Nov. 27 /PRNewswire-FirstCall/ -- Edison Schools Inc. (Nasdaq: EDSN), the nation`s leading private manager of public schools, announced today that it had been advised by NASDAQ that it had met requirements for continued listing on the exchange. Specifically, the company`s shares have traded above $1.00 for the past 10 trading days, a substantial improvement over prior months.
"We were optimistic that this would be the case, given the tremendous inherent value of Edison," said Chris Whittle, the company`s Founder and CEO. In a letter to Edison, NASDAQ said, "... the closing price of the company`s Class A common stock has been at $1.00 per share or greater for at least 10 consecutive trading days. Accordingly, the company has regained compliance with the Rule and this matter is now closed."

Nr. 1 04.12.2002 Edison Schools Says Share Repurchases To Continue
NEW YORK -(Dow Jones)- Edison Schools Inc. (EDSN) expects to continue repurchasing shares in the weeks ahead under its 5.4 million-share authorization.
In a press release Wednesday, the company said it has already repurchased about 180,000 shares under the authorization, which covers about 10% of its outstanding stock.
The company`s board authorized the share repurchase program in October, just as Edison`s shares hit a 52-week low of 14 cents. Edison Schools said it had, at Sept. 30, about $30 million in cash, which would be sufficient, along with proceeds from planned refinancings of charter notes as well as receivables, to fund its operations and the repurchases.
Edison Schools` shares closed Tuesday at $1.65 on the Nasdaq National Market, up 10 cents, or 6.5%. Last month, the company met the Nasdaq National Market`s requirements for continued listing after its shares traded above $1 for 10 trading days. In August, Edison, the nation`s largest private manager of public schools, overhauled its operating strategy in a bid to achieve profitability by the end of fiscal 2003.
The company`s shares hit a 52-week high of $21.68 in January.

Hallo nobilly,
Na wo steckst Du? Weihnachtsgeschenke kaufen?

Edison Schools Says It Has Repurchased 1,711,000 of its Shares and That Repurchases Will Continue Following Earnings Release
Current Purchases Represent Approximately 32% of 5,400,000 Shares Authorized Under Repurchase Program
NEW YORK, Feb 4, 2003 /PRNewswire-FirstCall via COMTEX/ -- Edison Schools (Nasdaq: EDSN), the nation`s largest private manager of public schools, said it has purchased 1,711,000 of its shares as of January 31, 2003, under its announced share repurchase plan. The shares already purchased represent approximately 32% of the total authorized under the repurchase plan, which allows the company to repurchase up to 5,400,000 shares representing approximately 10% of those outstanding.
The company announced last month that it ended calendar year 2002 with approximately $35 million of cash on its balance sheet, up from $31,500,000 at the end of September, 2002. Management believes that this cash together with proceeds from planned refinancings of its charter notes and with continued collections of receivables from its clients will be sufficient to meet all of the company`s obligations.
The company said it expects to continue the repurchase of its shares following the release of its second quarter earnings on February 13th. Purchases under Edison`s share repurchase program may be made from time to time in the open market or in privately negotiated transactions, consistent with applicable regulatory and contractual requirements and, depending on market conditions and other factors, may be commenced, suspended, or discontinued at any time or from time to time without prior notice. Before the commencement of the share repurchase program, the company had approximately 54,000,000 shares outstanding.

hallo investierte,

@nobilly ,
