Bert C. Roberts Jr. has agreed to relinquish the chairman`s job, which he has held since 1998, those people said, according to the Journal report.

WorldCom is expected to announce Capellas` appointment this week once the company`s creditors` committee approves his selection later on Wednesday, the newspaper said.

Capellas, the former head of Compaq Computer, said on Monday he would leave HP, and industry sources, as well as a number of newspaper reports, have said he is the top candidate to take over John Sidgmore`s job as chief executive at WorldCom.

WorldCom could not immediately be reached by Reuters for comment.

Creditors owed about $40 billion by WorldCom, which is operating under Chapter 11 bankruptcy protection, pressured Mr. Roberts to forfeit his post and give the new leader both titles, the newspaper said.

Some of WorldCom`s creditors also believe other directors, who were serving while the company perpetrated a multibillion-dollar accounting fraud, also should step down, people familiar with the matter told the Journal.

WorldCom`s creditors committee still would need to approve Capellas` selection. The panel also needs to review his proposed pay package, which people close to the matter said would give Capellas an annual salary of $1 million to $1.5 million plus the same amounts for both a signing bonus and targeted annual bonus, the Journal reported.

LONDON, Nov 13, 2002 (AFX-Asia via COMTEX) -- Michael Capellas, the former president of Hewlett-Packard Co, is working out final details to assume the role of chairman as well as chief executive at WorldCom Inc, the Wall Street Journal reported, citing people familiar with the situation.

According to those people, Bert C. Roberts Jr has agreed to relinquish the chairman`s job, which he has held since 1998.

His departure raises the possibility that other company directors could resign to help the company break with its scandal-plagued past, the report said.

WorldCom is expected to announce Capellas`s appointment this week once the company`s creditors` committee approves his selection today.

Capellas stepped down from HP Monday and in an interview confirmed a WSJ report that he is in the running to take over the WorldCom CEO post from John W. Sidgmore.

Creditors owed about 40 bln usd by WorldCom, which has filed for protection under Chapter 11 of the US Bankruptcy Code, pressured Roberts to forfeit his post to give the new leader both titles, the Journal said.

Similarly, some of WorldCom`s creditors believe other directors should also step down, people familiar with the matter said.

That sentiment appears to be echoed by some of WorldCom`s directors themselves, the newspaper said. Understanding the need for a fresh start, some are pushing the full board to offer their resignations to Capellas, who could then decide which directors -- if any -- he wants to retain, according to people close to the matter.

A WorldCom spokesman declined to comment and Roberts couldn`t be reached for comment.

According to those people, Bert Roberts Jr. has agreed to relinquish the chairman`s job, which he has held since 1998, when WorldCom bought MCI Communications Corp.

His departure raises the possibility that other company directors could resign to help the company break with its scandal-plagued past.

WorldCom is expected to announce Mr. Capellas`s appointment this week once the company`s creditors` committee approves his selection today.

Mr. Capellas stepped down from HP Monday and in an interview confirmed a Wall Street Journal report that he is in the running to take over the WorldCom CEO post from John Sidgmore.

Creditors owed about $40-billion by WorldCom, which has filed for protection under Chapter 11 of the U.S. Bankruptcy Code, pressured Mr. Roberts to forfeit his post to give the new leader both titles.

"Creditors said from the beginning [of the search], `Bert has to go,` " said one person close to the situation.

Understanding the need for a fresh start, some are pushing the full board to offer their resignations to Mr. Capellas, who could then decide which directors -- if any -- he wants to retain, according to people close to the matter.

"It would be a great show of faith for the board," said one person familiar with the situation.

A WorldCom spokesman declined to comment and Mr. Roberts couldn`t be reached for comment.

The expected appointment of Mr. Capellas, who is 48 years old, and the potential departure of directors could finally give WorldCom a break from its past, which has been riddled with what many believe to be the worst corporate governance in history.

But getting entrenched directors to leave isn`t always easy.

Tyco International Ltd. has been subjected to protracted board turmoil with directors who stayed on after the ouster of Dennis Kozlowski and during the tenure of Edward Breen, who became the troubled conglomerate`s chairman and CEO three months ago.

So far, there aren`t any indications of acrimony with the WorldCom board, which already has informally approved Mr. Capellas`s selection.

In a meeting today with Mr. Capellas, the WorldCom creditors` committee must bless his selection as chairman and CEO -- as well as review his proposed pay package.

Richard Breeden, a court-appointed monitor, is awaiting the committee`s reaction before he approves the pay package, people close to the matter said.

That package includes numerous elements typically found in deals for new leaders of a bankrupt concern.

Mr. Capellas would get an annual salary of $1-million to $1.5-million (U.S.) plus the same amounts for both a signing bonus and targeted annual bonus, according to people close to the situation.

Creditors of a bankrupt company often oppose upfront bonuses.

But WorldCom can`t attract an executive of Mr. Capellas`s calibre without such a payment.

PALO ALTO, Calif. (CBS.MW) -- Michael Capellas could be just what WorldCom needs.

While critics say the 47-year-old who just resigned the presidency of Hewlett-Packard doesn`t come with telecommunications experience, his success at remaking Compaq following two turbulent acquisitions in the late 1990s arguably makes him a top candidate to for CEO and savior of the bankrupt telecom giant.

Analysts and the press labeled Capellas a dud when he took Compaq`s CEO post in 1999 from the ousted Eckhard Pfeiffer. Many wondered if he had enough charisma to be the leading man for what was then the world`s top seller of personal computers.

Capellas proved his critics wrong. He became the leading face in front of many of Compaq`s top customers. He often played host at trade shows, product launches and other industry events. Capellas often found himself on a stage speaking on behalf of his company, or other technology executives.

And within two years he had spruced up Compaq enough for a sale to H-P.

Capellas confirmed Monday afternoon that he`s talking to WorldCom about the CEO job, CNET News.com reported.

Capellas` operational skill, salesmanship, and in particular his ability to convince H-P shareholders to buy Compaq in a tough merger battle earlier this year make him the top choice for WorldCom (WCOEQ, Trade), some analysts and fund managers said.

"WorldCom is definitely for sale, and I think it would be hard to find someone with more credibility to sell it than Capellas," said Elliot Blumberg, investment manager for Vigilant LP, a Santa Monica, Calif.- based hedge fund.

Capellas is credited with first suggesting a merger with Hewlett-Packard in May 2001. He reportedly pitched the idea to H-P CEO Carly Fiorina as a way for both companies to cut costs and potentially increase sales during what both executives saw as a prolonged technology sales slump.

At WorldCom, perhaps Capellas could clean up the mess enough to make it palpable for all or part of the company to be swallowed by a competitor, said Michael Boyle, manager of the Boyle Marathon Fund in San Francisco.

"Instead of a standalone company going nowhere, they have a guy in Capellas who could conceivably put together a win-win kind of a deal with a phone company," Boyle said. It could be the same kind of a deal: A merger based on two companies controlling their costs."

A deal to sell all of WorldCom would be considered even more difficult to pull off than H-P`s (HPQ, Trade) acquisition of Compaq. Most telecommunications companies continue to struggle with large debts and flat sales, and might not have time to wait for regulatory merger approvals.

Bankrupt WorldCom is also in worse shape than Compaq ever was. It has admitted to more than $9 billion worth of phony accounting and lost $108 million on sales of $2.3 billion in the September quarter after losing $331 million on sales of $2.46 billion three months earlier.

"This would be the biggest turnaround ever in corporate history, if Capellas can pull it off," said Dan Niles, analyst with Lehman Bros. in San Francisco.

To his credit, Capellas has a broad technology background. He joined Compaq in 1998 as chief information officer after spending 16 years in various tech-related positions at oilfield services company Schlumberger Ltd., and several years at software makers SAP America and Oracle Corp.

That technical background may be of help to WorldCom, should it seek to partner with a telecom-equipment company that uses low-cost computer and networking gear to send voice and data messages, Boyle said.

Also of potential help to WorldCom is Capellas` operations skill. Although Compaq never kept its No.1 market position for long under Capellas, he is credited with helping Compaq briefly stem its losses in personal computers, turning a $145 million profit in its computer business in 2000 following a $437 million loss the previous year. The business lost $537 million in 2001.

Known for instilling a series of cost cuts and strict inventory controls at Compaq, Capellas later helped to soothe several shareholders who considered voting against the Compaq merger, and against Fiorina`s leadership. Putting Capellas in charge of H-P`s day-to-day operations following the merger helped convince some bankers that the promised cost savings from the merger would be achieved.

While many on Wall Street doubt WorldCom can be saved, Niles says Capellas may prove the critics wrong again.

— NEW YORK (Reuters) - Bankrupt telephone company WorldCom Inc. <WCOEQ.PK> said on Thursday it will name its new chief executive officer within a week.

"We hope to have an announcement within the next week," WorldCom`s Chief Financial Officer John Dubel told an audience of about 80 creditors, analysts and stockholders during a meeting in New York on Thursday.

However, sources familiar with the matter said the news will probably be announced as soon as this Friday.

New York (dpa) - Michael D. Capellas wird neuer Unternehmenschef und Verwaltungsratsvorsitzender des schwer angeschlagenen amerikanischen Telekom-Riesen WorldCom Inc. Dies hat das in das größte US-Konkursverfahren und den schlimmsten Bilanzfälschungsskandal verwickelte Unternehmen am Freitag mitgeteilt. Capellas löst den derzeitigen Firmenchef John Sidgmore und den Verwaltungsratsvorsitzenden Bert Roberts ab.

Capellas soll offensichtlich als Mr. Saubermann von außerhalb der Telekom-Branche das Vertrauen in das Unternehmen wieder herstellen. WorldCom ist die zweitgrößte US-Ferngesprächsfirma und der weltgrößte Betreiber von Internet-Netzwerken. Die Firma hat 60 000 Mitarbeiter. Capellas soll das Unternehmen sanieren und wieder auf Wachstumskurs steuern.

Capellas war bis vor wenigen Tagen Präsident des US- Computerkonzerns Hewlett-Packard Co. (HP) gewesen. Er hatte bei HP das Tagesgeschäft geführt. Capellas hatte zuvor Compaq Computer (NYSE: HPQ - Nachrichten) geleitet, ehe die Firma für rund 19 Milliarden Dollar von HP geschluckt worden war.

Man müsse das Vertrauen und den Respekt wieder gewinnen, betonte Capellas. Der neue WorldCom-Chef muss nach Ansicht von Wall-Street- Experten jedoch erst einmal glaubwürdige Finanzberichte vorlegen, was viele Monate in Anspruch nehmen dürfte.

Capellas verwies auf 1,4 Milliarden Dollar an liquiden Mitteln. Er sei angesichts der stabilisierten Finanzposition ermutigt. Die Buchführungssparte sei restrukturiert und das interne Aufsichtspersonal verdoppelt worden. Das Unternehmen habe einen Ethik-Ausschuss gebildet.

Sidgmore lobte die großen Leistungen, die Integrität und das Talent des neuen Konzernleiters. Capellas bringe «große Erfahrungen und eine frische Perspektive». Der Gläubigerausschuss unterstützte die Ernennung Capellas. Das Konkursgericht muss die Gehaltsvereinbarungen für Capellas genehmigen. WorldCom operiert zur Zeit in einem Konkursverfahren im Rahmen des Kapitel Elf des US- Konkursrechtes. Dies erlaubt eine Weiterführung der Geschäfte und eine Sanierung.

Der ehemalige WorldCom-Chef Bernie Ebbers war im April unter dem Druck der Aktionäre und Gläubiger ausgeschieden. Er schuldet dem Unternehmen 415 Millionen Dollar. WorldCom hatte zwei Monate später die Bilanzbetrügereien bekannt gegeben und war dann im Juli zum Konkursrichter gegangen. Der ehemalige Finanzchef Scott Sullivan ist zwischenzeitlich wegen der Bilanzfälschungen angeklagt worden

Betont "Verpflichtung zu Integrität"

Frankfurt/Dortmund, 15. November 2002 - WorldCom, Inc. hat heute bekannt gegeben, dass Michael D. Capellas zum neuen Chairman und CEO des Unternehmens ernannt wurde. Michael Capellas war zuvor Präsident der Hewlett-Packard Company, davor Vorstandsvorsitzender und CEO der Compaq Computer Corporation.

"Ich habe diese Position übernommen, weil ich davon überzeugt bin, dass WorldCom die Aktiva, die Kunden und die Mitarbeiter hat, um wieder eine führende Rolle in der Telekommunikationsbranche zu erlangen," betonte Capellas. "Um dies zu erreichen, müssen wir zunächst Vertrauen zurückgewinnen und Respekt erringen. Dann können wir gemeinsam WorldCom wieder zu einem Vorbild für gute Unternehmensführung und Integrität werden lassen."

"Wir heben heute ein neues Unternehmen aus der Taufe, ein Unternehmen, das sich auf seine Stärken der Vergangenheit besinnt und sich auf eine verheißungsvolle Zukunft konzentriert," unterstrich Capellas.

Zu den Punkten, die ihn dazu ermutigten, die Herausforderung anzunehmen, gehörten laut Michael Capellas die finanzielle Stabilität des Unternehmens mit verfügbaren Barmitteln von mehr als 1,4 Milliarden US-Dollar sowie die Schritte, die vom derzeitigen Management bereits eingeleitet wurden, um sicher zu stellen, dass sich die unzulässigen Vorgänge der Vergangenheit nicht wiederholen können.

Diese Maßnahmen umfassen die Ernennung eines neuen Chief Executive Officer (CEO) und Chief Financial Officer (CFO), die Neu-Strukturierung der Finanzabteilung und entsprechender Funktionen, die Verdoppelung der Mitarbeiterzahl im Bereich der Innenrevision, die jetzt direkt an den entsprechenden Untersuchungsausschuß im Verwaltungsrat berichtet, die Einrichtung eines so genannten Corporate Ehtics Office, einer Art Beschwerdestelle für Mitarbeiter im Falle unkorrekter Vorgehensweisen, sowie die Etablierung der Null-Toleranz Richtlinie gegen jedwedes Verhalten, das nicht mit höchsten ethischen Standards vereinbar ist.

John Sidgmore, der die Suche nach einem neuen CEO für WorldCom leitete, unterstrich, Michael D. Capellas sei der Wunschkandidat des Unternehmens gewesen.

"Michael Capellas ist eine Führungspersönlichkeit mit exzellenten Fähigkeiten, mit Integrität und Talent. Er bringt sowohl langjährige Erfahrung als auch neue Sichtweisen mit," betonte Sidgmore. Die Gehaltsvereinbarung mit Michael Capellas muss noch vom zuständigen Gericht genehmigt werden; diese Genehmigung wird noch im Laufe des heutigen Tages erwartet.

Giuliani`s next job may be as chairman of WorldCom

David Matlin, who heads a bond-investor group that has spent $300m for 10% of WorldCom`s debt, has put forward former New York City mayor Rudolph Giuliani as a candidate for chairman of WorldCom. Michael Capellas, who was officially named chairman, president and CEO of WorldCom on Friday, met with Matlin and hopes to meet with Giuliani soon. "We are going to see if there is a role for Giuliani. We are moving forward and assembling a first-class board", Capellas said. Some people close to the situation have said that there could be a battle for control developing between Matlin and Capellas, but Matlin `has a long way to go` before gaining any real power in the company, and the creditors committee has shown no signs so far of aligning with the Matlin and Giuliani camp.
