Lt Euro am Sonntag vom 19.9. sind die Handelsbeschränkungen fast vollständig aufgehoben worden , aber in der Sache tut sich nichts Wesentliches - will heißen , keine Handelsaktivitäten .

So wie ich gehört habe läuft ein konkursverfahren.

Wir haben die Firma letzte Woche in Kuala Lumpur besucht. Das Konkursverfahren ist im Sinne von Chapter 11, USA, zu sehen. Also nicht Liquidierung der Gesellschaft, sondern Schutz vor Gäubigern.

Der Finanzvorstand meinte, daß der neue Großaktionär nach einem krägtigen Kapitalschnitt (die Rede ist von 1 zu 50) wieder an einer Börsenlistung interessiert sein sollte. Termin: November. Promet würde aber noch gerne vorher die Schiffswert verkaufen.

Das (scharze) Promet Hochhaus im Herzen von Kuala Lumpur bleibt trotz Liquiditätsemgpaß im Besitz der Gesellschaft.

Listed on : KLSE (Main Board) on 17.3.1961.

Incorporation and change of name : Incorporated in 1927 in Singapore. After a series of reorganisations and reconstructions, it was incorporated in Malaysia as Gammon (Malaya) 1959 Ltd on 23.6.1959. Subsequently the Company changed name several times - to Gammon Malaya Ltd on 6.5.1964; Gammon South East Asia Bhd on 28.10.1967; Bovis South East Asia Bhd on 30.5.1974 and finally to its present form on 19.6.1981.



Background
Profile : Originally in the business of building contractors and civil engineers, the Company set out on a path of diversification and expansion starting with the property and hotel industries in 1981. The intention was to expand activities on an international scale in the resources industry, particularly oil and gas. In 1982 the Group’s civil construction operations in Malaysia were transferred to subsidiary, Promet Construction.

In early 1990, after a period of rationalisation, the Group re-focused its business plans and concentrated on four core activities: steel fabrication, marine engineering and construction, civil engineering and construction, property investment and development. The Group divested its interests in the hotel industry in 1993.

The economic downturn in 1997 adversely affected the operations and results of the Group. In 1998, the Group undertook a corporate exercise which includes capital reconstruction, debt rearrangement and injection of viable and profitable assets. During the year, the Group disposed of Promet Pte Ltd via a management buyout, the entire equity interest in DC International Ltd and Galileo Hotel Development Fund in Australia and Yantai Shipyard in China.

Further to the announcements on 30/7/98 and 22/1/99, the Company informed that on 23/7/99, the Court had granted a further three months extension to convene the creditors meetings and an extension of the order for a further three months from 27/7/99.

The Board of Dirs of the Co has accepted the resignation of Dato’ Soh Chee Wen as Dir, the President and the CEO of the Co with effect fm 30/6/99.

Prop restructuring scheme pursuant to Section 176 of the Cos Act, 1965

In reply to the Exchange’s query dated 31/5/99 the Co advised amongst others that :-

All existing s/holders of Promet would be automatically issued one warrant for every one share held after the prop cap reduction and consolidation of 20 shares. The warrants are to be issued for free and as such, the basis of arriving at the issue price and the renounceability of the issue is not applicable.

Upon the exercise of the warrants at any time after the third anniversary of the issue date up to the maturity date which shall be 10 yrs fm the issue date, the ord shares to be issued pursuant to the aforesaid exercise of the warrants shall rank pari passu in all respects with the existing ord shares in Newco except that the Newco shares issued will not be entitled to any divs, rights, allotments and/or other distributions prior to the date of allotment of the new ord shares. Until such time that the warrants are exercised and new ord shares hv been allotted and issued, warrant holders will not hv any voting rights in the general meetings of the Co.

On 5/4/99, Promet entered into the fol five separate conditional SPAs for a total purchase consideration of RM292.3m :-

the entire issued and paid-up share cap of Port Dickson Land Development S/B (PDLD) for RM145.376m;
the entire issued and paid-up share cap of Pembinaan Kota Laksamana (Melaka) S/B (PKL) for RM67.436m;
the entire issued and paid-up share cap of Reclamation Development S/B (RDSB) for RM20.436m;
two parcels of devt land in the Mukim of Bukit Katil, Melaka known as Air Keroh Heights Land for RM35.2m; and
an on-going housing project covering a site area of approx 35.21 hectares in the Mukim of Simpang Kanan (V), Johor together with the buildings erected thereon known as Banang Heights for RM23.43m (collectively referred to as SG Assets).
Promet will undertake the repayment of intercompany advances owing by PDLD, PKL and RDSB to the vendors. Details of the repayment which will be eventually capitalised is as fols :-

Ist ja ungaublich, selbst zu meiner Depotleiche gibt es hier etwas zu lesen. Hatte schon überlegt, die vierteljährlichen 5 DM Depotgebühren zu sparen durch Ausbuchung.
Jetzt hoffe ich doch noch ein bißchen weiter (eigentlich ohne überzeugende Gründe)
