TNK-Nizhnevartovsk (ChernogorNeft) is one of the most promising oil producers in Russia, having produced 6426 ktes of crude oil from 1295 active well stock in 2000. It operates the northern part of the giant Samotlor oil filed.

seltsames posting ....... ich dachte mal, du wärst jemand, der in cherno "expert" ist ........ bei dieser Emailaddy bekommt man postwendend eine antwort: Chernogorneft als firma ist banko rotto. das ehemalige vermögen wurde in der bancrupsy auction versteigert ...
.... nichtsdestotrotz hier meine frage(ich bin an der antwort sehr interessiert): worauf gründet sich deine hoffnung, dass die ADR-besitzer mit dem papier ein geschäft machen könnten? .... die abfindung - am st.nimmerleinstag? ..... die ehrlichkeit von TNK (Sidanko gehört ja mehrheitlich TNK) ..... die BP beteiligung (lach, tschuldigung) .......
ich flüchte mich in sarkasmus . cherno ist und war meine größte investmentsünde .... für jeden hinweis auf vage begründete hoffnung (bitte keine charttechnik) wäre ich überdankbar

Hallo bekümmert,

gute Nachrichten sind kaum zu bekommen. Doch zwischendurch Käufe in den letzten Monaten mit sehr hohen Stückzahlen (mal über 100.000) lassen darauf schließen, daß vielleicht doch irgendwann was geht. Der käufer war sicher kein Kleinanleger! Die großen Käufer haben meist gute Infos sonst würden Sie doch nicht kaufen. Die Hoffnung stirbt zuletzt!

... das "umsatzargument"......
hielt ich auch für ne weile für überzeugend, aber mein jetziger standpunkt hierzu ist:
... die umsätze werden generiert durch:
- empfehlungen wenig seriöser börsenbriefe (z.b. .....)
- durch zocker, die sich gegenseitig die papiere verkaufen und dadurch den anschein erwecken, dass "geheimes hintergrundwissen von insidern" vorliegt .... risiko begrenzt, da die auslösephantasie von 2$ weiter vorliegt
- dass viele ehemalige chernobesitzer die kurssprünge sehr wohl in erinnerung haben und daher stets bereit sind, kurz mal auf einen fahrenden chernozug aufzuspringen...

nichtsdestotrotz bully wäre ich dankbar, wenn dir vielleicht noch ein argument einfiele

So ist es ist soweit, die Abfindung kann kommen. Cherno ist vom Handel ausgesetzt. Laut der BONY Mitteilung vom 10.07.03 tritt die "Termination" der ADR´s nach 90 Tagen also am 07.10.2003 in Kraft!!!

So, dann fragts sich nur wie hoch die Abfindung von Sidanco / TNK / BP oder wem auch immer für die restlichen paar freien ADR-Inhaber in den USA und uns hier "in good old Germany" ausfallen wird??? Ich würde mal auf irgendwas zwischen USD 2 und 50 pro ADR tippen ...

Es bleibt auf alle Fälle bis zum Schluß spannend!!!

Oil & Gas: TNK-BP offers deal to minorities (June 2003)
TNK-BP may exchange all minority stakes in TNK, Sidanko, Onako and their subsidiaries for 5% of
TNK-BP. This is clearly good news although precise information is still lacking and it is hard to
estimate the overall effect of the exchange.

Creation of the new oil and gas company, TNK-BP, should be competed by August and the
combined company will be centered on either TNK International or TNK Industrial, which is
now the sole shareholder of TNK International. The main outstanding question is how TNK
International will fulfill its duties to minority shareholders and what exchange conditions
they will be offered. The first vice-president of TNK Iosif Bakaleynik said this week that
minority shareholders of TNK, Onako and Sidanko, and also minority shareholders of TNK
subsidiaries could get about 5% of shares of the combined company, TNK-BP. However,
we have not received confirmation that Sidanko minorities will be admitted to this exchange
from a TNK International official. A Sidanko official refused to comment.
Announcement of the possible offer to minority shareholders came after a court in the
British Virgin Islands accepted claims of two minority shareholders, Astian Group and
Indian Ocean Petroleum Services, alleging that their rights as shareholders of on-shore
Russian companies were violated by corporate organization, which makes the offshore
TNK International into the group’s profit center. The court ordered freezing of assets of
TNK Industrial worth $380m. Astian Group is well known for pursuing litigation against
major Russian oil holdings based on alleged abuse of its minority rights, but this is its first
court victory. A TNK official said that the claims represent green mail.
TNK officials have estimated enterprise value of TNK-BP at $18b, and we have estimated
the shares of minorities of TNK, Sidanko and Onako in the new company. However, our
estimate cannot be complete since information on shareholders is not disclosed by all
subsidiaries.
The first table below shows shares of Alfa-Access Renova (the owners of TNK Industrial)
and British Petroleum, the joint owners of the new mega-company, in the companies which
it will contain.

Our estimate of minority shares, based on public information about minority stakes and
enterprise values of included companies, suggest a minority stake of about 4% for the
largest of the companies involved in creation of the new entity. The minority share in
Sidanko, Rusia Petroleum, TNK and Onako is $327m, which is 2.8% of total enterprise
value of these companies ($11.8b). The minority share of these four companies in total
announced enterprise value of TNK-BP ($18b) is 1.8%.
In 2001 TNK offered all minority shareholders in its oil and gas producing subsidiaries the
option to convert their shares into shares of TNK. A total 89.9 million shares (representing
2.8% of TNK’s share capital) were issued to acquire the shares of minority shareholders
who elected to convert. Subsequently, TNK’s oil and gas producing subsidiaries initiated
and executed a reverse share split. Under the reverse share split all fractional shares were
forfeited and settled in cash. A total of $132m was paid to minority shareholders to
acquire these fractional shares. As a result of these transactions all of TNK’s oil
and gas producing subsidiaries became wholly owned. In 2003 TNK bought a 38% stake
in Orenburgneft and 1% of Onako from Sibneft for $825m, and we estimate that TNK now
controls about 99% in Orenburgneft and 94% in Onako. In 2001 and 2002 Onako’s
interest in its key subsidiaries was increased to 61% in Orenburgneft and 96% in the
Orsk refinery. During 2001 TNK acquired an additional 20.7% in Rusia Petroleum bringing
its total ownership to 29% at December 31, 2001. Total consideration for the purchase
of the additional interest was $64m, comprising cash and TNK’s interest in
Kovyktaneftegaz, which owns oil and gas producing licenses adjacent to Rusia
Petroleum’s licenses. Based on this purchase we estimated the total enterprise value of
Rusia Petroleum at $309m and the minority share at $2m.
The minority share of Sidanko’s subsidiaries is hardest to estimate, due to lack of
information, and we could only surmise that the biggest minority shares are in Udmurtneft
and Saratovneftegaz. We estimated the maximum possible minority share for these
companies.

Our calculations suggest that exchange of minority shares in TNK, Onako, Sidanko, and
their subsidiaries for TNK-BP should be profitable for minority shareholders, but details of
the exchange are impossible to predict. One negative aspect is that officials of TNK-BP
have said that the company will not consider the stock market as a possible source of
funds till 2005. So the market for TNK-BP stock could be weak, with few major participants.

Mit der Abfindung wirds wohl doch nichts. Ich werde meine ADR in Originalaktien tauschen. Folgendes Schreiben habe ich letzte Woche bekommen:

Am 7. Oktober endet das Kapitel Chernogorneft ADR (900198). Auf Antrag des russischen Mineralölkonzerns JSC Chernogorneft stellt die Bank of New York am Dienstag die Börsennotiz der American Depositary Receipts ein. Damit endet eine der unrühmlichsten Geschichten des russischen Aktienmarktes.

Nach Ablauf eines Jahres wird die BNY die hinterlegten Originalaktien verkaufen und nach Abzug einer entsprechenden Gebühr die Anteilseigner bar abfinden. Die Höhe dieser Abfindung ist derzeit noch völlig unklar. Die Spekulationen reichen von einem klitzekleinen Trostpflaster bis hin zu 50 US-Dollar.

In Russland werden Chernogorneft-Aktien seit Jahren nicht mehr gehandelt, in Deutschland jedoch gab es immer wieder Gerüchte über eine Auferstehung von Chernogorneft. In Börsenbriefen und Internet-Foren wurde spekuliert, Chernogorneft könnte sich wie Phönix aus der Asche erheben und gutgläubige Anleger griffen beherzt zu. Aber alle Gerüchte über einen Neuanfang von Chernogorneft waren völlig aus der Luft gegriffen, der Kurs der ADRs stürzte von drei auf 0,12 US-Dollar Mitte August. In der Hoffnung auf eine großzügige Abfindung stieg der Kurs seitdem auf 0,25 US-Dollar.

Chernogorneft wurde 1994 gegründet und gehörte zur Sidanco Group. Im Zuge des angeblichen Sidanco-Konkurses ging das Unternehmen Ende 1999 trotz heftiger Proteste u.a. seitens der britischen BP Amoco, die mit zehn Prozent an Sidanco beteiligt war, für lächerliche - weil weit unter dem Auktionseinstiegspreis - 178 Mio. US-Dollar an den Erzrivalen Tyumen Oil (TNK). Chernogorneft war zum damaligen Zeitpunkt eines der profitabelsten und damit lukrativsten russischen Ölfirmen, der das auf zwei Mrd US-Dollar taxierte Ölfeld Samotlor gehörte. Schon einen Monat später rauchten Sidanco und TNK eine Friedenspfeife, Sidanco erhielt Chernogorneft zurück und TNK als Ausgleich einen 25-prozentigen Anteil an Sidanco. Samotlor tauchte allerdings nicht mehr in den Büchern von Chernogorneft auf, sondern zählte von da an zu den Assets von Sidanco.

Schließlich vertrugen sich auch BP (850518) und TNK wieder und Anfang 2003 verkündeten sie sogar Heiratsabsichten. Um sich den Start in die Ehe nicht mit Klagen von Chernogorneft-Aktionären zu verderben, ist damit zu rechnen, dass es für diese eine großzügige Abfindung gibt. Aber sicher ist in diesem Fall gar nichts ...

Liest sich tlw. leicht abgekupfert an meine Beiträge zu chernogorneft bei http://www.uptotrade.de vorallem die 50 USD max. Abfindung pro share kommen mir irgendwie bekannt vor andere Dinge sind allerdings wieder völliger Quatsch wie der Sidanco-Konkurs, aber die Thematik ist halt kompliziert!!!

Einen Kläger gibts doch schon, norex petroleum http://www.norexpetroleum.com klagt in den USA gegen TNK-BP i.S. yugraneft auf 1,5 MILLIARDEN USD und da haben sich auch einige US-Cherno-Aktionäre dran gehängt, da Chernogorneft auch einen Anteil an Yugraneft hatte, der "verschwunden" ist!!!

TNK-BP wollen definitiv KEINE weiteren Klagen mehr ...

Starting in September the growth rate of shares of the TNK-BP affiliates has been much higher than that of RTS index. Analysts believe that the market is being warmed up by minority shareholders of these companies before a possible buyout of their stakes by TNK-BP. The oil company is not ready to discuss the details of its collaboration with minority shareholders yet.

Capitalization of the TNK’s affiliate ‘SIDANKO’ has grown by 23% up to $4.4 bln from the beginning of September. The affiliates of TNK-BP have also gained in price: capitalization of ‘Varyeganeft’ rose by 76% up to $236 mln, of ‘Orenburgneft’ – by 30% up to $1.262 bln. It can explained by the fact that in September TNK-BP started to get ready for consolidating its assets. By the end of 2003 all minotiry shareholders of the affiliated companies can be offered to buy out ther stakes or exchange them for TNK’s securities. The price of the buyout will be determined according to the market value of these securities, analysts suggest.

The TNK-BP company is controlled at the principles of parity by the British BP and the consortium of ‘Alfa-Group’ and ‘Access/Renova’. The new company extracts 1.15 mln barrels of crude oil a day and has a reserve of 5.2 bln barrels. The TNK-BP owners estimate its assets at $18 bln. The company includes such oil holdings as TNK, ‘ONAKO’, ‘SIDANKO’, Irkutsk Gas Company ‘Rusia-Petroleum’ and a network of brand tank stations in the Moscow region. By the end of the year the company will acquire 50% of ‘Slavneft’ after its assets are divided between the owners of TNK and ‘Sibneft’. At present minority shareholders control 3.9% of TNK, 1.2% of ‘ONAKO’, 2% of ‘SIDANKO’ and have different stakes in affiliates of these oil holdings.
