      hi hpoth,

      http://m1.mny.co.za/mgcl.nsf/Current/85256BEA0026513A85256CA….

      ---

Dafür zahlt man 106 mio USD.

Effektiv gehört Avocet also die ganze Mine.

      Im Vergleich zu Afrikander Lease:
4x so hohe Produktion, davon 3x so hohe Produktion in geopolitisch stabilerer Region als Südafrika.
      Doppelt so hohe Ressourcen.
      1.5x so hohe Reserven.

Shares in gold miner Afrikander Lease (Aflease) plunged 24 percent on Tuesday following the news that the company would close its operations due to the strong rand and the lower-than-expected in situ grades at its open pit operations.

The Afrikander Lease Limited - Restructuring Of Afrikander Operations For A
      Release Date: 09/12/2003 10:38:10 Code(s): AFL
The Afrikander Lease Limited - Restructuring Of Afrikander Operations For A
      Strong Rand
      The Afrikander Lease Limited
(Incorporated in the Republic of South Africa)
      AFL (JSE) AFKDY (NASDAQ)
      (Registration number 1921/006955/06)
      ("Aflease")
(ISIN Number : ZAE000000253 Share Code : AFL)
RESTRUCTURING OF AFRIKANDER OPERATIONS FOR A STRONG RAND
On 14 November 2003 Aflease announced that it had begun a strategic review of
its Afrikander operations, due to the continued strengthening of the rand
against the US dollar and the lower than expected in situ grades in the open pit
at the Afrikander operations. The review has been completed and approved by the
Board and will be implemented subject to the provisions of the Labour Relations
Act and the Basic Conditions of Employment Act.
The review, which was conducted by Aflease and independently audited by Steffen,
Robertson and Kirsten (South Africa) (Pty) Ltd ("SRK"), included re-modeling the
inner basin open pit operations. The key outcome of the review is that the inner
basin is not able to generate sufficient operating profits in the current rand
      gold price environment.
In line with the review, the following measures will be implemented at the
      Afrikander and Modder East operations:
Aflease will cease production from its opencast operations at Afrikander with
effect from January 2004. Given the shallow nature of the ore body, production
could be resumed without major cost implications once the macro-economic
      environment renders this operation profitable;
The current underground production profile is insufficient to justify the
continued operation of the CIL plant. The underground production will therefore
be terminated until the development of the Bonanza South mine has been
completed. Current underground production, combined with production scheduled
      from Bonanza, will be sufficient to operate the CIL plant profitably;
Development of the Bonanza South mine will continue as scheduled with production
      expected to commence in 2005;
The re-treatment of the leach pads at the Afrikander operations will continue
      through the CIS plant;
Aflease"s exploration programme at Afrikander including Bonanza and at Modder
East will continue as scheduled; and
Development of Aflease"s Modder East mine on the East Rand will continue as
scheduled. Aflease recently completed a conceptual design study and is currently
proceeding to a detailed mine design to commence site establishment in early
      2004.
The group will continue to communicate strategic and operational developments to
      shareholders as and when appropriate.

Marc Faber ist ja auch US$-long.

      kleine Portion AFLEASE gekauft.

War nicht gerade ein glücklicher Zeitpunkt.

      Das gehört dazu.

Habe heut gleich nachgekauft. Diese Stillegung

bedeutet kein Beinbruch.

behalten. Es wäre möglich die Dinge in verklausulierter

Form anzusprechen. Wer verstehen will; versteht auch so.

Wer sich nur schlafend stellt (z. T. aus verständlichen

persönlichen gründen) ist nicht zu wecken.

      Market Report ^ TOP

The weaker global markets put some pressure on the JSE today, despite the slightly softer rand. Tuesday saw the US markets close down, after Greenspan left rates unchanged. Locally all eyes are on the Reserve Banks announcement, where the market is factoring in at least a 1 percent cut in interest rates, but up to 2% given the strong rand, and benign inflation. The JSE All Share index ended down 0,78% to 9784.
Volumes were good on the JSE at around R4,2bn. Advances outnumbered decliners by 238 to 179.

The market trended weaker, and ended will all the main sectors down. The big heavyweight shares pulled down the indices. The JSE Industrial index closed down 0,6%, Financials 1%, gold 2% even as bullion edged up to a new multi year high at $411,15/oz at the market close.

The rand was trading at R6,40/dollar, R11,18/pound and R7,84/euro. This is generally steady on the day against a slightly mixed dollar.

Some of the bigger cap shares:

Anglos fell back 2,2% to R133.

      Anglogold down 2,9% to 30280c

      Iscor down 4% to R24

Nedcor shed 3,9% to 6150 cents as the new Ceo Tom Boardman takes over from outgoing Richard Laubscher.

      Richemont shed 1,99% to 1529c

Sasol however jumped up 3,35% to R91

Aflease had another poor day, down 27% to 215c. Directors bought some shares lower down.

The bidders for Pepkor, have again increased their offer, now from R11 to R12/ share ahead of voting on Thursday. The price gained 5,2% to 1126c. The voting is likely to be close. There is a chance that the price comes off, should the bidders not be successful, but there still appears to be value in the share price.

Long rates on the R153 were at 8,855%

The US markets have now turned up into positive territory and the rand has lost a bit more ground.

      Have a great evening.

      Sincerely

Neal Froneman, the chief executive of Afrikander Lease joins us now. Well,
Neal, your share price came in for an awful pounding today ? down 38%.
This after you announced that you?re going to be closing down your pit
at Klerksdorp, or your open-cast mining. Now, am I correct to assume
that if you hadn?t done the deal in September to buy Kalgold for R270m,
you?d effectively be closing down Afrikander Leases?

      NEAL FRONEMAN:Alec,
I think I?ve been alluding to the fact that Kalgold has been extremely
important to us. We?ve had concerns about certain issues, namely the
grade. We?ve been concerned about a strengthening rand environment, and
since we last spoke the rand has gone from roughly R7 to R6.45, so your
      observation is 100% correct.

      MINEWEB:Any
regrets now in actually getting involved in Afrikander Leases in the
first place because, surely, if you think about it, had you established
a company elsewhere, even a private equity company, done the Kalgold
deal on the side, you wouldn?t have the legacy that you?re sitting with
      in Afleases.

      NEAL FRONEMAN:Alec,
you know, Afleases still has some really superb assets, and what you?re
seeing today in the announcement is really an issue of timing. At some
point in time the rand gold price will be sufficient to mine the open
pit profitably. We sit on Bonanza South, we?re bringing that to
account. Modder East is part of Aflease. It?s a superb asset. And
unfortunately they?re a year to 18 months away, and Aflease will have a
very different profile going forward. On top of that, the uranium has
started becoming very, very exciting and Aflease sits on possibly the
best uranium reserves in the world at the moment.

      MINEWEB:But
Neal, come on, let?s just get down to brass tacks here. This is a
company that?s in crisis mode, unquestionably. You don?t close down
what was your biggest operation, with 600 miners, and then start
saying, ?Don?t worry guys, we?ve got a lot of positive developments on
the other side?. There must be something really serious going wrong
here for you to have taken today?s step?

      NEAL FRONEMAN:Well,
look, we?ve only shut down a portion of the operation. It is the
biggest portion, I admit that, but the inner basin and the outer basin
have really been stepping stones to the better-quality assets that
we?ve attempted to bring to account. And it is still our strategy to
bring those to account. Certainly, I think it?s going to be much more
challenging to bring them to account in this environment.

      MINEWEB:But
Neal, we?ve heard continuously about this R100m plant that was going to
make things so much more efficient at Klerksdorp, so much more
efficient at the area that you?ve now closed down. What happens to the
      R100m plant that?s been built?

      NEAL FRONEMAN:Well,
certainly the plant did exactly what it was meant to do. Alec. I think
that the undoing of the project has really been a very different
environment in terms of the economics of today, and on top of that we
find that the in situ grades that were planned from some of the
operations that we are closing down are not the in situ grades that we
are getting, so it?s not the plant?s fault, it?s really an issue of the
      in situ grades and ?

MINEWEB:But you didn?t answer my question, which is what happens to the plant? Does it just sit there in mothballs?

      NEAL FRONEMAN:Look
it operates, a portion of it operates while we continue to treat the
old heap-leach pad, but certainly we intend to re-use a portion of it
at Kalgold, and of course a portion of it could well be used at Modder
East if, in the short term there was no alleviation to the
      strengthening rand.

MINEWEB:What portion of it will be used?

      NEAL FRONEMAN:Well,
certainly the crushing portion is a portion that could be well utilised
at Kalgold. Kalgold has a constraint in that area. Modder East requires
a brand new plant, and that?s been factored into the capital, so we?ve
got a range of options that we would have to consider closer to the
      time.

      MINEWEB:What
percentage, roughly, of the plant will now be useful? Because R100m for
a small company is a huge investment. How much of that is going to be
      utilised?

      NEAL FRONEMAN:Really
a very small portion while the inner basin in mothballed. Effectively
only the [indistinct] section, which in rand terms is probably only R10
to 15m worth of the plant ? and I?m just guessing at that number.

      MINEWEB:What
about Japango ? the Japanese gold fund that made such a big investment
at around R6 a share in Afleases, the share price today incidentally
R2.95, dropping from over R4.50 yesterday. What is the reaction from
      the Japanese shareholders?

      NEAL FRONEMAN:The
Japanese shareholders, as we indicated at our quarterly results as
well, have made a strategic decision to exit the company, because of
their concerns of the strengthening currency. They?re not desperate to
exit, they are looking for a purchaser of their block of shares. But
they maintain that, once the economics or the currency changes, they
would certainly be willing to consider pursuing their strategy of
      acquiring control.

MINEWEB:So at this point in time they?re writing it off or wanting to write it off as a bad investment?

NEAL FRONEMAN:I would think that it?s not so much the investment as the conditions we find ourselves in.

      MINEWEB:Neal

      Afrikander Lease
Nature of Business: The company holds gold and uranium mineral rights in the Klerksdorp districts.
      ---
What is less well known is that, until the market for
uranium collapsed some years ago, AfLease was
      South Africa`s highest-grade producer, averaging
some five pounds per ton from its uranium section,
      in addition to gold.

Aflease holds mineral rights in the Klerksdorp district and leased them to neighbour Vaal Reefs for royalties. Vaal Reefs and other Anglo American companies owned the infrastructure. Anglo bought Aflease in 1979 to run as a uranium mine with gold as a by-product.

On the day the Rolls-Royce of a plant was opened in 1982, the uranium market collapsed and the uranium plant was closed.

Aflease was subsequently operated without distinction as a gold mine by Anglo.

Aflease predicts bright future for uranium
      November 24, 2003

      By Sherilee Bridge

Johannesburg - Uranium could be the next big metal, junior gold producer Afrikander Lease (Aflease) said at the weekend.

The company believes it is sitting on the world`s highest grade deposits of uranium, which is the nuclear fuel used by pebble bed modular reactor technology.

Neal Froneman, the chief executive of Aflease, said bringing uranium into production at its Klerksdorp mine would cost just R100 million. But with uranium contract prices "very poor", he believed mining the element might only become viable in three to four years.

"I think we are probably three to five years away from a uranium boom, similar to the boom we are seeing in platinum," he said.

"The beauty of mining uranium is that gold is a by-product. In dominium reefs, where you mine uranium at something like 400g a ton, the gold content is about 6g a ton."

Ian Ballington, an analyst at Rice Rinaldi Securities, said this potential had been excluded from financial forecasts for Aflease due to uncertainty over the uranium market and pebble bed technology, "but this now clearly offers upside".

      Aflease looks for uranium lifeline

JOHANNESBURG – The Afrikander Lease (Aflease), the embattled South African gold junior, will look to its vast untapped uranium resources to rescue it from a potentially ruinous cash burn.

The company saw its share price lose more than two-thirds of its value over two days in December, after heavy losses forced the closure of its only operating gold mine. In a statement released after the Johannesburg market closed today, Aflease said it was considering re-opening two uranium deposits near the Witwatersrand town of Klerksdorp, some of which have not been mined since 1961.

      BAD BLOOD BOILS
Animosity intensifies in payment dispute over former chairmans sale of shares

One of the oldest legal adages is that possession is nine-tenths of the law and it lies at the heart of the bustup between ousted Afrikander Lease (Aflease) chairman Peter Skeat and JCI CEO Brett Kebble.

The dispute is over the R55m that Kebble owes Skeat for an 11% stake in Aflease. Skeat sold the stake in a deal bankrolled by Kebble. The row has been ugly and its getting worse.

Skeat sold the shares to a black economic empowerment (BEE) company, Kabusha Mining, in June last year for R95m. He got R40m upfront from Kebble and the balance was due by the end of October 2003. Skeat is still waiting.

The obvious question is: why did Skeat hand over all his shares without getting payment in full and upfront? Lets face it, Kebble has one of the more erratic track records in the mining industry.

Skeat answers: He said he did not have all the money at the time. I was satisfied with the contract signed, which bound both JCI and Trinity Holdings [a Cape Town financial institution which owns 18% of Aflease] as sureties for the outstanding amount.

Says Kebble : We specifically negotiated a delay on payment of the balance in order to give our BEE partners time to raise the money.

Skeat called in his lawyers but Kebble claimed (Companies December 19) that he was entitled to hold back the money owed because Skeat had not met certain conditions that were part of the sale agreement.

Heres where it gets really interesting.

Skeat says he is reluctant to talk to the press because he has been threatened by Kebble, but maintains there were no special conditions or warranties attached to the sale.

The FM has obtained a copy of the share sale agreement and it proves that Skeat is correct.

The only warranties provided are that the seller is the registered and beneficial holder of the shares; is able to give the purchaser title to them; and that no-one has any right to acquire them. The contract specifically states that the seller gives no further warranties and the sale is voetstoots. A voetstoots clause most frequently seen in the language used in the sale of used cars means the buyer takes the property as is and accepts it as such.

Kebble now acknowledges this, but points to clause 21.5, which is a good faith requirement.

This states that the parties to the deal must take the steps required for the deal to be completed and furthermore to act in good faith towards one another and co-operate with one another to the fullest extent.

Skeat has not acted towards us in good faith, says Kebble. He has gone around to banks and investors badmouthing Afrikander Lease and the new management, which has caused big problems for our BEE partners in raising the money.

Kebble is referring to the slanging match between Skeat and Aflease CEO Neal Froneman.

Skeat replies: I have never attacked Afrikander Lease. What I did was defend my good name when I was incorrectly accused of wrongdoing by Froneman.

Skeat goes on: Secondly, the accusation about the banks is not correct. Yes, I told Nedcor that Afrikander Lease was being badly managed but that was in April last year, two months before the agreement to sell my shares to Kabusha was signed.

There are multiple reasons for the bad blood between Skeat and Froneman, starting with the fact that Skeat was forced to employ Froneman as CEO last January.

Trinity CEO Quinton George threatened to call a special shareholders meeting to remove Skeat if he did not.

      Froneman promptly ousted Skeat.

Under Fronemans management the grade of ore being mined at Aflease collapsed, until he was forced to shut down the opencast operation from the beginning of this year and to retrench 600 workers.

Froneman blames Skeat for the grade collapse, claiming the mine plan was out of date.

Skeat blames Froneman for poor mining and grade control techniques in an open-pit operation, of which Froneman had no experience before joining Aflease. In this argument Kebble backs Froneman.

      So, what next?

Kebble is sounding uptight and is muttering about taking further action against Skeat.

Whether Froneman can hack it on open-cast mining operations should be settled by the results from the Kalgold operation, which Aflease has bought from Harmony.

      Reuters
S.Africa gold firms pay too little tax-official
Tuesday February 3, 4:42 am ET

JOHANNESBURG, Feb 3 (Reuters) - The head of the South African Revenue Service (SARS) said on Tuesday gold firms paid too little tax due to a special regime, but analysts said the system encourages investment and was unlikely to be scrapped.
Pravin Gordhan, the Commissioner of SARS, said in a letter published in newspaper Business Day that the effective tax rate for the gold sector was "immorally and unacceptably low".

Under a tax system established in 1935, firms mining gold in South Africa, the world`s largest bullion producer, can offset losses or capital investments on specific mines when they make a profit.

Gordham was responding to comments last week by Gold Fields (GFIJ.J) Chief Executive Ian Cockerill, who said at a quarterly results presentation that gold miners were paying virtually no tax because the strong rand had hurt their profitability.

Many of the country`s top exporters have warned that a sustained two-year rally in the rand, which has appreciated by more than 60 percent against the dollar since December 2001, has seriously eroded their earnings.

"These comments invite some introspection on the fiscal cost of the privileges enjoyed by gold companies in South Africa," Gordhan wrote. "The effective tax rate of certain sectors of the economy remains immorally and unacceptably low."

SARS spokesman Sechaba Nkosi said Gordhan was not calling for the system to be changed, but aimed to stimulate debate.

Any formal review of the tax regime would have to include all stakeholders in the industry, he added.

Analyst Leon Esterhuizen said he doubted the government would change the tax system, especially after heavy criticism from the mining sector about plans to impose royalties on companies, a step which the sector has lobbied hard against.

"I don`t think it will happen, for the simple fact that there`s enough political pressure on these guys," he said. Under the system, when a mine`s profit-to-revenue ratio is below 15 percent they pay less than the corporate tax rate of 30 percent, but when it rises above 15 percent they pay a higher rate. Also, capital expenditure can be offset against taxes. "There was a very good reason for that and that reason is even more valid now than it was in 1935 because our deep-level mines are much deeper now and they take more capital," Esterhuizen said.

Companies must often spend a decade developing a new deep-level mine before the first gold is produced and a further five to 10 years before the capital spending is offset, he said.

      http://news.goldseek.com/AlfField/1075906047.php

Aflease owns significant uranium deposits in the Klerksdorp area in the form of the Dominion Reefs and Rietkuil resources. These resources were previously mined by the Anglo American Corporation of South Africa. The Dominion Mine produced 1 143 tons of Uranium Oxide at a grade of 0,94 kg/ton between 1955 and 1961. The Rietkuil Mine produced 16,2 tons of Uranim Oxide at a grade of 0,44 kg/t during 1988. The mining of these deposits were terminated because of a decline in the uranium price at the time.

Aflease shareholders are advised that in light of the recent improvement in the uranium price Aflease have decided to perform certain preliminary work the purpose of which will be to assess the merits of developing the company’s uranium assets.

The preliminary work is expected to continue for some months. Aflease shareholders will be advised of any material progress in this regard.

Randgold`s Aflease ambitions could cost R411m
      February 13, 2004

      By Bloomberg

Johannesburg - Randgold & Exploration, which controls 40 percent of Mali`s biggest gold mine, might pay as much as R411 million to increase its stake in Afrikander Lease (Aflease) to 33.6 percent.

The company had agreed to pay R82.5 million for 24 million Aflease shares, with an option to buy another 24 million for R5 each, it said yesterday. Randgold would also receive options to buy a further 48 million shares. It currently owns 3.5 percent of Aflease, whose shares surged 30c at R3.50.

Randgold shares gained 10c to R29.

      @Pisa,

Randgold to take a slice of Aflease pie
      August 2, 2004

Johannesburg - Randgold & Exploration (RG&E) is to take about one third of Afrikander Lease Ltd in a share swop deal worth some R125 million, the company said on Monday.

Randgold will issue 9.4 million Randgold shares to Aflease and in exchange Aflease will issue 94 million Aflease shares that will be allotted to Randgold. Aflease will then own 12.5 percent of Randgold.

"The transaction is worth around R125-million and will result in RG&E acquiring approximately one third of Aflease," said RG&E chief executive Brett Kebble.

"A share swop is the most viable route to take because Aflease is trading at a very significant discount to its underlying value."

Kebble said Aflease as a company has very exciting uranium assets and that "given a continued upward trend in the uranium price, the company is poised to profit handsomely from them."

Aflease has the largest uranium resources in South Africa and one of the largest in the world. "I foresee a situation where Aflease will become a uranium company with attractive gold credits," said Kebble.

RG&E`s intervention will also enable Aflease to fund its planned development of both its Modder East and Bonanza South projects.

Kebble said the losses incurred by Aflease for the year ended December 31, 2003 were primarily as a result of suspension of open-pit mining operations of Aflease`s Klerksdorp assets and were not illustrative of future anticipated results.

Kebble said that from RG&E`s point of view the deal was hard to fault.

"The time is right to do this deal and it is exactly in line with the Group`s strategy to focus on world-class mineral deposits," he said.

Referring to the fact that Randgold had recently acquired alluvial diamond deposits in Angola, Kebble said he was very pleased with recent developments. "The stake in Aflease is more good news."

Aflease CEO Neal Froneman said that changing market conditions, principally driven by the strengthening rand, had resulted in management having to re-negotiate terms for future funding.

He said the share swop transaction effectively replaces funding arrangements announced on February 12, and referred to in his letters to shareholders on April 8 and the group`s annual report, whereby Randgold would subscribe to shares and underwrite a rights offer. - Sapa

      Aflease, Randgold in share swap
      Posted Mon, 02 Aug 2004

Mining groups The Afrikander Lease (Aflease) and Randgold and Exploration Company have announced a R125-million share swap, which will result in Aflease owning 12.5 percent of Randgold, and Randgold increasing its stake in Aflease to approximately 33 percent.

Shares will be swapped in the ratio of one Randgold share to 10 Aflease shares.

Aflease also announced Monday that it had secured a R50-million facility from Randgold for the development of its uranium and gold assets.

Aflease CEO, Neal Froneman, commented that the changing market conditions, principally driven by the strengthening rand, had resulted in management having to re-negotiate terms for future funding.

He stated that the share swap transaction effectively replaced funding arrangements announced on February 12, in terms of which Randgold would have subscribed to shares and underwrite a rights offer.

Aflease said it had secured a further R20-million of funding from Randgold to support on-going operational development, increasing previously arranged funding facilities with Randgold from R30-million to R50-million.

      Conversion of shares

Randgold will have the choice to convert the R50-million loan into shares, on the last day of the 12-month period ending after closure of the transaction, in one of two ways. Option one will be by the issue of the requisite number of new shares at 2.75 rand per share, plus a three-year option per share priced at 3.50 rand. Option two will be by the issue of the requisite number of shares at 10 percent below the 30 day weighted average as at the repayment date.

"This new deal successfully secures funding that Aflease needs to apply to its mining development programme. In particular, it will allow Aflease to kick-start its Uranium business with a pre-feasibility study, and take Modder East further up the value curve through the completion of a bankable document. We will also complete the development of the Bonanza South project near Klerksdorp and retire the group`s long term debt," Froneman explained.

Brett Kebble, CEO of Randgold commented: "This is a good deal for Randgold and for Aflease. We are excited about the medium to long term potential for the high quality assets, which are part of the Aflease stable. We are confident that management have the right strategy in place to deliver for all shareholders."
