Hutchison Sets up IT Centre with Computer Technologies

Hutchison Whampoa (0013) announced that, through its wholly owned subsidiary, it has formed a JV with Computer And Technologies Holdings Limited (C&T) to set up an Information Technology Resource Centre for developing IT and related solutions and services, particularly for the e-commerce industry.

The Centre will operate as a fifty-fifty JV under a separate management team to be jointly appointed by Hutchison and C&T.

History

Computer and Technologies Limited was established in 1991 by its Chairman Mr. Ng Cheung Shing. It was originally engaged in the trading of computer hardware and software and the provision of software development services and later focused mainly on SI (system integration) and IT (information technology) projects.

In 1992, the company expanded into China by setting up offices in Shanghai and Beijing. Its success in winning the contract for the Shanghai Stock Exchange brought the company several substantial clients in China. In 1993, it worked with the Ministry of Posts and Telecommunications (MPT) on the Network Operations Management and Administration Systems for local public switched telephone network management.

From 1994 to 1998, the company became a network integrator of 3Com Corp, a solution provider of Microsoft Windows NT, and a VAR of Informix Software and Sun Microsystems. In 1998, it acquired Progressive World Ltd., a network integrator in China of products from Cisco Systems Inc of the USA and it obtained silver partner business status from Cisco. In 1999, it was awarded a contract from HKSAR to develop and operate the world`s first fully Internet based Electronic Tendering System (ETS) for the General Supplies Department.

On 17 Jan 2000, the company issued $230-million two-year convertible notes to Hutchison (13) with 17.5 million share options. The convertible notes and the options can be converted into Computer & Tech`s new shares at the initial exercise price of $7.9. The total number of outstanding shares is 231 million. If Hutchison exercises the options and the convertible notes, the issued share capital will be 280 million.

Current

Turnover saw a 146% increase from $67 million for the first six months in 1998 to $165 million for the same period this year. Net profit and EPS were $5.7 million and 2.6 cents representing a 96% and 63% increase. The increase in turnover and net profit was from the recovery of the overall market conditions. The company suffered a tough year in 1998 with a 90% drop in net profit from 1997 to 1998. Its net profit for the interim in 1999 is still much below that in 1995. It has a current ratio of 1.98x a very low ROE of 3.4% in 1998, but for 1997 the ROE was 41%.

Future

It has many current projects on hand such as the ETS and EDS, and it is providing SI services to several big new clients. The boom in the IT industry in China will bring this company many opportunities, but it will also increase competition because there are so many small IT firms wanting to grab this opportunity. It is worth keeping an eye on it, but it is a very volatile stock.
