Paragon Polaris Strategies.com Inc. completes acquisition of 56% of the outstanding shares of Icoworks, Inc. and appoints Ian Brodie Director

VANCOUVER, Feb 21, 2003 /PRNewswire-FirstCall via COMTEX/ -- Paragon Polaris Strategies.com Inc. DBA Icoworks, Inc. (ICOW) and (BERLIN:ICOW.BE) announced today that it has acquired a 56% interest in Icoworks Inc., a Nevada corporation ("Icoworks"). This acquisition was completed by issuing 7,186,398 shares of the Company`s common stock.

In November of 2002 Paragon announced its intent to merge with Icoworks, Inc. Paragon will acquire the remaining 44% interest in Icoworks, Inc. by issuing two shares of its common stock for each remaining share of Icoworks. The Icoworks merger remains subject to approval by the Paragon shareholders and Icoworks shareholders. The shareholder meeting will be held once requisite regulatory documents have been prepared and filed.

Upon shareholder approval, the Company will be filing an S4 in connection with the merger.

The Company is also pleased to report that Mr. Ian Brodie has been appointed as Director of Paragon Polaris` Board. Mr. Brodie is a founder and major shareholder of Icoworks. With over 20 years experience in capital markets, Mr. Brodie brings a high level of corporate finance and merchant banking experience to the board and will be invaluable as the two companies merge. Mr. Brodie`s experience encompasses corporate restructuring, mergers, acquisitions, and divestitures. Mr. Brodie has served on the board of directors of numerous national and international public companies. Mr. Brodie has also been involved in senior management roles in the shipping, mining and venture capital industries.

Ian Brodie, Director of the Board stated, "The access to capital markets that this merger provides will enable Icoworks to jumpstart its acquisition and expansion plans and provide additional working capital in that regard."
