Fox licenses "The Simpsons" to THQ for wireless
Monday March 17, 8:00 am ET

LOS ANGELES, March 17 (Reuters) - If you`ve ever wanted your cell phone to say "D`oh!" when someone calls, you`ll soon have the chance.
Twentieth Century Fox on Monday said it has licensed "The Simpsons" to the wireless division of video game publisher THQ Inc. (NasdaqNM:THQI - News) to be developed into games, ringtones, screensavers and messaging tools around the world.

THQ, the most aggressive among the traditional video game publishers in the nascent wireless games industry, said the deal was a long-term one but declined to provide specifics.

"The Simpsons" premiered in late Dec. 1989 and quickly became an international sensation. In mid-February the show, currently the longest-running sitcom on prime-time TV, marked its 300th episode.

"The fact that it is in so many countries and so many languages, we think this will be pretty successful for us," Doug Dyer, the general manager of THQ Wireless, told Reuters.

Dyer said THQ would like to begin releasing wireless products based on the animated family sometime in the third quarter of this year.

He also said the company plans to develop "channels" of Simpsons content, so wireless carriers could offer their subscribers an entire package of games, sounds and logos based on themes from the show.

Jim Beddows, vice president for wireless entertainment at Fox, said the company waited to license "The Simpsons" because it is "one of the top-tier properties of the 20th Century Fox Co." and they wanted wireless technology, like color phone screens and high-speed networks, to develop further.

Siehe Time Warner, Kirch...

      Media
Murdoch, Malone Brace For Bidding Rivals
Penelope Patsuris, 03.28.03, 2:20 PM ET

NEW YORK - Liberty Media and News Corp. agreeing to a financing deal is great news for Hughes Electronics investors. It is a clear signal that a Hughes sale, which has been a tortured three years in the offing, may finally materialize for shareholders of the General Motors unit.

The two media giants unveiled a deal giving Liberty (nyse: L - news - people ) the option to buy $500 million worth of News Corp.`s (nyse: NWS - news - people ) preferred limited voting American Depository Receipts over the next six months at $21.50 per ADR. The ADRs were trading around $26.65 Friday. If Liberty does not exercise the option and News Corp. buys a stake in DirecTV parent Hughes (nyse: GMH - news - people ) within two years, then News Corp. can require Liberty to make that $500 million investment. The upshot: Liberty becomes a financial partner in any deal between News Corp. and Hughes.

Liberty is already News Corp.`s largest shareholder, and this sale would bump its stake up to 19%.

Even better, the move is a clear indication that Hughes will succeed in selling more than just GM`s (nyse: GM - news - people ) 20% stake in the outfit. Just weeks ago, Liberty`s John Malone and News Corp.`s Rupert Murdoch amicably agreed to part ways in their pursuit of DirecTV, presumably because both could afford to go it alone.

The fact that the media behemoths have reunited indicates that GM has at least one other buyer that has expressed a willingness to buy more than GM`s 20% stake, says Lehman Brothers analyst William Kidd. This is forcing Liberty and News Corp. to prepare to buy a bigger chunk of Hughes than they had originally planned, in order to stay competitive.

With the stakes literally getting higher, both Murdoch and Malone are looking to ameliorate risk. News Corp. has cash, but it was after all only a decade ago that Murdoch faced an empire-threatening debt crisis. Liberty also feels News Corp. shares are undervalued, according to Janco Partners analyst Matthew Harrigan, and that it makes more sense to go into the satellite business with a partner that has already built a global satellite network, sans the U.S.

While GM`s 20% stake in Hughes has been expected to go for between $3 billion and $4 billion, a bigger deal could cost as much as $7 billion--$1.5 billion more than Murdoch`s current net worth.

SBC Communications` (nyse: SBC - news - people ) alleged interest in Hughes is what`s pressuring the moguls to up their offer, according to analysts. SBC investors and analysts oppose a bid and have sent SBC shares down 19% since its interest in DirecTV was first reported. Also reportedly in the fray, although as a dark horse, is Cablevision (nyse: CVC - news - people ). Both companies declined to comment.

Murdoch`s efforts to land DirecTV have already been thwarted twice, each time by his nemesis and EchoStar Communications (nasdaq: DISH - news - people ) Chief Executive Charlie Ergen, who ultimately was shot down in October 2002 by the Federal Communications Commission (FCC).

Lehman`s Kidd doesn`t expect News Corp. and Liberty to face any major challenges, assuming they submit the highest bid. They are expected to get FCC approval (famous last words) and will likely also seek a ruling from the Internal Revenue Service asserting that the merger will be tax-free. All of this could take about nine months to wrap up, after which Murdoch should theoretically have his global satellite empire.

NEW YORK, March 31 /PRNewswire/ -- Paul, Hastings, Janofsky & Walker LLP today announced that the firm represented David H. Murdock, Dole``s Chairman and Chief Executive Officer, in completing his acquisition of Dole Food Company, Inc. . In addition to the representation of Mr. Murdock in the going-private transaction, the firm also represented Mr. Murdock and Dole Food Company in the financing for the transaction including the issuance of high yield bonds and a senior debt financing.

The going-private merger agreement was approved on March 26, 2003 at a special meeting of the Dole stockholders. Dole announced that its shares of Common Stock will cease to be traded in any public market effective at the close of business today. The transaction is valued at $2.5 billion and as a result of the merger, Mr. Murdock now controls one of the largest private company groups in the country.

"This signature transaction is one of a number of large deals that Paul Hastings has worked on in the past year," said Peter Tennyson, partner in the firm``s corporate practice. "We were pleased to work closely with David Murdock in assisting Dole``s transition to a privately-held company. Mr. Murdock is a tireless and creative leader, and we recognize that the primary factors in the transaction``s success were his drive and ability to select and motivate the right people, from his own staff to his bank team and advisors."

The Paul Hastings team, which worked closely with Michael Carter and the Dole legal team on this transaction, included: Partners -- Peter Tennyson, Bill Schwitter, Michael Chernick, Scott M. Zemser, Jorge Alers, Hydee Feldstein, David Phelps and Doug Schaaf; Of Counsel -- Catherine Patton; and Associates -- Michael McKinnon, Hank Heyming, Daniel Sonenshine, Alicia Lara, Jon Tyras, Brian Brennan and Sarah Schuette.

The merger, as is often the case in transactions of this type, was the target of a number of legal actions. Orange County Partner Peter Stone, one of the leaders of the Paul Hastings securities litigation practice, coordinated the defense and settlement of these class actions. While a large portion of the work was done from the firm``s Orange County and New York offices, attorneys in Paul Hastings`` Washington D.C., Tokyo, London and Hong Kong offices also provided specialty advice on various domestic and international aspects of the financing.

Dole Food Company, Inc., with 2002 revenues of $4.4 billion, is the world``s largest producer and marketer of high-quality fresh fruit, fresh vegetables and fresh-cut flowers and markets a growing line of packaged goods.

Paul, Hastings, Janofsky & Walker LLP, founded in 1951, is an international law firm, representing Fortune 500 companies with more than 850 attorneys located in twelve offices: Costa Mesa, Los Angeles, San Diego, San Francisco, Stamford, Atlanta, New York, Washington, D.C., Beijing, Hong Kong, London, and Tokyo.

      Gemstar Loss Expands
By Richard Harrison, 01 Apr 2003

Gemstar-TV Guide International Inc, a 43%-owned associate of The News Corporation Limited (NCP) , has restated its earnings for a third time. The company`s loss for the fourth quarter of 2002 is now reported as US$1.3 billion, compared with a loss of US$212 million in the previous corresponding quarter.

The loss is partly from the write-down of intangible assets. For the full year 2002, Gemstar`s write-downs reached US$2.45 billion.

Today`s profit restatement increased Gemstar`s losses before income taxes and some other expenses by $143.8 million for the three and a half years ending in September 2002, according to a statement from the company.

That was in addition to the last two profit restatements, announced earlier this month and in January, which increased pretax losses for those years by $103.8 million.

Gemstar reviewed past accounting after disclosing last year that it had overstated sales for its divisions that develop on-screen program guides for cable television and that sell advertising within the guides.

Murdoch nears goal of global satellite

SYDNEY: Media mogul Rupert Murdoch is standing once again on the threshold of the crowning deal of his career, and this time it looks like he’s the only bidder.

The deal, giving Murdoch control of long-coveted US satellite pay-TV network DirecTV and securing the last piece of his global satellite puzzle, could cost as much as US$7bil – less than a third of what he was thought to be prepared to pay for the broadcaster two years ago.

Rival bidders for the Hughes Electronics Corp unit have slowly melted away, leaving Murdoch the last man standing in the three-year tussle for the US satellite broadcaster.

Analysts are betting Murdoch’s News Corp will eventually win control of DirecTV, but hurdles still litter the path of the 72-year-old mogul.

“Rupert deserves credit for walking away two years ago when the bidding got too hot, and it proves being patient you often end up with the assets anyway and at a good price,” said John Whiteman, media analyst at fund manager AMP Henderson. “It’s ultimately a great win for him overall if it turns out he does get the asset at the right price.”

Murdoch said on Wednesday the deal was now just a matter of money, but he was uncertain whether News Corp was the lone bidder.

US telco SBC Communications Inc broke off talks this week with Hughes, but there has been speculation that Cablevision Systems Corp may be interested.

DirecTV is the biggest US satellite pay-TV network, with just over 11.2 million subscribers at the end of 2002. It would complement News Corp’s existing satellite business in Britain and Italy, Asia, Australia and Latin America.

Sealing a deal would cement Murdoch’s stature as one of the world’s most powerful media moguls, and fulfil a dream he has had since the 1980s of controlling a global satellite network fed by entertainment and news from News Corp’s Fox Entertainment Group Inc, analysts said.

News Corp’s initial bid for all of Hughes in 2001, reported to be near US$25bil, was thwarted by a rival offer from Charlie Ergen’s EchoStar Communications Corp that was later blocked by US regulators.

“Murdoch has been very, very lucky, because had he paid the price he wanted to pay two years ago, he may be looking at a significant write-down now,” Shaw Stockbroking analyst Scott Marshall said.

News Corp is now expected to pay a premium of up to 15% for carmaker General Motors Corp’s (GM) 20% stake and management control over Hughes, a deal which would total around US$3.5bil.

In order to better cement its position, the media group might also buy another 20% of Hughes, bringing the deal price to as high as US$7bil.

News Corp has been steadily building up its war chest and analysts expect it to fund a cash offer for GM’s stake out of its cash pile of around US$4bil. – Reuters

Ted Turner continues to rage against the machine. In a speech that can only serve as red meat for its target, Turner called Rupert Murdoch a "warmonger" and said he and the Fox News Channel, a unit of News Corp. "promoted" the U.S. war against Iraq.

In reporting the speech, Reuters called Turner and Murdoch "rival media baron." But part of Turner`s angst may be that that`s no longer the case. Turner founded CNN but hasn`t controlled it for years. He still sits on the board at AOL Time Warner (nyse: AOL - news - people ), but he resigned as vice chairman in January. For what it`s worth, Turner doesn`t think much of his media baron friends, either: His sniping against soon-to-depart AOL Chairman Steve Case and former AOL Chief Executive Gerald Levin hastened their departure, too.

Turner delivered his remarks in San Francisco, at a place called the Commonwealth Club. That`s a sign that Turner may be losing his bearings, as Murdoch has recently suggested. The choice of venue is like painting a target on his back for the Fox News hounds. [Full disclosure: Forbes has a business relationship with News Corp., and Fox and Forbes co-produce a weekly business show, Forbes On Fox, on the Fox Channel.]

Fox News, meanwhile, continues to dominate the war for cable ratings. For the week ended Sunday, April 20, it averaged 3.11 million viewers per night, according to Nielsen Media Research. CNN wasn`t second: It was eighth, with 1.77 million viewers nightly, trailing other AOL Time Warner networks TNT and HBO, as well as Nickelodeon, a unit of Viacom (nyse: VIA.B - news - people ), and The Disney Channel, a unit of The Walt Disney Co. (nyse: DIS - news - people ). Fox News` Hannity & Colmes and The O`Reilly Factor have been dominant among news chat shows.

Turner, who built his fortune in cable television, protested that ratings are not all. "It`s not how big you are, it`s how good you are that really counts," Turner said. He added, "The media is too concentrated, too few people own too much." Might he do something to reduce that concentration? Turner said: "No. I think the space is filled with the people already there."

If Turner thinks Fox is bad, the head of the BBC thinks all U.S. television news is lousy. At a speech in London yesterday, BBC Director-General Greg Dyke accused American broadcasters of "unquestioning" coverage of the Iraq war and blatant patriotism, which Dyke said risked their credibility.

"Personally I was shocked while in the United States by how unquestioning the broadcast news media was during this war," Dyke said in a speech at a University of London conference. "If Iraq proved anything, it was that the BBC cannot afford to mix patriotism and journalism."

He singled out Fox News for its "gung-ho patriotism." But if Fox News proves anything, it`s that not only is patriotism in wartime affordable, it`s profitable. This is nothing new, though it still manages to surprise. Great media empires have long profited from war coverage, including jingoistic coverage.

      News Corp. Set To Soar
Brett Pulley, 04.28.03, 9:25 AM ET

Things are looking up now that Rupert Murdoch has captured DirecTV, the U.S.` largest satellite television outfit. He`s buying a controlling stake from General Motors for $6.6 billion. Murdoch`s News Corp. will find DirecTV a perfect complement to his vast globe-girdling satellite businesses, in Asia, Europe and Latin America.

From there Murdoch`s content empire will only get stronger. News Corp. (nyse: NWS - news - people ) owns 81% of publicly traded Fox Entertainment Group, whose cable outlets, such as in-your-face Fox News (now the top U.S. cable news provider) and regional sports networks, are growing rapidly. And the Fox broadcast network bounced back from a dismal season last fall to win February`s ratings sweeps and emerge as the TV industry`s hottest purveyor of low-budget reality shows with Joe Millionaire and American Idol. At the 20th Century Fox studio a string of modest-budget airhead hits like Dude, Where`s My Car? and Like Mike have contributed to 18 months of sustained profits--a rare phenomenon in Hollywood.

Though a cover price war in the U.K. has left Murdoch`s newspaper division ailing, his U.S. television stations are faring better. In many markets Murdoch controls both the UPN and Fox affiliates, giving him duopoly power. Those combined outlets have recently integrated their operations and are poised to benefit as advertising increases. Now that the Iraq war has subsided, look for long-term ad strength and impressive profit- margin expansion. Even though Murdoch paid a premium for DirecTV, it will prove well worth it when News Corp. stock, way down from its $67 high in early 2000, soars anew.

      News Corp posts record profit
News Corporation has ended the financial year with a strong showing, posting a final quarter profit of $560 million.

The shift to profit was largely underwritten by increased ratings and higher advertising revenues at News Corp`s Fox television network.

The profit was a remarkable turnaround from the record loss it posted this time last year of several billion dollars as a result of writedowns.

      Revenue rose 20 per cent.

Income from the company`s television unit, which includes the Fox Television network and 35 television stations, rose 63 per cent.

Its film unit posted a 13 per cent increase in income helped by DVD sales of Ice Age and syndication revenue for shows like The Simpsons.

News Corporation chairman and chief executive Rupert Murdoch says the profit is a company record.

"It`s a record end to a record year, the most profitable fourth quarter ever, the most profitable year in our company`s 30 years in existence," he said.

Green light likely for News Corp

General Motors Corp, which is raising cash for its pension plans, said it expected shareholders to approve the $US3.8 billion ($A5.8 billion) sale of its stake in Hughes Electronics to Rupert Murdoch`s News Corporation by early October.

The Securities and Exchange Commission declared the proxy statement for the transaction effective, clearing the way for the shareholder vote, the company said.

Balloting should be completed by the first week of October, General Motors spokeswoman Sheri Woodruff said. "We`re optimistic" shareholders will approve the sale, Ms Woodruff said.

News Corp agreed in April to buy Hughes and its DirecTV satellite television service. News Corp plans to buy a controlling 34 per cent stake in Hughes for $US6.6 billion. The Hughes spin-off is part of GM`s plan to raise $US20 billion in cash from automotive operations and by selling assets and debt as it tries to reduce a $US25.4 billion deficit in its pension funds.

      Murdoch bows out of Japan

      Saturday August 30, 2003
      The Guardian

News Corporation has withdrawn from one of the world`s largest broadcasting markets, selling its interest in Japanese satellite broadcaster Sky Perfect Communications.
The global media company jettisoned its 8.1% stake in the Japanese satellite broadcaster in a deal worth $227m (£144m). News Corp sold the shares to Sky Perfect shareholders, Sony Broadcast Media, a unit of Sony Corp, trading house Itochu Corp and Fuji Television Network.

The media group`s 181,998-share parcel was worth 26.6bn yen (£144m) based on the Japanese broadcaster`s closing price of ¥146,000 yesterday.

Rupert Murdoch`s News Corp has been shedding non-core investments as it prepares to crack the satellite TV industry in America, but insists it will retain a foothold in the Japanese broadcast market as a content provider.

Proceeds from its latest divestment will provide additional funding for the $6.6bn acquisition of Hughes Electronics Corp and its DirecTV satellite TV business, expected to gain regulatory approval by the end of the year.

Alex Pollak, media analyst at Macquarie Equities in Australia, described conditions in Japan as "patchy" and said News Corp`s first foray into the market five years ago was unsuccessful.

"It`s New Corporation`s strategy to have more of a say-so in the strategic decisions that their investments make," said Peter Mirsky, a media analyst for US firm Fahnestock & Co. "They are basically trying to get a global satellite system in place and want to close the deal buying 34% of DirecTV."

A spokeswoman for News Corp said Sky Perfect had "found its feet" and was expected to record a net profit for the first time this financial year.

However, the transaction is expected to ignite interest in Japan`s largest pay-TV broadcaster by foreign predators now that its foreign ownership ratio has declined to around 11% from nearly 20%, the legal limit for foreign ownership.

      News Corp sells Perfect shares
      August 31, 2003

News Corp, the world`s largest satellite TV broadcaster, has sold its entire 8.1 per cent stake in Japan`s Sky Perfect Communications Inc and is in talks with broadcasters in South Korea about a possible acquisition.

The media giant sold 181,998 shares to Sony Corp, Fuji Television Network Inc and Itochu Corp for an undisclosed amount. At yesterday`s closing price of ¥146,000 ($A1950), the stake is worth about ¥26.6 billion ($A355 million). News Corp has been investing elsewhere, including $US6.6 billion ($A10.3 billion) on a controlling stake in DirecTV in the US. Korea`s broadcasting market is expected to grow 10.5 per cent a year in the coming decade. Sky Perfect`s share price has risen 128 per cent in the past six months. In May, the company forecast its first profit since it was set up in 1994.

aus dem Investor Report von Bell Potter Securities Limited:

      News Corporation (NCP)
      Ahead of expectations $13.20

News Corporation (NCP) reported operating profit of US$570m for the fiscal 2003 fourth quarter, which was 7%
ahead of our forecast. In particular, the results from TV (8% above), Film (23% above), and Cable (14% above) exceeded our expectations. Newspaper earnings were the key disappointment, with the benefit of the cessation of the UK price war offset by increased promotional
      spend in the period.

We estimate that NCP converted approximately 90% of reported EBITDA into operating cashflow for the year. The
strength of the result was further demonstrated by a significant improvement in key debt measurements.
Both EBITDA to Gross Interest and Gross Debt to EBITDA are now comfortably inside the minimum level requirements for
      investment grade credit rating.

The company commented that it expects its credit rating to improve in the coming 12 months as these measures improve
      further.

      Fiscal 2004 guidance

The company provided its first guidance for FY04. NCP remains confident of growth in the current year at all of its key divisions. After admitting that Film earnings are notoriously difficult to predict, NCP guided EBITDA growth in the mid-teens for Fox Entertainment, while EBIT guidance for News Corporation, (including a full year loss estimate for Sky Italia), is in the high single to low double digit range. In both cases, this guidance was marginally ahead of our expectations.

      Recommendation

Our revised forecasts incorporate a 12.1% EBIT growth in FY04E, which translates into EPS growth of almost 30%.
On this basis, the prospective 2004 PER is 27.5x.
Our Buy 2 recommendation is reiterated, with earnings momentum factors likely to remain strong over the next 6 to 12 months.

News Corp, resources support local shares at midday
      Sep 09 13:07
      AAP

The Australian sharemarket moved ahead slightly at noon on Tuesday aided by News Corp and the resource sector.

The benchmark S&P/ASX 200 index rose 8.6 points to 3238.9 and the all ordinaries index was up 8.3 points to 3241.3. On the Sydney Futures Exchange, the September share price index contract was eight points higher at 3238 - a 0.9 point discount to the underlying index - on a volume of 5,037 contracts.

Macquarie Financial Services private client adviser Helen Spencer said the Australian stock market had followed a positive lead from offshore markets.

In the United States overnight, stocks continued to rise as investors welcomed news suggesting a rebound in the economy and following an upgrade for computer giant IBM.

The blue-chip Dow Jones industrial average closed up 82.95 points to 9586.29 and the broader Standard & Poor`s 500 Index rose 10.25 points to 1031.64. The tech-heavy Nasdaq Composite Index closed up 30.38 points to 1888.62.

In London the FTSE 100 built on last week`s near-100 point gain, closing 34.9 points higher at 4292.1.

"We opened with a fairly strong lead from the US and UK and we followed suit, but pretty mildly," Ms Spencer said. "Trade today has been lacklustre. The morning opened strongly but settled down. Resources still remain fairly positive, BHP Billiton and Rio Tinto are reasonably strong.

"And News Corp with a stronger offshore market is certainly helping to drag us up into the black against the tide of an otherwise lacklustre market."

News Corp gained 10¢ to $13.27 while its preferred scrip was up 12¢ at $11.21.

Hughes, Sky Italia To Transform News Corp - Murdoch

      09-12-03 12:07 AM EST

SYDNEY -(Dow Jones)- News Corp.`s (NWS) planned multibillion dollar expansion in U.S. satellite broadcasting and the recent launch of a satellite television service in Italy will transform the media company, giving it a better blend of revenue sources and strengthened long-term growth prospects, according to Rupert Murdoch.

"Both Hughes Electronics and Sky Italia, as distribution platforms, will enhance the long-term strength of our company as a whole, providing us with a better balance of advertising-dependent and non-ad-dependent revenues," the chairman and chief executive said in News Corp.`s 2003 annual report released Friday.

These two major developments put News Corp. in an "excellent position - strategically as well as operationally - to build on our success going forward," he said.

The planned purchase of a 34% stake in Hughes Electronics Corp., the owner of U.S. satellite giant DirecTV, and the Sky Italia launch are major developments that will enhance News Corp.`s integrated structure, said Murdoch.

News Corp. hopes to secure regulatory approvals for the Hughes deal by the end of calendar 2003.

Through enhanced interactive services, technological innovations and improved marketing and customer service, Murdoch said the company will deliver a better service to customers and "accelerated growth for shareholders."

"For News Corp., completing this transaction would mark the culmination of our longtime pursuit of satellite TV distribution in the U.S. - and provide the missing link in an unprecedented global satellite television platform," he said.

News Corp. plans to buy a 19.8% stake in Hughes from parent General Motors Corp. (GM) and a further 14.2% from the public, in a deal that was valued around US$6.6 billion when first announced in April.

In Italy, Murdoch said the company hopes its 80.1%-owned Sky Italia will "soon become a major profit contributor" given Italy`s limited free-to-air services, absence of cable and the company`s own efforts to combat piracy.

Air NZ issues 78 mln new shares to News Corp
      Source: Wellington, Feb 20
      Published: Friday February 20 2004, 12:15 PM

Air New Zealand today said it had issued 78 million new shares to Nationwide News, a subsidiary of Australian media magnate Rupert Murdoch`s News Corp.

The shares are equal to 2.6 percent of the airline ordinary stock on issue.

The shares were issued as a final payment for Air NZ`s purchase of failed Australian airline Ansett in 2000, the airline said in a statement to the NZX.

AMRO Craigs Equities` Matt Willis said the market had received the announcement reasonably positively, "although there`s no mention of price at this stage so the dilutionary effect is unknown". advertisement

"News Corp`s investment track record is reasonably sound so you could view that as an endorsement," he told NZPA today.

Air New Zealand said the new shares would rank equally with all other Air New Zealand ordinary shares on issue.

Air NZ shares were a cent lower at 41c in early afternoon trade.

      BHP Billiton (863578) fiel 1% auf 12,14 A$, Konkurrent Rio Tinto (855018) verlor 1,1% auf 12,14 A$.

UPDATE:Cisneros, News Corp. Deny Sky-DirecTV Latin Merger

MEXICO CITY -(Dow Jones)- Venezuelan tycoon Gustavo Cisneros and Australia- based News Corp. (NWS) said Friday they aren`t negotiating, nor have they agreed to combine the Latin American satellite television holdings of DirecTV and Sky.

Spain`s leading daily El Pais on Thursday quoted Cisneros as saying that he and News Corp.`s Rupert Murdoch reached agreement to combine their regional operations.

But in a news release Friday, Cisneros said: "Looking forward, I`m sure that all options will be considered to improve long-term business models, but at present there are no discussions nor any agreement reached to merge or combine the platforms of Sky and DirecTV."

News Corp.`s purchase of a controlling stake in Hughes Electronics Corp. (HS) in December gave it control of DirecTV Latin America. Cisneros Group`s unit Darlene Investments holds 14% of the Latin American satellite television company.

A spokeswoman from holding company Organizacion Cisneros said Friday`s news release was published to clarify remarks made at a conference in Barcelona, in which Cisneros was discussing business cases.

El Pais quoted Cisneros in its Mexico City edition as saying that the "new pay-television platform will have 3.2 million subscribers across Latin America."

DirecTV officials declined to comment on the newspaper article Thursday. The company, which has 1.5 million subscribers in the region, just emerged from bankruptcy protection.

In a separate release Friday, News Corp. also said no negotiations have taken place with Cisneros or between the shareholders of Sky Brasil and the owners of Galaxy Brasil, which operates DirecTV`s platform.

In Brazil, News Corp. has 784,000 satellite television clients in partnership with media investment company Liberty Media Corp. (L) and Brazil`s Globo Comunicacoes e Participacoes, or Globopar.

"In the future, if News Corporation, Hughes, Globopar and Liberty agree to combine the Sky Brasil and Galaxy Brasil operations, the appropriate and specific communications will be made to the Brazilian authorities," News Corp. added.

The Australia-based company also operates in Colombia and Chile in partnership with Mexico`s top broadcaster, Grupo Televisa SA (TV), and Liberty Media.

In Mexico, Sky has more than 856,000 clients through Innova, a partnership in which Televisa has a 60% stake; while 30% is held by News Corp. and 10% by Liberty Media.

Murdoch darf erste ausländische Werbeagentur in China gründen
