      In den letzten Tagen wird dieses Unternehmen durch überaus pos. NEWS welche kommen sollen in den siebten Himmel gelobt.

      Es wird angekündigt, dass Algo das Unternehmen Fleischhauer an die Börse bringen wolle.

      Welches Unternehmen macht dies zu einem derartig ungünstigen Zeitpunkt ?
      Hat Algo finanzielle Schwierigkeiten oder wesshalb wird dies derzeit in Betracht gezogen?
      Das Management kann darauf keine vernünfitge Antwort geben:

      Die Zahlen sehen dunkelrot aus:

      man sollte sich hier genau die Billanz betrachten !!

      Bessere Argumente als steigende Kurse gibt es nicht. Ist doch mir egal warum die Aktie steigt. Sie steigt und wird auch weiter steigen. Sollte die Fleischhauer tatsächlich bis Ende April an die Börse gebracht werden, dann werden wir Kurse weit über den Dollar sehen! Wenn nicht, dann sollte uns die Spekulation bis auf 50ct hieven.

      Letzte Woche waren Deine Versuche ärmlicher. Da hast Du von Manipulation und niedrigem Volumina geschrieben. Heute gibst Du Dir wenigstens die Mühe und versuchst es mit Fakten (Bilanz). Wäre nett, wenn Du uns die entsprechenden Passagen aus der Bilanz herauskopieren und hier zur Verfügung stellen würdest.


      Nach dem Anstieg der Umsätze in Brüssel ist es nicht mehr so leicht, mit Manipulation zu argumentieren. Wo nur immer die Neuangemeldeten User so schnell herkommen?

      Mit 2-Id`s unterhalte ich mich nicht mehr. Auch wenn Algo Vision dadurch etwas mehr Aufmerksamkeit bekommt. Es ist das grösste Manko von Wallstreet-Online, dass man nicht mehr gegen 2 Id`s tut.

      ich würde ganz schnell meine Klappe halten !
      Ich habe eine ID und wenn ich hier mit der Äußerung
      komme, dass Algo jedes Quartal 2 Mil. US Dollar verbrennt
      und hoch verschuldet ist - du daraufhin mich angreifst weil irgend jemand der neu angemeldet ist hier mitpostet und keine Fakten bringst, außer dass mit 50.000 Euro der Kurs in den letzten Tagen um 40 % gestiegen ist - dann machst du dich doch selbst unglaubwürdig.

      Falls du nicht gemerkt hast wollte ich keinesfalls hier irgendwelche Angriffe auf Euch selbst machen - die ihr diesen Push hier betreibt - doch wenn du nicht aufpasst, dann werd ich mich hier reinhengen und dem etwas genauer nachgehen, was für Äußerungen ihr hier plaziert und WER hier wirklich 2 ID´s oder mehr hat !

      Also ich hab nichts gegen ein Unternehmen, welches es wert ist zu investieren - desshalb unterhalte ich mich hier auch mit so manch vernünftigen Leuten - doch irgend welche Zocker die durch unfundiertes Posten von Teilinformationen andere ausnehmen - da kocht es in mir !!

      Also lass doch einmal hören wieviel Geld Algo einnehmen will duch diesne Börsengang ?

      Wann mal Gewinne erwirtschaftet werden sollen ???

      Wie lang denn die Kreditlinien noch stehen ?

      Es ist mir piepschnurzegal warum die Aktie steigt. Sie steigt. Steigendes Volumina und steigende Kurse waren schon immer ein guter Ratgeber. Wenn Du an andere Götzen glaubst, dann ist das Deine Sache. Wenn Du über fundamentales reden willst, dann musst Du ins DAX board. Dort werden sie geholfen! Über fundamentales können wir bei Algo Vision reden, wenn der Fleischhauer Börsengang durch ist. Vorher entbehrt es jeder Grundlage. (siehe auch man muss den Bären erst erlegen)

      Zur Frage der Umsätze solltest du Dir mal auf der Seite der Deutschen Börse einen Überblick verschaffen. Insbesondere SDAX, SMAX, MDAX, NEMAX 50 und Neuer Markt. Du wirst mehr Firmen mit weniger Umsätzen finden als sie Algo Vision heute hatte.

      Bringt doch lieber einmal einige Daten und Argumente wesshalb hier wirklich Potential in der Aktie ist. So ein Faktum ist nicht, dass der Umsatz nachdem in einem vielgelesenen Board gepusht wird anzieht - auch die für euch als so dumm geltenden Deutschen haben Brokerkonten im Ausland und können in Brüssel handeln !

      DR VIKTOR VOGT is the Chairman and Chief Executive Officer of Algo Vision Plc. He led the spin-off team that acquired the operating business that currently forms the basis of the Group from IAT in early 1998. Dr Vogt served as Co-Chairman and Chief Executive Officer of IAT from its creation in 1989 up to the date of the IAT spin-off. This period included the flotation of IAT on NASDAQ in March 1997. Prior to 1988, Dr Vogt was Professor of Mathematics and Computer Science at the University of Erlangen-Nurnberg, Germany. He was a pioneer scientist at the Academy for Economics and Administration in Nurnberg, focussing on the implementation of computer science in education. Dr Vogt received his degree in Natural Sciences from Friedrich-Alexander University in Erlangen in 1980.

      TWST: Viktor, could you start please with a quick corporate profile of Algo Vision?

      Dr. Vogt: Algo Vision is a typical technology group that was demerged in early 1998 from an existing NASDAQ-listed group. We created the company and brought it to EASDAQ in July 1999. The basis of the group is the business of visual communication. Visual communication means the transmission of pictures, streaming video, and the range of services around tele-cooperation, what people call video conferencing. The company is based on around 11 years of experience with standard technologies. Around three and a half years ago we recognised that there was a need for a new compression technology. One important reason was that at that time one needed a separate solution for each network. If one looked for standards, there were the MPEG standard, the JPEG standard, H320, H323 and so on; and this was a problem in the market itself because one needed a lot of time for developing technology and not for designing applications. The second problem was, one had a lot of investment in different fields, but the return on investment was problematic. That was the reason we sought one single solution for any network in a range from about 20 kilobits per second to 2 megabits which can be used in today’s mobile communication, in the new standards like HSCSD (High Speed Circuit Switched Data) and GPRS (General Packet Radio Service), and later on UMTS (Universal Mobile Telecommunication System); and on the other hand, a solution that you can use in satellite pay TV applications in a streaming method. The main thing was, we looked for a potentially scalable technology, reacting to fluctuations in the networks, so that one maintains a stable connection in case the bandwidth decreases because we didn’t believe in the dogma of broadband going to all consumers. The main problem was, although hundreds of millions of dollars are invested in infrastructure, we still believe it will take more than ten years until broadband is available in customer applications and the end points. Examining all these technologies, it is clear that most of the existing technologies were pixel-oriented, and rely on the discrete-cosine transformation algorithm, which is part of any existing standard.

      TWST: The discrete-cosine transformation algorithm is one of a family of Fourrier transform algorithms?

      Dr. Vogt: Yes, that is correct. The most important limitation of this existing technology is that you are looking for blocks of eight by eight pixels and make your transformation on that. If the bandwidth goes down, these blocks give you a blurry picture, as you see in typical videophones. Also in a typical JPEG application, if you have a still image database installed, you need a separate storage for each size of the picture. Not only does this use a lot of storage, is intensive, and computationally expensive, you also have the problem that you have to reload the picture if you go to the Internet. Based on the analysis of these problems, we found that wavelet technology is a flourishing base technology with great potential. We saw that new compression algorithms had been developed during the Gulf War — work done by the Department of Defence in the US. In light of that research, we started a collaboration with a university professor of mathematics at the Technical University of Berlin, and he was able to design our new compression technologies.

      TWST: This is Professor Seiler?

      Dr. Vogt: Exactly.

      TWST: In the popular imagination, wavelets are often associated with Professor Ingrid Daubechies at Princeton University.

      Dr. Vogt: Yes, Professor Daubechies has been responsible for much of the mathematical development of wavelet technology. But most existing wavelet solutions are based on the so-called Shapiro zero tree. What we have developed together with Professor Seiler is different and includes much more than just wavelets. It is described in part in our own patent. There are new transformations including probabilistic spaces and things like that, and a new theory giving proprietary access to such technology, including encoding and decoding techniques and algorithms. In this area of development, we have been particularly successful: Algo Vision is a member of the JPEG 2000 team, and as such influenced the standard. Dr. Jung in Berlin, our head of R&D, a former student of Professor Seiler, is head of the German delegation. Based on that, we were successful — together with others — in developing the JPEG 2000 standard based on Algo Vision’s core wavelet technology. Part one is about to be introduced as an international standard.

      TWST: So Algo Vision’s core technology then is wavelet-based?

      Dr. Vogt: Exactly.

      TWST: Can you continue with the description of the market applications of this technology? What products use wavelets?

      Dr. Vogt: We certainly have existing wavelet-based products — i.e. the standard boards and applications, mostly in the video conferencing desktop field. Based on these applications, we have looked for new market segments. Our strategy has been to build up applications for specific markets where we believe there is strong growth. We have identified one of the most important markets as the surveillance market. If you consider digital cameras, there is no need to have dedicated lines like co-axial cables and the like, however, there is a need to have independent headquarters for security, and to use the existing networks like ISDN/Internet in transmission on the one side, and on the other side, mobile. In this area, we identified a growing market, and we made investments, using the proceeds of the EASDAQ flotation, in companies that are complementary to Algo Vision.

      TWST: Could you illustrate this strategy by reviewing the companies that you acquired?

      Dr. Vogt: We acquired a 22% stake in a company called Sensile in Switzerland. This company is based on the expertise of the University of Lausanne. They have microelectronics and sensory devices. Together with them we are developing a digital camera, a mini-camera. This mini-camera has base dimensions around about the size of a credit card, not more. Now you can imagine when this camera will be available, you can combine this camera with wavelet technologies, and then you can use your mobile network, your LAN network, to transmit live video. So this is one of the important investments we have made.

      TWST: That’s a very interesting application of wavelet technology. How will you be commercialising it? What is the business model?

      Dr. Vogt: One way is, if you have a base technology available, to give licenses to somebody; that’s one of the business models. However, our belief is that we have to identify the profitable applications by ourselves together with partners, and to implement them in our core markets like Germany and the US. This way, we can create and open the markets.

      TWST: What other investments have you made in broadening your application portfolio?

      Dr. Vogt: The second investment we made was in a company called TCP Connect AG. This is a company based in Munich with an international group of developers working on so-called set-top boxes. And now, talking about set-top boxes, we are talking about the third generation. That means this is an integrated generation: everything is in one box. The most important thing is, this box includes the Java virtual machine, that is based on Java TV. This development was done because there was an international consortium installed in Geneva, the Digital Broadcast Consortium, which defined how to use multimedia in homes. TCP Connect is working closely together with Sun. They know everything about the Java home platform and the new standard defined by this consortium. The next implementation will be based on Java TV and Java home applications, in which we can integrate our compression/decompression software. So this is our way to the consumer markets, because Algo Vision is not a typical consumer company. We normally address professional use, but via the set-top box we can enter the market because this box is based on a Philips chip, called Trimedia which has been developed for TV applications. The set-top box is not Intel-based; it’s based on a real-time operating system from Windriver, and these operations are normally used in embedded systems. So you see we are departing from Microsoft, because they will have their own proprietary set-top box, Intel-oriented, whereas we are going the way of Nokia, Ericsson and others, using separate embedded systems. This is a big advantage. This box is not a computer for the user; it’s an electronic device. But for the manufacturer, it is an open UNIX system. So this is the second application, or wavelet technology shuttle to the market. We intend to invest in a third company, also in Switzerland, with whom we have been collaborating. This time we are working together with the universities in Lausanne and Geneva where they have developed watermarking. Watermarking is a copyright protection system. You fill in, in a picture, additional information that is not visible, and then you can prove that the picture originates from you, when you transfer it elsewhere. This is a very important technology because if you have movies and pictures in a database, the ownership is a real issue: who is the owner? This is the exact visual analogue of the widespread problem that we have in audio.

      TWST: How does watermarking technology tie into your core wavelet technology?

      Dr. Vogt: This technology, watermarking, generates the best values in a benchmark test, around about 96%, if, and only if, you use wavelets. So you see, there is a lot of synergy. So if we combine these elements, we have JPEG 2000 as a compression standard, we will have wavelet-based watermarking, and we have the focus on applications for the consumer and surveillance markets. This is our strategy on the technology side.

      TWST: You’ve made two further acquisitions: first, the Fleischhauer Group in Hanover, Germany. Where does this fit strategically?

      Dr. Vogt: There was a reason behind it. If you have a technology company, there’s always a problem, you have to finance the developments and you need the management know-how and the infrastructure to penetrate a market. Based on my knowledge — I was involved in two IPOs, including one on NASDAQ — my experience has been that you have to show to your market a balanced growth plan, and that was the reason that we looked for cash-generating companies with a customer base, a positive cash-flow, and a strong market position with a customer base and infrastructure and channels to the market. Fleischhauer fits this description exactly, because it is a typical service and solution business, an IT and telecommunication business with a long-term installed traditional customer base in Germany, including companies like Volkswagen. By making this acquisition, we now have partners available — they have around 14 locations in Germany — to go to the market and sell our products. And they offer services, too. So in the added value chain, we now have the total chain available in the core market. One of the challenges of Internet companies is that it’s very nice to have a fine technology but mostly they are not profitable. Usually it takes longer than you expect, and in most cases you need more money than you expect. To cope with this difficulty, our strategy is to have a so-called basis or socket available that is cash-generative, that gives us existing customers and markets, and we combine it with new technology. This is our base business model. If you have Volkswagen as a customer, you can go to Volkswagen with surveillance technology, or with teleservices, which we have in Bremen, industrial use of support for services, globally across the world. Indeed, industrial use is our origin, because we provide, to the manufacture of machines, tools for globalisation purposes, typically, video conferencing, or modifications. Increasingly, this comes from one application basis, and once we have the wavelet technology fully available, then we are working on the video application, which hopefully will be available in January 2001. Then we can convert any standard technology to the new compression technology.

      TWST: A further acquisition that you made was South Star Systems in Virginia. Explain the function of this one in your strategy, please.

      Dr. Vogt: That was a very interesting company because they worked for years in the video conferencing field in the US. They have installed applications, mostly in surveillance technology, and they have strong relationships in the Middle East where we have a number of customers. And the second important collaboration involves the Chinese market; and that’s why we have signed a contract with a Chinese group called Shenzhen. It promises a remarkable volume. We expect the volume could be about $60 million. We have received the first order of round about $6 million, where we deliver components for solutions in the Chinese market.

      TWST: What parts of your business do you outsource? Are you purely a research and development company, or have you manufacturing operations?

      Dr. Vogt: There is manufacturing but it’s done by third parties. We have a contract with Siemens in Switzerland, where the hardware we need is produced; and certainly the production of the digital camera will not be done by ourselves. What we deliver is services and solutions, software and licences.

      TWST: What corporate structure have you adopted to co-ordinate the various technology companies that you now manage? How are they pulled together?

      Dr. Vogt: In technology companies where we see synergy, we take a minority stake. There are two reasons: first, it’s not our intention to take them over, it’s our intention to combine their technology with ours and have a bigger or better USP available as a result. When these companies are mature, you can bring most of them public as well. It’s an important investment option. Competitive reasons are important, too. In watermarking, for example, there is a competitor of our strategic partner. This competitor is situated in the US: it has a market cap of more than $100 million, whereas our strategic partner is valued at $12 million. Based on this, any investment would represent an added value opportunity for our investors. The second reason is that, certainly today, systems and solutions are very complex. You can not do everything by yourself. The business model for entering the market is like our Fleischhauer approach — look for strong critical mass and for cash generation and for customer bases, and combine it with your new technology. This is the underlying business model. The same rationale was applied with South Star.

      TWST: What are the results that you would highlight if you were talking to an investor? How is the picture developing?

      Dr. Vogt: It’s very clear. We started with a company having $2 million turnover per year, and now we have a company with $50 million annual turnover. This will be shown in the third quarter as well. And by doing so we are reducing losses. We cannot be profitable immediately — this is a process. We believe that in the next half year we can reach profitability. If investors support us, we can make further investments according to our plan, and then we can double the turnover, and deliver profits, certainly. Over the next few years, we should benefit from optimisation of the costs of what we have started; and this means increase of margins.

      TWST: In which further areas will you look for further acquisitions, other technologies, larger geographies?

      Dr. Vogt: The only thing we are focusing on now is the watermarking because we believe this is a very interesting combination. I’ll give you an example: in Berlin there is a company of ours, Algo Vision Mediatec, working on Internet portals. It uses our technology and knowledge. We have installed products for Teleshop and other competitive portals: if you have such portals you need images, you need video later on, and certainly you have to secure the ownership. So it’s clear we need to have watermarking available in our group. And by combining all these things, we are bringing this to the market and defining a growth opportunity. We plan organic growth coming out of technology, and also further growth by acquisition. And certainly we have to do some things in the US market later on.

      TWST: Where do you see potential constraints on your growth?

      Dr. Vogt: In the first step it’s clear because we have built up a big business. The first growth phase was achieved by acquisition, but over the months when we are successful in selling our products, the growth will come from technology. So we really use the existing IT business as a fast track to the market. This is not where we are focusing. Certainly we will go towards the following: we will include services and this will give the “old companies” interesting organic growth as well.

      TWST: Management changes: you recently appointed a new Chief Financial Officer, Roger Winter. Can you give me the background to the appointment and what it implies?

      Dr. Vogt: The reason for that is: we are now a group of 550 people. I need monthly controlling and this needs a lot of experience. There is a difference between the beginning of a group and running a group of around 30 managers. And that’s why we have had to define a different profile.

      TWST: And your focus: where are you spending your time? What are the issues that are crossing your desk?

      Dr. Vogt: The most important issues are certainly all matters concerning the stock exchange, and financing. The other thing is, my background is in technology: I spent a lot of years in universities, and my focus is still to define the business strategy and the technology strategy together with Professor Seiler and Nico Hildebrand. I’m the founder and it’s my baby!

      TWST: When you look three years forward, what’s the vision for the company that you founded?

      Dr. Vogt: To be a main player in the fields I have defined. I assume the Internet business will come together with specific applications like surveillance and streaming, and certainly we will enter the business of pay TV, because — I’ll give you an example: if you use traditional MPEG2 and you have leased a transponder for a satellite, then you have at maximum 25 channels for TV available. If you use a compression technology, then you can reduce the need for bandwidth and with each channel you have at minimum a factor three for TV applications with comparable quality available. And so it’s very clear that this is an important business in the future.

      TWST: What about the competitive environment that you face going forward: how is it structured; who are your competitors?

      Dr. Vogt: There are competitors in the market working on existing standards who have developed streaming technologies, but to my knowledge they are using DCT technology, and we have decided years ago to switch. On the other hand there are wavelet companies but only a few, mostly R&D-oriented, and the sources of wavelets are mostly coming out of universities.

      TWST: A word on your US presence: what will the next step be, after South Star?

      Dr. Vogt: The next step must be to find a cash-generating company in the US as well. I believe the field of service providing is interesting, if you look at the television scenario as I have explained to you. And we are looking for a profitable company in the US to combine it with our Algo Vision US.

      TWST: How have financial analysts reacted to your growth strategy? How well do they understand wavelet technology?

      Dr. Vogt: Wavelet technology is understood very well. The most important question they have is, can you extract money from your technology. And my answer was, we are using shuttle technologies to bring together applications in emerging markets, as we call them. If this is understood or not, that’s an ongoing discussion. There is, I believe, a myth in the market. The myth is telling us, take your R&D group, make strategic alliances, and sell your technology; and in 12 years I have never seen anybody who has been successful on a long-term basis. That’s why I am in dispute with analysts and I believe it’s difficult for some of them to understand. The second problem we have is that the take-over of Fleischhauer is not understood. This is one of the reasons the stock is not rated in a different way.

      TWST: So when analysts and investors grasp why you’ve taken over Fleischhauer and South Star, then the stock should benefit from a rerating?

      Dr. Vogt: Yes, it’s clear, if you look at the facts: we have $50 million turnover, moving towards profitability, we have assets in the company and shareholders’ funds. However, it needs some time to make this clear, because consolidation needs time, and we published first quarter and second quarter results, where I could not tell the story to every investor. It was a little bit difficult. But we strongly believe we’re right, because everybody from the management is highly experienced: For example, Nico Hildebrand was a European manager of Wang for 23 years. We know what business is and we are convinced that in time we will be recognised for what we are doing.

      TWST: If you had a summary message for a potential investor, what would it be?

      Dr. Vogt: Support our growth, because all of these companies are relying on investors. If I would like to continue my growth in then US, I need support, otherwise I will not have the right funds available. The other things lie in our hands; we identify candidates through our experience and network. But we need the support of our investors. Finally, distinguish us from typical Internet companies.

      TWST: Any other points you’d like represented in the interview?

      Dr. Vogt: I would say the wavelet technology is one of the last frontiers, and I believe it has a good future because we need mobile communications. People always say broadband will come up, but this is a legend as well, another erroneous market myth: because you have a growth of customers, you have a growth of use of network, and whenever you double your bandwidth you double your amount of users. There is a belief in broadband in the short-term. We do not share this belief!

      Jose, du weißt aber auch warum sich die Anzahl der Aktien erhöht hat.(wegen der Finanzspritzen)

      ...und du weißt auch das sie im letzten Fiskaljahr ihre Verluste im Vergleich zum vorangegangenen dritteln werden!

      In meinem ersten Algo Vision Thread habe ich die Vorzüge von jp2 gegenüber von jpg genau beschrieben.

      Ich spekuliere auf eine baldige Übernahme von jp2 als Bildstandard für Browser und dergleichen!

      Das würde für mich die Krönung bedeuten!

      Algo Vision ist für mich eine Position die ich auf längere Zeit aufgebaut habe. Auf dem Weg zum entgültigen Durchbruch werde ich natürlich immer wieder Gewinne mitnehmen!

      Du musst unterscheiden können. Morchel hält Algo auch langfristig aufgrund des JPEG´s für aussichtsreich. Jeder weiss natürlich, daß dies lächerlich ist und Algo mit seinem Geschäft niemals einen müden Cent verdienen wird.

      Neono dagegen spekuliert auf einen Hype aufgrund von Rumors. Das ist doch in Ordnung. Er ist sich bewußt, daß die Firma Schrott ist, der Kurs drüben hochmanipuliert wird und ein Börsenbeginn in der momentanen Weltwirtschaftslage nie und nimmer durchgezogen wird.

      Ab 0,10 konnte man zocken - IMO wird es ab 0,20 sehr riskant. Aber jedem das seine. Wer die Bilanz sich mal ansieht weiß, daß ein Insolvenzverfahren nach deutschem Recht kurz vor der Tür stehen würde.

      Algo Vision plc (the ""Company"" announces that it has reached
      agreement for its long-term financing. The Company has raised,
      subject to shareholder approval, US$879,401 in new share
      capital through conversion of existing loans and a further
      subscription, together with EUR2.75 million in new loans. A
      further US$1 million may be raised, should all new warrants
      issued in connection with the loans be exercised. The Company
      is using the capital raised partly in order to fund its
      continuing working capital requirements and partly to take the
      next step in its strategy to reshape the Group.

      The Company has reached an agreement with Mr Leo Westermeijer
      and two other parties who made loans to the Company totalling
      EUR689,677 including accrued interest for the conversion of
      such loans into ordinary shares of GBP0.01 nominal value each
      in the capital of the Company (""Ordinary Shares"". The US$
      equivalent at an exchange rate of EUR1 = US$0.9793 , being the
      exchange rate ruling on the date agreement was reached, is
      US$675,401 . The conversion price is US$0.095 per ordinary
      share and the Company has issued a total of 7,109,480 new
      ordinary shares.

      In a separate agreement, Parklane Holding BV, an existing
      investor in the Company, has agreed to subscribe for 1,700,000
      ordinary shares at a price of US$0.12 per ordinary share. The
      Company raised US$204,000 through this subscription.

      Agreement has been reached with Mercurius
      Beleggingsmaatschappij BV (""Mercurius"" for the provision loans
      totalling EUR1 million of which EUR700,000 falls due on 31
      January 2004 and EUR300,000 is due on September 30, 2004.

      The loans are on normal commercial terms and are convertible at
      the option of Mercurius into ordinary shares of the Company at
      a discount of 20% to the closing share price on the day
      immediately prior to conversion, subject to a minimum issue
      price of US$0.20. The maximum number of shares to be issued on
      conversion is 5,296,610.

      As part of the agreement relating to the loans, the Company
      will grant to Mercurius up to two million warrants to subscribe
      for ordinary shares at a price of US$0.50 per ordinary share.
      The warrants are exercisable within the twenty four month
      period commencing on the date on which the underlying shares
      are admitted to listing on Nasdaq Europe. In the event that all
      the warrants are exercised, the Company will raise a total of
      US$1,000,000.

      The Company has further reached agreement with Mr Leo
      Westermeijer for the provision of a subordinated loan of EUR1.75
      million. The loan carries interest at the ECB base rate plus
      2%. It is due for repayment on September 30, 2004.

      There are currently 27,179,385 ordinary shares in issue. A
      further 6,609,735 shares are subject to existing subscription
      rights. In the event that (i) the maximum number of shares are
      issued upon conversion of the convertible loan from Mercurius;
      (ii) that all the warrants granted to Mercurius are exercised;
      (iii) that 7,109,480 ordinary shares are issued upon conversion
      of the existing loan; and (iv) that 1,700,000 ordinary shares
      are issued to Parklane Holding BV, there will be 43,285,475
      ordinary shares in issue. The shares issued pursuant to the
      transactions described in this press release will account for
      26.07 % of the fully diluted share capital of the Company
      before the issue (which term includes the shares subject to
      existing subscription rights). The warrants and the maximum
      number of shares which would be issued on conversion of the
      loans account for 21.60% of the fully diluted share capital of
      the Company. The authorised share capital of the Company is
      80,000,000 ordinary shares of GBP 0.01 nominal value.

      The Company intends, in due course, to make application for the
      listing on Nasdaq Europe of the ordinary shares which shall or
      may be issued pursuant to the transactions envisaged in this
      press release.

      An announcement concerning an EGM of the Company at which
      shareholder approval will be sought for the above capital
      transactions will be made as soon as possible.

      CEO, Mr Peter van Meel, commented ""We are delighted to have the
      continued support of our major shareholders. In the current
