Murdoch to offer $11bn for DirecTV

Rupert Murdoch will this week launch a $US7 billion ($11.7 billion) bid for control of DirecTV, the US pay television business operated by General Motors` listed associate Hughes Electronics.

Mr Murdoch`s News Corp is ready to pay a premium of up to 15 per cent over the market price for GM`s one-fifth stake in Hughes to gain management control of the DirecTV business. It is also likely to snap up a further 20 per cent stake from Hughes`s institutional investors, possibly by issuing stock in Fox Entertainment Group, which is controlled by Mr Murdoch.

The deal will be the crowning glory of Mr Murdoch`s long and controversial career as the world`s most powerful media mogul. The estimated $US7 billion price for control of Hughes is less than one-third what Mr Murdoch nearly paid in 2001 when he launched a $US25 billion bid for all of Hughes. He was beaten in that auction by EchoStar Communications, which itself was later blocked by US regulators.

Securing DirecTV would add an estimated 11 million American households to Mr Murdoch`s global television empire, which is estimated to have access to 30 million viewers.

Last week saw Mr Murdoch gain permission to add Italy`s Telepiu to his stable, which includes BSkyB covering the UK and Ireland, Star TV covering the Middle East, India, Pakistan and China, and Foxtel in Australia.

Mr Murdoch`s offer is timed to coincide with a GM board meeting to be held on Wednesday.

It is thought Mr Murdoch has approached Tony Ball, CEO of BSkyB, to run DirecTV.

However, no decision has been made about management roles at the company once it comes under Mr Murdoch`s control. US competition authorities will examine the bid closely for several months before giving final clearance.

(AP) News Corp. agreed Wednesday to acquire control of Hughes Electronics Corp. and its DirecTV service, the nation`s largest satellite television provider, in a $6.6 billion cash and stock deal.

The proposed deal would give News Corp. access to DirecTV`s more than 11 million subscribers and conclude media titan Rupert Murdoch`s three-year effort to gain a U.S. outlet for his global satellite television network.

News Corp. will acquire 34 percent of DirecTV parent Hughes Electronics, a subsidiary of General Motors Corp., by purchasing 19.9 percent of Hughes shares owned by GM. News Corp. also will offer to buy 14.1 percent of Hughes shares owned by the public.

News Corp. will pay about $14 per share, making the deal worth about $6.6 billion. The company will then transfer its interest in Hughes to its Fox Entertainment Group subsidiary, which includes the Fox News Channel.

Murdoch, whose News Corp. also owns other media entities and the Los Angeles Dodgers, said the deal will increase competition in the cable markets and provide better services to U.S. viewers.

"With Fox taking a significant interest in Hughes, we are forging what we believe will be the premier diversified entertainment company in America today, with leading assets in film, television broadcasting and production, cable programming, and now pay-TV distribution," said Murdoch, News Corporation`s chairman and chief executive.

GM president and chief executive Rick Wagoner said his company "is pleased to have reached an agreement with News Corp. that provides substantial value to our stockholders."

In addition to DirecTV, Hughes also owns 81 percent equity of satellite operator PanAmSat and Hughes Network Systems, a broadband satellite network provider.

Murdoch unsuccessfully wooed DirecTV in 2001. EchoStar Communications, a rival satellite broadcaster, tried to buy Hughes for $18.8 billion, but that deal was blocked late last year by federal regulators who felt it would harm competition.

The News Corp. deal is also subject to regulatory approval.

The new company will provide "completely open access to our platform to all suppliers" and will not be exclusive to Fox or News Corp. products, Murdoch said in a conference call.

At their convention in Las Vegas, members of the National Association of Broadcasters gave the acquisition a generally positive response, saying it likely would prod satellite operators to carry local stations more quickly. The trade group had opposed the Hughes-EchoStar merger because it would have reduced competition and pressure to carry local stations in smaller markets.

Under the agreement, Murdoch would become chairman of Hughes and Chase Carey, who currently serves as an adviser to News Corp., would become president and chief executive officer of Hughes. The company would continue to be based in the Los Angeles suburb of El Segundo.

Hughes shares, which trade separately from those of General Motors, fell 2 cents to $11.48 in regular trading before the deal was announced, but gained 36 cents in extended trading. News Corp. shares fell 66 cents in regular trading to $27.22 each but rose 50 cents in the after-hours session.

Der Einstieg des australischen Medienunternehmers Rupert Murdoch in das amerikanische Bezahlfernsehen ist bei Analysten zwar auf positives Echo gestoßen was die Strategie angeht. Kritik wird allerdings an der geplanten Finanzierung des 6,6 Mrd. $ teuren Kaufs von DirecTV und dessen Muttergesellschaft Hughes Electronics durch Murdochs News Corp. laut.




So wird Murdochs Entscheidung bemängelt, die zugekauften Teile nach Abschluss der Übernahme auf die News-Corp.-Sparte Fox Entertainment Group zu übertragen. Der Hollywood-Unterhaltungskonzern nimmt dafür Schulden in Höhe von 4,5 Mrd. $ auf und gibt im Gegenzug der Muttergesellschaft News Corp. Aktien im Wert von 2,1 Mrd. $. Murdochs Anteil an Fox wird damit von 80,6 Prozent auf rund 82 Prozent steigen. Zur Fox Entertainment Group gehört das Filmstudio 20th Century Fox und die werbefinanzierten Fox-Fernsehsender.

Zahlreiche Analysten waren von der Summe der Schuldenaufnahme überrascht. Der Medienzar behandle Fox wie News Corps.’ "Sparschwein", sagte Jessica Reif Cohen von Merrill Lynch. "Der Preis ist höher, als der Markt gehofft hatte", sagte Jolanta Masojada von Credit Suisse First Boston mit Bezug auf die Summe, die Murdoch zu zahlen gewillt ist.


Hughes-Aktionäre üben zudem Kritik an der Entscheidung, dass der Automobilkonzern General Motors (GM), der seinen Hughes-Anteil an News Corp. verkauft, vor allem Bargeld erhält, während die übrigen Anteilseigner News-Corp.-Aktien ohne Stimmrecht erhalten dürften. Der Medienkonzern kauft GM seinen 19,9-prozentigen Anteil an Hughes für eine Barzahlung von 3,1 Mrd. $ und Aktien ab. Zusätzlich übernimmt News Corp. 14,1 Prozent von anderen Hughes-Aktionären für 14 $ je Aktie.



Aktienkurse brechen ein


Obwohl seit Monaten erwartet wurde, dass Murdoch DirecTV über eine Hughes-Übernahme schlucken würde, reagierten die Anleger negativ. Die Übernahme wurde am vergangenen Mittwoch nach US-Börsenschluss angekündigt, und am Donnerstag brach der Kurs der Fox-Aktien um 17 Prozent auf 22,6 $ ein. Das Papier ging am Freitag mit einem leichten Kursgewinn bei 23,05 $ aus dem Handel. News Corp. und Hughes verzeichneten am Donnerstag ebenfalls Verluste und erholten sich am Freitag leicht.


Mit der Übernahme von DirecTV, die von den US-Kartellbehörden und den GM-Aktionären bewilligt werden muss, gewinnt der 72-jährige Milliardär noch mehr Einfluss auf die Auswahl und politische Ausrichtung von US-Fernsehprogrammen. Nach jahrelangen Anläufen verfügt er jetzt endlich über einen eigenen Verbreitungskanal für seine TV-Sender, darunter den besonders dank seiner euphorischen Irak-Berichterstattung erfolgreichen Nachrichtensender Fox News.


Murdoch übt zudem mit seinen Verlagsprodukten Macht aus. Sein konservatives Wochenmagazin "Weekly Standard", das Präsident George W. Bush auf einer kürzlichen Titelseite als "Befreier" feierte, gehört seit Bushs Amtsantritt zur Pflichtlektüre im Weißen Haus.



Rückzug von kleineren Märkten


Um die DirecTV-Übernahme zu finanzieren, will sich der weltgrößte Zeitungsverleger (über 175 Blätter) aber von anderen Publikationen trennen. Die News-Corp.-Tochter Independent Newspapers Limited (INL), Neuseelands größter Medienkonzern, führt Verhandlungen über einen möglichen Verkauf ihres Zeitungsgeschäfts. INL und das größte australische Medienunternehmen John Fairfax Holdings teilten am Freitag mit, dass sie Verkaufsgespräche führen. Die beiden Firmen beantragten am selben Tag die Aussetzung ihrer Aktien vom Börsenhandel, bis die Verhandlungen abgeschlossen sind. "Wir gehen von einer weiteren Mitteilung vor Börseneröffnung am 15. April und von einer Wiederaufnahme des Handels an dem Tag aus", hieß es in einer ILN-Mitteilung.


Beobachter gehen davon aus, dass Murdoch sich aus weiteren kleinen Märkten zurückziehen wird. News Corp. habe den Kauf in den USA getätigt und neuseeländische Verlage seien kein "aufregendes Geschäft", zitiert die Nachrichtenagentur Bloomberg den Anlagespezialisten John Norling von Alliance Capital Management. News Corp. verkaufe keine weiteren Zeitungen, sagte dagegen eine Sprecherin der australischen Tochtergesellschaft News Ltd.
