Worthington Industries 1st-Quarter Net Fell 78%

COLUMBUS, Ohio (Dow Jones)--Worthington Industries Inc.`s (WOR) first-quarter net income fell 78%, as weak sales in its two largest segment helped cause the company to miss Wall Street`s earnings expectations.

In a press release Wednesday, the metal processing company said it earned $5.9 million, or 7 cents a share, in the first quarter ended Aug. 31, compared with $ 27.5 million, or 32 cents a share, a year ago.

The company missed a Thomson First Call earnings estimate of 19 cents a share based on a survey of seven analysts.

Net sales for the quarter fell 5% to about $498 million from $525.5 million a year ago.

Worthington said that its processed steel products and metal framing segments were a drag on the parent company`s results, as overall volume in processed steel fell 13% largely because of a 14% production decrease by the Big 3 automakers.

The company`s New York Stock Exchange-listed shares were recently down 4.6%, or 65 cents, at $13.55.

Worthington Industries said processed steel sales fell 9.9% to $287.2 million from $318.9 million. The segment`s operating earnings fell more sharply, or 63%, to $8.2 million from $22.3 million.

Despite a 16.7% sales increase in its metal framing unit, the segment`s earnings swung to a loss of $3.7 million from a $16.4 million profit last year. Sales rose to $141.1 million from $120.8 million.

Worthington said it has no indications of meaningful improvement for the immediate future, in spite of the already-bottomed-out economy and indications of improved end-customer pricing.

Worthington said Big Three vehicle production is expected to be down by at least 8% for the coming fiscal quarter relative to last year.

      STAHLFIRMEN MACHEN WEITER DRUCK

CHARLOTTE, N.C., May 27 /PRNewswire-FirstCall/ -- Nucor Corporation announced that it has entered into an agreement with Worthington Industries, Inc. for the purchase of certain assets of their cold rolling mill in Decatur, Alabama for a cash purchase price of approximately $82 million. Closing of the transaction is expected to occur within the next 60 days after receiving the necessary approvals from government agencies.

The assets purchased include all of the buildings, the pickle line, four- stand tandem cold mill, temper mill and annealing furnaces of the Decatur facility adjacent to the current Nucor Steel Decatur, LLC steel plant. The purchase does not include the slitting and cut-to-length equipment, which Worthington will continue to operate. Worthington Industries constructed the plant and started production in 1998.

"The addition of the pickle line, cold mill and annealing equipment enhances our ability to service the value-added sheet market from our Nucor Steel Decatur, LLC sheet mill similar to the capability of our other sheet mills in Indiana, Arkansas and South Carolina," said Dan DiMicco, Nucor``s Vice Chairman, President and Chief Executive Officer.

"We look forward to integrating these assets into our company and the Sheet Group in particular," said John Ferriola, Executive Vice President of Nucor``s Sheet Group. "We have a strong and valued relationship with Worthington and we believe this transaction will serve to strengthen that relationship. These additional assets improve our ability to supply Worthington as well as our other valued customers with a full complement of hot roll, pickled, cold rolled full hard and cold rolled fully processed coils. We are presently studying the feasibility of additional finishing capabilities at this facility to better meet the value-added product needs of our customers."

Nucor is the largest steel producer in the United States and is the nation``s largest recycler. Nucor and affiliates are manufacturers of steel products, with operating facilities in fourteen states. Products produced are: carbon and alloy steel -- in bars, beams, sheet and plate; steel joists and joist girders; steel deck; cold finished steel; steel fasteners; metal building systems; and light gauge steel framing.

Certain statements contained in this news release are forward-looking statements that involve risks and uncertainties. Although the Company believes they are based on reasonable assumptions, there can be no assurance that future events will not affect their accuracy. Such events include, among others, general economic conditions; market demand for steel products; availability and costs of electricity, natural gas and raw materials; U.S. and foreign trade policies affecting steel imports or exports; and significant changes in governmental regulations affecting environmental compliance. The forward-looking statements contained in this news release speak only as of this date, and Nucor does not assume any obligation to update them.

Nucor to buy Alabama facility for $82 million
      By Myra P. Saefong, CBS.MarketWatch.com
Last Update: 11:44 AM ET May 27, 2004

SAN FRANCISCO (CBS.MW) -- Metal processing company Worthington Industries announced an $82 million asset sale to Nucor Thursday and said fourth-quarter results will benefit from higher volumes and pricing.

Following the news, Worthington`s (WOR: news, chart, profile) stock climbed 12 cents to $18.93 in the latest dealings. Nucor (NUE: news, chart, profile), the largest steel maker in the U.S., saw its shares climb $1.32 to $65.92.

Columbus, Ohio-based Worthington will sell its Decatur, Alabama, cold rolling assets to Charolotte, N.C.-based Nucor, but retain a net working capital, which it estimates at around $37 million at the time of closing. The companies expect the transaction to close in the next 60 days.

As a result of the deal, Worthington said it`ll likely take an after-tax charge of about $46 million, or 52 cents per share in its fourth quarter.

Worthington said fourth-quarter operating results, which are scheduled to be released on June 23, will be "very strong," as "normal seasonal strength" and "improving economic and industry trends" among some of its business segments and joint ventures prompted increased volumes and pricing.

The company also announced a number of other one-time items that`ll affect its fourth-quarter results, including gain on settlements with the Enron (ENRNQ: news, chart, profile) bankruptcy estate of around $4 million, and a charge of around $2 million related to the European operations of Pressure Cylinders.

After recognizing all the one-time items, it expects earnings-per-share of 31 cents to 36 cents for the fourth quarter. Analysts surveyed by Thomson First Call, who typically exclude one-time items, expect a per-share profit of 35 cents for the quarter, on average.

      Worthington verbucht Rekordquartal

Worthington To Buy Cylinder Assets Of Western Indus >WOR

      09-02-04 10:16 AM EST
COLUMBUS, Ohio (Dow Jones)--Worthington Industries Inc. (WOR) signed an agreement to acquire the propane and specialty gas cylinder assets of Western Industries Inc. for $64.5 million in cash.

Western`s Propane & Specialty Cylinder unit, which makes 14.1-ounce and 16.4- ounce disposable cylinders, had revenue of about $50 million for the last calendar year. The cylinders are used for hand torches, camping stoves, portable heaters and table top grills.

In a press release Thursday, pressure cylinders supplier Worthington said the acquired assets will be included in its Pressure Cylinders unit.

"The complementary nature of the product offerings of Worthington and Western will be beneficial to our customers and round out our already extensive coverage of the cylinder market. While we currently manufacture a broad range of cylinders, we do not have any product offerings in the one pound range," Worthington Cylinders President George Stoe said.

The transaction, which is anticipated to close within 30 days subject to normal closing conditions, is expected to modestly add to earnings in the first year.

In the fiscal year ended May 31, the company earned $86.7 million, or $1 a share, on revenue of $2.38 billion. Excluding items, Worthington earned $1.38 a share.

Thomson First Call projects fiscal 2005 earnings of $1.49 a share on revenue of $2.78 million.

      Worthington vaults in pre-market trade
      By CBS MarketWatch

NEW YORK (CBS.MW) Worthington Industries jumped higher in pre-market action Wednesday after the company reported first-quarter earnings per share of 66 cents, up steeply from 7 cents per share a year earlier, due to the improved pricing environment in the steel industry.

      NEWS FOR WOR

      Worthington Q1 earnings vault higher

The Thomson First Call analysts` consensus was for earnings per share of 44 cents.

The stock, which Tuesday rose 1 cent to $20.71, traded at $22.00 before Wednesday`s opening.

Worthington`s (WOR: news, chart, profile) quarterly net sales rose to $769.3 million from $498 million.

Worthington cited the fact that it sold lower-priced inventory in a higher-priced environment in the most recent quarter.

The company said the steep rises in earnings and sales were achieved despite slight weakness in its automotive and commercial construction markets.

The company benefited from very strong year-over-year sales increases in its processed steel products and metal framing divisions.

The company said it expects its results for the rest of the year to reflect a projected year-over-year decline in the production of U.S. automobiles, the company`s biggest customer category.
