      Stratos Lightwave Reaffirms Guidance For 2Q 2004 As New Product Strategies Start To Gain Ground

      CHICAGO (Dow Jones)--Stratos Lightwave Inc. reaffirmed it expects to post revenue of $6.5 million to $7.5 million for the second quarter ending Oct. 31, down 34% to 43% from $11.4 million a year ago.
      In second quarter of fiscal 2002, the company lose $19.5 million, or $2.67 per share. Excluding items, the loss was $6.4 million, or 87 cents a share.

      Sales totaled $6.6 million in the first quarter.

      In a press release Wednesday, the optical systems maker said Bowman project, the Fenway Park project and the Contraves project may add to revenue in the second half of fiscal 2004. Among others, Bowman project is expected generate $ 11 million in revenue over the next few years.

      Stratos is scheduled to release its second quarter results on December 3.

      Shares of Stratos closed Wednesday at $5.85, up 19 cents, or 3.4%.

      Stratos Lightwave to Acquire Sterling Holding Company

      CHICAGO, July 2 /PRNewswire-FirstCall/ -- Stratos Lightwave, Inc., (Nasdaq: STLW) a leading supplier of optical subsystems and optical components, today announced it has entered into a definitive agreement to acquire Sterling Holding Company a privately-held company based in Mesa, AZ, that designs and manufactures RF and Microwave interconnect products via its two operating units, Trompeter Electronics and Semflex.

      Under the terms of the agreement, Stratos has agreed to acquire Sterling Holding and Sterling will become a wholly owned subsidiary of Stratos. Sterling shareholders will receive approximately 6.1 million shares of Stratos common stock and 50,000 shares of a Series B participating preferred stock. The preferred has a face value of $5.0 million and a contingent value of up to $11.25 million based on certain events and the future performance of Stratos` share price. The transaction is expected to close in Stratos` third fiscal quarter 2004 and is intended to qualify as a tax-free reorganization. The acquisition is subject to approval by both Stratos` and Sterling`s shareholders and other customary conditions. Sterling`s directors, and a majority of its key shareholders, including Citicorp Venture Capital have agreed to vote in favor of the transaction. Upon closing, Citicorp Venture Capital will own approximately 27% of the combined company. In connection with the transaction Stratos will expand its Board of Directors to nine members. The new board will be comprised of four members from Stratos Lightwave`s Board, four members from Sterling`s Board, and an additional director chosen by Sterling. Jim McGinley will remain as CEO of Stratos at its Chicago headquarters. CIBC World Markets acted as exclusive financial advisor to Stratos Lightwave in connection with the transaction.

      For the calendar year ended December 31, 2002 Sterling generated $39.5 million in revenues, with operating income of $4.9 million, EBITDA of $5.5 million, and net income of $2.7 million. Sterling manufactures and markets high end RF and Microwave interconnect components and assemblies for the Telecommunications, Military/Aerospace, and Television/Broadcast Industries. The company`s products include coax, triax, and twinax connectors, cross-connects and cable assemblies. For the twelve months ended December 31, 2002, based on company estimates, approximately 31% of revenue was generated from the Telecom Sector and approximately 44% from the Military/Aerospace Sector, with the balance from other markets.

      Low-Profile Optical Transceivers

      Stratos Lightwave Inc. has introduced a new family of low-profile optical transceivers with industry-standard duplex LC optical interfaces, designed for military, aerospace, industrial, or telecom applications where significant levels of shock and vibration and/or high temperatures may be experienced. These transceivers have an RJ-45 type footprint, but are only 0.38 inches (8.89mm) high. They are ideal for use in systems where both compact size and resistance to harsh environments are required.
      Stratos Lightwave`s new Low-Profile Optical Transceivers are available in a wide range of bit rates and protocols, including Fast Ethernet, OC-3, Fibre Channel (1x/2x), Gigabit Ethernet, and Infiniband. All versions are fully compliant with the applicable IEEE, ANSI, and/or Bellcore/Telcordia requirements, and their signals and interfaces are compatible with MSA specifications. These low-profile transceivers can be incorporated into systems which have conventional MSA-compliant signals, connectors, cable assemblies, and conventional MSA transceivers, with full compatibility. However, the Stratos devices offer reduced size and an increased resistance to harsh conditions.
      Designed to operate in harsh environments, these new transceivers feature excellent thermal characteristics, high tolerance to vibration and shock and all-metal die-cast housings, which also give them exceptional EMI/RFI performance. Standard operating temperature range is -40oC to +85oC, with a standard storage temperature range of -55oC to +100oC.
      Stratos is offering these transceivers in a number of versions, including 850nm VCSEL, 1310nm LED and 1310nm FP laser. Multimode models operate at distances to 2.0 Km while singlemode versions operate to distances of 15 Km. All operate from a standard +3.3VDC power supply, and are surface-mountable and compatible with standard aqueous wash processes.
      Pricing for Stratos Lightwave`s Low Profile Optical Transceivers is favorable compared to the typical pricing for devices and systems which have been designed for military applications and/or harsh environments. Depending on the data rate specified, at quantities of 1,000 pieces, the 850nm VCSEL transceiver is less than $200 each; the 1310nm LED transceiver is less than $100 each; and the 1310nm FP Laser transceiver is less than $300 each. Samples are available now, with production quantities of all versions available during 4Q2003.
      While this new line of Stratos transceivers will be offered in a number of "standard" versions, Stratos will custom-configure a harsh-environment, low-profile transceiver with any bit rate from 1MB/s through 2.5GB/s, with any standard or non-standard protocol.

      Im Juli haben Insider zu etwa 5 USD verkauft. Deswegen würde ich persönlich nicht über 5 USD einsteigen.
