      Schlechte Zahlen geben die Möglichkeit, Critical Path zu einem netten Einstiegskurs zu bekommen. Der Ausblick sieht gut aus, im letzten Quartal war der Umsatz schlechter, Verträge für die Zukunft sind da natürlich nicht enthalten.

      Critical Path Announces Third Quarter 2003 Results

      SAN FRANCISCO, Nov 11, 2003 (BUSINESS WIRE) -- Critical Path, Inc. (CPTH) , a global leader in digital communications software and services, today announced financial results for the third quarter ended September 30, 2003.

      Revenues for the third quarter of 2003 were $16.2 million, compared to $18.1 million in the second quarter of 2003. Cash operating expenses, which exclude amortization, depreciation and restructuring charges, improved to $21.8 million, compared with $23.6 million in the second quarter of 2003.

      Based on Generally Accepted Accounting Principles (GAAP) in the United States, net loss attributable to common shares for the third quarter of 2003 was $18.6 million, or $0.92 per share, compared to $11.0 million, or $0.55 per share in the second quarter of 2003.

      Earnings before interest, taxes, depreciation and amortization, adjusted to exclude special charges (Adjusted EBITDA), amounted to a loss of $5.6 million in the third quarter of 2003, compared to an Adjusted EBITDA loss of $5.4 million in the second quarter of 2003.

      "Although we are obviously disappointed with our revenue for the quarter, the results do not reflect a number of significant new customer commitments for our hosted and licensed solutions that we expect will result in revenue in future quarters," said William McGlashan, Jr., chairman and chief executive officer of Critical Path. "Our latest deals with such customers as T-Mobile, Virgin.net, SK Communications, AFLAC, Z-Tel, Telecom Italia Media, Wind and one of the largest financial services companies in Europe demonstrate our continued traction and market opportunity. In addition, we continued to reduce expenses while also investing significantly in our new hosted business, which we believe will ultimately create substantial value for the Company."

      As of September 30, 2003, the Company`s cash and cash equivalents totaled $18.2 million as compared with its June 30, 2003 balance of $24.5 million. During the quarter the Company used cash of approximately $3.2 million to fund operating losses, approximately $1.1 million in restructuring payments, and approximately $3.1 million in capital expenditures for an aggregate cash usage of $7.4 million. These uses were offset by net cash proceeds from financing activities of approximately $900,000 and approximately $200,000 related to the effects of foreign exchange. In the current quarter it will be essential to the Company`s continued viability for it to complete a financing or other strategic transaction. The Company is currently in negotiations in an attempt to raise additional capital.

      Schade, daß gestern die amerikanischen Indizes so schlecht "gelaunt" waren. Critical Path ging zuerst mit -6% ins Rennen, dann erholte man sich auf knapp unter -1%. Das hätte der Rebound sein können.
      Aber die weitere Entwicklung ließ die Anleger aus vielen Technologiewerten aussteigen und so endete die Woche mit einem erneuten Minus von 3,65% auf 2,11 USD.
      Das sind jeden Tag wieder Einstiegskurse, denn der Kurs wird sich mit Sicherheit um einige Prozente erholen!! Schließlich ging es seit den Quartalszahlen mehr als 30% nach unten...

      Beim letzten mal hat Hutchison Whampoa ich glaube so 100 Mio USD reingesteckt und der Kurs schoss, wenn ich mich recht erinnern kann, an einem Abend um 87% hoch.

      Heute mit 3-6% fett im Plus. Andererseits kann sich das bei so einem volatilen Wert sofort drehen. Die Market Cap ist mit nur noch 36,61 Mio USD verschwindend gering. Wenn wir heute im Plus schließen, denke ich, daß der Rebound vollzogen ist.

      2,35 USD ist bisher das Tageshoch. Die Nachfrage besteht also, obwohl sicherlich einige Zocker, die gestern eingestiegen sind, schon wieder verkauft haben. Trotzdem denke ich, daß da noch Potenzial nach oben ist. Schließlich liegt die derzeitige Marktkapitalisierung ungefähr genauso hoch wie die heute verlautbarten finanziellen Zuschüsse.

      Bleibt aktuell nur die Frage, wie CPTH auf die Terroranschläge in der Türkei reagiert, die US-Futures gehen ja runter... Allerdings ist der Umsatz ziemlich gering, diejenigen, die gestern bei 15% oder 20% im Plus eingestiegen sind, werden heute wohl nicht verkaufen. Aber eventuell die, die bei 1,60 USD eingestiegen sind...

      Zu früh gefreut. Mini-Umsätze ziehen den Kurs Stück für Stück ins Minus runter. Tageshoch bei 2,64 USD, Schlußkurs nur 2,35 USD, ein Minus von 1,67%. (bei w:o steht ein Minus von über 5%!?)
      Nach so einem Anstieg sind Gewinnmitnahmen ja auch nicht überraschend.

      NEW YORK (CBS.MW) - Critical Path (CPTH) appointed William Smartt as its chief financial officer. He replaces Paul Bartlett, who was CFO since February, and chief operating officer since August 2003. Smartt was previously the CFO of DHL Airways, Ingres Corp. and Di Giorgio Corp. The Internet messaging services provider`s stock closed Friday down 4 cents at $2.35.

      NEW YORK, Dec 1 (Reuters) - Software company Critical Path Inc. (CPTH) on Monday said it reached a settlement of litigation brought by MBCP PeerLogic LLC and several former PeerLogic shareholders.
      San Francisco-based Critical Path said the settlement was not expected to have a material adverse effect on on its financial condition.
      The company also said it has restructured certain facility lease obligations, resulting in a reduction of USD 13 million in long-term cash obligations.


      Das kursive sind die guten Nachrichten. Im ersten Abschnitt geht es um einen Rechtsstreit zwischen den beiden Firmen, die aber die Finanzlage von CPTH nicht betreffen würden...

      Critical Path

      Das Software-Unternehmen Critical Path Inc. gab am Montag bekannt, dass es in einem Rechtsstreit mit der MBCP PeerLogic LLC und ehemaligen PeerLogic-Aktionären einen Vergleich erzielt hat.

      Das Unternehmen hat demnach bestimmte Pachtverpflichtungen für Einrichtungen restrukturiert, was zu einer Verringerung der langfristigen Cash-Verpflichtungen um 13 Mio. Dollar führt. Man rechnet jedoch nicht mit einem wesentlichen Negativ-Effekt auf die Finanzsituation des Unternehmens.


      Die Aktie von Critical Path schließt heute an der NASDAQ bei 2,26 Dollar, +7,11%.

      Critical Path May Go Out of Business, Auditor Says

      NEW YORK (Reuters) - The auditor for Critical Path Inc. (CPTH) , once one of San Francisco`s most celebrated Internet start-ups, said on Wednesday the digital communications software company`s survival is in question.
      Critical Path, which earlier this year fired 30 percent of its employees, disclosed the warning by auditor PricewaterhouseCoopers LLP, in a U.S. Securities and Exchange Commission filing.
      "The company has suffered recurring losses from operations and has a net capital deficiency that raise substantial doubt about its ability to continue as a going concern," the auditor said in the filing.
      Last month, Critical Path said it raised $10 million by selling convertible notes and that investors led by Cheung Kong Group and affiliates agreed to swap $32.8 million of convertible subordinated notes for new Series E convertible preferred shares.
      It also said it planned to raise $36 million from additional issuance of the Series E shares, including $21 million through a rights offering and $15 million to private investors. It said that raising this capital by March "will be necessary for the company to continue operations."
      Critical Path ended September with $18.2 million of cash and equivalents but just $4.3 million readily available in the United States, the filing showed.
      In the third quarter, the company lost $18.6 million, or 92 cents per share, on revenue of $16.2 million, which was down 16 percent from a year earlier. Several former executives last year pleaded guilty to stock fraud.

      1,4 Millionen gehandelte Stücke am Feiertag !
      Wenn man die Emotionen aus dem filing rausfiltert, bleibt
      lediglich die information, die schon lange bekannt war.
      ohne zusätzliches geld ist im ersten quartal finish.

      War aber,wie gesagt, doch längst alles bekannt!

      sollte die neufinanzierung durch die shareholder abgesegnet werden, kann der umsatzbringer hosted messaging (t-mobile, afflac)seine wirkung 2004 entfalten. die kosten pro quartal haben sich bei ca. 20 mio. $ eingependelt. umsätze aus sämtlichen hosted messaging deals des jahres 2003 werden erst im 4. quartal verbucht!

      ich denke so schlecht schauts nicht aus.

      Von -10% auf -2% zeigt auch, daß ein paar Anleger/Zocker reingegangen sind, bzw. günstig nachkaufen. Wenn eine Nachricht kommt, daß jemand ein paar Mio USD reinsteckt, geht´s locker wieder 50% nach oben. Wenn nicht, sackt der Kurs noch weiter ab.
      Ist und bleibt ein interessanter Wert, denn schließlich weiß Hutchison Whampoa, warum man CPTH immer wieder mit Geld unterstützt. Das machen die nicht aus Spaß.

      Freue mich, nicht mehr der einzige zu sein, der hier schreibt. :D

      hallo beloki,
      Ich bin wirklich gespannt wie ein flitzebogen.
      sehr viel spricht gegen den turnaround, z.b. cfo-wechsel, kursverlauf, kommentare der letzten tage.
      hört man aber das management, schaut die zukunft wirklich rosig aus. es ist und bleibt eine glaubensfrage.
      bin naiv und glaube erstmal dem managment.

      in fünf wochen wissen wir bescheid.
      wenns gut geht gehen wir einen trinken, weil dann bei 50% nicht schluss ist. dann sehen wir mittelfristig kurse über 10 euro.

      hast du nähere infos warum der cfo gewechselt hat.

      jo, ich bin investiert, weiss aber momentan gerade nicht was ich von der ganzen sache halten soll.

      kann gut sein, dass da irgendwas im busch ist, wovon wir noch nix wissen. habe mir immer die conference-calls angehört und habe mich da vielleicht ein bischen einlullen lassen. zusammenfassend gibt es halt nur zwei möglichkeiten:

      die shareholder genehmigen die finanzierung, cpth schafft den turnaround im ersten halbjahr. dafür spricht sehr viel. kann gut sein, dass es im vierten quartal einen umsatzschub gibt. z.B. gibts die ersten t-mobil umsätze (auch alle bisher erbrachten servicleistungen werden erst im 4q umsatzwirksam. irgendwann müssen sich ja auch mal die vielen neukunden beim umsatz niederschlagen. neukunden sind z.B. royal bank of scotland (5. größte bank der welt) und die bundeswehr.
      hört sich alles sehr einfach an.

      cpth geht hopps, warum auch immer

      in fünf wochen weiss man bescheid. es ist wirklich sausauspannend. ich muss vielleicht noch dazu sagen, dass ich nie recht glückliche anlageentscheidungen getroffen habe, deshalb mach im mir auch nicht allzu große hoffnungen.

      existing shareholders and does not take into account our recent financial results or financing
      activities currently in progress. In March 2004, PricewaterhouseCoopers will issue a new opinion
      to take into account our 2003 actual results and the status of subsequent events.

      · $33 million of 5¾% convertible subordinated notes, which will be retired and
      converted into preferred equity upon shareholder approval expected in early 2004 –
      this conversion will significantly reduce our overall long-term liabilities from $39
      million to $6 million.
      Additionally, we are in the process of completing two follow-on capital infusions while seeking
      shareholder approval for the transaction described above:
      · A rights offering to our common shareholders, which will raise nearly $21 million in
      cash proceeds assuming full subscription from our shareholders; in addition, we have
      extended the right to purchase the balance of any unsubscribed shares to our existing
      preferred holders, specifically General Atlantic Partners and Hutchison Whampoa.
      · A private placement of additional preferred stock to be sold to private investors which
      would raise as much as $15 million in cash proceeds assuming the sale of all 10
      million preferred shares.
      Successful completion of the above initiatives would generate approximately $46 million in
      cash, result in a significant reduction in our long-term debt, strengthen our financial condition,
      and provide us with on going capital for the future.
      The ability of Critical Path to obtain capital for on-going operations has been a challenge that we
      have successfully met in the past in more difficult times than we face today. Our investment
      bankers are currently meeting with investors who have expressed interest in this offering.

      ein Analyst in USA hat geschrieben dass die Reaktion völlig übertrieben sei. Der Deal umfasse lediglich einige Mio Dollar zuzüglich einer jährlichen Lizenzgebühr (?). Mal sehen wie weit der Kurs zurückkommt.

      Bei iQ siehts m. E. nicht übel aus

      - Lieferung von Powerlyzer Produkten an BMW
      - Entwicklungsabkommen mit Gigatronik (Bordnetzentwickler, Entwickeln Bordnetze mit kompletter iQ Technologie: BEM, SEM, und MagiQ-Batterien)
      - Lieferung von SEM ung MagiQs an PEIT (EU Projekt mit DaimlerChrysler)
      - Teilnahme am nachfolge Projekt von PEIT SPARC
      (iQ gehört der Kernguppe an, Gesamtbudget 15 Mio Euro)
      - mit der Lieferung von Powerlyzer und Gelder aus SPARC
      müsste iQ in diesem Jahr schon einige Einnahmen erzielen.
      Vielleicht kommt ja noch der eine oder andere Auftrag hinzu. Der Kurs hat bisher noch nicht angezogen,
      denke aber sobald Zahlen aus diesem Jahr bekannt sind wird sich dies ändern. Also Mitte- Ende diesen Jahres.

      der kurs von cpth wird sicherlich konsolidieren.
      andererseits ist general electric nicht der erste dicke neukunde. das geschäft brummt (royal bank of scotland (5. größte bank), astrazeneca (fünftgrößtes Pharmaunternehmen) auch bundeswehr). weitere global player werden dazu kommen. die produkte sind offensichtlich sehr gefragt.die wachstumsphase läuft. entschuldung ist durch.
      bei dem zu erwartenden positiven newsflow wird die bewertungsrelation erfahrungsgemäß ausgeblendet.

      habe die firma seit jahren im blick und habe mich
      über den letzten anstieg sehr gewundert.
      nach dem cashburn zu beurteilen, gehen bald die lichter aus. weiss jemand bescheid, ob in usa wirklich entlassungen anstehen, um den den fortgang der firma
      zu sichern.

      hat ge eventuell die finger im spiel.
      es sieht verdammt nach übernahme zu dumpingpreisen aus.

      erst lässt man den kurs um 90% einbrechen, dann kommt eine
      übernahme, die 50% höher als der durchschnittkurs der
      letzten 90 tage liegt.

      den investierten kann man nur raten, die aktien bis zu bitteren ende zu halten, damit man bei einem eventuellen
      prozess noch shares im depot hat.

      SAN FRANCISCO -- (Business Wire) -- Jan. 6, 2005

      Critical Path, Inc. (Nasdaq:CPTH), a global provider of
      messaging solutions for mobile, broadband and fixed-line service
      providers, today announced that it has signed definitive agreements
      for $18 million in debt financing led by Cheung Kong Group and General
      Atlantic Partners in support of Critical Path`s new consumer messaging
      strategy.
      "We are very pleased with the recent progress made by the
      Company," said Tom Tinsley, a partner with General Atlantic Partners
      and director of Critical Path. "The investors feel that it is
      important that Critical Path has the financial foundation to support
      its strategy."
      The financing makes available $11 million immediately and $7
      million in March 2005, on the same terms. The $18 million financing
      includes the issuance of warrants for 385,710 shares of Series F
      Convertible Preferred stock at a warrant exercise price of $14.00 per
      share (equivalent to $1.40 per share on a common equivalent basis).
      The three-year loan bears interest at 13.9%, and all payments are
      deferred until maturity of the loan.

      investors," said Mark Ferrer, chief executive officer of Critical
      Path. "We developed a new strategy concentrating on consumer messaging
      solutions for mobile, broadband and fixed-line service providers. We
