FortuneCity Announces Euro 1 Million Standby Capital Funding Agreement
FortuneCity.com Inc " FortuneCity" announced today that it had agreed a standby capital funding arrangement of Euro 1 million with the Company`s major shareholder. This funding arrangement which is subject to the Company meeting certain milestones, does not obligate FortuneCity to draw on the funding available. The agreement provides the Company with enhanced financial flexibility at a time when funding for smaller Internet companies is virtually impossible to obtain. As FortuneCity`s business develops over the next 12 to 18 months the Company can determine how best to use the funds that this standby facility provides.

Under the terms of this funding arrangement a partnership owned by the 2001 Metcalfe Settlement " the Partnership" has committed to make available if requested by the Company funding of up to Euro 1 million at a price of USD 6 cents per share, subject to FortuneCity achieving certain cash flow milestones and there being no adverse change in the business of the Company. In return for this funding commitment the Company has agreed to issue the Partnership a three year warrant to purchase up to 10 million shares of common stock at a price of USD 12 cents per share, a premium of 70% over the average closing price for June 2003.

Mr. JW Metcalfe, Chairman of the Board of the Company is the settlor of the 2001 Metcalfe Settlement that currently holds via the Partnership approximately 35% (23% on a fully diluted basis) of the Company`s shares and potentially could increase its interest to 67% (53% on a fully diluted basis) if all shares are issued and warrants exercised under these arrangements







FortuneCity To Receive Euro 500,000 Under Standby Capital Funding Agreement
Pursuant to a standby capital funding agreement announced 24th July 2003 (see Ad Hoc dated 24th July), FortuneCity announced today that it had successfully met the first financial milestone and has elected to draw down the Euro 500,000 of available capital.

Under the terms of the arrangement, the first milestone required the Company to reduce its monthly cash-burn rate to an average of $75,000 per month over four consecutive months. This milestone was achieved at the end of November 2003. FortuneCity has called on the Euro 500,000 made available by achieving the financial target as stipulated in the agreement with the 2001 Metcalfe Settlement, a Trust estabiished by the Company`s Chairman. As a result, the Trust will increase its holding in the Company to approximately 51% (47% on a fully diluted basis including the remaining shares which could be issued under the standby capital funding agreement).

The Company plans to use this funding for general corporate purposes including funding operating losses, Investing in sales and marketing efforts to propel the growth rate of its online media sales and web services businesses, source and develop new products and services, and upgrade and expand its hosting infrastructure equipment. Under the facility, another Euro 500,000 remains available for draw down when FortuneCity reduces its monthly cash-burn rate to an average of $37,500 per month over four consecutive months.

Peter Macnee, President and CEO, stated, "We are currently experiencing revenue improvement from both our media sales business as well as the subscription web service business. The increase in revenue combined with further cost reductions is steering the business closer to cash flow breakeven. This is the result of a significant commitment from the entire FortuneCity staff over the past year. The availability of this funding at this critical time provides the Company with greater flexibility and increases the likelihood of reaching breakeven and building value for our shareholders in the future."

bei einem kurs von 0,3EUR hätte FTC eine marktkap. von
9 mio EUR ,die mir als gerechtfertigt erscheint, alles
andere ist reine spekulation, an der ich mich als banker nicht beteiligen möchte

es ist erschreckend wie wenig interesse FTC im vergleich zu anderen pennystocks trotz des schon beachtlichen kursanstieges geschenkt wird
ein guter kaufindikator
nur so nebenbei erwähnt nächste woche wird garantiert der push von frick kommen und dann haben wir den besten verkaufsindikator ,den man sich nur vorstellen kann
