      Daniel Rubin, the high profile investment banker who recently was indicted on charges of stock fraud, is no longer a major shareholder of Augrid Corporation (OTCBB: AGRD). See Feds Say Rubin`s Been Robbin`. Rubin, who paid $1.5 million to exercise options on 200 million shares of Augrid common stock, giving him about 36% of the outstanding shares, began selling out his position almost immediately after he signed a consulting agreement with the Company on July 27, 2003.       It turned out to be a profitable relationship, at least for Rubin, who sold his Augrid shares for a total of $1,929,087 – a three month profit of about $430,000, roughly 33%. Sure beats the one percent interest he could have received from his bank.

      Rubin’s connection with Augrid sounded disturbingly similar to a pair of consulting relationships that led to the criminal charges he now faces. In those instances, Rubin received shares of stock in return for consulting services that he agreed to render to two companies, Marx Toys & Entertainment Group and The Classica Group. Those companies then registered the shares on Forms S-8 – just like Augrid.

      What consulting services did Rubin perform before bidding adieu to Augrid? The Company has not said, but his stock sales coincided with a series of press releases issued by Augrid promoting potential acquisitions. So far, however, there is no sign that any of those projects have generated revenues – or are likely to do so in the future.

      But the press releases did spark interest and trading activity in Augrid stock – which just happened to coincide with Rubin’s sales.

      How fortunate for him.

Bis jetzt jedoch gibt es kein Zeichen, daß irgendwelche jener Projekte Einkommen - erzeugt oder wahrscheinlich sind haben, so zukünftig zu tun.

      Aber die Pressekommuniquã©s funkten Interesse und handelnde Tätigkeit Augrid auf Lager - das gerade geschah, mit Verkäufen Rubins übereinzustimmen.

      AUGRID CORPORATION (OTCBB: AGRD) – PART II - S-8’s ARE US

      October 14, 2003

      AuGRID Corporation (OTCBB: AGRD) may be second guessing its decision to plight its troth to Daniel Rubin, the high-flying investment banker who recently was charged with committing securities fraud through a “pump and dump” scheme. Feds Say Rubin’s Been Robbin’. A pair of consulting agreements enabled Rubin to accumulate approximately 36% of the Company’s outstanding stock, creating the prospect for a potentially troublesome situation.

      As we saw in Part I of this series, AuGRID set out to carve a niche in the evolving market for flat panel displays, but those plans stalled when the Company failed to pay royalties due under a pair of licensing agreements.

      So what has AuGRID been up to?


      Collecting Consultants

      AuGRID may not have any manufacturing operations, marketable products, or revenues, but the Company has been busy in 2003 – filing S-8 Registration Statements with the Securities and Exchange Commission. In the first nine months of this year, the Company filed nine separate Forms S-8, registering more than 426 million shares of common stock, most of which were issued to a series of consultants retained by the Company. That number is even more striking when you consider the fact that AuGRID had only about 13.2 million shares of common stock outstanding as of December 31, 2002.

      Why did the Company issue 426 million shares of its common stock to those consultants (and a handful of employees)? Here’s what we learned from those Forms S-8:

      Starting the New Year - The January 18th S-8

      On January 18, 2003, the Company registered 1.85 million shares for two consultants, Todd Bauman and Optima Ventures, Inc.

      Bauman received 350,000 of those shares pursuant to a December 1, 2002 Consulting Agreement that said he would provide a variety of “general business” and management development services to the Company, including providing assistance with strategic planning.

      The balance - 1.5 million shares - apparently were registered for the benefit of Optima Ventures. A January 7, 2003 Consulting Agreement stated that Optima would receive an unspecified number of shares in consideration for the following services:


      [Optima] shall assist [AuGRID]…in the areas of public awareness and marketing, seeking and creating relationships with other organizations for growth and sale of high-tech flat panel devices, upon terms acceptable to [AuGRID], and, assist with financing such operation, make itself available to consult with the board of directors and officers and representatives of [AuGRID] at reasonable times concerning matters pertaining to the overall performance of its duties hereunder, and actions necessary thereto on the part of [AuGRID].


      Under the January 7th agreement, the Company agreed to register Optima’s shares on a Form S-8. Apparently it did just that on January 15th – but that could pose a problem. Form S-8 is available for the registration of securities for advisors and consultants only if:


      a) they are natural persons;
      b) they provide bona fide services to the company issuing the securities; and
      c) the services rendered are not in connection with a capital raising transaction, and do not directly or indirectly maintain a market for the company’s securities.


      While the January 7th Consulting Agreement was signed by Optima’s President, Ahmad Alyasin, there is nothing to indicate that Mr. Alyasin, or any other “natural person” received actually received the shares.


      Enter Alyasin - The February 14th S-8

      On the other hand, AuGRID did retain Mr. Alyasin under a separate Consulting Agreement dated February 6, 2003. Under the February 6th Agreement, Mr. Alyasin received an initial allocation of 5.5 million shares – with “additional shares or compensation to be negotiated,” in consideration for the following consulting services:


      [Alyasin] shall assist [AuGRID] in the areas of product development, awareness and distribution in addition to public awareness and marketing, seeking and creating relationships with other organizations for growth and sale of high-tech flat panel devices as well as home theatre/ audio equipment, upon terms acceptable to [AuGRID], as well as seeking out contracts to enhance new product line exposure. [Alyasin] shall make himself make available to consult with the board of directors and officers and representatives of [AuGRID] at reasonable times concerning matters pertaining to the overall performance of its duties hereunder, and actions necessary thereto on the part of [AuGRID].


      One cannot help but notice the striking similarity between the services to be performed by Mr. Alyasin, and those to be rendered by his company, Optima, and wonder why AuGRID would choose to retain and compensate both consultants, separately, for those services.

      Mr. Alyasin’s 5.5 million shares of AuGRID common stock were registered on a Form S-8 on February 14, 2003.


      The March 7th S-8

      On March 7, 2003, the Company filed a Form S-8 to register a total of 13.9 million shares of stock that had been issued to eleven persons under various agreements. This included approximately 5.8 million shares issued to employees in lieu of cash compensation and 4.19 million shares issued in payment of legal fees.

      It also encompassed 4 million shares issued pursuant to the following two Consulting Agreements:


      • On February 27, 2003 the Company entered into a Consulting Agreement with Greenbridge Management, Inc. of Bellmore, New York for a term of six months. It provided for Greenbridge to provide “such consulting services and advice pertaining to the Company’s business affairs as the Company may from time to time reasonably request.” This included advice on mergers and acquisitions as well as strategic planning. In consideration for these broadly defined, but short term, services, Greenbridge was to receive 1.5 million freely tradable shares of AuGRID stock.

      Those shares, which apparently were issued to Joseph Guccione of Greenbridge, were registered on the March 7th Form S-8.

      • Also on February 27, 2003, the Company entered into a Consulting Agreement with an individual named Farhad Walji. Under this agreement, Mr. Walji agreed to review the Company’s accounts and to interface with the corporate lawyers and accountants. In return for these services he would receive 2.5 million shares of AuGRID stock.

      Those shares also were registered on the March 7th Form S-8. It is worth noting that on February 27th, the day these agreements were signed, AuGRID stock was trading at $.017 a share. On March 7th – the day the Form S-8 was filed, share prices closed at $.04.



      Alyasin Again - The April 24th S-8

      On April 23, 2003 the Company amended its Consulting Agreement with Ahmad Alyasin, agreeing “to compensate [him] for the services rendered with an additional 10,000,000 shares of Common Stock.

      One day later, on April 24th, the Company filed a Form S-8 registering Mr. Alyasin’s stock.


      Alyasin Again and Again – The June 6th S-8

      On June 6, 2003, AuGRID filed a Form S-8 to register 36.7 million shares. This included yet another 18 million shares that had been issued to Ahmad Alyasin pursuant to a June 3rd amendment to his original Consulting Agreement. This Amendment (which did not recite any additional services to be performed by Mr. Alyasin) stated simply that “the parties have agreed to compensate [Mr. Alyasin] for the services rendered with an additional 18,500,000 shares of Common Stock.”

      The June 6th Form S-8 also included 18.2 million shares issued to three individuals in consideration for performing various office related services for AuGRID.

      That means Alyasin had accumulated 34 million shares of AuGRID common stock (not including the 1.5 million shares issued to Optima). The Company has not enumerated the consulting work performed by Alyasin and Optima (or for that matter by Bauman, Greenbridge and Guccione), and has not indicated what results, if any, have resulted from those services.

      AuGRID was not yet finished. The Company was continuing to line up consultants, including Daniel Rubin. We will look at those relationships in Part III of this series.

      AuGrid Corporation (OTCBB: AGRD) continues to reveal new business ventures. Until recently, the Company was focused on a plan to produce “flat panel display screens” under a licensing agreement with an entity called CeraVision Limited. Unfortunately, AuGrid defaulted on royalty payments to CeraVision, rendering the future of that relationship problematic – at best. (See AuGrid Corporation, Part I - Another Rubin-esque Venture?; Part II - S-8`s Are Us; Part III - Is New Major Shareholder a Major Headache?; and Part IV - Does Activity Equal Action?).

      In August 2003, the Company entered a new line of business, acquiring Alysium Corporation, which AuGrid has described as “a diversified industrial manufacturer with an exclusive technology in both ThermoCouple manufacturing and Nano Technology.” What level of revenues has Alysium generated in the past, and what can be expected in the future? Approximately six months have passed since the acquisition but, so far, AuGrid has not filed a Form 8-K concerning the transaction or provided any historical audited financial statements for Alysium.

      AuGrid’s Form 10-Q for the quarter ended September 30, 2003, did provide some terms of the acquisition. According to the Form 10-Q, AuGrid acquired Alysium in exchange for approximately 16 million restricted shares of AuGrid’s common stock. The former Alysium owners will also receive approximately 34 million additional AuGrid shares if the subsidiary achieves specific performance goals.

      Who were those former Alysium owners? The Company has not disclosed their identities or said how it was introduced to Alysium. Nor has it included a copy of the acquisition agreement in any of its public filings with the Securities and Exchange Commission.

      In September2003, AuGrid disclosed another new venture, Optipure LLC, a Nevada limited liability corporation formed in July 2003 to distribute consumer electronic products. Since that time, the Company has announced its plan to sell a limited selection of electronic products – principally television monitors – which it says will be manufactured in Taiwan, Hong Kong and Korea. AuGrid has not indicated who will be manufacturing the products, the nature of any manufacturing agreements, or how the production and distribution will be financed. It also has not stated how this Company can hope to compete with other well-established and better financed operations that are selling similar products.

      These concerns have not deterred AuGrid from issuing a series of press releases declaring new initiatives. On December 3, 2003, for example, the Company announced its intention to establish sell the Optipure products in the United Arab Emirates (UAE). The Company claimed that that there was “overwhelming” demand in the UAE for “high technology consumer goods like our Optipure Plasmas, LCD, Network-based Internet Audio, Amplifiers, Home Theater Decoders and Video Scalers.”

      While the demand for high tech products certainly exists throughout the world, the Company offers no reason to conclude that Optipure can compete successfully for a piece of that market. And, once again, the Company failed to indicate how it would manufacture and finance those products.

      On December 4, 2003, AuGrid issued a press release touting its other new subsidiary, Alysium. AuGrid said that Alysium had commenced production of “high accuracy thermocouple,” which it projected as “just the beginning of the technologically advanced products that we will be introducing to the automotive, aerospace, defense, plastics and petroleum industries.”

      Although the Company listed several products already being marketed by Alysium, it still did not provide any historical financial sales information, or discuss anticipated future revenues. Consequently, investors had no basis for concluding whether Alysium was a viable, revenue producing business.

      Still, although the December 3rd and 4th press releases provided little concrete information they seemed to have a decided effect on AuGrid’s common stock. On December 2, 2003 approximately 2.2 million shares of AuGrid stock were traded. The following two days volume soared, to approximately 64.4 million shares on December 3rd and 62 million shares on December 4th.

      The timing of the two press releases – and the spike in trading – just happened to coincide with the filing of a Form S-8 Registration Statement by AuGrid. On December 3, 2003, the Company filed a Form S-8 registering 50 million shares issued to Ahmad Alyasin Albadarnah, Chairman of Optima Ventures, Inc. The shares were issued pursuant to a consulting agreement under which Optima agreed to assist with AuGrid’s overseas operations and advise AuGrid on business development matters.

      As we noted in our earlier article, the Company had already issued over 35 million shares to Alyasin and Optima under various consulting agreements in 2003. See AuGrid Corporation, Part II - S-8`s Are Us. The Company did not indicate why it deemed it necessary to enter into yet another consulting agreement with these same parties, further diluting the Company’s public shareholders.

      There is no way for investors to determine whether these S-8 shares were being sold to the public on the heels of the December 3rd and December 4th press releases, but the timing was, at the very least, fortuitous.

      The next AuGrid press release was not accompanied by a Form S-8 filing, but it did appear to have an impact on interest in the Company’s stock. On December 10, 2003, AuGrid issued a press release enumerating additional plans for the sale of certain thermocouple devices. This press release also stated that Alysium was developing “body armor” According to the Company, “[o]ur team has found a way to ‘save lives’ and lower the weight of the Armor Load on the troops and the vehicles they use,” and would be commencing “live fire” testing within sixty days.

      Investors seemed to be impressed with the Company’s foray into “body armor,” even though, once again, few meaningful details were included in the pres release. That day, 40.6 million shares of AuGrid common stock were traded.

      Two days later, on December 12th, 44 million additional shares of AuGrid common stock were traded. That day, the Company issued a press release saying that it had acquired certain intellectual property that would “revolutionize the manufacture of plasma panels.” The Company did not say how it had acquired those rights, from who they had been acquired, or what consideration had been paid. It did not explain why it believed the rights to be so valuable. It did state that it planned to attempt to acquire additional intellectual property from an entity called Pixtech Corporation, although the nature and value of that property was not specified.

      On January 22, 2004, AuGrid was off on another venture. This time it said it had engaged a software company called The Database Group,” to co-develop a program exclusive to a state-of-the-art integrated airport security system”. Was AuGrid now in yet another line of business, and, if so, what were the Company’s qualifications for handling airport security? Once again, questions abound, beginning with the potential costs of the venture. Investors are also likely to question the Company’s capacity to pursue these varied businesses considering its financial position and limited operating history.

      What qualifications or capacity does AuGrid have to compete in the security business? While that question has yet to be answered, some investors were evidently impressed with the vague January 22nd press release. That day, 92 million shares of AuGrid common stock changed hands.

      Once again, the timing of these announcements coincided roughly with a Form S-8 filing. On January 29, 2004, the Company filed a Form S-8 in order to register 80 million shares for two consultants - one would help market products in the UAE and the other would work on business strategies.

      The parade of press releases continued on February 10, 2004, when AuGrid announced that Alysium’s body armor had been tested at an independent facility and that “[o]ur team has proved that our armor will save lives."

      AuGrid did not identify the independent facility or name any of the individuals who had conducted the test. Certainly, considerable more detail would be needed before any reasonable investor could weigh the validity of the product.

      Some investors, however, have not bothered to wait. On February 10, 2004 114 million shares of AuGrid stock were traded. Another 143 million shares were traded on February 11th.

      No more registration statements have been filed. At least not yet.

      Es ist halt eine OTC Aktie und unterliegt damit (fast) keiner Meldepflicht.Ich denke die Meldung mit der Ritterrüstung ist aber kein Fake.Selbst für ein OTC Unternehmen hätte eine bewußte Falschmeldung in den USA Strafrechtliche Konsequenzen.Das Potential ist hier noch gar nicht abzuschätzen.Ich könnte mir vorstellen das man das Material auch im Militärflugzeugbau verwenden könnte.

      Mich stört nicht, daß jemand nur wenig Produktaussagen macht, oder den Nachweis nicht gleich erbringt - aber ein Punkt ist das zeitliche Zusammenspiel von News und ordentlichem Aktienverkauf. Es riecht halt ordentlich nach pump and dump.

      Ich will mir selbstverständlich nicht die Welt schön reden.Du könntest natürlich auch recht haben.Was aber positiv zu werten ist,ist die Tatsache das der Kurs vor und nach der Meldung gestiegen ist.Die Meldung mit den 143 Mio gehandelten Aktien an einem Tag hört sich vieleicht schlimm an entspricht aber von der Summe nur ca. 1.500.000 USD.Das reicht für einen Vorstand nicht aus um sich für den Rest des lebens zu Ruhe zu setzen.

      nicht ganz neu (12.02.04), aber gerade im Netz gefunden, diese Meldung:

      Ebenfalls im Fokus der Anleger habe heute das texanische Unternehmen Augrid Corp. gestanden. Das 1995 gegründete Unternehmen habe sich zunächst auf die Entwicklung, Produktion, Vermarktung und Weiterentwicklung von Plasmabildschirmen spezialisiert, sein Kerngeschäft aber schon bald ergänzt. Mit den Töchtern Optipure, LLC und Alysium Corporation sei das Geschäftsfeld um Doppelthermoelemente, Siliciumcarbid-Werkzeuge und Nanaopartikeltechnologie erweitert worden.

      12.000.000 Stck.wurden am Freitag gehandelt.Das sind gerade mal bei 500.000.000 verfügbaren Aktien (wenn man die 50% davon die in festen Händen sein sollen nicht berücksichtigt) gerade mal 2,4% davon.

      GENERAL


      AuGRID Corporation is a technology based company in the development stage. The predecessor company was formed under the name Ironwood Ventures, Inc. by the filing of Articles of Incorporation with the Secretary of State of the State of Nevada on August 4, 1995. On March 2, 1998, following a change of control, the Company changed its name to Augrid of Nevada, Inc. The Company effectively commenced operations on March 15, 1998. On August 30, 2002, the Company changed its name to AuGRID Corporation.

      The Company`s executive offices are located at 2275 East 55th Street, II- Floor, Cleveland, Ohio 44103, and its telephone number is 216.426.1589. The Company also leases and maintains an 8,000-sqare foot manufacturing facility with a state of the art ISO Clean Room at 3636 Dime Circle, Austin, Texas 78744 for its wholly owned subsidiary, Alysium Corporation.

      The Company has recently re-assessed, re-evaluated and redirected its focus from Field Emission Display ("FED") technology to concentrate on the products of two recently acquired or formed subsidiaries, OptiPure LLC and Alysium Corporation, to be discussed below.


      OPTIPURE LLC AND ITS PRODUCTS


      OptiPure LLC, a Nevada limited liability corporation, was incorporated in July of 2003 as an independent and wholly owned distribution subsidiary of AuGRID Corporation. OptiPure`s electronic devices address the needs and opportunities in the consumer electronics industry often ignored or over-looked by other manufacturers and distribution companies. OptiPure is a limited distributed product line manufactured in Taiwan, Hong Kong and Korea according to the Company`s strict specifications, and will be sold only through selected authorized dealers and distributors.

      For the remainder of the fiscal year 2003 and through the first quarter of 2004, the product line will consist of seven (7) display devices ranging from a 17" Wide Screen LCD TV/Monitor to a 50" Plasma TV/Monitor. The Company will expand its product line to several high performance electronics components to compliment the line in the second quarter of 2004.

      In early September 2003 a small production run arrived in the U.S. and samples of the products were shipped to distributors and dealers in the U.S. and abroad. Full distribution is scheduled to hit the U.S. in the second week



      of December, thirty days post original schedule date in order to address firmware issues based on input and recommendations by the Company`s dealers and distributors. This delay will provide the Company the ability to be the first in the U.S. to offer generation three "G3" plasma glass on a consumer product. This was considered a strategic move by the Company`s distributors and dealers since all major manufacturers have already booked substantial amounts of G1 & G2 glass in September and will have to sell their current inventory before moving to the new technology. The new G3 glass, although it has similar specifications to the G2 glass, offers a more natural color balance, and preliminary tests show it to be more power efficient by being able to operate at a higher voltage with less current. Optipure is currently completing the formalization of distribution contracts to support the influx of product to hit the U.S. in the near future.


      ALYSIUM CORPORATION AND ITS PRODUCTS


      Alysium Corporation, a Texas corporation, was acquired in August of 2003. Pursuant to an Acquisition Agreement dated August 15, 2003, AuGRID acquired all the common stock of Alysium in exchange for approximately 16 million restricted shares of AuGRID`s Common Stock with an approximate additional 34 million shares upon specific performance goals - approximately 20 million shares when Alysium generates $1 million in gross profits and another approximate 14 million shares when Alysium generates $10 million in gross sales. Since the acquisition by AuGRID, Alysium has moved into an 8,000-sqare foot manufacturing facility with a state of the art ISO "Clean Room".

      Alysium is a diversified industrial distributor and manufacturer utilizing technology in the area of silicon carbide, thermocouple, and nano-particle manufacturing in the fields of aerospace, semiconductor, missile defense and emerging technologies.

      As of the beginning of November 2003, Alysium completed all major equipment purchases necessary to begin manufacturing of Alysium Corporation`s Ultra High Accuracy Thermocouples. By the end of November 2003 its manufacturing facilities will be in full production mode. The Company`s product line of Ultra High Accuracy Thermocouples or horizontal wafer carriers, also known in the industry as "boats" manufactured with a silicon carbide process. Silicone carbide boats will be the primary product offered to the semiconductor industry. The products will be sold to all semiconductor customers with the benefit of a conditional guarantee. Since there is currently no product guarantees offered in the industry today, this offers us an additional lead over our competition. Several major semiconductor companies such as AMD, Texas Instruments, Applied Materials and Samsung have already been contacted and have indicated a high interest in the products. Initial response from these contacts confirms that Alysium will provide the industry with the solution to a persistent problem in the fabrication of wafers. Alysium thermocouples will be constructed from high quality materials and fabricated in a clean room environment. All thermocouple units are tested and certified according to ISO standard. Another distinguishing feature of the Alysium manufacturing process is the ability to create complex geometries, thus permitting a greater freedom of design. Alysium`s products harbor strength and durability



      three times that of industry standard, significantly reducing production and maintenance costs for its customers.

      Alysium Corporation`s distribution arm is actively pursuing business with a variety of manufacturing companies, offering motors, drives, sensors, bearings and many other temperature and motion control devices.


      RESEARCH AND DEVELOPMENT


      Ceravision

      AuGRID Corporation currently has a licensing agreement with Ceravision UK for the exclusive global distribution with manufacturing rights of the FED (Field Emission Display) Technology. AuGRID believes that Ceravision has ceased U.S. operations and continues to operate solely in the U.K. The lack of communication, information and progress from Ceravision UK on its commitments with AuGRID has prompted AuGRID to consider legal action.

      AuGRID is also considering alternative technology-based solutions and has established a presence by managing to develop and acquire diverse yet synonymous business units. While not abandoning the FED technology projects or the desire to bring it to market in several different forms, AuGRID is focusing on enhancing current product lines. It will be these avenues that will ultimately serve as the conduit for the delivery of the FED upon completion.
