StockOnLine brings in Strategic Shareholder
Simsen International acquires 20% at HK$360 million

The management of StockOnLine, a 55% subsidiary of Pearl Oriental Cyberforce, brings in Simsen International Corporation Limited (Simsen) as a strategic shareholder. Simsen will acquire 20% interest in StockOnLine from the founders and existing management including Mr Stanley Cheung and parties at HK$360 million. HK$132.5 million of the consideration will be paid in cash while the balance will be settled by the issue of 700 million shares in Simsen at an issue price of HK$0.325 per share, amounted to approximately 26.9% of its enlarged issued capital upon completion of the transaction.

Based on the aforesaid consideration, StockOnLine is valued at a price of HK$1.8 billion, representing a discount of 17.37% to the valuation of HK$2.178 billion appraised by an independent professional valuer.

Pearl Oriental Cyberforce and the board of directors of StockOnLine welcome this transaction. Simsen is a listed company investing in the Greater China region, principally engaging in bullion, securities and commodities businesses. The board of directors believes that given the years of extensive experience of Simsen in the aforesaid businesses and its market status, the participation of Simsen as its strategic shareholder will benefit the future development of StockOnLine.

Pearl Oriental Cyberforce acquires 50% interest in ZhongGuanCun On Line
at HK$280 Million
to establish the largest IT electronic trading network in China
Pearl Oriental Cyberforce Limited ("Pearl Oriental Cyberforce") announces the signing of an agreement today for the acquisition of 50% interest in ZhongGuanCun On Line Corporation at a consideration of HK$280,350,000. Upon completion of a restructuring, ZhongGuanCun On Line will be the largest electronic trading network in China and will own 100% interest in (i) Beijing Shijijingwei Network Engineering & Tech. Co., Ltd. - the software system provider; (ii) Beijing Bayi Space Computer Technology Co., Ltd. - the sales unit of computer and electronic products as well as resources and material supplier; and (iii) Beijing Zhongguncun On Line Digital Info-Tech Co., Ltd. - the provider of all round IT information. For the acquisition consideration, Pearl Oriental Cyberforce will issue 630 million new shares at an issue price of HK$0.445 per share, a premium of approximately 1.5% to the 10-day average closing price.

The sales revenue of ZhongGuanCun On Line in 1998 was RMB173 million. In 1999 the sales revenue raised 65.3% to RMB286 million. Due to the diversification and expansion of electronic trading channels, the sales revenue is expected to have a substantial increase to reach RMB600 million. Among the 150 employees in ZhongGuanCun On Line, 70% of them attained a university degree, while Mr Zhao Lei, the founder and Managing Director of ZhongGuanCun, has 15 years experience in computer and electronic industry. The average age of the management level is 30. The web site of ZhongGuanCun, zol.com.cn, was elected as the one of the Top Chinese Websites in China in 1999.

"It is rare to see Internet companies in the Asia Pacific and Greater China Region like ZhongGuanCun On Line to record such significant sales volume and profits at the same time," according to Mr Wong Kwan, the Chairman and Chief Executive of Pearl Oriental Cyberforce. The combined unaudited profit before tax for the ZhongGuanCun On Line group was around RMB4,400,000 in the 1999, a 100% rise compared with RMB2,200,000 recorded in 1998.

HONG KONG, Jan 19 (Reuters) - Pearl Oriental Cyberforce Ltd said on Wednesday its subsidiary StockOnLine Corp Ltd was in negotiations to appoint a U.S. investment bank to advise it on fund-raising.

One fund-raising option is the possible spin-off of StockOnLine on a recognised stock exchange, the Internet investment firm said in a statement to the Stock Exchange.

"Both parties are close to concluding the terms of such engagement.

The terms of the proposed spin-off have yet to be confirmed," the company said. The company said it would keep the market informed on further developments regarding the spin-off proposal but gave no other details.
